WOODTURNERS CLUB
1 Constitution
1.1 The club is constituted by resolution dated 1 July 2010.

2 Name
2.1 The name of the club is Hauraki Woodturners Club.
3 Objectives
3.1 The objects of the club are those charitable objects and purposes which are recognised by the court
of New Zealand as being charitable, including to:
3.1a Promote, foster and encourage the art and craft of woodturning in all possible ways.
3.1b Promote the appreciation and creative use of wood as an artistic medium.
3.1c Encourage research into the development of woodturning tools and equipment, and
3.1d Do any act or thing incidental or conductive to the attainment of any of the above
objects.
3.2 Notwithstanding rule 3.1:
3.2a The club shall be limited in furthering or attaining its objects to the advancement of
charitable purposes in New Zealand, and
3.2b No private or pecuniary profit for any individual, and exceptions
3.2c No private pecuniary profit
3.2.c.i No private pecuniary profit shall be made by any person from the
Club, except that:
3.2.c.ii Any member may receive full reimbursement for all expenses
properly incurred by that member in connection with the affairs of the Club.
3.2.c.iii The Club may pay reasonable and proper remuneration to any
officer or servant of the club in return for services actually rendered to the Club.
3.2.c.iv Any Club member may be paid all usual or professional, business,
or trade charges for services rendered, time expended and all acts done by that Club
member is a member, employee or associate in connection with the affairs of the
Club.

3.2.c.v Any club member may retain any remuneration properly payable to that Club
member by any company or undertaking with which the Club member may be
concerned or involved for which that Club member has acted in any capacity
whatever, notwithstanding that the Club member connection with that company or
undertaking is in any way attributable to that Club member connection with the
Club.
4 Powers
4.1 The Club shall have the following incidental powers, namely to:
4.1.a Promote the fellowship which exists universally amongst woodturners and to assist
each other in all ways to improve the art,
4.1.b. Encourage and recognise innovation in wood turning and its contribution to the
general benefit of members,
4.1.c. Liaise and join with other organisations who have similar aims,
4.1.d. Purchase equipment and materials,
4.1.e. Publish a news letter,
4.1.f. Make regulations to advance the attainment of any of the above objects, and
4.1.g. Invest and dispose of its funds as required for charitable purposes.
4.2 In addition to its statuary powers, the Club shall have power to borrow or raise money or
debenture, bonds mortgage and other means with or without security, but such borrowing powers
shall not be exercised other than by resolution of a General Meeting of which proposed resolution
at least ten clear days written notice was given by circulation to all (ordinary) members or by
notification in the public notices column of a local daily newspaper.
4.3 The Club may use such of its funds to pay the costs and expenses of furthering or carrying out its
objects, and for that purpose may employ such people as may seem expedient.
4.4 The Club may purchase, lease, hire or otherwise acquire, may exchange, and may sell, lease or
otherwise dispose of property, rights or privileges to further or carry out its objects as may seem
expedient.
4.5 The Club may invest in any investment in which a trustee might invest.
4.6 Any transactions between the Club and any member, officer or member of the executive, or any
associated persons shall be at arms length and in accordance with prevailing commercial terms on
which the Club would deal with third parties not associated with the Club, and any payments made
in respect of such transactions shall be limited to:
4.6.a A fair and reasonable reward for services performed,
4.6.b Reimbursement of expenses properly incurred,
4.6.c Usual professional, business or trade charges, and

4.6.d Interest at no more than commercial rates.
5 Membership
5.1 The classes of membership and the method by which members are admitted to different
classes is as follows:
5.1.a Individual Member An individual member is as individual or incorporated or
unincorporated body admitted to membership under rule 6.3 and which has not ceased to be a
member under rules 7.3 or 8.0.
5.1.b Life Member A life member is a person honoured for meritorious services to the
club after recommendation by the committee and election as a life member by resolution of a
General Meeting passed by a two-thirds majority of those present and voting. A life member shall
have all the rights and privileges of an individual member and shall be subject to all the duties of an
ordinary member except those paying subscriptions and levies. Recommendations received from
any ordinary member shall be received by the Secretary no less than six weeks prior to the date set
for the annual general meeting. Such recommendations shall include appropriate supporting
evidence as specified by this rule.
5.1.c Honorary Member An honorary member is a person honoured for services to the
Club or in an associated field elected as an honorary member by resolution of a General Meeting
passed by a two-thirds majority of those present and voting. An honorary member shall have no
membership rights, privileges or duties. Recommendations received by any ordinary member shall
be received by the Secretary no less than six weeks prior to the date set for the annual general
meeting. Such recommendations shall include supporting evidence as specified by this rule.
5.2 Every individual member shall advise the Secretary of any change of address.
5.3 The committee shall keep a membership register of individual members recording their names and
addresses.
5.4 All members (and committee members) shall promote the interests and the objects of the Club and
shall do nothing to bring the Club into disrepute.

6 Admission of Members
6.1 Applicants for membership as individual members, being associated with or interested in
woodturning who agrees to be bound by these rules, shall complete any application form provided
by the Committee and supply such information as may be required by the Committee.
6.2 Membership applications shall be considered by the Committee who may interview an applicant
individual member.
6.3 The Committee shall have discretion whether or not to admit a membership applicant, and shall
advise the applicant of its discretion.

7 Subscriptions and Levies
7.1 The annual subscription, any amount payable on joining the Club, and any capitation fees shall be
set by resolution of a General Meeting.
7.2 The Committee may be resolution impose a levy on individual members up to a maximum of $10.00
in any one year.

7.3 Any member failing to pay the annual subscription, levy or any capitation fees within four calendar
months of the date of the same was set shall be considered as un-financial and shall (without being
released from the obligation of payment) have no membership rights and shall not be entitled to
participate in any club activity until all the arrears are paid, and shall be deemed to have ceased to
be a member until all arrears are paid in full.

8 Cessation of Membership
8.1 Any member may resign from that members class of membership by written notice to the
Secretary, and each such resignation shall take effect from the end of the Clubs then current
financial year, but the member resigning shall remain liable to pay all subscriptions, levies and any
capitation fees to the end of that year.
82 The Committee may declare that a member is no longer a member from the date of that declaration
or such date as may be specified if that member is convicted of any indictable offence or offence for
which a convicted person may be imprisoned, is adjudged bankrupt, makes a composition with
creditors, or (if a body corporate) is wound up or placed in receivership or liquidation, but such
former member shall remain liable to pay all subscriptions, levies and any capitation fees to the end
of the Clubs then financial year.
8.3 After due enquiry and having given the member the right to be heard, the Committee may by letter
invite any member within a specified time to retire for failure to comply with these rules or any of
the other duties of a member. If the member does not so retire, the
8.4 Committee may recommend to a General Meeting that the member has been expelled, and after
the member has been given the opportunity of being heard by or providing written comments to
the General Meeting, that Meeting may expel the member by resolution passed by a two-thirds
majority of those present and voting. Any such former member shall remain liable to pay all
subscriptions and levies to the end of the Clubs then financial year.

9 Readmission of former members
9.1 Any former member may apply for readmission in the manner prescribed for new applicants, but if
the former members membership was terminated under either rules 8.2 or 8.3 the applicant shall
not be readmitted without the approval of a General Meeting.

10 Election of Officers and Committee
10.1 The Annual general meeting shall elect a Patron (optional), President, Vice-President, Secretary,
Treasurer and not more than six other committee members all of whom (with the exception of the
Patron) shall be the clubs committee.
10.2 Witten nominations for nominees under rule 10.1 signed by an individual member and
accompanied by the written consent of the nominee shall be received by the Secretary before the
date of the annual general meeting. Between the date for the close of nominations and the date of
the Annual General Meeting the Secretary shall communicate such nominations to all ordinary
members by way of posted notice in the clubrooms normally used by the club, or by mail, Email or
any electronic means as is generally used and accepted by ordinary members. Nominations may
also be made from the floor at the annual general meeting.
10.3 No President shall serve for more than three consecutive years as President.
10.4 The President, Secretary and Treasurer may be paid such remuneration or honorarium as a General
Meeting ay from time to time determine.
10.5 If a vacancy in the position of President, Vice President, Secretary, Treasurer or other committee
member occurs between Annual General Meetings, or if no person is elected to any of those offices,
the resulting vacancy shall be filled by the committee.
10.6 In the first year after ceasing to be President the immediate past President shall be an ex officio
member of the committee.

11 Management by the Committee
11.1 From the end of each Annual General Meeting until the beginning of the next, the Club shall be
administered, managed and controlled by the committee which shall be accountable to the
members for the implementation of the policies of the Club as approved by any General Meeting.
11.2 Subject to these rules and the resolution of any General Meeting, the committee may exercise all
the Clubs powers, other than those required by statute or by these rules to be exercised by the Club
in General Meeting.
11.3 The committee shall meet at such times and places as it may determine and otherwise where and as
convened by the President or by the Secretary.
11.4 All committee Meetings shall be chaired by the President or in the Presidents absence by the Vice
President or in the absence of both of them by some other Committee member elected for the
purpose by the meeting, and any such chairperson shall have a deliberative and casting vote.
11.5 The Committee may co-opt any individual Member to the committee for a specific purpose, or for a
limited period, or generally until the next Annual General Meeting.
11.6 The quorum for Committee meetings is at least half the number of the committee members.
11.7 The committee may appoint sub-committees consisting of such persons as it thinks fit and with or
without the power to co-opt.

11.8 The Committee and any sub-committee may act by resolution approved by not less than half the
members of the Committee or sub-committee in the course of a telephone conference call or
through a written ballot.
11.9 The Committee may from time to time make any resolutions contemplated in rule 3.0 (including
regulations for the conduct and control of Club activities).
11.10 The President (and in the absence of the President the Vice-President) shall, in addition to all other
duties described in these rules, generally supervise and direct the affairs and business of the Club.
11.11 Other than as prescribed by statute or these rules, the Committee may regulate its proceedings as it
thinks fit.

11.12 Subject to statute, these rules and the resolutions of General Meetings, the decisions of the
committee on the interpretation of these rules and all matters dealt with by it in accordance with
these rules and on matters not provided for in these rules shall be final and binding on all
members.
11.13 Each officer shall within one calendar month of submitting a resignation or ceasing to hold office
deliver to that officers successor all books, papers and other property of the Club possessed by
such former officer.

12 Secretary
12.1 The Secretary shall record the minutes of all General Meetings and Committee Meetings and all
such minutes when confirmed by the next such meeting and signed by the chairperson of that
meeting shall be prima facie evidence that that meeting was duly called and shall prima facie be a
true and correct record of what occurred at that meeting.
12.2 The Secretary shall hold the clubs records and documents.
12.3 The Secretary shall deal with and answer correspondence and perform other duties as directed by
the Committee.

13 Registered Office
13.1 The registered office of the club shall be at such place as the committee from time to time
determines.

14 Finance
14.1 The Treasurer shall keep such books of account as may be necessary to provide a true record of the
clubs financial position, report on the clubs financial position to each committee meeting, and
present an annual statement of accounts (including, at least, a statement of receipts and
payments and schedule of assets) to the Annual General Meeting.

14.2 The Committee shall maintain bank accounts in the name of the club, and all cheques and
withdrawal forms shall be signed by any two of the Treasurer, President, Vice-President and
Secretary.
14.3 All money received on account of the club shall be banked as soon as practicable after the receipt.
14.4 All accounts paid or for payment shall be submitted to the committee for approval of payment.
14.5 The clubs financial year shall commence on 1 April of each year and end of 31 March in the
following year.
14.6 The Annual General Meeting each year may appoint an auditor (who is not a member of the club) to
audit the annual accounts of the club and provide certificate of correctness of the same, and if any
such auditor is unable to act the Committee shall appoint a replacement auditor.
15 Execution of Documents
15.1 The common seal of the club shall be retained by the Secretary.
15.2 Documents shall be executed for the club pursuant to a resolution of the committee:
15.2.a By affixing the common seal witnessed by the President, Vice-President or Secretary and
counter-signed by some other member of the committee, or
15.2.b By the President, Vice-President or Secretary or some other member of the committee
signing on behalf of the club.

16 General Meetings
16.1 The Annual General Meeting shall be held no later than May in each year at a time and place fixed
by the committee.
16.2 Special General Meetings may be called by the committee or by written requisition to the Secretary
signed by not less than a fifth of the financial Individual Members.
16.3 The Secretary shall give at least four weeks written notice of the business to be conducted at all
General Meetings (including in the case of Annual General Meetings copies of the Annual Report
and list of nominees, and notice of any motions and the committees recommendations in respect
thereof under rule 16.10) in one or more of the following ways:
16.3.a By posting such notice prominently in any room used by the club during club meetings prior
to the General Meeting, or
16.3.b By circulation to all individual members, or
16.3.c Notification by mail, Email or any electronic means as is generally used and accepted by
ordinary members.
16.3.d And the failure for any reason of any Member to receive or read such notice shall not
invalidate the meeting or its proceedings.

16.4 General Meetings may be attended by all members of whatever class of membership, but only
financial Individual Members and Life Members are entitled to vote.
16.5 No proxy voting shall be permitted.
16.6 The quorum for General Meetings is a quarter of the number of Individual Members.
16.7 All General Meetings shall be chaired by the President or the in the Presidents absence by the Vice-
President or in the absence of both of them by some other committee member elected for the
purpose by the meeting, and any such chairperson shall have a deliberative and casting vote.
16.8 Voting at General Meetings shall be by voices, by show of hands or, on demand of the chairperson
or of any member present , by secret ballot. On any secret ballot each individual member shall be
entitled to one vote.
16.9 The business of the Annual General Meeting shall be:
16.9.a Minutes of previous General Meeting (s).
16.9.b Presidents annual report.
16.9.c Statements of accounts.
16.9.d Election of officers.
16.9.e Motions of which notice has been given.
16.9.f General business.
16.10 Any member wishing to give notice of any motion for consideration at the Annual General Meeting
shall forward written notice of the same to the Secretary not less than six weeks before the date of
the meeting. The Committee may consider all such notices of motion and provide
recommendations to members in respect hereof.

17 Alteration of Rules
17.1 These rules may be amended or replaced by resolution of any General Meeting passed by a simple
majority of those present and voting, but not in any way which would alter the charitable nature of
the club nor the provisions of Rule 3.2 hereof or alter Rule 18.2 hereof.
17.2 Any proposed motion of amend these rules shall be signed by at least six members and given in
writing to the Secretary at least six weeks before the General Meeting at which the motion is to be
considered, and accompanied by a written explanation of the reasons for the proposal.
17.3 At least four weeks before the General Meeting at which any such proposal is to be considered the
Secretary shall give written notice of the proposed motion, of the reasons for the proposal, and of
any recommendations from the Committee in respect thereof in the same way as notice of
meetings is given under Rule 16.3.

18 Winding Up
18.1 The Club may be wound up under the provisions of the Charitable Trusts Act 1957 by resolution of
which prior notice has been given in the same way as notice of meetings is given under Rule 16.3.
18.2 The Club may be wound up in accordance with the act, if upon such winding up there remains after
satisfaction of all debts and liabilities of the Club, any property and/or assets such property and/or
assets shall be disposed of for such charitable purposes as directed by a resolution to wind up the
Club and failing any such direction, shall not be distributed amongst the members, but shall be
disposed of for such charitable purposes as the Committee shall decide.
