RESOLVED, that Article VII of the By-Laws of the Society is hereby deleted in

its entirety and the following Article VII is hereby substituted in its place and stead:

ARTICLE VII - AMENDMENTS TO BY-LAWS

1. General. The Bylaws shall be amended only upon the approval of a resolution
of Amendment by a 2/3 majority vote of the Board of Directors of the Society at
a duly called meeting.
2. Board of Director Approval. Any: a) member of the Board of Directors, or b)
written petition by at least twenty (20) members of the Society, may request a
proposed amendment to the By-Laws at a meeting of the Board of Directors, for
which written notice is given within at least two (2) weeks of the proposed
meeting, that the amendment will be presented.
3. Notice of Meeting. The notice of every meeting of the Board of Directors at
which an amendment to the By-Laws is to be considered shall include a
verbatim copy of the resolution or a general statement of the proposed changes.
