1. a) Many multinational organisations have ethical codes to guide their ethical behaviour. However, some
studies have shown that ethical codes are not effective in controlling unethical behaviour among the
employees. Explain what is meant by ethical codes. Provide THREE reasons for the failure in ethical
codes used in organisations.

1. A flurry of corporate malpractices had emerged in the Malaysian market. Firms such as Fountain View
Development Bhd., Iris Corp. Bhd., Kenmark Industrial Co. (M) Bhd., Linear Corp Bhd. and Axis Inc. Bhd.
were some of the companies where share price manipulation was believed to have taken place. These
incidences had renewed public concerns over corporate governance and shareholder protection issues.
Generalise the fiduciary role of top management in preventing the above mentioned malpractices.
Compile the various aspects of management that can help develop good corporate governance practices.
Beberapa kejadian salah laku korporat telah timbul dalam pasaran Malaysia. Firma-firma seperti Fountain
View Development Bhd., Iris Corp. Bhd., Kenmark Industrial Co. (M) Bhd., Linear Corp Bhd. dan Axis Inc. Bhd.
merupakan antara syarikat di mana harga saham mereka dipercayai telah di manipulasi. Insiden-insiden
tersebut telah menyemarakkan semula kebimbangan awam terhadap isu tadbir urus korporat dan
perlindungan pemegang saham.
Buat suatu tanggapan umum mengenai peranan fidusiari pengurus atasan dalam mencegah salah laku
seperti yang tersebut di atas. Susunkan aspek-aspek dalam pengurusan yang dapat membantu ke arah
membangunkan amalan-amalan tadbir urus korporat yang baik.
