TITLE I
On the name, purposes and characteristics
Section 1: Name and rules
1.- The aim of these Statutes is to regulate Collaborating Town Planning Entity for Conservation
(EUCC) ALHAURIN GOLF, its field of action being the plots included in Sector UR-7,
currently identified as SUC in the General Plan for Town Planning (PGOU) of the Andalusian
act on Town Planning (LOUA).
2.- Such EUCC shall be governed by the contents of these Statutes, and what is not included in
them shall be governed by Spanish act 7/2002 of December 17, on the Andalusian act on Town
Planning (LOUA), and the Spanish Royal Decree 3288/1978 of August 25, which approves the
Rules and Regulations on Town-Planning Management for the development and implementation
of the act on the land scheme and Town-Planning.
Section 2: Domicile
1.- The registered office of the EUCC is the real estate office of Las Terrazas de Alhaurin, S.A.,
located in Casa Club of Alhaurin Golf, urbanization, Casa Club, 29120 Alhaurin el Grande
(Malaga, Spain).
2.- This address can be changed by another one following an agreement reached at a General
Meeting by a simple majority, and informing the Control Town-Planning Body and the Registry
of Collaborating Town-Planning Entities.
Section 3: Purpose, aims and competences
The conservation of the urbanisation works and the maintenance of the utilities equipment and
facilities shall be the acting town-planning Authority, once they have be transferred by the
developer, Las Terrazas de Alhaurin, S.A., of which a reception certificate must be produced.
The purpose of the EUCC is to manage, preserve and maintain the completed works and the
ongoing ones of the urbanisation, and to that end:
a.- it shall conserve the completed town-planning infrastructure works and ongoing ones, the
public open and green areas and, in general, any utilities equipment that are not the acting townplanning Authoritys responsibility, according to sections 67 and 68 of the Rules and
Regulations on Town-Planning Management, also to monitor the proper use of the urbanisation
actual elements, without detriment of the property owners rights or altering the local police
rules.
b.- to monitor the maintenance of the completed and ongoing works of the urbanisation,
according to the town planning foresight.
c.- to allocate to all property owners any and all conservation expenses of publicly-owned assets
that are part of the urbanisation, in agreement with the rules set down in these Statutes and the
agreements reached by the Governing bodies, thus fixing the necessary fees to cover them and
claim, if necessary, their payment.
d.- to monitor the strict compliance of the town-planning rules, and also the aesthetic
monitoring of the constructions, prior to the granting of the corresponding local license.
e.- to report to the Administrative bodies any failure to comply with or breach of town-planning
rules, without detriment to the Administrative bodies competences.
f.- to regulate, defend and monitor within its competences- the compliance with the individual
interests as long as they affect the general interests and representation of all the property owners
in those matters that affect them as members of the EUCC; and in general, to defend the
common interest before any Organism or Authority of the State, Regions, Council or
Municipality, as well as Court of any instance or jurisdiction and against any other individual.
g.- to work together with the local authorities so as to ensure the compliance with the common
statute and legal aims, and to collaborate with the town hall by putting forward the adoption of
appropriate agreements for the better fulfilment of the functions to be carried out by the EUCC.
h.- to become an interested party with active and passive legitimacy for any town-planning
modification or plan that affects its territorial scope.
i.- to carry out any actions necessary to ensure compliance with the aim of the provisions of the
preceding sections.
Section 4: Nature and legal status
The EUCC, as a Collaborating Town Planning entity, has an administrative nature and therefore
depends on the Town Hall as an acting administration function body.
The EUCC shall have a full legal status from the very moment it is registered with the Registry
of the Provincial Town Planning Commission; from then on it shall have a binding nature for all
property owners that are part of this EUCC.
Section 5: Governing body
1. The EUCC shall act under the control of Alhaurin el Grande Town Hall.
2. As part of its monitoring function, the Town Hall shall
a) approve the Statutes and modifications agreed by the EUCC;
b) appoint a local representative in the EUCC;
c) approve the incorporation and forwarding of the Agreement and the Articles of
Association to the Registry of Collaborating Town Planning Entities, so that it is
registered;
d) prior request on the part of the EUCC Governing Body, notify an enforced collection
action against any EUCC debtor owner to collect the payment of any outstanding
amount, pursuant to section 670 of the Rules and Regulations on Town-Planning
Management, without detriment to any civil action that the EUCC may wish to take to
claim any debtor amount;
e) to resolve any appeal against the decision taken in the first instance by the EUCC;
f) to carry out any other action that correspond to it according to the local town planning
law.
Section 6: Territorial scope and preservation elements
1. The EUCC comprises all the plots of Sector UR-7. Puerto Gomez. Alhaurin el Grande.
2. The elements that are to be preserved include completed works, ongoing works and
transferred works of the urbanisation, as well as the services and facilities that have been
installed in public areas and in their subsoil. This includes the two execution phases
included in this sector - the plots described in Annex 2 (corresponding to Phase 1) and the
plots mentioned in the same Annex (corresponding to Phase 2), more specifically the
Phase-type column under the terms F1 or F2.
The elements of the Urbanisation that are to be preserved by the EUCC are the following
ones:
a) the road network, paths, hard shoulders, pavements, roundabouts, etc, as pointed out in
the attached urbanisation plan.
b) the utility and service networks and town-planning equipment facilities and any elements
that are part of them.
c) green areas, gardens and public planted fields that there may be in the urbanisation;
d) any elements that are included in the urbanisation service such as rubbish containers, post
boxes and devices, indicators, traffic signs, etc.
e) any other areas the Town Hall may assign for non-profitmaking purposes, such as sports
or children facilities, among others.
With regard to elements, services and actions included in sections b, c and d above, the local
authorities license must be previously granted and/or those of the corresponding supply
companies, companies rendering services and owners of such services.
The EUCC shall keep the following rights with regard to the Urbanisation, provided that it
is agreed at a General Meeting:
TITLE II
Incorporation
Section 10.- Existence of the EUCC and its members.
1.- As property owners have to preserve the completed and ongoing works of the Urbanization,
it is compulsory to constitute the EUCC according to the current town-planning law.
2.- According to Section 25 of the Rules and Regulations on Town-Planning Management, the
EUCC shall be compulsorily made up by all the property owners of the plots comprising its
territorial scope. Such members shall be subjected to communal rights and obligations, whether
or not they have subscribed the deed of incorporation.
3.- The acquisition of any type of property, parking space, premises or non-built plot title
automatically makes the purchaser holder of the rights and obligations of the EUCC, in addition
to those regarding the Private Community such property is part of.
The condition of EUCC member is inalienable, unless the condition of property holder or coholder ends. Therefore, the mere renunciation to be a member of the EUCC shall have no legal
effect nor shall it exempt the member from paying the ordinary or extraordinary fees resulting
from communal expenses or those that have to be paid in advance, or in general, from the
fulfilment of the obligations that correspond to all property owners according to the law, Rules
and Regulations and the present Statutes.
Section 11. Property elements
Private elements: these are those plots whose use is for private constructions, including interior
inside constructions and facilities.
Owners of private plots shall have the individual ownership over their plot, including the nonbuilt free area, as well as any constructions and town planning elements there are inside them.
Those communities of property owners under the current Spanish act on horizontal property
(Ley de Propiedad Horizontal) that own the use and enjoyment of certain urbanisation areas,
without owning the actual property, shall be responsible for their maintenance and the
compliance with the EUCC rules and regulations.
Elements which are communal ownership and use: These are those communal elements such as
roads, public free and green areas which are mentioned in the Plan attached to these Statutes.
Section 12.- Incorporation
1.- The EUCC incorporation shall be made by a deed which shall include:
a) a list of all the owners of plots and properties included in the sector, which means the plots of
land, constructions, buildings and if there is a horizontal property division, the premises,
parking spaces and in general, all the elements resulting from this legal status.
b) the persons appointed to hold the Committee posts.
c) incorporation agreement.
2.- An authorised copy of the deed shall be forwarded to the Town Hall, where if fitting, it shall
be approved, the consequence being that the approval and such authorised copy shall be made
public, together with the annex Statutes, and forwarded to the Provincial Town Planning
Commission so that it can be registered with the Registry of the Collaborating Town Planning
Entities. For that purpose, the body in charge of the management and custody of the Registry of
the Collaborating Town Planning Entities is the provincial office of the Andalusian Ministry that
cover the town-planning area, that is, the provincial office of the Andalusian Ministry of
Agriculture, Fisheries and Environment.
Section 13.- Special ownership
1. When the properties are owned by minors or disabled people, their legal representatives
shall be part of the EUCC.
2. If the property owners are legal entities or there are co-owners of a property or coholders of right, they shall appoint a person who represents them to exercise their
powers as associates. They shall be then be legally jointly responsible before the
EUCC of any obligations resulting from such status. If they fail to appoint a
representative within the deadline the EUCC sets, such representative shall be
appointed by the EUCC and approved by the local authorities.
3. If a plot is divided, according to a town planning license, there will be new members in
the EUCC, the old participation quota being then proportionally shared by them. If it is
a build plot with a property under the horizontal property scheme, each of the property
owners shall get the EUCC member status and shall be represented by the building
Community President before the EUCC.
4. If the ownership right of the property is shared by an owner and a user, the
representative will be the person duly appointed on the deed, if any. Otherwise it will be
owner.
Section 14.- Property transfer
The members of the EUCC can buy or sell plots or a part of them, under the following
conditions:
a) The vendor shall inform the EUCC in a reliable manner of the circumstances of the purchaser
and all transfer conditions so that the EUCC can take note of it.
b) The purchaser shall assume all obligations and rights of the vendor to the EUCC and shall
become a member of it. This shall be expressly mentioned in the purchase title deed from the
date of transaction.
TITLE III
Rights and obligations of members
Section 15.- Participation quotas
All the property owners that are members of the EUCC have the obligation to economically
contribute to its maintenance.
The members participation quotas, in terms of rights, obligations, benefits and charges, fees
payment, extra payments, and Meetings vote, shall be proportional to each plot built area and/or
buildable area according to a proportionality coefficient against the total.
The table and list of such quotas is attached to the present Statutes as Annex II, and as such, it is
applicable provided that it is no modified upon agreement reached at a General Meeting or there
is a plot division or any construction.
In order to calculate the participation quotas of the buildable plots without a construction, 10%
of the total built plots has been considered, so that as buildings are being built in the plots all the
coefficients can be correlatively restructured.
A construction shall be considered as completed as from the date when the corresponding First
Occupation Local License is granted. A copy of such license shall be provided by property
owners to the EUCC address within the 3 following days to the license issuing by Alhaurin el
Grande Town Hall.
In order to establish the participation quotas of each property, so that the corresponding fees can
be calculated, the following criteria are taken into account depending on the town planning use
of each plot:
- Plot or area for equipment, social, school, sport use, green areas and roads: 0 points per
buildable square meter.
- Plots for residential use, apartments, villas or premises that are already built: 1 point per
buildable square meter.
- Plots for residential use, apartments, villas or premises that are ongoing constructions:
0.5 point per buildable square meter.
- Plots for residential use without any construction, or those with a construction but
without using the total buildable area: 0.1 point per buildable square meter.
- Plots of any use, without the typical town planning infrastructure services and
installations until they are completed and running: 0 points per buildable square meter.
The participation quotas of the EUCC members applicable according to their corresponding
rights and obligations, benefits and charges, fees payment, extra payments, and Meetings vote,
as of the date of these Statutes approval are those included in Annex 2 of these Statutes.
However, and exceptionally, in the first General Meeting to be held after the incorporation of
the EUCC, the allocation of fees and quotas shall be voted so that the proportional system
according to the criterion of buildability described on the previous paragraphs and Annex 2
applies, or else, it can be chosen to set the same fee for each Entity member. This decision must
have the affirmative vote of a simple majority of the Meeting members in attendance and those
represented, which in turn shall represent the majority of the Entity members, using the initially
approved quotas.
Any alteration made after the participation quotas and coefficient allocation shall request the
agreement of the majority set out in Section 8.2 of these Statutes.
Section 16.- Rights
Without detriment to the applicable general rights resulting from these Statutes and the common
or specific legislation, the members have the following rights:
1.- to attend General Meetings themselves or by a proxy, vote proportionally to their quota,
make proposals or suggestions.
2.- to use the public facilities and services, as well as those town planning services subject to
compliance with the requirements and formalities that are set and subject to pay any utility
tariffs that there may be.
3.- to get from the Committee the information they need of its actions and ongoing projects or
that are going to be carried out.
4.- to elect and be elected.
5.- to appeal against the agreements of the governing bodies, according to Section 37 of these
Statutes.
6.- to carry out any activity within their properties provided that they do not damage the EUCC
elements, and they are not harmful, dangerous, uncomfortable or unhealthy, or go against the
moral, aesthetics, good habits and public order, and are in agreement with the current town
planning acts, plans and schemes, as well as agreements of this Board and are properly reached
within their competences.
7.- to alienate, encumbrance or carry out any type of disposal of the plots they own, and
informing the EUCC.
Section 17.- Obligations.
All members have the following obligations:
1.- To comply and collaborate with the compliance of resolutions reached by the General
Assembly or by the Board, without prejudice to the use of relevant jurisdictional actions and
appeals and the observance of the authority of the Governing bodies and its representatives.
2.- To pay the amounts set by the General Assembly within the deadlines required in order to
cover the expenditure, ordinary and extraordinary fees issued to meet conservation and
maintenance costs caused by elements and services linked to the EUCC, in proportion to the
coefficient. Renouncing to use and enjoy and failure to use said elements and services in the
EUCC shall not be a reason for exclusion from payment of repair, conservation and
maintenance costs.
3.- To notify the EUCC in case of change of ownership and purchasers data.
4.- To provide the Secretary with an address and any changes thereof, for notification purposes.
Failure to provide such address, notifications sent to the property owned within the EUCC shall
be considered valid.
5.- To meet any zoning sector requirements, any norms set by the present Statutes, any in-house
regulations, any resolutions reached by the Assembly of Owners or by the Board.
6.- To keep the property in good conditions of conservation and in due safe and healthy
conditions, accessibility and looks, to prevent from damaging the EUCCs elements and
services, or the other properties. Payment for repairs due to any type of damages or harm caused
shall be the exclusive responsibility of the causing owner.
7.- To allow within their property any repairs or works required for the maintenance and
conservation of the public services and elements of the Urbanization, as well as access to
companies providing said services.
TITLE IV.
Governing and Administration bodies.
Section 18.- List.
1.- The Governing and Administration bodies of the EUCC are:

second call, in which the latter must be called for at least 30 minutes after the time set for the
first call. The only valid representatives of owners considered for summons purposes will be the
President or Administrator of the corresponding community of property owners as the case may
be.
3.- Extraordinary Meetings will be called according to the same requirements as the Annual
Meetings with at least 31 days notice prior to the meeting date.
4.- Those matters not included in the summons will not be dealt with in a meeting, unless the
justified urgency of the matters says otherwise, to be decided according to majority
requirements.
5.- The summons to an Annual General Meeting will state that the accounts of the previous year
and the proposed budget for the following year can be found at the disposal of the EUCC
members in the EUCCs registered address.
Section 22.- Holding meetings.
1.- The General Assembly will be duly called to order on the first call when they are attended,
either personally or by proxy, half plus one member out of the total number of EUCC
coefficients. The General Meeting shall be validly called to order on the second call when any
number of members is attending, either personally or by proxy, thirty minutes after the first call.
2.- Members may give their proxy to other persons, in writing, for them to represent the owners
in the Assembly. Legal entities must appoint only one person to represent them. In the case of
horizontal property buildings, the President of each of them will represent their Community in
the Assembly, counting their coefficient according to their power to represent the owners, which
must be valid on the meeting date.
Section 23.- Agreements.
1.- The President, or whoever replaces him or her according to the regulations, shall chair the
General Assembly and shall lead the discussion and take a vote the items included on the
agenda. The Board Secretary will act as Secretary, or whoever replaces him or her.
2.- In general, resolutions will be adopted by majority of coefficient, present and represented by
proxy.
3.- Any amendment on the Statutes and on the internal regulations will require the vote of the
qualified majority as set down in Section 8.2, unless the cases for which another rule may
expressly apply. Such amendments require the authorization and prior approval by Alhaurn el
Grande Town Hall. Administrative silence shall be considered a rejection.
4.- The act of winding-up and liquidating the EUCC will occur and will be performed according
to the provisions set for under Sections 38 and 39 of the present Statutes.
5.- Any resolutions made by the Assembly, provided that they have been reached pursuant to the
provisions set for in the Statutes, and that they are not subject to a subsequent municipal
approval, they shall come into immediate effect and shall be binding for all owners, including
those absent or dissenting provided that they were duly summoned.
6.- Minutes will be drawn up from every meeting of the General Assembly. Said minutes may
be approved within the same meeting, stating in the minutes all adopted resolutions and the
outcome of all voting, or else the Assembly may establish that the wording and approval of the
minutes will be completed by the President and two controllers designated during the meeting,
within the agreed deadline.
7.- The minutes will be kept in the corresponding Minutes Book, duly recorded, and will be
signed by the President and the Secretary. A copy of the minutes will be sent to the Town Hall
within five calendar days from the meeting date, for its due acknowledgement and coming into
effect.
8.- Upon request from any member of the EUCC, or administrative body, the Secretary will
issue certificates about the contents of the Minutes Book, with the approval of the President, or
about any other document held in the Documental Archives of the EUCC.
CHAPTER 2
THE BOARD.
Section 24.- Members.
1.- The Board is the executive body of the EUCC and consists of the following positions:
a).- President
b).- Vice President
c).- Secretary, without a right to vote
e).- Six Board members, including one appointed by the Town Hall.
2.- Except for the case of the Board Member appointed by the Town Hall and the Secretary, who
may be from outside the EUCC, members of the Board need to be full members of the EUCC
in order to be eligible.
3.- The election of Board members will take place during the Assembly and the positions will be
honorary and without any salary.
4.- All owners will be eligible for Board positions, or their representatives, provided they are
up-to-date with payment of their fees.
Section 25.- Elections. Duration in office.
1.- It is mandatory to summon the Election Assembly every year during the month of December,
with at least 31 days notice from the meeting date, and once the meeting has been summoned,
candidacies may put their names forward up to fifteen days before the meeting date.
2.- Candidacies must be sent to the registered address of the EUCC by a letter addressed to the
Board and signed by all members of the candidacy indicating their names, family names and
positions to be held by each of them.
3.- Candidacies will be made public by showing them at the registered address at least three
days prior to the meeting date.
4.- Candidates will be voted on from closed lists drawn up and will take office during the
Annual General Meeting to be held during the first quarter of the following financial year.
5.- Appointments of members designated by the Assembly will have a duration of one year,
although they may be re-elected indefinitely.
6.- In the event of death, resignation or agreement on cessation of any member, the Assembly,
holding an extraordinary meeting, will designate a substitute until the next election of offices.
This will be the case unless the President needs to be replaced, in which case the position will
automatically be taken on by the Vice President, until the next Assembly with election of
officers is held.
Section 26.- Powers.
The Board holds the following powers, as management and representative body of the EUCC:
A.- To carry out the resolutions adopted by the General Assembly.
B.- To propose a budget to the General Assembly with income and expenses, as well any
extraordinary expenses and to apply them accordingly.
C.- To summon the owners for Assembly meetings.
D.- To interpret the present Statutes and to monitor their full compliance.
E.- To prepare balance sheets and quotes.
F.- To adopt the necessary measures in order to regulate the appropriate use of urban services
and public facilities, and to oversee its compliance.
G.- To commission carrying out conservation works in open spaces, roads, public green areas,
urban services and public facilities linked to the EUCC.
H.- To raise fees from the owners, taking any legal actions required through civil or
administrative means, for the collection of outstanding debts from the owners.
I.- To appoint and separate staff who will provide their services to the EUCC, as well as experts
and consultants where appropriate, setting their functions and competences.
L.- To adopt decisions which would correspond to the Assembly of Owners when the urgency of
the matter requires it, and calling for an extraordinary meeting as soon as possible in order to
inform about the resolution adopted.
M.- Any other matters which are not expressly attributed to the Assembly, or any matters
delegated by the Assembly or resulting from the present Statutes.
Section 27.- Sessions and Minutes.
1.- The Board will meet at the initiative of the President or at the request of a third of its
members.
2.- The Board will adopt resolutions by simple majority, provided that at least five of its
members with full voting right are present, acknowledging a casting vote to the President in the
event of a hung vote, and these will be carried out immediately, without prejudices of the right
to appeal.
3.- The Board will hold their sessions at least once a month, on the first Friday of each month.
4.- The Board will be validly held when at least half of its members with voting rights are
attending the meeting, with the option of being represented by proxy by any of the remaining
members. Proxy votes must be in writing and for each individual meeting.
5.- Minutes will be drawn up for each session held by the Board, recording the resolutions
reached and the outcome of any voting. Minutes will be approved on each meeting.
6.- Minutes must be held in the corresponding Minutes Book, duly recorded, and will be signed
by the President and the Secretary. A copy of the minutes will be sent to the Town Hall within
five days, for its due acknowledgement and coming into effect.
7.- Upon request from members or urban institutions, the Secretary will issue certificates about
the contents of the Minutes Book, with the approval of the President.
CHAPTER 3
THE PRESIDENT.
Section 28.- Appointment and functions.
1.- The election of Board members will take place by the Assembly. Offices will have a duration
of one year and the positions will be honorary and without pay.
2.- The President will be designated by General Assembly and the appointment will have a
duration of one year, although they may be re-elected indefinitely.
3.- Functions.
a).- To summon, chair, adjourn, close session by the General Assembly and the Board, lead
discussions and carry out and enforce resolutions.
b).- To hold the judicial and extrajudicial representation of the EUCC and their governing
bodies, with the ability to grant powers to third parties for the use of such representation.
c).- To authorize minutes by the General Assembly and the Board, certifications issued and any
other documents as required.
d).- To carry out any bank activities as required by the Board, complying with the functioning of
the EUCC.
e).- To perform those functions which are intrinsic to the position or delegated by the General
Assembly or by the Board.

THE VICE PRESIDENT AND THE SECRETARY-ADMINISTRATOR. BOARD
MEMBERS
Section 29.- Appointment of Vice President.
The Vice President will be appointed in the same way and for the same duration as the
President.
Section 30.- Functions.
A.- The Vice President will carry out all the functions corresponding to the President in those
events on which the latter may be absent, ill, or in the event of resignation.
B.- To replace the President in those cases in which the latter delegates functions.
Section 31.- Appointment of Secretary-Administrator.
The Secretary Administrator will be appointed and, where appropriate, removed by the General
Assembly, during the meeting with election of officers and in the event of vacancy, resignation,
absence or illness, this function will be taken on by a Board member designated by the
President.
Section 32.- Functions.
TITLE V
Financial regime.
Section 33.- EUCCs income.
1.- The following will be income for the EUCC:
A.- The fees, ordinary or extraordinary, from the members.
B.- Any other resources, unforeseen on the previous heading.
2.- Each members share on the EUCC expenses will be the result of multiplying their
coefficient, as shown on the Appendix II, by the total financial budget of the EUCC.
Section 34.- Expenditure.
The following will be expenses for the EUCC:
a.- Maintenance and conservation of the public domain areas.
c).- Gardening, guard, administration, cleaning, consumption, etc.
d).- And in general all those required for the proper compliance of its aims.
Section 35.- Financial management and fees levy
1.- The financial management of the EUCC will be subject to the budget.
2.- The Board will take to the General Assembly during the first quarter of each year their
proposal for Ordinary Budget for the current financial year, with their appropriate forecast on
amounts and deadlines for contributions and expenses, as well as the balance sheets and
accounts related to the previous financial year.
3.- In the event that it is necessary to make any urgent expenses which are unbudgeted, the
Board will take to the General Assembly the relevant proposal, for its approval, but will have
the ability to implement the proposed change if the circumstances demand it.
4.- The General Assembly, when stating the amounts to be paid by the EUCC members, will
determine the method and conditions for payment, and no owner may refuse to pay claiming
that they renounce using the works, services or facilities.
5.- Failing any specific agreement, the amounts to be paid by the EUCC members will be
collected by calendar quarters in advance, following the forecast on the Annual Budget, and
payment should be made within the first fortnight of each quarter.
6.- Delay in payment, in regards to a specific member, will suspend the right to attend a General
Assembly, and thus it will suspend the right to vote in said meeting, as well as carrying out
offices and it will yield, without a need for a previous request, an yearly interest rate of 8 per
cent in favour of the EUCC, counting from the last day of the relevant payment deadline.
7.- Once the relevant deadline for payment the corresponding amounts has passed, the EUCC
will require to pay the outstanding amount within 10 days of notification provided that this has
been properly given. In case of non-payment, the EUCC may claim the amount in a civil court
or on administrative procedure with the Town Hall. The outstanding debtor report issued by the
Board Secretary will be the document which will initiate these actions.
8.- In any case, the outstanding debtor will cover all judicial and extrajudicial costs related to
their debt.
9.- In the event that a new owner subrogates to the rights and obligations of the debtor owner,
any new owner will be automatically subject to the rights and obligations of the debtor owner
and will be obliged to pay any pending fees inherited from the seller.
10.- For the execution of any works agreement, the following requirements must be met:
A.- Existence of a budget line item to said effect.
B.- Drawing up the corresponding Technical Project.
C.- Approval by the Board and granting of the corresponding licences.
If the execution period for the works exceeds the validity period for the referred budget (unless
this is the development of a Building Project previously approved by the General Assembly), or
if it amounts for more than 25% of the total budget, the General Assembly needs to approve this
before proceeding to contracting the works.
Section 36.- Subsidiary performance.
In the event that the EUCC does not carry out in due and legal course the conservation of public
domain areas, the Town Hall may claim from the EUCC payment of the necessary amounts, by
the civil or administrative proceedings as they find fit, and even claim the subsidiary
performance of the works, in which case there would be penalties as established under section
217.1 of the LOUA with fines between 600 to 60.000 due to breach of the obligations
assumed for the conservation and upkeeping of urbanization works and the corresponding
public services and facilities.
TITLE VI.
Administrative appeals.
Section 37.- Challenging of resolutions reached by the EUCCs bodies
1.- Resolutions adopted by the General Assembly and the Board will be notified to the owners
within the following thirty days from its adoption and a copy of the minutes will be kept at the
EUCC registered address during that same period.
2.- These resolutions are executive and may not be suspended due to challenge, unless
so agreed by the institution in charge of ruling over said challenge, which may be possible
through any of the following appeals:
1).- Resolutions by the Board may be challenged within a month from the notification date
before the Alhaurn el Grande Town Hall, through an appeal of a higher level, which must
provide ruling within three months. Once this period has elapsed, the challenge will be
considered rejected due to negative administrative silence.
2).- Regarding resolutions by the General Assembly, documented on the corresponding minutes,
an appeal may be filed to a higher level before the Town Hall within a month counting from the
notification, which exhausts the administrative channel.
3).- Those who have voted in favour of the resolution do not qualify to challenge it, themselves
or through a representative and neither do outstanding debtors.
TITLE VII.
Winding-up and liquidation.
Section 38.- Winding-up.
The following may be reasons for winding up the EUCC:
- Because of a final judicial ruling, when so established by a legal provision, due to the expiry
of the validity period of the EUCC, shown on section 7 of the present Statutes, counting from
the registration date before the corresponding public registry, or when due to any reason, the
Town Hall replaces the EUCC from the performance of their functions.
Section 39.- Liquidation.
The liquidation of the EUCC will take place in the following manner:
1.- Once the EUCC has been wound, the Board may proceed to its liquidation, by complying
with the instructions stated specifically in this regard by the General Assembly.
2.- In the event of causing a financial deficit in the EUCC for the purposes of the above
mentioned liquidation, the amount representing it will be met by the members of the EUCC,
based on the share coefficient corresponding to each of them. With this aim, EUCC members
will make the payment of the relevant amount based on their coefficient, within ten days after
the notification from the EUCC assuring proper evidence of service, informing and
communicating the relevant amount.
- FINAL PROVISION.
One. The present Statues will come into effect on the date of its registration in the
corresponding public registry.
