NORTH PENN MODEL A FORD CLUB

BY-LAWS

ARTICLE I - NAME
The name of this organization shall be the NORTH PENN MODEL A FORD CLUB. The
NORTH PENN MODEL A FORD CLUB is a non-profit corporation.

ARTICLE I l - PURPOSES
The purposes of this club shall be:
SECTION 1. To serve as a medium of exchange of ideas, information and parts for
admirers of the Model A Ford car and to aid them in their efforts to restore and
preserve the car in its original likeness.
SECTION 2. To unite in a central organization all owners of Model A Fords who are
interested in restoring and maintaining the automobile in a manner to attract
prestige and respect within the community and it shall be the purpose of the Club
to help those owners become better acquainted, encourage and maintain among its
members the spirit of good fellowship, sociality and fair play through sponsored
activities, including the use of the Model A Ford and family participation. All
members shall have the right to vote.
SECTION 3. The club shall be non-commercial, non-sectarian and non-partisan.

ARTICLE I l l - MEMBERS
SECTION 1. Requirements for membership shall not insist upon the actual
possession of a Model A Ford. Merely an interest in the objects of the Club and a
desire to take an active part in Club activities shall be the primary requirement for
membership.
SECTION 2. The Club shall have Spouse/Family membership. Each family shall be
entitled to receive the Club's publication, a copy of the roster of members, a copy of
the BY-LAWS and notices of all club activities. All adults shall have the right to vote.
SECTION 3. Each member of the North Penn Model A Ford Club must be a member
in good standing with the national club, The Model A Restorers Club (MARC), which
requires annual membership. Each member must be able to produce a valid MARC
membership number upon request. Failure to maintain membership in MARC will
result in loss of membership in the North Penn Model A Ford Club.

ARTICLE IV - DUES
SECTION 1. The executive board shall determine the amount of annual dues
payable by members.
SECTION 2. Dues shall be payable January 1. Non-payment of dues will result in loss
of membership.

ARTICLE V - MEETINGS
SECTION 1. Meetings of the members shall be held monthly for the purpose of
transacting business.
SECTION 2. Special meetings of the members may be called by the President,
another officer or not less than one-tenth of the membership.
SECTION 3.
Notice of Special Meetings A written or printed and/or emailed
notice stating place, day, and hour of any special meeting shall be delivered to
each member not less than five, nor more than thirty days before the date of such
meeting, and the purpose for which the special meeting is called be stated in the
notice.
SECTION 4. Quorum The members holding one-tenth of the votes which may be
cast at any meeting shall constitute a quorum at such meeting. If a quorum is not
present at any meeting of the members, a majority of the members present may
adjourn the meeting from time to time without further notice.

ARTICLE VI - OFFICERS
SECTION 1. Officers of the club shall be President, Vice-President, Secretary and
Treasurer, effective upon installation each year and shall serve for a term of one
year.
SECTION 2. President The President shall be the principal executive officer of the
Club and shall in general supervise and control all the business and affairs of the
Club. The President shall preside at meetings and shall perform all duties incidental
to that office of President. The President shall cause an annual audit to be made of
the Club's books and shall appoint a committee each February. The committee
appointed shall report their findings at the March meeting.
SECTION 3. Vice-President In the absence of the President, the Vice-President
shall perform the duties of the President. The Vice-President will also be responsible
for registration of new members, maintaining the Club roster and telephone chain.
SECTION 4. Secretary The Secretary shall keep minutes of all meetings of the
members, see that all notices are given in accordance with the provisions of these
BY-LAWS, keep a register of the post office and email address of each member, as
well as phone numbers and MARC membership numbers, and in general perform all
duties incident to the office of Secretary.
SECTION 5. Treasurer The Treasurer shall have charge and custody and be
responsible for all funds of the Club.

ARTICLE VII - PLANNING BOARD


SECTION 1. The Planning Board shall consist of the Officers of the Club and the
immediate past President. The Planning Board shall also include the Committee
Chairmen and all interested members present at the Planning meeting. The
President shall appoint all Committee Chairmen and members of Committees.

SECTION 2. Committees shall be appointed as soon as possible after the installation


of Officers, to insure smooth operation of the Club. Committees shall include
Activities, Membership, Elections, Newsletter, and Technical.
SECTION 3. Meeting of the Planning Board, also known as the planning meeting,
shall be held as deemed required. The time and location shall be determined by
the person volunteering to host the meeting.

ARTICLE VIII - ELECTION OF OFFICERS


SECTION 1. Nominations of officers shall be held in the month of November.
Elections shall be in December. The new officers shall be installed at the January
meeting. Positions are effective upon installation. Term of office is one year.

ARTICLE IX - FISCAL YEAR


SECTION 1. The fiscal year of the Club shall begin the first day of January and end
the last day of December of each year.

ARTICLE X - INSURANCE
SECTION 1. All cars entering any Club-sponsored meets, tours or events must carry
liability insurance and must produce evidence of such insurance on request.

ARTICLE XI - AMENDMENTS TO BY-LAWS


SECTION 1. These BY-LAWS may be altered, amended or repealed. New BY-LAWS
may be adopted by a two-thirds majority of the members at any meeting of the
members, provided at least thirty days written/emailed notice is given to all
members of intention to alter, amend or repeal or to adopt new BY-LAWS at such
meeting.

ARTICLE XII - RULES OF ORDER


SECTION 1. "Roberts Rules of Order" shall apply in all instances not covered by
these BY-LAWS.
