Preamble

We,themembersofKababayanattheUniversityofCalifornia,Irvine,byauthorityofthe
chancellorandsubscribingtotheregulationsandpoliciesoftheuniversity,doestablishthis
constitutiontogovernsuchmattersasaredelegatedbytheuniversitytothisorganization.

ArticleI.Organizationnameandpurpose

KababayanistheofficialnameofthestudentorganizationattheUniversityofCalifornia,
Irvine.NovariationsofthenameexceptKabaortheadditionofthesuffixatUCIoratthe
UniversityofCalifornia,Irvineispermitted,andanysuchvariationwillnullandvoidany
referencetothisorganization.Kababayansofficialpurposeistopromotetheawarenessand
enrichmentoftheFilipinoandFilipinoAmericanculture,tradition,andheritage.Asastudent
organization,Kababayanemphasizesthesocial,cultural,academic,political,andcommunity
aspectsoftheFilipinoAmericanexperience.

ArticleII.Membershipeligibilityandselection

MembersofKababayanshallbechosenandacceptedwithoutdiscriminationonthebasis
ofgender,sexualorientation,race,religion,ornationalorigin.

ArticleIII.Officers

SectionA.Responsibilityofallboardpositions
1. Attendallboardmeetings,generalmeetings,retreats,andclubeventsunlessgivenprior
noticetotheexecutiveboard.
2. Sitinonatleastonecommitteetheyarenotinchargeof(perquarter).
3. RepresentKababayaninaprofessionalandcourteousmanner,andwhichreflectsthe
clubsbestinterest.
4. Setupcommitteestoallowgeneralmembershipanopportunitytoparticipateinthe
workingsanddevelopmentoftheclub.
5. Maintainasystemofevaluationssothattheevents,duties,etc.ofeachpositionare
availableforboththeboardandgeneralmembershipsreview.

SectionB.TheExecutiveandAppointedBoard
1. Theexecutiveboardshallconsistofthe:President,InternalVicePresident,ExternalVice
President,TreasurerandSecretary.
a. Thehierarchyoftheirauthorityshallbedeterminedbytheorderinwhichtheyare
listedabove,thefirstpositionbeingthehighestinauthority.
2. Theexecutiveboardshall,bynatureofbeingelectedbyandfromthegeneralclub
membership,betheprimarydecisionmakersforallclubrelatedmatters.Theymustalso
facilitateanopenenvironmentinwhichboththerestoftheboardandthegeneralclub
membershipmayexpresstheirviewsandopinionsonanygivenmatter,andbeassured
thatthoseviewshavebeentakenintoconsiderationwhenmakingclubrelateddecisions
3. Theappointedboardshallconsistofthe:CulturalCoordinator,EventsCoordinator,PCN
Coordinator,PeerAcademicMentorCoordinator,CommunityAdvocacyCoordinator,
PublicityCommissioner,Historian,SportsCoordinator,andUndergraduateAlumni
LiaisonCoordinator.
a. Thereshallbenohierarchyofauthoritywithintheappointedboardallappointed
positionshaveequalauthority.
4. Thenumberofindividualsallocatedtoeachpositionisatthediscretionofthenewly
electedexecutiveboardhowever,atleastoneindividualmustoccupyanygivenposition.
5. Appointedboardmemberswillreporttotheirdesignatedexecutiveboardmember.The
presidentwillhavefulldiscretionastowhotheappointedboardmembersofthe
executiveboardmembersshallbe.

SectionC.Responsibilitiesofspecificboardpositions
1. President
a. Ultimatelyresponsiblefortheoverallorganizationandoperationoftheclub.
b. Aidsinthedevelopmentandmaintenanceofgoalsfortheupcomingterm,aswell
asupholdingthegoalsasstatedintheclubmissionstatement.
c. Actsasaliaisonwithinthecommunity,andisresponsiblefortheestablishment
andcultivationofdiplomaticrelationswiththeleadersofothercampusesand
offcampusindividuals,groups,andorganizations.
d. Asthefirstandforemostrepresentativeoftheclub,shallbeheldultimately
responsiblefortheactionstakenbytheclubanditsmembers.
e. Responsibleforoverseeingtheexecutionandcompletionofallactivities,
projects,andevents,aswellasthecompletionofevaluations.
f. Maintainsanawarenessofsocial,economic,andpoliticalissuesof/orrelatedto
theFilipinoAmericancommunityand/orexperience.
g. Holdssignatorypower,alongwiththeTreasurerforanyandallmonetary
transactionsrelatedtotheclub.

a. Dealsprimarilywiththeinternaloperationoftheclub,includingbutnotlimited
to:logisticalduties,intermemberrelations,facilitatinganopencommunication
betweentheboardandthegeneralmembership.
b. Overseestheirdesignatedofficersandmakessuretheyarecompletingthetasks
androlesassignedtothem.
ExternalVicePresident
a. Dealsprimarilywiththeorganizationandindividualsoutsideoftheclub,
includingbutnotlimitedto:UCIclubsandorganizations,UCIfaculty,staff,and
administrators,organizationsandindividualsfromothercampuses,organizations
andindividualsfromthesurroundingcommunity.
b. MakessurethatKababayanisrepresentedatthefunctions,events,andmeetings
ofotherorganizations.
Treasurer
a. Responsibleforthefinancialandfiscaloperationoftheclub,includingbutnot
limitedtointernalclubtransactions,transactionsbetweencampusorganizations
andadministration,andlegitimateoffcampusorganizationsand/orindividuals.
b. Responsibleforoverseeing,developing,andmaintainingbudgetsforanyandall
oftheclubseventsandothersituationswhichdealwiththetransactionoffunds
betweentheclubaforementionedindividualsandorganizations.
c. Developsandmakesavailabletothegeneralmembershipanditsofficersan
annualfinancialreportwhichreflectsthecurrentfinancialsituationoftheclub.
d. Responsiblefordevelopingandcoordinatingfundraisersand/orotherformsof
acquiringfundsforusebytheclubforapprovedclubfunctionsandactivities.
Secretary
a. Responsiblefordocumentingtheactivities,discussions,andminutesoftheclubs
activities,events,andmeetings.Thisincludes,butisnotlimitedto:generalclub
meetings,boardmeetings,specialeventsandprojectmeetings,meetingswith
faculty,staff,and/oradministrationofUCI,andotherrelatedissues.
b. WorkscloselywiththeTreasurertomaintainadetailedandaccuratefinancial
support,andhelpsinthepresentationofthismaterialtothegeneralclub
membership.
c. Workscloselywiththehistorian(s)toarchiveanyandallKabarelatedmaterials
fortheclubarchives.
CommunityAdvocacyCoordinator
a. Thefocusofthispositionshallbetoeducateandinformthegeneralmembership
ofsignificantsocial,political,andeconomicissuesfacingtheFilipino,Filipino
American,andstudentcommunities.
b. Shallorganizeand/orinvolvethegeneralmembershipintheparticipationof
communityserviceevents.

c. Shallworkcloselywithothercampusandoffcampusorganizationstoparticipate
in/planacommunityfocusedevent.
d. ShallworkcloselywiththeExternalVicePresidentinthefulfillmentofthe
duties.
7. CulturalCoordinator
a. Maintainsabalancebetweentheculturalandthecommunityaspectasitrelatesto
theFilipinoandFilipinoAmericanexperience.Therefore,educationandthe
upholdingofapositiveFilipinoidentityshallbeoftheutmostimportance.
i. Tobetterfacilitatetheaforementionedduties,thispositionmusteducate
his/herselfaboutthetraditions,customs,dailylife,andhistoryofFilipinos
intheUnitedStates,inthePhilippines,andabroad.
ii. MustbeknowledgeableabouttraditionalFilipinodancesandtheirorigins.
b. Mustfacilitatethepresentationofsomeformofculturalawarenessduringeach
generalmeeting,withtheintentofeducation,understanding,and/orentertainment
asitrelatestotheFilipinocultureandheritage.
c. ResponsibleforthecoordinationoftheKababayanCulturalDanceTroupe,a
groupwithintheclub,whichperformstraditionalFilipino,dancesfor
organizationsand/orindividualsbothonandoffUCIscampus.
i. TheCulturalCoordinatorneednothaveanydanceexperience,however,
s/hemustbeabletocoordinatetheformationofthedancetroupe,handle
thebookingofperformances,organizepractices,andselectappropriate
choreographers.
ii. Thedancetroupemayperformforpayhowever,aportionofallmoneys
earnedshallbedirectedbacktotheclub.
1. Theexactpercentagetobereturnedtotheclubshallbedetermined
bythecurrentTreasurerandcurrentCulturalCoordinator.
8.
EventsCoordinator
a. Thefocusofthispositionshallbetheplanningandcoordinationoftheclubs
afterevents,aswellasanyothereventnotalreadyheadedbyanotherofficer.
b. Responsibleforadequatelyinformingthegeneralmembershipofalloftheclubs
events.
c. Responsibleforassuringthatatleastoneofeachofthefollowingtypesofevents
isheldperquarter:academic,culturalandsportsrelated.
d. MustmaintainanopencommunicationwithboththeTreasurerandthepublicity
commissioner(s)sothatfinancing,budgeting,andpromotionofeventsarecorrect
anduptodate.
e. Mustmakesurethatallboardmembersareheldaccountablefortheirattendance
ateachevent.
9. Historian

a. Thefocusofthispositionistodocumenttheeventsandactivitieswhichtake
placewithintheclub.
i. Mediumsfordocumentationincludephotographs,videorecordings,audio
recordings,writtendocumentation,andanyothermediumdeemed
appropriate.
b. Responsiblefortheappropriationofphotographsforuseintheannualclub
newsletterandanyotherpublication.
c. Mustcollectallclubrelatedmaterialsforstorageintheclubsarchivesinthe
campusmainlibrarysarchivesection,aswellasfortheclubsfilesinthecross
culturalcenter.
10. PeerAcademicMentorCoordinator
a. Thefocusofthispositionshallbetoorganizeagroupofqualifiedindividualsto
actaspeeracademicmentorsfortheclubsgeneralmembership.
i. Thepeeracademicmentorsshallbetrainedinsocialandacademicareas
soastoaidinincomingstudentsinacademicareas,includingbutnot
limitedto:studyingfortests,choosingclasses,ascertainingthequalityof
certaininstructors,etc.
b. Shallworkwiththeeventscoordinatortoorganizequarterlyeventsthatfocuson
theacademicaspectoftheclub.
c. Shallupdateandimprovethetestfilesystem(whichisacollectionofpasttests
donatedbyotherstudentstoaidinthepreparationoffinals,etc.).
d. Shallinformgeneralmembershipofanyscholarships,academicannouncements,
etc.whichpertaintothem.
e. Shallmaintainacommunicationbetweentheclubandthevariousacademic
counselingofficesandunitsaroundcampus,tobetterfacilitateatrueacademic
monitoringoftheclubsmembers.
f. Shallorganizeand/ordirectworkshopsaimedatclubmembersforthebetterment
oftheiracademicsituationatschool.
11. PilipinoCulturalNightCoordinator
a. Thefocusofthispositionshallbetheplanningandcoordinationoftheannual
PilipinoCulturalNight(PCN).
i. Thisprocessshallincludebutisnotlimitedtothefollowing:
1. Theprocessofselectinganappropriateskit.
2. TheprocessofselectingindividualsforPCNBoard.
3. WorkcloselywiththestaffofthedesignatedvenueofPCNto
assurethatalltechnicalandfinancialaspectsofPCNareoutlined
clearly.
4. Hireandworkcloselywiththeselectedsoundcrew,liveand/or
recordedmusic,andoutsidedancechoreographers.

b. MustmaintainthemoraleandspiritofPCNanditscastthroughouttheproduction
oftheshow.
c. Thispositionshallholdthehighestauthority,outsideofthePresident,ofthe
internalandexternaloperationoftheproductionofPCN.
i. WhilethispositionentailsthecompletecoordinationofPCN,thePCN
coordinatormustinformthePresidentofanyandalloftheactivities,
decisions,andrelatedmaterials,whichinvolvetheproductionofPCN.
Thisdoesnotrequire,however,thatthePresidentmustapprovethese
decisions:s/hemayonlyactasanadvisor,unlesstheofficialpurposeof
theclubisthreatenedtobecompromised.
ii. Aspartoftheworkinvolvedintheproduction,PCNBoardandKaba
Boardshallhavetheprivilegetopurchaseticketsbeforeanyoneelse.
iii. Danceandlogisticalcoordinators,asselectedbythePCNcoordinator,
shallnotbecurrentKababayanBoardmembers.
iv. Mustmaintaintheirdutiesasboardmembersoutsideoftheproductionof
PCN.
v. MustorganizeaforumafterPCNtoallowthegeneralmembershipan
opportunitytovoicetheiropinions,concerns,suggestions,etc.PCNBoard
mustattendtheforumaswell.
vi. Shallrequirethatallfirsttimeparticipantsandfreshmenparticipantsin
PCNmeetwithapeeracademicmentortomaintaintheacademicaspect
oftheclub.
12. PublicityCommissioner
a. Thispositionshallberesponsibleforthepublicityofanyandalloftheclubs
activities,bothonandoffcampus.
i.
Mustproduceflyersand/orpostersonaweeklybasis,whichpublicizethe
generalmeetingandtheclubseventsand/oractivities.
ii. Mustsendoutmassemailsonaweeklyand/orappropriatebasistothe
entiregeneralmembership,whichinformsthemoftheclubsactivities.
iii. Mustproducemonthly/quarterlycalendarsoutliningtentativeclub
activitiesandimportantevents.
b. Mustgainapprovalfromvariousappropriateofficialsfortheproperpostingof
publicitymaterialsaroundandoffcampus.
c. Shalldetermineotherappropriatemethodsofpublicitybothonandoffcampus,
includingbutnotlimitedtonewuniversityadvertisements,thecontactingof
outsidenewsorganizations,radioannouncements,etc.
d. Mustcoordinatetheproductionanddistributionofthequarterlyclubnewsletter.
i. Mustacquirewrittenmaterialstobeusedforthenewsletterfromboththe
boardandthegeneralmembership.

ii. Mustacquirephotographsandotherartworktobeusedinthenewsletter
aswell.
e. Mustkeepcopiesofallmaterials(bothpublicityandnewslettermaterials)for
archivingbytheHistoriansandforfilingintheCrossCulturalCenter.
f. Mustfacilitateanopenenvironmentforgeneralmembershiptomake
announcementstotheentireclub.
13. SportsCoordinator
a. Thefocusofthispositionshallbetoofferthegeneralmembershipanopportunity
toparticipateinintramuralsportsandothersportsrelatedactivities,bothonand
offcampus.
b. Shallorganizeintramuralsportsteamsforplayoncampuswithother
campusorganizedteams.
c. Shallmaintainanawarenessofphysicalfitnessforthegeneralmembership,
whichincludesbutisnotlimitedtoannualcampussportingevents,marathons,
tournaments,etc.
d. Shallorganizeannualclubeventsthatcenteronathleticsandtheinteractionof
clubmembersinafriendlyandcompetitivemanner.
e. Shallinteractwithoutsideorganizationsandcampusestoparticipateinoff
campussportingevents.
14. UndergraduateAlumniLiaisonCoordinator
a. Thefocusofthispositionshallbetocommunicatewiththealumniessentially
becomingthevoiceofthealumnitothecurrentmembershipandbecomingthe
voiceofthemembershiptothealumni.
b. ShallholdapositiononKababayanAlumniChapter(KAC)BoardandPCN
Board.
c. OrganizeeventsinwhichKababayanAlumniandthecurrentmembershipcan
interact.
d. ShallupdateandmaintaintheKababayanAlumnidatabase.

SectionD.Specialallowancesforboardmembers
1. Theexecutiveandappointedboard,havingbeenelectedorappointedasofficial
representativesoftheclub,shallbeentitledtothefollowingallowances/privileges:
a. Beexemptfromthepaymentofclubduesasrequiredforofficialclub
membership.
b. BeentitledtoaclubTshirt.SectionE.Electionandappointmentprocedures

SectionE.Electionandappointmentprocedures

1. GeneralProcedures

a. Theelectionscommissionersshallbecurrentboardmemberswhohaveexpressed
nodesiretobemembersofthefollowingyearsboard,isagraduatingsenioror
hasservedonboardforatleast2terms,anddonotcompletetheproceduresfor
runningforoffice,andshallbeappointedbytheentireboard,followingthe
necessaryparliamentaryprocedure.
b. Theelectionscommissionersshallberesponsiblefor:
i. Ensuringthevalidityandfairnessoftheentireelectionprocedure.
ii.
Decidingtheappropriatevotingperiodforeachelection.
iii. Collecting,countingandtallyingtheballots,withtheassistanceofthe
clubadvisor.
iv. Settlinganyandalldiscrepanciesbroughtaboutbytheelectoralprocedure
withtheelectionscommitteeandtheclubadvisor.
c. Allindividualsinterestedinrunningforanypositiononboardmustcompletea
declarationofcandidacyform,whichwillbemadeavailabletothegeneralclub
membershipimmediatelyafternominationsforexecutiveboardhavebeenmade
d. Alldeclarationofcandidacyformsmustbecompletedandsubmittedtothe
electionscommissionersonorbeforethespeechesaremadebythePresidential
nominees.Lateapplicantswillnotbeaccepted,andnomineeswhosubmitthis
formlateornotatallwillbeimmediatelydisqualified.
e. Cascadingispermitted,howeveronlyforelectedpositions.
i. Anexecutivepositionnomineemaycascadeonce,toeitherInternalor
ExternalVicePresident,ortoTreasurerorSecretary.
ii. Bothexecutiveandappointedpositionnominees/applicantsmaychoose
twootherappointedpositionsforwhichtheyareinterested.
f. Allnomineesforelectedpositionshaveupuntilthedayoftheirpresentational
speechestodeclinetheirnomination.
g. Publicityandcampaigningisnotpermitted.
h. Thefollowingrequirementsmustbemetforanelectiontobevalid:
i. Thecandidate/nomineedidnotbreakanyoftheaforementionedrules
governingtheactionsofnominees.
i. Aminimumof15%ofthetotalclubmembershipor100members,whicheveris
greater,mustvoteperelectionforanygivenelectedposition.
i. Ifquorumisnotmet,twoextensionsofthevotingwindowwillbeallowed
whoselengthshallbeatthediscretionoftheelectioncommittee.
j. Amajorityofthevotesshallindicatethewinneroftherespectiveelection.
i. Intheeventofatie,twoextensionsofthevotingwindowwillbeallowed
whoselengthshallbeatthediscretionoftheelectioncommittee.
ii. Majorityvotewinstherespectiveelection.
2. Specialcircumstancesintheelectionsprocess:

a. Anexecutivepositionisnotfilled:
i. IftheofficeofPresidentisnotfilleddueto:1)novalidnomineeisnamed,
2)Quorumisnotmet,3)thereisnomajorityvoteforanyofthe
candidates,thentheelectionsforvicePresidentshallbeheldandthe
newlyelectedInternalVicePresidentshallassumethedutiesandposition
ofPresident.
1. ThenewlyelectedExternalVicePresidentshallthenassumethe
dutiesandpositionofInternalVicePresident,andanotherelection
forExternalVicePresidentshallbeheld.
2. Ifaftertwoextensionsoftheelectionsthepositionisnotfilled,
thenthenewlyelectedofficerhighestonthehierarchychainshall
appointanindividualtotheunfilledposition,holdingallthe
authorityanddutiesofanexecutiveboardposition.
ii. IftheofficeofInternalVicePresidentisnotfilled:
1. ThenewlyelectedPresidentshallthenassumethedutiesand
positionofInternalVicePresident,andanotherelectionfor
InternalVicePresidentshallbeheld.
2. Ifaftertwoextensionsoftheelectionsthepositionisnotfilled,
thenthenewlyelectedExecutiveBoardshallappointanindividual
totheunfilledposition,holdingalltheauthorityanddutiesofan
executiveboardposition.
iii.
IftheofficeofExternalVicePresidentisnotfilled:
1. ThenewlyelectedInternalVicePresidentshallthenassumethe
dutiesandpositionExternalVicePresident,andanotherelection
forExternalVicePresidentshallbeheld.
2. Ifaftertwoextensionsoftheelectionsthepositionisnotfilled,
thenthenewlyelectedExecutiveBoardshallappointanindividual
totheunfilledposition,holdingalltheauthorityanddutiesofan
executiveboardposition.
iv. IftheofficeofTreasurerand/orSecretaryisnotfilled:
1. ThenewlyelectedExecutiveBoardshallthenassumetheduties
andpositionoftheunfilledposition,andanotherelectionforthose
unfilledpositionsshallbeheld.
2. Ifaftertwoextensionsoftheelectionstheposition(s)arenotfilled,
thenthenewlyelectedexecutiveboardshallappointindividualsto
thosepositions,holdingallauthorityanddutiesofanexecutive
boardposition.
v. Ifanappointedpositionisnotfilled:
1. ThenewlyelectedExecutiveBoardshallappointanindividualto

thatposition,attheirdiscretion

ArticleIV.GeneralMembership

SectionA.GeneralMembersRightsandResponsibilities
1. ThegeneralmembershipofKababayanshallbedefinedasthoseindividualswhomeetall
ofthefollowingconditions:
a. Havepaidinfulltheirmembershipdues,asdeterminedbythecurrentexecutive
board.
b. Arestudents,staff,facultyoralumniofUCIarestudentsoralumniofanother
college/universityareindividualswhohaveexpressedagenuineinterestinthe
club.
2. ThegeneralmembershipofKababayanshallabidebyacodeofconduct,outlinesas
follows:
a. Shallbeingoodstandingofclub,university,state,andfederallawsand
regulations.
b. Shalltreattheorganizationanditsmemberswithrespect,andlevyanyandall
criticisminaconstructiveandsupportivefashion.
c. Shallrepresenttheclubinaprofessionalandcourteousmanneratalltimes.
3. ThegeneralmembershipofKababayanshallbeentitledtothefollowingrights
henceforthcalledtheKababayanBillofRights:
a. Therighttoattendboardmeetingsatanytimeuponpriorconsultationwiththe
executiveboardmembers.
b. TherighttosubmititemsforExecutiveBoardapprovaltobeincludedinthe
generalmeetingand/orboardmeetingagenda,priortothatrespectivemeeting.
c. Therighttoberemovedfromtheofficialclubmembershipuponconsultation
withtheExecutiveBoard.
d. Therighttoappealgrievancesmadeagainstthem.
e. Therighttoafairhearingbeforetheirexpulsionfromtheclub.
f. Therighttovoteonitemsforgeneralconsiderationatclubmeetings,excluding
elections,whichhavespecificqualificationsandrequirements.
g. TherighttorunforapositiononExecutive/AppointedBoard.
h. OnlyfulltimeundergraduatestudentsofUCIshallbeeligibleforrunningfora
positiononboard.
i. Therighttoinspectallofficialclubrecords,includingbutnotlimitedtofinancial
reports,membershipstatistics,minutesofmeetings,etc.

SectionB.Therighttoassessdues
1. Kababayanshallexerttherighttoassessduesfrompotentialclubmembersaspartofthe

requirementsforgeneralclubmembership.
a. Theduesassessedforgeneralclubmembershipshallbeusedbytheorganization
fortheaccomplishmentoftheclubsofficialpurpose.
b. Theexactamountofduesshallbedeterminedbythecurrentboard,andbe
proportionaltothesizeofthepreviousyearsgeneralmembership.
2. Dueswillnotberefundableunderanycircumstance.
3. Clubmembersshallreceive,aspartofpaymentoftheirdues,thefollowing:
a. AclubTshirt,anofficialclubroster,andrecognitionasanofficialmemberofthe
club,whichincludesparticipationinanyandalloftheclubsevents,including
butnotlimitedtoannualfunctions,afterevents,clubtrips,etc.

ArticleV.Ownershipofmaterials.

Anyandallmaterialsproducedbyclubmembersforofficialusebytheclubshall
becomethelegalpropertyoftheorganization.Thisincludes,butisnotlimitedto:Tshirt
designs,flyers,posters,written/literarymaterials,etc.Useofmaterialsoutsideoftheclubs
officialuserequireswrittenpermissionbythecurrentboard,andtheclubmayexerttherightto
assessroyaltiesfromindividuals/groupsusinganysuchmaterials.

ArticleVI.Organization

SectionA.Thebasicprinciplesofparliamentaryprocedure

Theclubshall,intheconductionofbusinessrelatedtothefulfillmentofthegeneral
purposeofthisorganization,abidebythebasicprinciplesofparliamentaryprocedure,outlined
asfollows:
1. Theorganizationmustmeettomakeadecision.Propernoticeofthemeeting,including

maybespokenorwritten.Membershavetherighttoknowwhatthequestionisandwhat
itseffectswillbebeforetheyvoteonit.
4. Theremustbeanopportunitytodebatethequestionpresented.Itisamembers
responsibilitytohearandexerttherighttobeheard.
5. Thequestionmustbedecidedbytakingavote.Nomembercanbecompelledtovote.
6. Anydecisionreachedisconsiderednullandvoidifitisaconflictwithanyhigher
authority,suchastheconstitution,oranyfederal,state,localoruniversitylawsor
regulations.
7. Thedecisionbelongstothemajority,buttherighttodiscuss,tobeheard,andtooppose

arevaluedrightsoftheminority.Therefore,theserightsmustbeprotected.
8. Ifasubjecthasbeenvotedon,itmaynotbepresentedagaininthesameform.Theonly
waytobringasubjectbackforconsiderationatthesamemeetingistomoveto
reconsiderthevotetakenonthesubject.

SectionB.Conductionofmeetings

1. Theclubshallstrivetoholdgeneralmeetingsonaweeklybasisduringeachquarterof
theacademicyear.

a. Meetingsduring10
weekofclassareoptional,andmaybeheldatthediscretion
oftheboard.
b. Theminimumnumberofofficersrequiredtoconductageneralmeetingshallbe
two:onetoconductthemeetingandonetoobserveandprovideaclear
documentationofthemeetingsproceedings.
c. Meetingsshallbeginexactlyattheagreeduponandpublicizedtime.
d. Groupsorindividualswishingtomakeannouncementsatthegeneralmeeting,
andwhohavenotapproachedtheboardattheweeklyboardmeeting,mustbe
directedtothePresidentorotherexecutiveboardmemberbeforean
announcementcanbemade.
e. Theclubreservestherighttoremovefromageneralmeetinganyindividualor
groupofindividualswhointerfereswiththeproperandefficientconductionofthe
generalmeeting.
2. Theboardshallholdweeklymeetingsatatimepriortotheconductionofageneral
meeting,providinganappropriateamountoftimetoproperlyconductclubbusinessand
prepareforthegeneralmeeting.
a. Thesemeetingtimesshallbeheldonadate,whichisdeterminedbytheexecutive
board.
b. Allofficersmustattendtheweeklyboardmeetingshowever,ifanabsenceis
unavoidable,theofficerisresponsibleforinforminganexecutiveboardmember
assoonaspossiblebeforetheconductionoftheboardmeeting.
c. Allofficersmustarriveontimetoweeklyboardmeetings.
d. Anyofficerwhoisrepeatedlytardytobothgeneralandboardmeetings,and/or
repeatedlyfailstoinformtheexecutiveboardoftheirabsenceand/ortardiness,
canbeapproachedbytheexecutiveboardtobeheldaccountablefortheiractions.
3. Theorderofbusinessatgeneralmeetingsshouldbeformattedinamannerappropriateto
theproperandefficientconductionofclubmatters.
a. Theactualformatoftheorderofbusinessandgeneralmeetingsisatthe
discretionofthecurrentboard.
b. Unlessotherwisenoted,themeetinglocationandtimeforthenextgeneral

meetingshallbeannouncedattheendofthecurrentgeneralmeeting.
4. Anyboardmembermaycallanemergencymeetingwheneverthedutiesofanofficer,or
theaccomplishmentoftheclubsofficialpurpose,arethreatened.
a. Theconductionofanemergencymeetingshallfollowtheguidelinesofbasic
parliamentaryprocedure.
b. Asincereeffortmustbemadebyboth:theofficercallingtheemergencymeeting
toinformtherestoftheboardofthemeetingtobeheldandtheboardmembersto
attendtheemergencymeetingtothefullestoftheirabilities.

ArticleVII.SpecialCircumstancesSection

SectionA.Definitionofaspecialcircumstance.

1. Aspecialcircumstanceshallbedefinedaseither:awrittenformalcomplaintbroughtup
byeitherthegeneralmembershipofanofficer,oranyissuewhichposesathreattothe
accomplishmentoftheclubsofficialpurpose.
a. Resignations
i. Aresignationisarequesttobeexcusedfromanexecutiveorappointed
duty.
ii. Anyexecutiveorappointedboardmembermayresigntheirpositionfor
anyreason,givenampletimetoaccordtotheremainingboardtoprepare
suchatransferofpower.
iii. Resignationsmustbepresentedtotheboardasawhole,andawritten
copymustbesubmittedtoboththePresidentandtheclubadvisor.
b. Impeachment/removalfromoffice
i. Animpeachmentisastatementmadebythegeneralclubmembership,
whichcallsfortheofficialremovalfromofficeanyexecutiveboard
member.Animpeachmentdoesnotremoveanofficerfromtheirposition.
ii. Anyexecutiveboardmembermaybeimpeacheduponasuccessful
submissionofamovetoimpeachfiledbyeitheranotherofficeroraclub
member,followedbyatrialperiodduringwhichtimetheofficerin
questionmaydefendtheiractionsunderthepresenceoftheacting
universityombudsman.
1. Amovetoimpeachconsistsofawrittendocumentstatingthe
nameoftheimpeachedandadescriptionofthereasonswhythis
officershouldbeimpeached.Thedocumentmustbesignedby
officialclubmembersandrequiresa15%quorumoftotalclub
membershipor100members.
iii. Anyofficeronexecutiveorappointedboardmayberemovedfromoffice

giventhattheperformanceoftheirdutieshasbeenlackingenoughtopose
athreattotheaccomplishmentoftheclubsofficialpurposeortheofficer
haspartakeninmisconductviolatinguniversity,stateorfederallaws.
1. Uponasuccessfulimpeachment,theboardmustvoteunanimously
toremovetheofficerinquestionfromtheiroffice,inadditiontoa
correspondingvoteforremovalfroma15%quorumofthetotal
clubmembershipor100members,whicheverisgreater.
2. Anyclubmemberandexecutiveorappointedboardmembermay
callfortheresignationofaboardmembergiventhereasonsstated
prior.
a. Acallforremovalfromofficemustbeinwritingand
presentedtotheentireboard.Atrialperiodmaybeheldfor
theofficerinquestiontodefendtheiractions,underthe
presenceoftheactinguniversityombudsman.
b. Ifageneralclubmembercallsfortheremovalofanofficer
fromoffice,thena15%quorumoftotalclubmembership
or100members,whicheverisgreater,mustbemetcalling
fortheremovalfromoffice.Theremovalbecomesofficial
withaunanimousboardvote.
i. c.
Ifaboardmembercallsfortheremovalof
anofficerfromoffice,thenaunanimousvotefrom
theboardmustbemetcallingfortheremovalfrom
office.Theremovalbecomesofficialwhena15%
quorumoftotalclubmembershipor100members,
whicheverisgreater,ismetcallingfortheremoval
fromoffice.
c. Grievances
i. Anygeneralclubmemberorboardmembermaysubmitaformalpetition
ofwrittencomplainttoanyexecutiveboardmemberortotheclub
advisor.
ii. Theboardmustreviewthegrievanceandacceptitasanitemforthe
followinggeneralmembersagenda,andallowthoroughdiscussion.
iii. Ifneeded,theactinguniversityombudsmanorotherneutralfiguremaybe
calledintomediatemattersuntilasolutioncanbereached.

ArticleVIII.Amendmentprocess

Thisconstitutionmaybeamendedatanygeneralmeetingprovidedthatthefollowingguidelines
arefollowed:


1. Allamendmentsshallbesubmittedformallyinwritingatageneralmeeting.
2. Anygeneralmemberorboardmembermaymakeaproposalforthesubmissionofan
amendment.
3. Allsubmissionsofproposedamendmentsrequireapriornoticetoanymemberofthe
actingexecutiveboardsoastobescheduledforitsdiscussionatthefollowinggeneral
meetingsagenda.
a. Aconsiderableamountoftime,dependingonthecircumstances,shouldbe
allottedtotheopenandthoughtfuldiscussionofthesubmittedamendmentbythe
membersoftheclub,beforevotingupontheproposedamendment.
4. Amendmentsshallbevoteduponatgeneralmeetingsandrequirea2/3approvingvoteby
qualifiedclubmembersinorderfortheconstitutiontobeamended.
a. Atleast15%ofthetotalgeneralmembershipor100members,whicheveris
greater,mustvoteontheproposedamendment,otherwisetheamendmentwillnot
passandanextensionofthevotingperiodshallbemadeuntilthe15%quorumor
100votesismade.
i. Ifaftertwoextensionsofthevotingperioda15%quorumor100member
voteisnotmet,theamendmentshallbemademootandtheentire
amendmentprocessmaybeinitiatedagain.
ii. Aunanimousboarddecision,plusa10%quorumofthetotalgeneral
membershipmaypassanamendment.
b. Bothgeneralclubmembershipandboardmembersmayvoteonaproposed
amendment.
