Please be advised of the following:Notice of Special General Meeting

Please be advised that in terms of clause 11.3 of the SARU Constitution, at the request of the
undermentioned members (item 1.1), a Special General Meeting of SARU will be held to dispose of
the special business (item 1.2) mentioned below.

1.2

Business of the meeting:

1.2.1 If the members of the Executive Council of SARU have met their fiduciary duties in terms of
Clause 8.6 of the Constitution of SARU read with the common law principles and the
standards of directors' conduct as set out in section 76 of the Companies Act 70 of 2008 in
regard to:
1.2.1.1. The handling of the dispute between Jurie Roux and the University of Stellenbosch.
1.2.1.2. The renewal of the contract of Jurie Roux during August 2014 and the subsequent
position of Jurie Roux.
1.2.1.3. The appointment of the Springbok coach in replacement of Heyneke Meyer.

1.2.1.4. The handling of the Eastern Province Rugby situation and specifically the
participation of Eastern Province in the Currie Cup and Super Rugby 2016.
1.2.1.5. The failure to find sponsors for South African Rugby.
1.2.1.6. The awarding of the supplement contract to the company of Frikkie Erasmus, with
specific reference to the considering of a possible conflict of interest and the alleged
non-payment of royalties due to SARU.
1.2.1.7. The inadequate transformation budget as provided to the different unions by SARU.
1.2.2. If the inability of the President of SARU and the members of the Executive Council of SARU
to, due to the total breakdown of trust amongst them, properly work together in the best
interest of South African rugby, has the effect that the President and/or members of the
Executive Council are to be requested to resign voluntarily
2.

By direction of the President, the meeting will be held at 11h00 or after the completion of the AGM
on Friday, 1 April 2016 at the Southern Sun Hotel, Newlands, Cape Town.

3.

Representatives
Each member shall be represented at the General meeting as per clause 11.4 of the SARU
Constitution.

necessary travel arrangements.
