Condition,innominateterm,andwarrantiearethreecategorieuedtoclaifterminacontract.Theirlevelofimportanceintheee
ofthelawvarie,withwarrantieeingtheleatimportant,andconditioneingthemotimportant.

Forintance,inacontractfortherepairofacomputer,aconditioncouldeexpreltipulatedthepartieuchthattherepairerhatoue
afeparttoreplacethefaultone.Iftherepairerutilieuparreplacementpart,thecutomermachooetoregardthiaareachofan
eentialconditionanduetheellerfordamage.Thecutomermaevenchooetoterminatethecontractandlookforanotherrepairer.
Warrantie,ontheotherhand,donotrefertowarrantiethatcometogetherwiththepurchaeofcertainitemlikemoilephoneor
electronicgood.Inlegalterminolog,thewordwarrantiuedtoidentifaleimportanttermofthecontract.Ifawarrantireached,the
innocentpartmauefordamageforthelouffered,utheinotallowedtoterminatethecontract.Ifhedoeo,hemainteadfind
himelfeinguedinturnforunjutifiedcontracttermination.
Innominatetermrefertocontractualtermthatlieinlimo.Iftheinnominatetermianimportantone(i.e.areachofthetermwouldeo
eriouatodeprivetheinnocentpartofutantiallthewholeenefititwatootainfromthecontract),theinnocentpartmaterminate
thecontractandotainotherremedie.However,ifitireadtoeaminorterm(i.e.areachofthetermwouldnoteoeriouatodeprive
theinnocentpartofutantiallthewholeenefititwatootainfromthecontract),theinnocentpartmanotterminate.Itmaonluefor
damageandotherremedieuchapecificperformance.
Thegeneralruletodifferentiateetweenaconditionandawarrantitodeterminewhetherthetermdealwiththeprimaroligationofthe
contract.Theintentionofthepartietowardthatparticulartermialoanimportantconideration.Intheeventofareach,whetheran
innocentpartcanterminatethecontractdependonthefollowingfactor:
