COUNTY OF BRAZORIA. § § STATE OF TEXAS 5 AGREEMENT BETWEEN THE NORTHERN BRAZORIA COUNTY EDUCATIONAL ALLIANCE AND PEARLAND INDEPENDENT SCHOOL DISTRICT ‘This Agreement ("Agreement") is entered into by and between the Northem Brazoria ‘County Educational Alliance ("NBCEA" or “Alliance") and the Pearland Independent School District ("PISD" or "District. In consideration of the mutual covenants and conditions inthis Agreement, NBCEA and PISD agree to the following: 1. Purpose of the Agreement NBCEA and PISD desire to work cooperatively to inevease the opportuity for PISD high schoo! students by expanding course offerings, including dual credit courses, and entiching ‘career and technical education to PISD students with the ultimate goat of providing, a skilled ‘work force to meet the needs of local businesses in Norther Brazoria County, Texas. The purpose of this Agreement is to outline the respective responsibilities of NECEA and PISD to carry out this cooperative effort. I Termof Agreement ‘This Agrecient shall be effective on January 26, 2009, and shall continue on a month-to- ‘month basis until terminated by either party 1. Termination ‘This Agreement may be terminated by either party at any time with or without cause by providing to the other party 30 calendar days’ written notice of intent to terminate. Any termination of this Agreement as permitted by this paragraph shall not relieve either party fom completing obligations in progress prior to the effective date of the termination. Notice of termination shall be provided by hand delivery or certified mel, return receipt requested, to the individuals whose names and addresses are indicated on the signature pages of this Agreement.IV. Duties, Rights, and Responsibilities A. NBCEA’s Rights and Responsibilities 1 NBCEA shall work cooperatively with PISD in the development, implementation, and promotion of programs to further the objectives of this Agreement NBCEA and PISD agree to promptly communicate with each other regarding any future curriculum changes, policy changes, or statutory or regulatory requirements that will affect this Agreement 2. To support and implement the objectives of this Agreement, PISD shat! employ 8 reasonable number of personnel, and NBCEA shall reimburse PISD forthe actual cost of staff salaries and benefits ofthese employees on 2 monthly basis. Actual staf salaries shall be documented in a written employment agreement executed between the employees andthe PISD, FISD shall provide a copy of these agreements fo NBCEA. NBCEA shal reimburse the PISD, ‘within 30 days of receipt of an invoiee from the PISD. 3. _NCBEA agrees that each individual carrying out the duties related to the Purpose of this Agreement shall comply with all tems of the employment agreement between the individual and the PISD. B. _PISD’s Rights and Responsibilities 1. PISD shall work cooperatively with NCBEA in the development, implementation, and promotion of progratns to further the objectives of this Agreement. PISO) and NBCEA agree to promptly communicate with each other regarding any future curriculum changes, policy changes, or statutory or regulatory requirernents that will affect this Agreement 2. PISD shall enter info a written employment agreement with exch ‘individual who will be carrying out the duties related to the purpose ofthis Agreement ad will provide he customary benefits provided to full-ime, exempt employees of the PISD. 3. __PISD shall provide appropriate office space for the employees specified in in Section 1V, Paragraph A.2 cartying out the duties related to the purpose of this Agreement. 4. ISD shall invoice NBCEA for the cost of salary and benefits on a ‘monthly basis. V. Confidentiality ‘The individuals carrying out the duties related to the purpose ofthis Agreement may have access to personally identifiable information about PISD students. NCEA and PISD ausee that individuals carying out the duties related to the purpose ofthis Agreement shall take reasonable stops fo maintain the confidentiality of all PISD student information as required by state and federal law, including, but not limited to, the Family Educational Rights and Privacy Act and the “Texas Education Code. This provision shall survive termination or expiration ofthis Agreement. VL Compliance with Applicable LawsNBCEA and PISD shall comply with all applicable federal, state, county, and local laws or ordinances. VIL. Miscellaneous ‘A. _ If any provision of this Agreement is held to be illegal, invalid, or unenforceable Uunder present or future laws, the legality, validity, or enforceability of the remaining provisions ‘of this Agreement shall not be affected, B. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Venue for any dispute shall bein Brazoria County, Texas. C. The PISD does not waive or relinquish any immunity or defense on behalt of itself, its trustees, officers, employees, volunteers, or agents as a result of the execution of this ‘Agreement ofits performance under this Agreement. D. This Agreement shall not be modified or amended in any manner except by a “writing signed by the par E, This Agrecment constitutes the entre Agreement between the paties. The parties ‘expressly warrant and represent that na promise or agreement which is not expressed herein has ‘been made to them in executing this Agreement.
