The Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia or SSM) is a statutory body which regulates companies and businesses.

SSM, which came into operation on 16 April 2002, is a statutory body formed as a result of a merger between the Registrar of Companies (ROC) and the Registrar of Businesses (ROB) in Malaysia. The main activity of SSM is to serve as an agency to incorporate companies and register businesses as well as to provide company and business information to the public. As the leading authority for the improvement of corporate governance, SSM fulfils its function to ensure compliance with business registration and corporate legislation through comprehensive enforcement and monitoring activities to sustain positive developments in the corporate and business sectors of the Nation. SSM is responsible for the administration and enforcement of the following legislation: Companies Act 1965 (Act 125); Registration of Businesses Act 1956 (Act 197); Trust Companies Act 1949 (Act 100); Kootu Funds (Prohibition) Act 1971 (Act 28); any subsidiary legislation made under the Acts specified above such as: o Companies Regulations 1966; and o Registration of Businesses Rules 1957

Functions

To ensure that the provisions of the Companies Commission of Malaysia Act and laws are administered, enforced, given effect to, carried out and complied with; to act as agent of the Government and provide services in administering, collecting and enforcing payment of prescribed fees or any other charges under the laws administered; to regulate matters relating to corporations, companies and businesses in relation to laws administrated; to encourage and promote proper conduct amongst directors, secretaries, managers and other officers of a corporation, self-regulated corporations, companies, businesses, industry groups and professional bodies in the corporate sector in order to ensure that all corporate and business activities are conducted in accordance with established norms of good corporate governance; to enhance and promote the supply of corporate information under any of the laws administrated, and create and develop a facility whereby any corporate information received by the Companies Commission may be analysed and supplied to the public; to carry out research and commission studies on any matter relating to corporate and business activities; to advise the Minister generally on matters relating to corporate and business activities in relation to the laws administered; and to carry out all such activities and do all such things as are necessary or advantageous and proper for the administration of the Companies Commission or for such other purpose as may be directed by the Minister.

Power

To utilise all assets of the Companies Commission, both movable and immovable, in any way deemed fit and appropriate by the Companies Commission including to obtain loans by the charging of those assets; to impose fees or charges for services rendered by the Companies Commission as prescribed by the Minister through regulations established under section 40; to appoint agents, experts or consultants, as deemed necessary, to aid the Companies Commission in carrying out its functions; to provide loans to employees of the Companies Commission for purposes approved by the Minister; to plan and carry out human resource development as well as cooperative and financing programmes for proper and effective implementation of its functions; to collaborate or cooperate with any other societies/organisations, bodies or government agencies to

form smart partnerships in implementing the functions of the Commission; and

to do all such things as are aligned with any of its functions and powers.

Datuk Mohd Zain holds a Bachelors degree in Sociology. He started his career with the Malaysian Governments Administration and Diplomatic Corp in 1976 and has, amongst others, held the positions of Assistant under Secretary and Principal Assistant Director of the International Trade Division, Assistant Permanent Malaysian Representative to Geneva and Deputy Permanent Representative to the United Nations, Geneva (International Trade Division). Other notable appointments include the Minister Counsellor for Economic Affairs of both the Malaysian Permanent Representative Office to the European Union (EU), Brussels and the Malaysian Permanent Representative Office to the World Trade Organisation (WTO), Geneva. He was the Lead Negotiator for the Malaysia-Australia Free Trade Agreement (FTA), the MalaysiaNew Zealand FTA as well as the ASEAN-Australia-New Zealand FTA negotiations in 2005 and 2006. Datuk Mohd Zain was appointed Secretary General of the Ministry of Domestic Trade, Co-operative and Consumerism on 6 February 2007. He was then appointed Chairman of SSM on 1 March 2007. Datuk Mohd Zain also serves as a Commission Member of the Malaysian Multimedia and Communication Commission and has been since January 2008.

Dato Azmi bin Ariffin graduated with a LLB (Hons) degree from the University of Malaya. He commenced his career with the Legal and Judicial Service on 1 October 1987. He had served in various capacities, as Deputy Public Prosecutor with the Anti Corruption Agency from 19871990, as Senior Magistrate in the Kuching Magistrates Court from 19901991, as Deputy Public Prosecutor with the Johor State Legal Advisors Office from 19911994, as Research Officer with the High Court of Johor Bahru, from JanuaryOctober 1994, as Deputy Public Prosecutor with the Kedah State Legal Advisors Office, from 19942000 and as Head of the Prosecution Unit with the Kelantan State Legal Advisors Office, from 20002004. His last post before assuming his new position as the Chief Executive Officer of SSM was as Head of the Commercial Crime Unit at the Attorney Generals Chambers, Putrajaya.

Dato Idrus was appointed a Commission Member in April 2002. Since beginning his career as a Legal Officer in 1980, Dato Idrus has served in various senior positions which include Senior Assistant Registrar of the Kuala Lumpur High Court, Sessions Court Judge in Kota Kinabalu, Deputy Public Prosecutor of the Attorney Generals Chamber, Legal Advisor for the State of Terengganu, Senior Federal Counsel of the Anti-Corruption Agency and Legal Adviser for the Election Commission. He was the Registrar of Companies from 1998 to 2002. Thereafter, he resumed his service at the Attorney Generals Chambers as Head of the Advisory and International Division and as Parliamentary Draftsman before his current position as Solicitor General. Dato Idrus also served as a member of the Labuan Offshore Financial Services Authority (LOFSA), Securities Commission and

Foreign Investment Committee (FIC), amongst others. At present, he is a member of the Malaysia-Thailand Joint Authority (MTJA) and the Retirement Fund (Incorporated).

Datuk Idris was appointed a Commission Member effective 16 April 2007. He holds a First Class LLB (Hons) degree from the University of Malaya, and began his career in 1981 as a resident lawyer at Ting and Company Advocates in Sibu, Sarawak. Between 1982 and 1985, he served as an inhouse Legal Advisor to a group of companies with diverse interests in property development, timber extraction and processing, leisure and hospitality business as well as wholesale and general retail trading. Datuk Idris is a senior partner of Idris and Company Advocates. He also holds several key positions in Malaysia and Singapore namely Commission member of Malaysian Communications and Multimedia Commission (MCMC), Chairman/Director of Magnus Energy Group Ltd (Listed on Singapore SESDAQ) and Chairman/Director of Industrial Power Technology Pte Ltd. Recognizing his vast experience in the industry, several companies based in Sarawak have engaged him as their advisors in areas of building , construction and motor trading as well as recreational clubs and education sectors.

Puan Zaiton has been serving as Commission Member since December 2003. Previously, she served as an auditor with Pricewaterhouse (PricewaterhouseCoopers) and thereafter joined Bank Pembangunan (M) Berhad. Puan Zaiton then served Maybank for 12 years before becoming President of Malaysian Rating Corporation Berhad (MARC) from 1996 to 2004. Puan Zaiton is currently the Managing Director of Capital Intelligence Advisors Sdn. Bhd. She is a board member of Credit Guarantee Corporation Malaysia Berhad, BIMB Holdings Bhd., Bank Islam Malaysia Berhad and Malaysian Industrial Development Finance Berhad (MIDF).

YB Dato Hj. Ismail was appointed a Commission Member effective 1 June 2009. He graduated with LLB (Hons) from the National University of Malaysia in 1990. Dato Ismail started off his career as an Advocate and Solicitor in Messrs. Bahari, Choy & Nongchik. He is currently a partner in the same legal firm. He is also the Chairman of Temerloh Entrepreneur Development Council and a director of Malaysia France Institute Sdn. Bhd. Dato Hj. Ismail is the Member of Parliament for Kuala Krau, as well as the Head of UMNO Kuala Krau.

YB Datuk Hj. Sapawi was appointed a Commission Member effective 20 July 2009. He graduated with BA (Hons) with a major in History from the National University of Malaysia. Prior to his involvement in politics, Datuk Hj. Sapawi had a career in education for nearly 20 years before he was appointed as the Director of Biro Tatanegara (Sabah). He is the Chairman of the Sabah Land Development Board and also the Chairman of the Sabah Language and Literature Council. Datuk Hj. Sapawi is the Member of Parliament for Sipitang, the Head of UMNO Sipitang, as well as the Head of UMNO Information Division for Sabah.

Datin Rozaina was appointed a Commission Member effective 25 August 2009. She started her career in public service with the Road and Transport Department in 1981. She has served various government organization including the Inland Revenue Malaysia and the Public Service Department. Datin Rozaina is currently the acting Deputy Secretary of Remuneration Policy, Public Money and Management Services Division of the Ministry of Finance.

Dr. Aishah was appointed as a Commission Member effective 1 January 2011. She is a Professor of Corporate and Insolvency Law and currently the Dean of the Faculty of Law, Universiti Kebangsaan Malaysia (UKM). Her areas of specialization include company and corporate finance law, securities regulation, bankruptcy and insolvency law. She has been lecturing on company and partnership law since 1989, and currently her areas of interest also include environmental and corporate regulation. Dr Aishah has written for various local Malaysian and British academic journals on company, securities and insolvency law. Dr Aishah obtained her LLB (Hons) from University of Malaya, Masters in Laws from the University of Kent and her Ph.D in Laws from University of London. Dr. Aishah was a member of the Malaysian Corporate Law Reform Committee (CLRC). Currently she is the Legal Advisor of UKM Holdings, the Corporate Arm of University Kebangsaan Malaysia. She is also the Chairman for the Advisory Panel of COMTRAC (Training Academy for Companies Commissions of Malaysia), Advisory Board member for MLTIC (Malaysian Legal and Tax Information Centre), a member of the Board of Directors of Yayasan Bantuan Guaman Kebangsaan(YBGK) and a member of the Intellectual Property Advisory Board of UKM.

Coordinates and monitors applications for the incorporation of Companies Limited by Guarantee (CLBG) under the Companies Act 1965 by getting the approval of the Minister. The Registrar has powers to strike off companies if he has reasonable cause to believe that a company is not carrying on business or is not in operation. 2. To process applications to strike off company names off the register. Asset Management. o To register and record the list of assets vested in the Registrar of Companies under section 310 of the Companies Act 1965.

Marketing and Business Development


The divisions function is to supply information on companies and businesses quickly and efficiently so as to improve the quality of service delivery that meets customer's needs. In addition, the division also develops new products and services to increase the sources of revenue for SSM.

Attending to customer complaints and developing the complaint management system. Establishing customer service policies and procedures for use at the head office and branch/state offices. Conducting and monitoring of the helpdesk/hotline service for the public. Undertaking proactive action to improve the quality of customer service.

Supplying information over the counter or via post. Supplying other value-added information services to the public. Managing and maintaining the facilities for searching documents. Providing product support services to customers.

Document Management Section


This section is responsible for preparing, planning and arranging the management of company and business documents, and also for preparing procedures relating to the security of documents, maintenance of equipment, management of back-up systems and image quality as well as disposal of documents.

Corporate Development and Policy


The Division is mainly responsible for: Conducting legal research and reforms to ensure that the laws and regulations administered by SSM remain contemporary; Coordinating and enhancing relations with other government agencies, regulatory authorities, professional bodies and international corporate administrators; Providing statistical analysis or information from SSMs database to produce quality reporting for the nations corporate and business environment; Undertake strategic planning for SSM through corporate planning initiatives, risk management and project management and monitoring activities; and Acting as the secretariat for the SSM Commission Members meetings.

The Division comprises of the following three sections:

Law Reform, Policy & International Affairs Section

conducts structured policy & regulatory research, drafts amendments and reviews legislation administered by SSM; identifies potential areas of existing corporate regulations requiring amendments and undertakes activities in relation to amendments. The section also builds, develops and maintains relationships with professional bodies, co-regulators & other stakeholders, both at the local and international front.

Statistics, Strategic Research & Reporting Section

compiles and analyzes statistics on companies and businesses in the database and economic reports for the purposes of periodic and annual reporting; and acts as secretariat for Commission Members and Executive Management meetings.

Corporate Affairs Section

ensures the overall implementation of the Strategic

Direction Plan by monitoring and coordinating the status of activities and projects running in SSM. The section also undertakes and manages the annual action and business planning activities; and implements the Knowledge and Risk Management plans.

Branch Operations Section


To be one stop center for all matters pertaining to branch operations such as; Compilation of statistical data. Serve as secretarial for branch operations meeting. Serve as contact points for branch requests and other administration matters. Review of claims made by branch managers. Review and monitor all branch operational procedures. Formulation of standard operating procedures. Customer complaints on branch operations. Review of budget for the whole branch operations.
