Dear Sir Thanks for your advice to the team, however we need to see the risk that arises from the procurement technicalities whereby NHIF was not a tender under the signed contract. They can sign with the government 1. This can be challenged in court by any competitor who would want to stall this process.

2. In case of NHIF not living to the promised services and the procurement entity goes to court as an aggrieved party, the court will look at who was issued the tender and that is THE INSURERS unless we are legally sure that this cannot happen, we need to consider another move. Having NHIF given a letter of AWARD just like any other tender to enjoin them in the whole tendering process from day one. Otherwise we are left with a lot of loopholes which can be challenged under the procurement act. Isaac Maina

Dear James and colleagues, Our position and stand is very clear and we are working in good faith. I shared our views same with Joe and Sammy of AON and John of Faulu on phone. As per the brief Steve Wandera and I gave to our legal consultants -D&F (Hamish), they are now drafting the contract clearly specifying that NHIF is liable singly for Medical risk for categories A-N and Aon / Faulu as administrators. Only AON is an administrator in our (insurers) portion of the risk and we shall only be responsible for 1. 2. The Legal document call it Contract Slip has to be executed by Govt, NHIF, Insurers, AON & Faulu each for their respective roles and responsibilities and where applicable, each for their respecive proportion of Several Liability. We want a water tight agreement whereby we are not joint with NHIF as far as this tender is concerned. We acted on his advice and we have given the documents mentioned in the attached letter. As insurers, we need to meet soon and align ourselves and then agree with the administrators in readiness for any meeting to take place with govt. Unless we do so, the consortium insurers, administrators and NHIF will end up talking in tongues that may otherwise spoil things yet we have all fought a good fight. Patrick I am confused about your document here Isaac tells me that you have told him we are not removing the stop loss clause yet what you have sent seems to say we are removing it. What is the position? I cannot sign this letter as it is. I dont know whether we are now saying NHIF is in yet that is only subtle in the letter. If NHIF is in then they sign this letter as part of the consortium committing to their share which should be very clearly set out in the letter. What am I missing? Patrick, The proposed response is not in line with the intention of the consortium. Our response was comprehensive enough and there is no need for editing or separate communication for the different job groups. As the consortium, we insist that response to the government should be as per the letter we forwarded earlier. While recognising that the responses might appear as deal breaking positions to Aon, we expect the government to review the responses and revert with their counter-responses, then the consortium will decide whether to accommodate them or not. The objective should be to arrive at a mutually beneficial position for both the government and the consortium but not just to accept the government position. It should therefore be noted that the consortium will not be party to any other communication to the government apart from the agreed format emailed earlier.

Patrick, Thanks for your response below which maintains the same position as had been held last week, including retention of the Stop Loss clause. Since your document below is not representative of the NHIF position on the cover for categories A-M, is not signed by all the insurers and includes potentially deal breaking positions (Stop Loss cover and Medical cover for the uniformed staff), we propose to proceed as follows: Aon to prepare a cover letter forwarding two reports dealing with the two categories as follows: 1. Job Groups A-M: Aon to prepare a response report along the lines of the we sent you yesterday - herein attached - giving the NHIF cover position for Job Groups A-M. We shall delete all reference to terms and conditions related to the medical cover for Job Groups N-T from this report.

2. Job Groups N-T: We shall forward your report below as is.

The forwarding letter and the two reports will be delivered to GOK by cob today and copies emailed to all. Kind regards to you and all in the consortium.

I see this email and get disturbed by John, I think he has convinced Underwrites to abardon the joint initiative with NHIF, in readiness for his role as key negotiator with NHIF and Capitation Providers, Then do NHIF need an administrator see yellow place below underwriters will only recognize AON as their administrator, Faulu will then have to move to NHIF as the administrator.
