SPECIFICATIONS, TERMS AND CONDITIONS

DEFINITIONS. Job Order is defined as commissioned PROXIMA SMS text blast originating from one and only one specific location with a target of sending an SMS message to 25,000 mobile devices detected within 2 to 3 hours operation. *In areas where the number of detected devices do not reach 25,000, the basis shall be the number of hours. Estimated sending rate is 200 SMS/minute. SMS Message means up to 160 standard alphanumeric characters that will be sent with a custom Sender ID. Sender ID is what the SMS message will appear to have been sent from. Sender ID shall be 11 characters maximum and can be any alphanumeric characters. This is a limitation of GSM protocol, not our system. JOB ORDER. We reserve the right to refuse specific Job Orders. Acceptance of initial payment is your assurance that the Job Order has been accepted. We require an initial payment of 50% DP of the BASE PRICE plus full payment of SURCHARGES at least 14 days prior to booking. Balance is due on actual date must be in company check (for NCR Job Orders, checks must be payable to DIGITAL MAKATICORP OUTSOURCE SERVICES INC) or in cash (for Job Orders outside Metro Manila). For Job Orders outside Metro Manila, we ask for the balance on the BASE PRICE once the team arrives on site the transaction shall be a BDO Branch and amount deposited as cash. Official Receipt will be issued. We are exempted from Withholding Tax and we are NON-VAT. Client may assign one or two staff to accompany the PROMIXA SMS team to witness the process. PROXIMA SMS produces a service log to provide statistics. We will provide a copy within 2 to 3 days via email. IN NO EVENT SHALL PROXIMA SMS BE USED TO COMMUNICATE, TRANSMIT OR ALLOW TO BE TRANSMITTED ANY INFORMATION OR CONTENT THAT IS FALSE, INACCURATE, MISLEADING, UNLAWFUL, HARMFUL, THREATENING, ABUSIVE, HARASSING, TORTUOUS, DEFAMATORY, VULGAR, OBSCENE, INVASIVE OF ANOTHERS PRIVACY, HATEFUL, OR RACIALLY, ETHNICALLY, OR OTHERWISE OBJECTIONABLE. YOU WILL BE SOLELY RESPONSIBLE FOR ANY LEGAL LIABILITY ARISING OUT OF OR RELATING TO THE FOREGOING. IN NO EVENT SHALL MAKATICORP / MARKETLINKPH / DIGITAL OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF MAKATICORP / MARKETLINKPH / DIGITAL OR ANY SUPPLIER, AND EVEN IF MAKATICORP / MARKETLINKPH / DIGITAL OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
