This Stipulation (Stipulation) is hereby entered into on this 17th day of May, 2012 by and between Matthew Pakkala, as the Estate Representative for the above-captioned Chapter 11 Debtors substantively-consolidated bankruptcy estates (Estate Representative), on one hand, and Parthenon Capital Partners (Parthenon), PCap, L.P. and all of their affiliates, subsidiaries and any other person or entity acting for or on their behalf (collectively, the Parthenon Entities), on the other hand, with reference to the following: A. Westcliff Medical Laboratories, Inc. and Biolabs, Inc. (collectively, the Debtors)

In order to avoid the time delay and costs that would be associated with the Estate

Representative and/or the Post Confirmation Committee to analyze the Parthenon Filed Proof of Claim and prepare and file an objection to the Parthenon Filed Proof of Claim, and for the parties to litigate their dispute over the Parthenon Filed Proof of Claim to final order, the Estate Representative (with the consent of the Post-Confirmation Committee) and Parthenon, on behalf of itself and all of the Parthenon Entities, have agreed to enter into this Stipulation providing for Parthenon to have an allowed class 4 claim under the Debtors confirmed plan of reorganization (the Plan) in the amount of one hundred fifty thousand dollars ($150,000).

The Allowed Parthenon Claim shall be treated in the same manner as all other class substantively-consolidated estates in the amount of one hundred fifty thousand dollars ($150,000) (the Allowed Parthenon Claim). 2.
