Togut, Segal & Segal LLP (TS&S), as special counsel to prosecute preference claims for the above-captioned Debtors (the Debtors), hereby submits its first and final application for reimbursement of actual and necessary filing fees paid by TS&S in the amount of $292,500 to file 1,170 complaints with the Court in May, 2007. This final application is made pursuant to the Order confirming the Debtors First Amended Joint Plan, dated July 18, 2007 (the Confirmation Order) and section 330 of the Bankruptcy Code. TS&S respectfully represents that: 1. By Court Order dated May 17, 2007, the Debtors were authorized to

retain TS&S as their special counsel, effective as of April 2, 2007, to file and prosecute preference actions [Docket No. 7268] (the Retention Order), a copy of which is annexed as Exhibit A. The Retention Order approves an engagement letter pursuant to which the Debtors are authorized to reimburse TS&S for its reasonable costs and expenses. 2. From approximately May 9 to May 17, 2007, TS&S filed 1,170

complaints to avoid preferential payments made pursuant to, inter alia, section 547 of the Bankruptcy Code. To file the complaints, filing fees had to be paid in the amount of $292,500. By this application, TS&S seeks final reimbursement of those filing fees. 3. Attached hereto as Exhibit B is a schedule containing the

adversary proceeding numbers, defendant names, and filing fee paid for each adversary

proceeding. Annexed hereto and made a part hereof as Exhibit C are copies of the receipts for the filing fees paid. 4. Pursuant to the Confirmation Order and section 330 of the

Bankruptcy Code, TS&S seeks final reimbursement of the aforesaid filing fees in the amount of $292,500. TS&S has previously been reimbursed such fees by the Debtors in accordance with this Courts Administrative Order establishing procedures for monthly compensation and reimbursement for professionals and official committee members [Docket No. 290]. WHEREFORE, TS&S respectfully requests that the Court enter an order, substantially in the form attached to this application as Exhibit D, granting this application and approving on a final basis the reimbursement of expenses sought herein by TS&S in the amount of $292,500. proceeding is a core proceeding pursuant to 28 U.S.C. 157(b)(2); it appearing that venue of this proceeding and the Final Application in this District is proper pursuant to 28 U.S.C. 1408 and 1409; notice of the Final Application was appropriate under the particular circumstances, and that no other of further notice need be given; and after due deliberation and sufficient cause appearing therefore, it is hereby ORDERED 1. 2. The Final Application is granted in its entirety. Pursuant to section 330 of the Bankruptcy Code, TS&S is granted

final reimbursement of expenses in the amount of $292,500 for actual, necessary and reasonable expenses incurred on behalf of the Debtors, representing filing fees paid for 1,170 complaints filed with this Court seeking the return of preferential payments.
