Claimants listed in Exhibit A, attached hereto and made a part hereof (Exhibit A Claimants) (the Trust and Exhibit A Claimants shall be collectively referred to as the Parties) amends the Claim Numbers listed on Exhibit A (the Exhibit A Claims) as follows: WHEREAS, on May 17, 2005 (the Petition Date) the Debtors filed petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the Eastern District of Michigan (the Bankruptcy Court); WHEREAS, on January 10, 2006, Claimants filed Exhibit A Claims which were disputed, unliquidated and unsecured claims; WHEREAS, Exhibit A Claimants filed litigation against a predecessor in interest to Debtors alleging personal injury and property damage from toxic pollution emanating from the Cardinal Landfill in Farmington, New Hampshire; WHEREAS, said litigation was stayed by the Debtors petition; WHEREAS, Exhibit A Claimants filed disputed, unliquidated, unsecured claims which are subject to the terms of the First Amended Joint Plan of Collins & Aikman Corporation and Its Debtor Subsidiaries, dated July 9, 2007 (the Plan); WHEREAS, Debtors deny any liability for the allegations and damages stated in the Exhibit A Claimants litigation; WHEREAS, Debtors have objected to all of the claims filed by the Exhibit A Claimants;

WHEREAS, in an effort to resolve the matters stated above, the Parties entered into negotiations. In connection with such negotiations, the Parties have reviewed the litigation and other materials relevant to the Exhibit A Claims, including any support filed with or related to the Exhibit A Claims; WHEREAS, attorneys for Exhibit A Claimants have refused to accept any attorney fees or costs from the distribution in order to maximize the aggregate monetary benefit to Exhibit A Claimants; WHEREAS, all claims between the parties (including all debtor entities) to this stipulation are resolved by this stipulation. NOW, THEREFORE, in consideration of the mutual promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, IT IS STIPULATED AND AGREED THAT: 1. The Exhibit A Claims are hereby amended to and allowed in the amount of $1,780,000.00 (One Million Seven Hundred Eighty Thousand Dollars) in the aggregate. 2. To the extent any distributions are made on the Exhibit A Claims, as amended by this Stipulation, such distributions will be made pursuant to the terms of the Plan as confirmed by the Order Confirming the First Amended Joint Plan of Collins & Aikman Corporation and its Debtor Subsidiaries, entered on July 18, 2007. 3. Any distributions made pursuant to paragraphs 1 and 2 above, shall be made payable to the Masry & Vititoe Client Trust Account.

Any other claims not listed on Exhibit A that were filed by the Claimants listed on Exhibit A are withdrawn and expunged with prejudice.

The Debtors notice and claims agent, Kurtzman Carson Consultants, LLC, is authorized to take all actions necessary to reflect the amended Exhibit A Claims in the amount set forth in paragraph 1, above.

6.

This Stipulation may not be modified, altered or amended or vacated without the written consent of the parties hereto. Any such modification, alteration, amendment or vacation in whole or in part, shall be subject to the approval of the Bankruptcy Court. The Bankruptcy Court shall retain jurisdiction to resolve any disputes or controversies arising from or related to this Stipulation.
