LEASE DEED This Lease Agreement is made and executed at Gurgaon on this 24th Day of January 2013, Between

Mrs. Deepali Gupta daughter of Dr Brij Mohan Gupta resident A-1/296, Janak Puri, New Delhi110058, (hereinafter called the LESSOR of the one part, which expression shall mean and include her heirs, successors, legal representatives, nominees and assigns. AND ___________________________________________________________(here inafter collectively called the LESSEE of the other part) which expression shall mean and include her heirs, successors, legal representatives, nominees and assigns. WHERES the Lessor is the rightful owner of Flat No. W2B-84 (8th Floor) Wellington Estate, DLF City Phase-V, Gurgaon, Haryana, consisting of Drawing /Dining, three Bedrooms, three Bathrooms, Kitchen, with Balconies, approx. built up area 1412 sq. ft and a covered parking 2BC/30; AND WHEREAS the LESSOR has agreed to let out and the LESSEE has agreed to take on rent the aforesaid Flat No. W2B-84 (8th Floor) Wellington Estate, DLF City Phase-V, Gurgaon more particularly described in the schedule hereunder together with all the fittings and fixtures hereto as per the list attached, hereinafter referred to as the Demised Premises for the residence of LESSEE and her family members only for a period of 11 (eleven) months with effect from 2-02-2013, on the following terms and conditions:NOW THIS AGREEMENT OF LEASE WITNESSETH AS UNDER: 1. That the LESSEE shall pay a monthly rent of Rs. 33,000/(Rupees Thirty Three Thousand only) for the period from 02-022013 to 01-1-2014) to the Lessor every month in advance on or before 7th day of each English Calendar month including society maintenance charges. The society maintenance charges shall be paid directly by the Lessee to the society, and in case of his failure to do so, the Lessor shall pay the same, and the Lessor shall have the right to recover the same from the Lessee. 2. That the Lessee has handed over following 11 cheques all drawn on _____________, each for a sum of Rs. 33,000/- (Rupees Thirty Three Thousand only) towards the rent for the period from 2-02-2013 to 1-1-2014 in respect of the demised premises with the assurance and promise that the same would be encashed on their presentation for encashment:--------------------------------Sl. The said security deposit will be refundable to the LESSEE without any interest at the time of handing over vacant possession of the said demised premises by the LESSEE to the LESSOR after deducting adjustment of the amount due if any, from the LESSEE and or towards damage caused by the LESSEE, if any to the tenanted premises or the aforesaid fittings and fixtures. That it has been mutually agreed between the parties that the LESSEE shall not vacate the demised premises during the first 11 (eleven) months from the date of commencement of the tenancy, which shall be treated as Lock-in-period. In case the LESSEE vacates the demised premises during the Lock-in-Period, LESSEE shall be liable to pay rent for the unexpired Lock-inperiod also. Apart from this if the LESSEE vacate the premises before the expiry of the lease period she will have to pay a sum of Rs.40,000/(Rupees Fourty thousand) towards professional/maintenance charges incurred by the LESSOR. However, after the Lock-in-period the parties to this Lease Agreement shall have option to terminate the lease by giving two months written notice to other party. That the demised premises are provided with independent electricity / water connection and accordingly the LESSEE shall pay for electricity/ water charges with effect from 202-2013 onwards till 1-1-2014 or till the continuation of this lease, according to the bills as and when received, direct to the authorities under intimation to the LESSOR and shall also hand over copies of the paid bills to the LESSOR. In case the said charges are recovered from the LESSOR for non-payment by the LESSEE then, the LESSOR would be entitled to recover the same from the LESSEE. That the LESSEE shall use the demised premises for their residence only. It is agreed between the LESSOR & LESSEE that this premises should not be used as guest house or P.G in any circumstances. That the LESSEE shall not be allowed to change/substitute new partner in premises during the tenancy

period i . If it is found at any stage that LESSEE sublet the premises , using it as Guest House or P.G , then this Lease deed will stand cancelled. That the LESSEE shall not be entitled to sublet, assign or part with the possession of the demised premises or any portion thereof to any one else in any case. That the LESSEE shall not make any additions or alterations in the demised premises without the prior sanction in writing of the LESSOR. That the LESSOR shall be entitled by herself or through her authorized agent/attorney to enter upon the demised premises only for inspection of the condition or repairs work if any, at any reasonable time, convenient to both the parties on any day. That the major repairs/painting/polishing etc. have been carried by the LESSOR and all minor repairs, such as replacement of fuses, bulbs, tube lights, window panes, taps, locks, minor fittings etc. will hereinafter be attended to by the LESSEE at her own cost. That House Tax/Wealth Tax/Ground Rent , scavenging Tax/charges and society maintenance charges etc. will be paid by the Lessor , in which charges for car parking are included for the demised premises .

That it is agreed that rent of the premises shall not abate under any circumstance. 13. That the LESSEE shall be liable to maintain and make good any damages to the demised premises or any fittings and fixtures provided therein including breaking of tiles in kitchen and bathroom. That the LESSEE shall cover the window with cardboard/ply after removing ACs at the expiry of the lease period in such condition as they were handed over to the LESSEE by the LESSOR. In case LESSOR has to remedy any damage to any fittings/fixtures etc. the expense shall be adjusted / deducted out of the security deposited by the LESSEE. 14. That the LESSEE shall not store any inflammable or explosive materials other then cooking gas cylinder in the demised premises. The LESSEE shall maintain the premises and fittings/ fixtures etc. in good working condition and shall be liable for any damage thereto except natural wear and tear. 15. That the Lessee shall not use the demised premises in any such manner which is objectionable or is not permitted by the Wellington Estate Condomium Association, or any other local authority or which may prejudice the Lessors rights.

That the Lessee shall not cause any nuisance to the neighbours or persons in the Wellington Estate, DLF City, Phase V, Gurgaon, 17. That the Lessee shall hand over peaceful vacant possession of the demised premises with fittings and fixtures in the same condition as they are being taken, except normal wear and tear, to the Lessor after expiry of the lease period or earlier termination thereof. 18. Notwithstanding what is stated hereinabove, the lease shall automatically stand terminated on the LESSEE committing breach of any of the terms and conditions herein or LESSOR may terminate the lease by giving one months notice in writing and the LESSEE shall vacate and hand over peaceful vacant possession of the demised premises to the LESSOR on expiry of the notice period and in that event the amount of security deposit shall be refunded by the LESSOR to the LESSEE after deducting therefrom the amounts deductible as detailed hereinabove. 19. That after expiry of the aforesaid lease period and/or earlier determination thereof, the possession of the LESSEE shall become illegal and LESSEE, if he fails to vacate the demised premises shall be liable to pay damages at market rate, subject to minimum of Rs. 50,000/- (Rupees Fifty Thousand only) per month or as may be claimed by the LESSOR. 20. That on the expiry of the aforesaid period of lease, i.e. with the end of 1-1-2014, the Lessor and the Lessee may agree to extend/renew the lease in respect of the demised premises for a further period of 11 (eleven) months subject to increase of 10% of the last paid rent and on other terms and conditions, as may be mutually agreed upon by them, and renewal shall only be in writing in accordance with law and the Lessor and Lessee executing a fresh Lease Agreement. SCHEDULE All that the flat No. W2B-084 (8th Floor) Wellington Estate, DLF City Phase-V, Gurgaon, Haryana, Comprising of one Drawing, Dining, 3 Bedrooms, 3 Bath rooms, one Kitchen, balconies, approx. super area 1412 sq.ft. One covered car parking 2BC/30. In Witness whereof the LESSOR and the LESSEE have signed this Deed of Lease Agreement on date, month and year first mentioned above in the presence of the witnesses.
