    Bidder agrees that upon submission of bid, that they have seen and agreed to the Terms and
    Conditions of Sale and acknowledges a receipt of copy of same.

    Bidder acknowledges that the assets are being sold on an “as-is, where-is” basis and that no
    guarantees are being made as to the genuiness, authenticity of, or defects in the asset
    inventory and that the auctioneer and seller are not responsible for discrepancies or
    inaccuracies. Bidder acknowledges that bidder has had the opportunity to review the sealed bid
    offering and that it is being offered on and “as-is, where-is” basis.

    TERMS: Sealed Bid Deadline: Friday, May 8, 2009 at 1PM. Bids may be mailed to: Keenan
    Auction Company, 1 Runway Rd., So. Portland, ME 04106. You may also present your sealed
    bid at any of the following preview dates: April 16 from 10AM-12PM, May 6 from 9AM-3PM and
    Thursday, May 7 from 8-10AM. Bid may also be delivered at the Bid Opening Site at Keenan
    Auction Company, Administrative Offices, 1 Runway Rd., South Portland, ME. The accepted bid
    will be due and payable on or before Monday, May 11, 2009 at 11am, in Cash or Certified
    Funds. All bids subject to confirmation of secured party. Items shall be removed from the
    property by Tuesday, May 12, 2009 at 4PM. If you should have any questions, please contact

    PAST DUE TRAILER RENTAL FEE: Currently a majority of the bottling equipment, shrink
    wrapper, shelving, clean room, stock ladder, and forklift are stored in (2) trailers at the Maysville
    St. site. The successful bidder will need to pay back rent due on the storage trailers in the
    amount of $1,450 in addition to their sealed bid. This back rent will be paid at the time of
    settlement. Maine Trailer Sales will be glad to discuss moving the trailers to a new site, with the
