Re: ABC Story The following, when signed, shall represent the basic terms of a deal memo for an option to purchase all rights to the above-noted completed screenplay for purposes of producing one motion picture based on the Property: ABC Story (the Property) William J. Lee (Producer) Screenwriter (Owner) The following shall represent the basic terms: i. ii. iii. iv. v. Commencing April 14, 2003, for a period of 6 months thereafter, Owner grants Producer the exclusive and irrevocable right to purchase any and all rights in and to the Property for the purposes of producing one feature length motion picture. The option fee shall be $1.00 US, receipt of which is hereby acknowledged upon Owners execution. Owner grants Producer the right to extend said option with a payment of $300 US for a further 6 months, concluding on April 14, 2004; All option fees must be paid prior to end of current option and are applicable toward Purchase Price of Property. The Purchase price of the Property to be the greater of (a) $20,000.00, or, (b) 1.5% of the final bonded budget of a motion picture based on the Properties, which purchase price shall be paid no later than the first day of principal photography of a motion picture based on the Property; It is agreed that if a theatrically released motion picture based on the Property reaches a gross US/Canada box office in excess of $5,000,000 as reported by Variety, Owner shall receive an additional $10,000. In the event the production grosses over $7,500,000 under the same terms, Owner shall receive an additional $10,000; Owner shall receive 3% of 100% of producers net profits under no less favorable terms as any other profit participant; Owner warrants and represents it is the sole, exclusive and unencumbered owner of the rights herein being granted and is authorized to and may enter into this Agreement; Owner agrees to provide Producer all chain of title documentation prior to commencement of option; Owner shall receive a front-end, main titles credit of Based on the novel by; Producer may assign this agreement for purposes of arranging the financing of a motion picture; All sums are in Canadian dollars and payments shall be made, subject to Owners choice by either wire transfer or certified bank draft; Owner and Producer agree that this deal memo shall be replaced by a more formal long-form agreement at a future date which shall incorporate the terms as set forth herein; This deal memo is governed by the laws of the province of Quebec, Canada;
