RISK MANAGEMENT Risk is an integral part of the banking business and bank aim at deliveringsuperior shareholder value by achieving an appropriate trade-off between risk and returns. Bank is exposed to various risks, including credit risk, market risk a n d o p e ra t io n a l ri sk. B a n k s r is k m a n a ge m e n t st ra t e g y i s b a se d o n a c le a r understanding of various risks, disciplined risk assessment and measurement procedures and continuous monitoring. The policies and procedures establishedfor this purpose are continuously benchmarked with international best practices.Bank has two dedicated groups, the RISK MANAGEMENT GR OUP (RMG)a n d C O M P L I A N C E & A U D I T G R O U P ( C A G ) w h i c h i s r e s p o n s i b l e f o r assessment, management and mitigation of risk in ICICI Bank. These groupsfrom part of the corporate center are completely independent of all businessoperations and are accountable to the Risk and Audit committees of the Boardof directors. RMG is further organized into the Credit Risk Management group,M a r k e t R i s k M a n a g e m e n t g r o u p , R e t a i l R i s k M a n a g e m e n t g r o u p a n d Operational Risk Management group. CAG is further organised into the CreditPolicies, RBI Inspection & Anti-Money Laundering Group and the InternalAudit Group. CREDIT RISK Credit risk is the risk that a borrower is unable to meet its financial obligationsto the lender. Bank measure, monitor and manage credit risk for each borrower and also at the portfolio level. Bank has standardized credit-approval processes,which include a wellestablished procedure for comprehensive credit appraisaland rating. ICICI Bank has well developed internal credit rating methodologiesfor rating obligors. The rating factors in quantitative, qualitative issues and credit enhancement features specific to the transaction. The rating serves as akey input in the approval as well as post-approval credit processes. In retail credit operations, theBoard or a Board Committee approves all products, policies and authorizations. 27 Credit approval authority lies only with the credit officers who are distinct fromthe sales team. MARKET RISK Market risk is the risk of loss resulting from changes in interest rates, foreigncurrency exchange rates, equity prices and commodity prices. The objective of market risk management is to minimize the impact of losses on earnings and equity capital due to market risk. Market risk policies include the InvestmentPolicy and the Asset-Liability Management (ALM) Policy. The policies areapproved by the Board of Directors. The Asset Liability ManagementCommittee (ALCO) of the Board of Directors stipulate liquidity and interestrate risk limits, monitors adherence to limits, articulates the organis ation sin t e re st ra t e vie w a n d d e t e rm i n e s t h e st ra t e g y in li g h t o f t h e cu rre n t a n d e xp e ct e d e n vi ro n m e n t . T h e s e p o l ic ie s a n d p ro ce sse s a re a r t icu la t e d in t h e ALPM policy. The investment policy addresses issues related to investment invarious trading products. OPREATIONAL RISK Operational risk is the risk of loss that can result from a variety of factors,i n c l u d i n g f a i l u r e t o o b t a i n p r o p e r i n t e r n a l a u t h o r i z a t i o n s , i m p r o p e r l y d o cu m e n t e d t ra n sa ct io n s, f a ilu re o f o p e r a t io n a l a n d in f o rm a t io n se c u r it y p r o ce d u re s, co m p u t e r s yst e m s, so f t wa re o r e qu ip m e n t , f ra u d , in a d e qu a t e training and employee errors. Banks approach to operational risk managementis designed to mitigate operational risk by maintaining a comprehensive systemo f i n t e r n a l c o n t r o l s , e s t a b l i s h i n g s y s t e m s a n d p r o c e d u r e s t o m o n i t o r transactions, maintaining key backup procedures and undertaking regular contingency planning.
