CONSTITUTION OF THE ILLINOIS CRUISERS YACHT CLUB

ARTICLE I NAME AND LOCATION Section 1 The name of the organization shall be the Illinois Cruisers Yacht Club hereafter referred to as ICYC or the Club. Section 2 The location of the Club shall be at Big Basin Marina in Channahon, IL. Section 3 The Clubs colors shall be teal, gold and white. Section 4 The Club pennant shall consist of the Club colors. ARTICLE II MISSION STATEMENT Section 1 The ICYC is a social organization with the primary mission and purpose of providing an environment for organized cruising in the various lakes and rivers of North American. The ICYC encourages all individuals to practice safe and responsible cruising, both socially and environmentally. Additionally, it is our purpose to raise the zenith of friendship and the spirit of camaraderie among fellow boaters and friends. Furthermore, the ICYC believes in extending a helping hand to all boaters during their time of need.

ARTICLE III MEMBERSHIP Section 1 Any person the age of twenty-one (21) or above, whose character and reputation is satisfactory to a sponsoring member, may become a member upon approval of two-thirds (2/3) of the Board of Directors. A sponsoring member must be a member in good standing greater than one year. Section 2 These shall be regular members in good standing who are active owners of a power boat or who have the use of a power boat by lease or permission of the owner. This may include all members of a family otherwise qualified. Members shall enjoy all privileges of the Club and be subject to all duties of the Club. Section 3 All applications for membership shall be made in writing by the applicant on the membership form, providing thereon the required information requested on such form. Section 4 The Club is an Equal Opportunity Affirmative Action Organization. The Club agrees that no member or applicant will be discriminated against on the basis of race, sex, veteran, or handicap status. ARTICLE IV OFFICERS Section 1 The Club shall be governed by a Board of Directors consisting of eleven (11) members. In order of their rank, they shall be as follows: Commodore, Vice-Commodore, Rear Commodore, Treasurer, Secretary, Bosun, and four (4) elected Directors and the immediate past Commodore, also a Director.

Section 2 The duties, authorities and responsibilities of Board of Directors shall be as set forth in the By-Laws of the Club. Section 3 Any member of the Board of Directors may be removed from office at any time by a vote of two-thirds (2/3) majority of the members present, after notifying all members of the meeting. ARTICLE V MEETINGS Section 1 Meetings will be called by the Commodore as per the By-Laws. Section 2 The annual meeting of members for the election of members to the Board of Directors shall be held at the time and place decided upon by the Board of Directors during the month of January. Section 3 No meeting shall be accepted as an official action of the Club without an acceptance vote of a quorum of the members present. A quorum for this purpose shall normally consist of a simple majority of the membership present. Section 4 Roberts Rules of Order shall govern in all meetings unless in conflict with the provisions of this Constitution or of the By-Laws, in which case the provisions of the Constitution and By-Laws will take precedent.

ARTICLE VI AMENDMENTS Section 1 Amendments to the Constitution and By-Laws may be made by a three-fourths (3/4) majority of the voting membership present at any regular meeting of the members, providing the same has been proposed in writing and a written notice thereof mailed to each member at least ten (10) days prior to the meeting. ARTICLE VII MEMBERSHIP OF CERTIFICATE Section 1 Membership in the Club shall be accompanied by the issuing of a membership card in lieu of a stock certificate. Each member has a conditional equity in the property of the Club, both real and personal. Section 2 Should the holder of this card cease to be a member of the Club because of expulsion, failure to pay dues legally assessed, or for any other reason growing out fault of the holder thereof, then this card may immediately and by reason thereof at the discretion of the Board of Directors be declared null and void. Such member may make no claim against the Club for reimbursement of fees. Section 3 The Illinois Cruisers Yacht Club assumes no obligations unless or by reason of having issued the card, except the sole obligation to carry out the provisions hereof in good faith. Section 4 All cards shall be signed by the Commodore and a correct record kept thereof. Section 5 The fiscal year of this club will begin on the first of the month following the Commodores Ball.
