Host Company Agreement ASSE Aspire Work and Travel Program

This agreement (Agreement) is made between ASSE International, Inc., doing business as Aspire Worldwide, LLC (ASSE Aspire), located at 228 N Coast Hwy, Laguna Beach, California 92651 and Employer ___________________________________________________________________________(Host Company), Corporate Address_____________________________________________________________________ and Site of Activity Address __________________________________________________________________. The purpose of the Agreement is to establish the respective rights and obligations of the parties thereto regarding the job placement of international students (Participants), participating in the ASSE Aspire Work and Travel Program and specifically the Participant identified in the attached Job Offer. ASSE Aspire is neither an employer nor Participant and, acting as a facilitator of employment, has the responsibility to ensure that the Participant and Host Company comply with all applicable Department of State regulations. This agreement becomes effective on the date it is signed. The ASSE Aspire Work and Travel Program, as a U.S. Department of State designated Exchange Visitor Program, complies with the U.S. Department of State regulations outlined in 22 CFR Part 63 and is the designated sponsor of each Work and Travel Participant during their program. ASSE Aspire agrees that it will ensure that all Participants placed in these positions will meet the basic qualifications identified in their Job Offer. However, ASSE Aspire is not responsible for any misrepresentations regarding their qualifications made by the Participants applying to the ASSE Aspire Work and Travel Program. Will abide by the regulations governing the Exchange Visitor Program (22 CFR Part 62.32) as administered by the U.S. Department of State. 2. Will place Participants only in seasonal or temporary jobs which are not otherwise being filled by Americans. Will not be displacing U.S. workers by employing J-1 visa students at the worksite(s) where they are placed. Will ensure Participants will work along-side American employees. 3. Will observe all applicable local, state and federal labor laws including ensuring that the Participants placed receive pay and benefits which meet or exceed those required by the higher of local, state or federal minimum wage (including overtime). 4. Understands that the Participant is on a cultural exchange program encouraging Participants to interact with Americans and avail themselves of 6 local sites of interest as of cultural or historic value and accepts that ASSE Aspire is the U.S. Department of State designated sponsor of the Participant during his/her stay in the USA. 5. Will provide employment consistent with the employment terms outlined in the Job Offer to all Participants placed in these positions and to this Participant, specifically. 6. Will immediately advise the Participant and ASSE Aspire of any proposed changes that will affect the job. Such changes include, but are not limited to, the location, pay, position, and length of employment. 7. Reserves the right to terminate employment at will, but agrees to make a good faith effort to retain Participants as long as the Participants meet the basic qualifications identified in their Job Offer and perform their assigned tasks in a satisfactory manner. 8. Will make a good faith effort to retain Participants in the event of a labor force reduction. 9. Will notify ASSE Aspire promptly when the students arrive at the work site to begin their programs or have not arrived by their program start date; when there are any changes or deviations in the job placements during the program period; when the students are not meeting the requirements of their job placements; or when students leave their position ahead of their planned departure due to either at will resignation or employer termination. 10. Will not employ Participants (1) in positions that are substantially commission-based and thus do not guarantee that a Participant will be paid minimum wage in accordance with local, state and federal standards for all hours worked; (2) in sales positions that require Participants to purchase inventory that they must sell in order to support themselves; (3) in domestic help positions in private homes (e.g., child care, elder care, gardener, chauffeur); (4) as pedicab or rolling chair drivers or operators; (5) as operators of vehicles or vessels that carry passengers for hire and/or for which commercial drivers licenses are required; (6) in any position related to clinical care that involves patient contact; (7) in any position in the adult entertainment industry; (8)in positions that requiring work hours that fall predominantly between 10:00pm and 6:00am; (9) in positions that could be hazardous or require sustained physical

contact (eg. Body piercing, tattooing, massages, manicuring, etc.); (9) as well as in positions directly involved in gambling chemical pest control, warehousing, catalogues online distribution, traveling fairs, camp counselors, interns, trainees, fish packing; (10) in any position that could bring notoriety or disrepute to the Exchange Visitor Program. Will uphold the objectives of the ASSE Aspire Program by promoting cultural understanding and positive experiences for the Participants. If housing and/or transportation is provided by the Host Company as a condition of employment, it will provide housing and/or transportation that is safe, comfortable, and in compliance with local, state and federal housing codes and regulations. The cost of housing is reasonable and affordable given the Participants compensation. If the cost of housing and/or transportation to the Participants is deducted from the Participants pay, the Host Company must explicitly describe such arrangements and specify the market value of the housing and/or transportation in the Job offer. Host Company attests to not having experienced layoffs in the past 120 days nor lockouts or strikes. Has ______ maximum number of positions available for J-1 visa students provided by ASSE Aspire. Has ______ maximum number of positions available for J-1 visa students from all Sponsor Organizations.

Host Company acknowledges there is valid Workmens Compensation Policy. This coverage will be maintained for any and all Participants program duration. Host Company further certifies, under penalty of perjury, that the below indicated Employer Identification Number is true and correct. Host Company acknowledges the receipt of the copy of the Employer Responsibilities When Hiring Foreign Workers and the Department of State Regulations Governing Exchange Visitor Programs. Host Company understands and Agrees that our responsibilities under the agreement applies to all the students under the Host Companys employment. Host Company understands that ASSE Aspire cannot guarantee visa approvals, arrival dates, or job performance of Participants placed with Host Company. However, ASSE Aspire will make a good-faith effort to ensure that the Participants will arrive on time to commence their employment with Host Company, abide by the terms of their employment and perform their assigned tasks in satisfactory manner.
