BACKGROUND:
M/s Rajasthan Technical University, Kota (customer, referred hereinafter) requires to procure NEPLAN license for academic purpose. We take reference of your subject enquiry for supply of software package for power system study having all relevant features; ABB Ltd. (ABB, referred hereinafter) pleased to submit our offer for NEPLAN Power System Toolbox for Education and Research for the above-mentioned requirement.

ABOUT ABB:
Reliable and efficient power distribution network of industries is one of biggest contributor to plant performance. Under existing circumstances of zero tolerance to power failure leading to productivity loss on account of power distribution related issues, power system studies and analysis is of top relevance. ABB in India offers has done pioneering work in power system consulting. Our service portfolio covers areas Viz. 1. Power system studies & system trouble shooting 2. Green field / expansion Engineering 3. Diagnostic testing / residual life assessment of switchyard / plant equipment 4. Asset Management Service 5. NEPLAN software sales and support NEPLAN software for power system studies can be used for simulating all power system scenarios in Generation, Transmission and Distribution. This PC program for network studies, already being used successfully all over the world, was co-developed by ABB Caller Emag Schaltanlagen AG and has been continually improved since its debut in 1989. NEPLAN is used worldwide in more than 40 countries by more than 400 companies (>2500 licenses), such as small and large electrical utilities, industries, engineering companies, consultants and universities. The specifications, general requirement and scope of supply are as follows. ABB Ltd. (ABB, referred hereinafter) is pleased to submit proposal for the said services.

SCOPE OF WORK:
The scope of supply shall be 1 no. server license for 25 concurrent user license of NEPLAN software for 50 nodes with below mentioned modules with hardware lock and activation string: Graphical Database Editor Load Flow, Short Circuit Motor Starting Over current Protection(Selectivity Analysis) Distance Protection Arc Flash Calculation Harmonic Analysis Optimal Separation Points Optimal Network Restoration Strategy Load Profile Time Simulation Reliability Analysis Optimization of Distribution Networks Optimal Capacitor Placement Investment Analysis Available Transfer Capability Analysis (ATC)

The server license software is installed on the server. The USB Hardlock will be installed on the server. There will be no separate hardlock for the client. ABB will not substitute lost USB hardlock. A module-wise feature of the NEPLAN software package is attached in Annexure-I. Reference list of the customers for NEPLAN software is attached as Annexure-II

HARDWARE/SOFTWARE (PC/LAPTOP) REQUIREMENTS

Media License and Source Code:
For all commercial softwares the source code rests with the licensor and is not provided with the software

Hardware
Processor: Pentium III 1 GHz or faster RAM: 128 MB minimum, 512 MB recommended (depends on network size and use of calculation modules) CD-ROM drive Graphic card resolution 1024 x 768 or higher. All printers, plotter (A4-A0) that are supported by MS-Windows can be used. Windows XP, 2000, NT, Window-VISTA, Windows 2010 Microsoft Office recommended for easy evaluation of results ODBC driver only if opted for ODBC connection PDF writer/reader for report preparation/printing (optional)

Software

Note: Supply of any hardware or software requirements for use of NEPLAN software is not
included in the scope of work.

USER TRAINING
We offer training for maximum 2 days by our expert at your premises after the dispatch and installation of the software. The training will be structured from basics of NEPLAN Modeling, Analysis and Planning Modules in practical constraints with supporting on-line user manual (Electronic format).

ABB
For any additional man-days if required or requested by you shall be charged @ Rs. 12000/- per man-day. For any additional visits to be made at your request, the travel (Air/Train-I/II AC fare), lodging & boarding expenses shall be additionally reimbursed at actuals along with the man-day rate as mentioned above.

WARRANTY
We shall provide free technical support for the period of twelve months from the date of your order. We shall also provide free of charge maintenance of the software and provide up-gradation of the software modules during this period. The technical support would mean, answering queries over e-mail, fax, written communication and phone. It would not entail any visit to customer premises. All licensing agreements with Customer Shall be governed by the General Licensing Conditions as attached in Annexure-III. a. b. The media of the software shall have warranty of one year provided it is stored and handled with care. DELIVERY SCHEDULE
Delivery shall be within 2 weeks from PO date. ABBs engineer will visit to install the software at your premises.

PRICE SCHEDULE
Price for 1 no. NEPLAN Server license for 25 concurrent users with maximum 50 nodes, modules as described above and including technical support and software up gradation during period of One year. COMMERCIAL TERMS AND CONDITIONS:

1. TERMS OF PAYMENTS

Payment shall be made within 30 days after receipt of invoice as per the following terms: i. 100% payment against installation and completion of training.

2. Annual Maintenance contract (AMC) for NEPLAN software after expiry period
The technical support on NEPLAN usage, its up gradation after the expiry period (after 12 months) shall be governed by the Annual Maintenance Contract. Our price for the Annual Maintenance Contract (AMC) shall be 10% of license price and valid for one years. As per Central Govt. directives, service tax shall be paid at extra on the contract price. AMC will start after warranty period of 1 year, subject to placement of order. Travel, boarding & lodging cost shall be paid extra at actual in case of any visits to be made to your offices/sites during AMC period.

3.

Guarantee

Satisfactory operation of the equipment offered shall be guaranteed for 12 months from the date of commissioning or 18 months from the date of receipt of all items in satisfactory condition, whichever is earlier. ABB shall undertake to repair or replace any parts, which is defective or unequal to the rated duties due to faulty materials, design or workmanship. Stated performance figures shall be guaranteed.

4.

Use of University License

The university package can only be used for educational and research purposes. It is strictly not allowed to use this version for commercial purposes. The university has to sign up a contract, which includes this limitation of the use. If the software nevertheless is used for commercial purposes a compensation of INR 50,00,000/- (Rupees Fifty Lakhs only) must be paid by the purchaser to M/s ABB.

Clauses 5, 6 & 7 are mandatory clauses required in all purchase orders, without which we are not allowed to accept any PO as per group directives.

Limitation of Liability

Whether arising in contract, tort (including negligence whether active or passive), warranty, strict liability or otherwise, the liability of ABB, its agents, employees, subcontractors and suppliers with respect to any and all claims arising out of the performance or nonperformance of obligations under the contract, whether arising in contract, tort (including negligence whether active or passive, warranty, strict liability or otherwise, shall not exceed in the aggregate the payment received and shall in no event include damages for loss of profit, loss of revenues, loss of power, loss of use, costs of capital, downtime costs, delays and claims of customers of purchaser or costs of replacement of power or loss of anticipated savings, increased costs of operation or for any special, indirect or consequential damage, loss of any nature whatsoever whether arising in contract, tort (including negligence whether active or passive), warranty, strict liability or otherwise. No such claim shall be asserted against ABB, its agents, employees, subcontractors or suppliers, unless the injury, loss or damage giving rise to the claim is sustained prior to the expiration of the period of warranty specified in the Contract and no suit or action thereon shall be instituted. This LIMITATION OF LIABILITY Article shall prevail over any conflicting or inconsistent provisions contained in any of the documents comprising the Contract, except to the extent such conflicting or inconsistent provisions further restrict the ABB's liability.

6.

Arbitration

The Parties shall settle all or any of the differences, disputes through mutual discussions amicably. The resolution of all disputes, which cannot be resolved amicably through mutual discussions, shall be settled through arbitration as provided under the Indian Arbitration and Conciliation Act, 1996. Each party shall appoint an arbitrator from their side and two arbitrators shall appoint / select the third arbitrator who will preside over the arbitral tribunal which shall consist three arbitrators. The arbitration proceedings shall take place in at a place mutually acceptable to both the parties and shall be conducted in the English language.

7. Direct & Indirect consequential losses
Neither Party shall be liable to the other Party or any of its contractors or agents for loss of use of any works, loss of profit, loss of any contract or any other special, indirect or consequential loss or damage which may be suffered by the other party in connection with the Contract. (This clause is subject to immediate service/replacement of faulty material)

8.

Cancellation

ABB reserves the right to cancel this Contract by giving written notice to the customer in the event of material breach of the terms and conditions mentioned herein. In the event of such cancellation, the customer shall pay to ABB: a) the unpaid balance due for the work actually performed and b) all direct costs incurred by the ABB due to the cancellation.

9.

Force Majeure

ABB shall neither be liable for loss, damage, detention or delay nor be deemed to be default for failure to perform when prevented from doing so by causes beyond its reasonable control including but not limited to acts of war (declared or undeclared), Acts of God, fire, strike, labour difficulties, acts or omissions of any governmental authority or of purchaser, compliance with government regulations, insurrection or riot embargo, delays or shortages in transportation or inability to obtain necessary labour, materials, or manufacturing facilities from usual sources or from defects or delays in the performance of its suppliers or subcontractors due to any of the foregoing enumerated causes.

10.

Nuclear Insurance Indemnity

For applications in nuclear projects, the Purchaser and/or its end user Purchaser shall have complete insurance protection against liability and property damage resulting from a nuclear incident to and shall indemnify ABB, its subcontractors, suppliers and vendors against all claims resulting from a nuclear incident.

11.

Inventions and Information

Unless otherwise agreed in writing by ABB and Purchaser, all right, title and interest in any inventions, developments, improvements or modifications of Services shall remain with ABB. Any design, manufacturing drawings or other information submitted to the Purchaser remains the exclusive property of ABB. Purchaser shall not, without ABB's prior written consent, copy or disclose such information to a third party. Such information shall be used solely for the operation or maintenance of the Equipment and not for any other purpose, including the duplication thereof in whole or in part.

12.

Taxes & Duties

The quoted prices are exclusive of all taxes and duties; as per Central Govt. directives CST of 5% shall be applicable or as per prevailing rates. In case of statutory variations in taxes, levies etc will be to the account of customer. For the purpose of this Contract, the Contract Price is based on the taxes, duties, levies, cess, rates and other similar charges, at the rates prevailing at the time of bid submission. If any rates of Taxes are increased or decreased, a new Tax is introduced, an existing Tax is abolished, or any change in interpretation or application of any Tax occurs during the course of the performance of the Contract, including the extended period of the contract, which was or will be assessed on ABB in connection with performance of the Contract, the additional tax impact thereof to be added in the contract price and to be paid to ABB by the customer, extra at actuals, against documentary evidence i.e. ABBs invoice. If the changes in tax rates, or introduction of new taxes, result in reduction in the tax liability assessed or to be assessed on ABB, the contract price shall be reduced by such reduction in ABB's tax liability. These adjustments shall not be applicable on procurement of raw materials and components to be used in ABBs factories and also on the civil construction material purchased and used by ABB.

Validity of offer

The prices indicated are valid till 30th August, 2013.
