INDUSTRIAL CENTER LEASE NAM E OF CENTER: AABACUS INDUSTRIAL PARK, INC 1. PARTIES.

This Lease, dated as of this, _____ day of October, 2010 is made by and between LANDLORD: AAbacus Industrial Park, Inc. (Landlord) and THC M anagement & Consulting, LLC (Tenant). 2. PREM ISES. Landlord does hereby lease to Tenant and Tenant does hereby lease from Landlord that certain space (herein called "Premises"), containing approximately 10,000 square feet of floor, at the minimum monthly rent as set forth herein. The location and dimensions of said Premises are delineated on Exhibit A attached hereto and incorporated by reference herein. Said Premises are located at 3240 West Sunset Road, Suite 103, Las Vegas, NV 89118, in the Clark County, in the state of Nevada. This Lease is subject to the terms, covenants and conditions herein set forth and the Tenant covenants as a material part of the consideration for this Lease to keep and perform each and all of said terms, covenants and conditions by it to be kept and performed. 3. USE. T he T enant shall use the Premises for the following uses and no other: the operation and sub-leasing of spaces to individuals for the growing of legal medical marijuana.

4. M INIM UM RENT. T enant agrees to pay Landlord as Minimum Rent, without notice or demand, the monthly sum of (see attached Exhibit E) in advance, on or before the first day of each and every successive calendar month during the terns hereof except the first month's rent shall be paid upon the execution hereof. For any month after the 12 th month of the lease the minimum monthly rent shall increase 3% per year. The Minimum Rent shall become due and commence 180 DAYS after Landlord has given possession to the Premises to Tenant.

5. TERM . The Lease term shall be Five (5) Calendar years, plus the partial year in which the rental commences. The Lease term shall commence when Tenant begins to pay Minimum Rent. The Tenant shall have the option to extend the lease for two (2) option periods of Five-Years each. The Lease will automatically renew unless Tenant provides to Landlord written notice of its intent to terminate the Lease not less than one hundred and eighty (180) days prior to the expiration of the Lease term. The parties hereto acknowledge that certain obligations under various articles hereof may commence prior to the Lease term, i.e., construction, hold harmless, liability insurance, etc., and the parties agree to be bound by these articles prior to commencement of the Lease term. 6. SECURITY DEPOSIT. Concurrently with Tenant's execution of this Lease, Tenant has deposited with Landlord the sum of Five Thousand Dollars ($5,000.00).
