CONTRACT ON PROVIDING SERVICES Made in Belgrade on ___________ between: 1. H.U.T.P. Balkan A.D.

, (registration number: 06933939, tax identification number: 100120608), Prizrenska Street No. 2, 11000 Belgrade, represented by director Milo Kosti, (hereinafter as a Provider of services), And 2. ADC Consulting, address. _______________registration number: ______________, tax identification number:______________),_________________________________ represented by director ______________________, (hereinafter as a User of services). Article 1. Hereby contract, Provider of services accepts supply of catering services and the other services for the purposes of User of services, which includes using the hotel accommodation capacity on the special prices within Hotel Balkan, Prizrenska Street No. 2, Belgrade, as well as the other services of the Hotel. Article 2. The prices are specified per room / for one person on the basis of overnight stay with the breakfast included in the restaurant of the Hotel, with the ammount of turistic tax and incurance, VAT and the discount of 20% included. Additional payment for the second respectively the third person in the room is 20. The children which are less than 12 years old with the accompaniment of two adult persons dont pay the additional payment. A Hotel guarantees that all the rooms are equiped in the compliance with the standards and regulations which apply to the hotels of all categories, and also includes direct telephone line and free wireless internet connection. The guests of hotel have the opportunity of using the parking places of hotel and that are parking places in front of the entrance of the hotel for the price of 5 or in the public garage in the Narodni front street for the price of 10, in accordance with the availability of the parking place in the moment of arrival of the guest. Hotel does not make reservations of parking places. Shuttle bus service is available at the rate of 15 per person (one way direction) or LIMO service at the rate of 50 per car per direction. In order to book airport pick up, you are kindly asked to send us the exact flight details (airline company name, flight number, time of arrival). Article 3. All prices from the article 2. of this Contract expressed in euro (EUR) are unchangeable. The price expressed in dinars (RSD) depends from the current middle exchange rate of the National Bank Serbia on the day of the beginning of services. Article 4. In case of changing conditions on the market, Hotel reserve right on adjustment the prices from the article 2. of the Contract, which the customer will be notified in writing form beforehand. In case the adjustment of the prices isnt provided to the customer beforehand, it will be considered valuable the prices from the last delivered price list.

Article 5. The fee for providing Hotel services due to this Contract can be remunerate in cash, by cards that the Hotel accepts: VISA, MASTER CARD, DINERS, AMERICAN EXPRESS, MAESTRO, DINA or by the bank transfer on the base of delivered pro forma invoice which Hotel delivers to the customer before the service provided. The customer undertakes to pay receved pro forma invoice no later that 3 working days before arrival of the guest.

3 For the reason of preclude of abuse using services which have special prices defined by the article 2. of the Contract as well as invoice to the customer all the other services which are charged on regular price list of the Hotel, Hotel will contact a customer during invoicement respectively payment in cash or by credit card, for the reason of checking and approval of customer. If the customer doesnt prove that it is a guest of company or refuse to pay services which are chargeable on the regular price list, a Hotel will charge a regular price of the service provided directly from the customer of service from the price list of the Hotel. Article 6. Reservations of accommodation pursue by the direct contact to the service for reservations, by the phone number +(381) 011 36-36-000, or by mail: reservations@balkanhotel.net, with identification: EMS project 2009-2010. A customer is obliged to send every demand for reservation via letter on memorandum of the company/organisation, and with this letter, customer guaranties that he made a reservation; vice-versa a guest guarantees a reservation personally. Authorized companies for guarantee reservations at the special rate are: Red Electrica de Espana S.A,CESI, INDRA Sistemas, ADC Consulting. If the reservation is not guaranteed by the customer, guaranteed reservations automatically take place. Hotel is obligated to make a confirmation of reservation after the receiving it, if the hotel availability allows it. In case of impossibility of confirmation of reservation of the room in reason of full capacity of the Hotel, Hotel will attempt to find in any way wanted or the other equivalent accommodation in within a hotel capacity, thereof a Hotel will notice a customer of services. In case of cancellation of reservation of the room from the customer 24 hours before the planned arrival of the guest, the customer is free of paying fee from the article 2 of the Contract. For untimely cancellation of reservation or absence of the guest, a fee for 1 (one) night will be charged, or the fee for 3 (three) nights will be charged if the planned stay of the guest was longer than 7 (seven) days. Accommodation of the guests in Hotel is performed from 14 oclock, and departure of the guests from the hotel is till 12 oclock. Article 7 This contract enters into force by the date of mutual signing from the certified representatives of contract parties and will be concluded on fixed time until 31/12/2010. If none contract party doesnt notify other contract party that doesnt want to renew a contract no later than 30 days before expiration of contract date from the posture above, this contract will be extended automatically for the next period of 12 (twelve) months.

4 The number of prolongation of the contract on the manner described in the posture above isnt limited. Contract can be break by any contract party by writing letter, with termination period of 15 (fifteen days), in cases defined by the law.

Article 8 By signing this contract both contract parties confirm acceptation of the prices and conditions from this contract. Changes and amendments of this contract are possible only by written way, in form of correspondent annexes of this contract. Article 9 Contract parties are agreeable that on all questions which arent regulated by this contract will be applied a regulations of Law of obligations. Article 10 For all disputes arise from this Contract, and which cannot be resolved by the mutual peaceful agreement, the competence of the Commercial court in Belgrade is established. Article 11 The contract has been made in 2 (two) identical exemplars, every contract party keeps 1 (one) exemplar of the contract. For Hotel Balkan A.D.
