Jayne:

Increase share holdings from 2,400,000 to 4,000,000 shares

10,000 shares per month can be traded freely so long as the average share price for the
previous week was $1.50

$25,000 U.S. monthly based on existing duties of running the entire company with Peter
Csanky. Salaries to be amended as responsibilities change.

$500,000 to be paid for the 20% interest of Playgrounds and Blackeye Productions.
Payment is to be made in five installments of $100,000 at the commencement of each
year starting January 1, 2009.

$25,000 bonus upon the signing of a formal share structure

$500,000 to be paid as bonuses for reaching milestones. Each milestone payment is


$25,000. Details of all milestones will be provided prior to the formal signing of any
share structure.

All travel expenses to be paid, including accommodations, meals, airfares, car rental.

Full dental and medical benefits

Management contract to be agreed to prior to any share agreement. Management


agreement in principal to include salary and milestone provisions above and termination
payment equal to the amount of salaries to be paid, between the time of the termination to
five year of the contract period.
Pete:

10,000 shares per month can be traded freely so long as the average share price for the

$25,000 U.S. monthly based on existing duties of running the entire company with Peter

$200,000 to be paid for outstanding past work performed but not paid. Such amount to be
paid in full within 12months of a formal share structure.

$25,000 bonus upon the signing of a formal share structure

$500,000 to be paid as bonuses for reaching milestones. Each milestone payment is


$25,000. Details of all milestones will be provided prior to the formal signing of any
share structure.

All travel expenses to be paid, including accommodations, meals, airfares, car rental.

Right to purchase an additional 800,000 shares at 65cents to be restricted stock for a


period of 1year from the time of purchase.
Vic:

No increase in existing shares. And all current shares are restricted for a period of
18months.

All existing monies invested in the past or future to be repaid as short term loan and
payable on a monthly basis. Current loan is $1.65million. Monthly payments to be a
minimum of $25,000 per month starting the formalization of a share structure.

Options instead of taking payments to convert to shares based on $.0615 and such shares
to be restricted for 36months.

Option to invest up to $5million dollars into the company for shares at 50cents so long as
the minimum investment is $500,000.00. Shares are restricted for 1 year.

If agreed to by a 75% vote of all shareholders Vic can assume the role of CEO. If this
option is excercised by Vic then the following:

 $25,000 monthly salary.
