THE ARBITRATION OPTION IN PROTECTION OF INVESTMENTS TREATIES: Treaty Claims vs. Contracts Claims

Ceuxci prvoient le plus souvent que linvestisseur tranger peut sous rserve de la runion de certains lments faire trancher le litige qui loppose ltat daccueil de son investissement non pas par les juridictions nationales de celui-ci, mais par un tribunal arbitral. Numerous States have ratified bilateral or multilateral treaties for the protection of investments (hereinafter BIT ). They generally state that subject to certain conditions the foreign investor is entitled to settle a dispute against the host State not by the local courts, but by an arbitration tribunal.
Pursuant to treaties for the protection of foreign investments between two or more States, treaties between regional States (ex: ALENA) or treaties relating to specific activities (ex: Energy Charter Treaty), the foreign investor can claim against the host State under arbitration proceedings, generally either before the International Center for Settlement of Investment Disputes (ICSID) or before an international arbitration tribunal pursuant to CNUDCI rules.
The use of international treaties by investors to settle a dispute against the State hosting the investment is quite recent, but it has nevertheless made its mark in international commercial arbitration. We would like hereunder to focus on a specific issue: a foreign company has invested in a country through an investment contract, under which the courts of the State are deemed competent to settle disputes arising out

of the contract. In addition to the investment contract, however, the hosting State has also ratified the BIT with the investors State. A dispute occurs during the performance of the contract: is the investor obliged to act pursuant to the contract ( Contract Claim ) or is he entitled to act pursuant to the BIT ( Treaty Claim )?

Survient un litige dans le cadre de lexcution du contrat : linvestisseur doit-il agir sur le fondement du contrat (Contract Claim) ou peut-il agir sur le fondement du BIT (Treaty Claim) ? Les investisseurs ont de plus en plus tendance choisir la possibilit qui leur est offerte par un BIT dutiliser la voie arbitrale plutt que celle des juridictions de ltat daccueil, et prfrer larbitrage CIRDI 3 dautres arbitrages, notamment dans la mesure o la sentence CIRDI est dispense dexequatur. Dautant que la notion dinvestissement qui na pas t dfinie dans la Convention de Washington faute de consensus est dtermine par les tribunaux arbitraux, lesquels semblent jusqu aujourdhui avoir une conception large et librale de la notion. Aprs la sentence Salini qui dterminait quatre critres de qualification dun investissement 4, la sentence SGS c/Pakistan indique quil sagit des crances montaires et droits toute prestation ayant une valeur conomique , reprenant en cela la dfinition du BIT conclu entre la Suisse et le Pakistan 5. Nous nentrerons pas dans la discussion relative la qualification dinvestissement de certaines oprations conomiques, pour renvoyer des tudes trs compltes 6. Nous postulerons, pour les besoins du prsent article (quitte prendre un raccourci) que toute opration conomique dune certaine dure ralise par un investisseur dans un pays tranger peut tre qualifie dinvestissement. Notre investisseur, donc, se pose la question de savoir sil peut agir devant le CIRDI contre ltat daccueil sur le fondement du BIT liant ltat dont il est le ressortissant et ltat daccueil de linvestissement, bien que le contrat dinvestissement stipule que tout litige dcoulant du contrat sera tranch par les juridictions de ltat. Dans quelle mesure la demande de linvestisseur a-t-elle des chances de prosprer ? Nous examinerons dabord deux pralables ncessaires une demande darbitrage de linvestisseur (I), puis linstrumentum sur lequel linvestisseur va fonder sa demande (II).
Investors are increasingly likely to act pursuant to a BIT, using arbitration rather than litigation in the local courts, and to elect ICSID arbitration compared to other arbitration tribunals, particularly to the extent that ICSID award does not require the prevailing party to obtain exequatur in order to be enforceable. The determination of what is a protected investment which has not been defined by the Washington Convention due to the lack of consensus is resolved either by the BIT themselves, or by the arbitration tribunals, which until today seem to have a broad approach of the notion. After the Salini award, identifying four criteria for an investment, the SGS v. Pakistan award has decided that an investment is constituted by crances montaires et droits toute prestation ayant une valeur conomique , indicating the definition given by the BIT in a dispute between Switzerland and Pakistan. We will not discuss the investment notion, and we will suggest for this to refer to very detailed discussions cited below. For the purposes of this article, we will assume (even if this can be considered as a short cut) that any economic operation of a certain duration by an investor in a foreign State can be considered as a protected investment.
The investor in our case, then, is wondering if he can bring an action before ICSID against the host State pursuant to the BIT between his own State and the State hosting his investment (despite the contract stipulating that a contractual dispute shall be settled by the local courts). To what extent can the investors claim be successful?
We will first examine two necessary prerequisites for an arbitration claim (I), and second the instrumentum pursuant to which the investor can ground its claim (II).

ltat daccueil. Linvestisseur peut-il invoquer des manquements contractuels de ltat pour agir sur le fondement du BIT ? Nous examinerons dabord la question du consentement de ltat larbitrage (A) 7 avant de nous attacher la nature publique du co-contractant de linvestisseur (B).
We will discuss the consent of the State to arbitration (A) before the public nature of the investor cocontracting party (B).
Has the host State consented to arbitration? Ex hypothesis, the host State has not included any arbitration clause or arbitration agreement in the contract with the investor and the question occurs whether or not an international arbitration can be set up despite the agreement between the disputing parties. Some former awards have decided that the States ratification of the BIT constituted agreement in advance to arbitration, the Treaty thus creating the consent necessary to arbitration validity. This offer of arbitration from the State, when accepted by the investor, provides the foundation for the consensual character of arbitration. Without taking a position, one can nevertheless question the basis for the finding of consent, since only the investor can bring the claim before the arbitration tribunal. The State can not itself bring an arbitration against the investor since the investor has not indicated its acceptance of arbitration pursuant to the BIT. Moreover, is it possible for the host State to give its consent pursuant to the Treaty, since at the time the treaty was signed it had no relationship with the investors The situation can be analysed as a contracting offer from the State in the Treaty, or more precisely as a provision under which the State has given a blanket consent to arbitration. The consent to arbitration would therefore be a dissociated one. This arbitration without privity , which might have been disputed in doctrine, allows nevertheless today the investor to act pursuant to a BIT, all the more obviously since the substantial and procedural conditions are fulfilled.
If it is possible to consider with the above reserves that the State has agreed in advance to arbitration, what happens if the investors co-contractor is not the State himself, but an entity issued from the State (public company, public or local authorities)? If there is an arbitration offer pursuant to the BIT, the author of said offer is the State as an international body. Neither public companies nor public authorities are offering parties pursuant to the BIT.
B. The Public Co-contracting Party: State and Public Authorities In a well known article, Professor Mayer had pointed out the specificity of State Contracts. In this analysis, the State contract is entered into between the State as an international entity and a foreign co-contractor. It is not unusual for the investment contract not be signed by the State itself, but by one of its constituent subsidiaries: national body, State administration, territorial body, administrative agency, local government, etc.

Customary international law considers that any unlawful international act by States constituent subdivisions triggers the States international responsibility. A State can not put forward its Constitution or its local organisation in order to avoid its responsibility. The same applies as regards entities exercising by virtue of public power. A State can not put forward the sharing of powers and the responsibilities arising out its proper law to escape from its obligations pursuant to a BIT. Accordingly the State is responsible for breaches of a BIT by its constituent subdivisions.
The question is more open as regards public companies. The State can not be confused with a company, even if said company is wholly-owned by the State, and mme si la socit nest autre chose quun moyen pour ses actionnaires de poursuivre leurs propres fins conomiques, elle nen possde pas moins, tant quelle subsiste, une existence indpendante. Cest pourquoi les intrts des actionnaires peuvent tre distingus de ceux de la socit et sen distinguent en fait, de sorte que lon ne saurait nier la possibilit dune divergence entre les uns et les autres .
In the years 1960-70, some arbitration awards decided about the relationship between the State and public companies: the Shapphire award ruled that the National Iranian Oil Company (NIOC) was a body of the Iranian State, but the Court of Appeal of the Hague has decided that NIOC was a private entity acting jure gestionis.
More recently, two ICSID awards have decide that a federal State is responsible for acts committed by its local subdivisions. The Metalclad award reinforced the rule of normal State responsibility . In Compania de Aguas del Aconquija et Vivendi Universal v. Argentina, the arbitrators have rejected the Argentine State position whereby the State disclaims its responsibility for acts committed by the Argentine pro-

Universal c/ Argentine, les arbitres ont rejet la position de ltat argentin consistant dcliner sa responsabilit pour des faits commis par la province argentine de Tucuman, en dcidant que ltat argentin devait rpondre des actes illicites commis par sa province, en application du droit international (21). A ce sujet, larticle 25 (1) de la Convention de Washington du 18 mars 1965 instituant larbitrage CIRDI nonce que : La comptence du Centre stend aux diffrends dordre juridique entre un tat contractant (ou telle collectivit publique ou tel organisme public quil dsigne au Centre) et le ressortissant dun autre tat contractant qui sont en relation directe avec un investissement et que les parties ont consenti par crit soumettre au Centre . En consquence, lorsque le contrat dinvestissement est conclu non par ltat lui-mme mais par une collectivit publique ou un organisme public, il faut que ltat dsigne celui-ci au Centre. Force est de constater que ltat ne sy emploie pas spontanment en labsence de demande de linvestisseur. Cependant, en application de la jurisprudence Compania de Aguas del Aconquija et Vivendi Universal c/ Argentine prcite, labsence de dsignation par ltat au Centre de son manation semble indiffrente pour la dtermination de la comptence du Centre.
vince of Tucuman. The arbitrators have decided that the Argentine State is liable for unlawful acts committed by its local authority according to international law: Under international law, the acts of organs of both the central government and the provincial authorities are attributable to the State with the result that Argentina cannot rely on its federal structure as a means of limiting its treaty obligation (Award, 49) . On this topic, Article 25 (1) of the Washington Convention instituting ICSID arbitration states that: The jurisdiction of the Centre shall extend to any legal dispute arising directly out of an investment, between a Contracting State (or any constituent subdivision or agency of a Contracting State designated to the Centre by that State) and or national of another Contracting State, which the parties to the dispute consent in writing to submit to the Centre. When the parties have given their consent, no party may withdraw its consent unilaterally .
Consequently, when the investment contract is signed not by the State itself but by a constituent body, there is a requirement to designate such body by the State to the Centre. One should realize, however, that this designation does not happen automatically and the investor may not be successful in having the State so designate the contracting body. Nevertheless, according to Compania de Aguas del Aconquija and Vivendi Universal v. Argentina, the lack of designation by the State to the Centre of its constituent body seemed to be irrelevant to determine the competence of the Centre.
Numerous BIT provisions state the irrevocable choice of the settlement of disputes road, pursuant to which if the investor wishes to act directly before ICSID tribunal according to the BIT, it shall not already have acted before the host State jurisdictions. As an example, the BIT between France and Argentina of 3 July 1991 states under Article 8.2 that the choice of submission of the dispute either to the jurisdictions of the host State or to international arbitration is final ( Fork in the road or more precisely the irrevocable option provision).

One might wonder what would be the situation under an infrastructure project (concession or Build, Operate, Transfer contract) whereby the local special-purpose project company has already acted before the host State courts, while the foreign investor (controlling shareholder of the project company) grounds its claim under the BIT to act directly before ICSID tribunal: what is the impact of the local companys judiciary proceedings on the arbitration tribunal competence?
On peut se demander quelle serait la situation dans le cadre dun projet dinfrastructure (concession ou Build, Operate, Transfer par exemple) lorsque la socit de projet titulaire du contrat a dj introduit un recours devant les juridictions nationales de ltat daccueil de linvestissement, alors que linvestisseur tranger, actionnaire de contrle de la socit de projet, se fonde sur le BIT pour agir devant le tribunal CIRDI : quelle peut tre lincidence de la procdure judiciaire sur la comptence du tribunal arbitral ? La sentence rendue dans laffaire Compania de Aguas del Aconquija et Vivendi Universal c/Argentine prcite rpond cette question : le tribunal arbitral sest reconnu comptent en application du BIT, et indique que le co-contractant de ltat (ou de lun de ses dmembrements telle que la province argentine de Tucuman en lespce) sadressant aux juridictions tatiques pour faire trancher le litige n du contrat dinvestissement, ne renonce pas pour autant saisir le CIRDI pour examiner la demande de linvestisseur fonde sur une violation des obligations de ltat au titre du BIT. Laction devant les tribunaux introduite par la socit de projet fonde sur la violation du contrat dinvestissement devant par nature avoir un objet diffrent de la demande darbitrage de linvestisseur (fonde elle sur le BIT), elle ne devrait pas tre considre comme lexpression du choix dfinitif du mode de rglement des litiges. Dautant moins lorsque les deux litiges ne prsentent pas une identit de parties.
The Compania de Aguas del Aconquija and Vivendi Universal v. Argentina case answers that question: the arbitration tribunal has decided it is competent to hear the matter, and has declared that the investor, when deciding to act before the State courts to settle a dispute under the investment contract, does not waive its right to bring an action before ICSID in order to claim against the State for breach of the BITs obligations. The claim before the State courts by the project company (based on the breach of the investment contract) has by its nature a different purpose compared to the investor claim before ICSID (based on the BIT) and shall not be considered as a final choice of the settlement of disputes procedure. The arbitrators also found an additional distinction because in the arbitration the dispute did not involve the same parties as were involved in the State court action.
In the Lanco case, the investment contract was a concession for the construction and operation of a port terminal. The contractual provisions granted exclusive jurisdiction to the administrative courts of Buenos Aires. The arbitration tribunal found that an exclusive jurisdiction clause could not exclude ICSID jurisdiction, relying on Article 26 of the Washington Convention:
39: A State may require the exhaustion of domestic remedies as a prior condition for its consent to ICSID arbitration. This demand may be made (i) in a bilateral investment Treaty that offers submission to ICSID arbitration, (ii) in domestic legislation, or (iii) in a direct investment agreement that contains an ICSID clause. The

The Argentina-U.S. Treaty does not provide at any point for the exhaustion of domestic remedies, and the Argentine Republic, for its part, has not alleged that there is any such domestic legislation. The only requirement that the Argentina-U.S. Treaty does provide for is the period of six months that is required for turning to ICSID arbitration. 40 : In our case, the Parties have given their consent to ICSID arbitration, consent that is valid, there thus being a presumption in favor of ICSID arbitration, without having first to exhaust domestic remedies. In effect, once valid consent to ICSID arbitration is established, any other forum called on to decide the issue should decline jurisdiction. The investors consent, which comes from its written consent by letter of September 17, 1997, and its request for arbitration of October 1, 1997, and the consent of the State which comes directly from the Argentina-U.S. Treaty which gives the investor the choice of forum for settling its disputes, indicate that there is no stipulation contrary to the consent of the parties In effect, the offer made by the Argentine Republic to covered investors under the Argentina-U.S. Treaty cannot be diminished by the submission to Argentinas domestic courts, to which the Concession Agreement remits . Dans laffaire Compania de Aguas del Aconquija et Vivendi Universal c/Argentine prcite, le Comit ad hoc a annul la sentence du tribunal arbitral parce que ce dernier avait refus dexaminer les griefs invoqus par linvestisseur fonds sur la violation du BIT, et avait dcid quil tait comptent parce que les diffrends de nature contractuelle devaient tre tranchs par application de la clause prvue au contrat 24. Cette dcision marque un partage de comptence relativement clair : si le manquement invoqu par linvestisseur est fond sur le BIT, cest la clause prvue par le Trait qui doit sappliquer ; sil invoque un manquement au titre du contrat, cest la clause contractuelle attributive de comptence de celui-ci qui sapplique 25. Cependant, linvestisseur peut ne pas tre satisfait de cette distinction dans la mesure o il chercherait viter de soumettre le litige aux juridictions tatiques. Il pourrait alors examiner dans quelle mesure la violation contractuelle constitue en mme temps une violation du Trait. A ce titre, les umbrella clauses des BIT peuvent tre un instrument utile pour linvestisseur, dans la mesure o ces clauses consistent en ce que ltat sengage respecter toutes ses

In Compania de Aguas del Aconquija and Vivendi Universal v. Argentina, the ad hoc Committee has annulled the award of the arbitration tribunal because the tribunal had refused to examine the investors claims based on a breach of the BIT, and decided that the contractual disputes should be settled according to the provision stipulated in the contract. This decision states a quite clear sharing of competence : if the breach claimed by the investor is based on the BIT, the BIT provisions shall apply; if the claim relates to a breach under the contract, the settlement of disputes provision of the contract shall apply.
Nevertheless, the investor might feel unsatisfied, to the extent that he looks to avoid having to make any claim before the State courts. He might then examine to which extent the breach of contractual obligations are also a BIT breach. Umbrella provisions in BIT can be a useful tool for the investor, since under such clauses the State commits to comply with all of its obligations towards the investor, i.e.

those of the BIT as well as those of the investment contract. Under an umbrella clause , any contractual breach by the State will be considered as a breach of the BIT, these latest having to be settled by the arbitation tribunal indicated in the BIT. We have to note that the arbitration tribunal in RFCC v. Morocco has not followed the same thought process, and has decided that it was not possible to confuse contractual breach and treaty breach.

Par application de lumbrella clause, toute violation contractuelle constituerait pour ltat une violation du Trait, cette violation relevant de la comptence de la juridiction arbitrale prvue par le Trait. Il faut souligner ici que le Tribunal arbitral in RFCC c/Maroc 27 na pas suivi ce raisonnement, et a dcid quil nexistait pas de rgle permettant dassimiler violation contractuelle et violation du Trait. Les situations peuvent tre plus complexes : dans laffaire Compania de Aguas del Aconquija de Vivendi Universal c/Argentine prcite, les arbitres qui avaient retenu leur comptence avaient rejet les demandes au fond de linvestisseur et dcid que les faits tayant la demande de linvestisseur ne lui permettaient pas de distinguer les violations du contrat de concession des violation du Trait franco-argentin. Les actes de la province de Tucuman pouvaient tre qualifis de manquements au contrat de concession (le juge du contrat tait alors comptent) ou tre imputs ltat argentin en application du droit international (le Tribunal CIRDI devenait comptent en vertu du BIT franco-argentin). En consquence, le Tribunal arbitral rejetait les demandes de linvestisseur contre ltat argentin. Cette sentence fut annule par le Comit ad hoc pour avoir refus dexaminer la demande de linvestisseur fonde sur une violation du BIT tout en se dclarant comptent. Le Comit ad hoc va distinguer dans sa dcision les violations contractuelles et celles du Trait, et dcide que le tribunal arbitral se dclarant comptent pour connatre des violations du Trait devait trancher le litige portant sur celles-ci, quant bien mme il devrait se prononcer sur les violations fondes sur le contrat : Il nappartient pas un tribunal CIRDI comptent en vertu dun TBI pour connatre dune demande fonde sur une disposition matrielle de ce TBI, de rejeter la demande au motif quelle pouvait ou aurait d tre examine par une juridiction nationale en vertu du TBI, le tribunal tait comptent pour fonder sa dcision sur le contrat de concession, tout le moins autant que ncessaire pour dterminer sil y avait eu une violation des rgles matrielles du TBI 28. Par consquent, lorsquune demande dun investisseur fonde sur un BIT implique lexamen de violations potentielles du contrat dinvestissement, les arbitres saisis en application du Trait peuvent se dclarer comptents pour examiner lensemble de la demande, violations du BIT et violations du contrat.
Things can be more complex: in Compania de Aguas del Aconquija and Vivendi Universal v. Argentina the arbitrators having decided they were competent rejected the investors claim and decided that the facts upon which the claim was based did not allow the tribunal to distinguish breaches under the concession contract from BIT breaches. The acts of the Tucuman province can be qualified as breaches of the concession contract (the local courts being competent by virtue of the contract) or of breaches of the State in accordance with international law (ICSID tribunal being competent pursuant to the BIT). Consequently the arbitration tribunal rejected the investor claims against the State.
This award has been annulled by the ad hoc Committee, because the tribunal refused to examine the investors claim grounded on the breach of the BIT, but at the same time has stated that the tribunal was competent. The ad hoc Committee separates in its decision contractual breaches and BIT breaches, and decides that the tribunal is competent to settle BIT breaches and shall settle the dispute arising out of the BIT, even if it also entails settling breaches arising out of the contract: Il nappartient pas un tribunal CIRDI comptent en vertu dun TBI pour connatre dune demande fonde sur une disposition matrielle de ce TBI, de rejeter la demande au motif quelle pouvait ou aurait d tre examine par une juridiction nationale en vertu du TBI, le tribunal tait comptent pour fonder sa dcision sur le contrat de concession, tout le moins autant que ncessaire pour dterminer sil y avait eu une violation des rgles matrielles du TBI .
Accordingly, when a claim grounded on a BIT implies to examine potential contractual claims, the arbitrators are competent to examine the whole of the claim, BIT breaches as well as contractual breaches.

La sentence SGS c/Philippines 29 a considr que le principe tait celui de la comptence du CIRDI pour trancher le litige y compris dans son volet contractuel mais quil ne ltait pas si le contrat dinvestissement comportait une clause attributive dune comptence exclusive aux juridictions de ltat hte. Cette sentence un peu particulire reconnat le principe de comptence gnrale du tribunal arbitral, mais ne lui donne pas comptence pour les aspects purement contractuels. La ligne de partition fondamentale consiste alors distinguer les obligations de ltat nes du contrat dinvestissement (ordre juridique interne de ltat) de celles nes du Trait (ordre juridique international). Lorsque linvestisseur se fonde sur le contrat dinvestissement pour reprocher ltat une inexcution de celui-ci, nul doute que la comptence de la juridiction sera tire de la clause de rglement des litiges du contrat, que celle-ci prvoit une comptence arbitrale ou celle des juridictions nationales de ltat. En revanche, lorsque la demande de linvestisseur se fonde sur le Trait, cest--dire en dehors de la sphre du contrat dinvestissement, cest bien le mcanisme de rglement des litiges prvu par le Trait qui devra tre mis en uvre.
The SGS v. Philippines award considered the question of whether the ICSID was competent to settle the dispute including the contractual issues but that this was not the case if the investment contract stipulates a provision giving exclusive competence to the State courts. This award somehow particular acknowledges the principle of a general competence for the arbitration tribunal, but not for the purely contractual issues.
The fundamental separation line consists to separate the State obligations pursuant to the investment contract (internal law of the State) from the obligations under the BIT (international law). When the investor grounds its claim on the investment contract to claim against the State for breaches, no doubt that the competence of the relevant courts will be based upon the contractual provision for settlement of disputes, without considering the designation by the contract of a State jurisdiction or of an arbitration tribunal. But when the investor claim is grounded upon the BIT, i.e. outside the investment contract scope, it is the settlement of disputes provision of the BIT which shall be set into action.
CONCLUSION
Il rsulte des dcisions Salini c/Maroc, Compania de Aguas del Aconquija et Vivendi Universal c/Argentine et SGS c/Philippines, que le tribunal arbitral prvu par le Trait est comptent pour trancher toute violation fonde sur un BIT, ainsi que les demandes de linvestisseur qui seraient fondes sur une violation du contrat dinvestissement, pour autant que la violation contractuelle invoque constitue galement une violation du Trait. En pratique, il semble que la dmarche du tribunal arbitral consistera sinterroger sur la violation allgue du contrat dinvestissement pour ensuite examiner celle-ci la lumire des obligations du BIT. La route emprunte depuis une quinzaine dannes par les investisseurs reste paver. Si le chemin semble trac, nombre de questions nont pas encore reu de rponse dans le domaine de linternationalisation des contrats dinvestissements. Nanmoins, il est dores et dj possible daffirmer que la reconnaissance de la protection des investissements par la jurisprudence arbitrale est tablie.
CONCLUSION
It results from Salini v. Morocco, Compania de Aguas del Aconquija and Vivendi Universal v. Argentina and SGS v. Philippines that the ICSID tribunal is entitled to settle any breach grounded upon a BIT as well as investor claims grounded on a contractual breach, provided the contractual breach is also a Treaty breach. Practically, it seems that the ICSID tribunal will determine whether the alleged breach is based on the investment contract, in order afterwards to examine said breach in the light of the BIT State obligations.
The trail made by investors the past fifteen years remains to be paved. Although the outline is indicated, numerous questions have yet to be answered within the investment contracts internalisation. Nevertheless, it is already possible to say that the recognition of protection of investment by arbitration cases under the BIT is laid down.
