FRIENDS OF STENHOUSEMUIR PRIMARY SCHOOL AGREED CONSTITUTION 2013 1.

The Association shall be called the Friends of Stenhousemuir Primary School (FOSPS). 2. All parents/guardians of children enrolled at Stenhousemuir Primary School shall have automatic membership of the Association. 3. The aims of the Association shall be: a. To raise funds for the benefit of Stenhousemuir Primary School which can be used to enhance the school experience for children. b. To promote activities directly aimed at the welfare of the pupils, and encourage a positive school ethos. c. To help promote the educational opportunities within Stenhousemuir Primary School. d. To encourage parents and friends to develop links with the school. 4.

a. The management and control of the Association will be vested in a committee which will consist of the following elected members: Chairperson, Vice Chairperson, Treasurer and Minute Secretary, with the following ex-officio, non-voting members, the Head Teacher (or nominated deputy) and a member of staff, and parents & friends linked with Stenhousemuir Primary School. b. The committee members shall be elected at the Annual General Meeting. No office bearers may hold the same post for more than 3 consecutive years. c. Should no one take on an office bearer role after said 3 years, existing office bearers can have the option of staying in post. d. The committee shall meet at its discretion but not less than once in each school term. Four members to include an elected office bearer will constitute a quorum. e. Vacancies arising on the committee will be filled by co-option. General members can be co-opted at any time. f. Should a vote at any meeting be necessary to make a decision at a meeting, each parent at the meeting will have one vote with the Chair having a casting vote if it is a tie. g. If an office bearer resigns, an emergency meeting will be called, and a new member can be voted in by an overall majority. Should there be a tie, elected members will be asked to leave the room, and another vote will take place but an overall majority will be required.

a. The Association shall hold an Annual General Meeting within four weeks of the start of each school year. b. Four members of the committee shall constitute a quorum at the Annual General Meeting and at any Extradordinary General Meeting. c. Notice of the Annual General Meeting shall be given at least 14 days in advance.

6. An Extraordinary Meeting of the Association shall be at the request of the committee, or, in writing by members of the Association. Such a meeting shall be held within 30 days of the request. The agenda and motions shall be made available to all members of the Association. 7.

a. The Treasurer shall keep an account of all income and expenditure and submit a financial statement annually audited, at the Annual General Meeting. b. The banking account will be in the name of the Association as defined in 1 above. c. Signatories on the account will include the Treasurer and at least 2 other office bearers. d. Cheques shall be drawn or withdrawals made against any two signatures of agreed signatories. e. An auditor, not a member of the committee, shall be appointed at the Annual General Meeting for purpose of auditing. f. The funds will be used solely for the stated aims and in the event of the dissolution of the Association the remaining funds will be transferred to Stenhousemuir Primary School Funds. g. Any money raised at events is counted by at least 2 people who are not related or close friends, at the event, and a total passed onto FOSP members. This will be done on premises ensuring safety for members counting monies. h. Accounts shall be audited & reported to Head Teacher & Chairperson.

8. If a member acts in a way that is considered by the majority of other members to undermine the objectives of FOSPS, their membership shall be terminated, if the majority of members agree. This will be confirmed in writing to the member. 9. No alterations to the constitution shall be made except at the Annual General Meeting or at a special meeting called for this purpose, when the amendments shall be agreed by at least two thirds of the members present voting in favor. This version of the constitution reflects the amendments agreed at the Annual

General Meeting held on 10th September 2013 and run until 1st July 2014.
