TERMS AND CONDITIONS
CONDITIONS AGREED BY BOTH PARTIES A. Acceptance, Modification. Acceptance by Buyer of delivery of the goods indicates acceptance by Seller and Buyer of the Warranty and Terms and Conditions herein. Any additional or different terms proposed by Buyer shall be deemed objected to by Seller without need of further notice of objection and shall be of no effect nor in any circumstances binding upon Seller. No provision of these Terms and Conditions shall be deemed waived, amended or modified by either party unless such waiver, amendment or modification be in writing signed by a duly authorized signatory of the party against whom it is sought to enforce the waiver, amendment or modification. B. Cancellation. This sale cannot be canceled except upon terms that will compensate Seller against loss and not unless written approval of said cancellation has been obtained from Seller. C. Claims. (1) Buyer is deemed to have accepted the Products unless written notice of rejection is given within a reasonable time, which is agreed to be within three (3) business days after receipt. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that the goods fully comply with terms, conditions and specifications. (2) Claims of late delivery are barred unless made prior to receipt of Products and the receipt of any Products shall constitute a waiver of any claim that they were received late. (3) No return of Products will be accepted by Seller without a Return Material Authorization number (RMA#), which will be issued at Sellers sole discretion. Returned Products should be in original shipping cartons and be complete with all packing materials. A complete description regarding the nature of the returned goods must be included with all returned Products. (4) Custom programmed or custom printed cards or tags are not returnable. Stock items returned for credit must be pre-approved by Seller and must be assigned a return material authorization number. These Products must be in their original packaging. D. Delivery and Title. Subject to Sellers right of stoppage in transit, delivery of the Products to a carrier shall constitute delivery to Buyer, and risk of loss shall thereupon pass to Buyer, however title shall remain with Seller until Buyer makes payment in full under the contract. Products invoiced and held by Seller for any reason shall be at Buyers risk and expense. Delivery route shall be at the discretion of Seller unless specifically designated by Buyer. E. Price Fluctuations and Product Specifications. Prices quoted are in effect for thirty (30) days from date of quotation after which time they are subject to labor and/or material cost fluctuations. Prices and product specifications are subject to change without notice. F. Governing Law. This sale shall be governed by the laws of the State of California. G. Taxes/Freight. Unless otherwise agreed in writing, the amount of all transportation charges from Sellers location and all taxes or other charges now or hereafter imposed by any governmental authority upon the sale, purchase, resale, delivery, manufacture, production or possession of the Products specified herein, which may be paid by Seller or for which Seller is liable, shall be paid to Seller by Buyer in addition to the purchase price of the Products. H. Payment of Invoices. When Secura Key grants an open account, payment is due within the terms set for the account. If payment is not received within that term, a finance charge of 1.5% per month will be assessed on the unpaid delinquent balance. In the event payment is not made in a timely manner and additional orders are received or are in process, Secura Key may place the account on hold pending receipt of all amounts due. I. Advice. If technical advice is offered or given in connection with the use of any Products it will be given as an accommodation to Buyer and without charge and Seller shall have no responsibilities or liabilities whatsoever for the content or use of such advice. J. Installation/Training. Buyer acknowledges that no installation, training or contracted education is contracted for or purchased under the terms of this contract unless specifically agreed in writing. In the event that Buyer receives any training from Seller with respect to the Products, then, in that event, such training is personal to the person receiving such training, and Buyer acknowledges that any person receiving such training may not be capable of operating the Products. K. General. (1) This contract contains the entire agreement between the parties and supercedes any prior or contemporaneous oral or written agreements or communications between them relating to the subject matter hereof. (2) This contract may not be assigned, modified or cancelled without Sellers prior written consent, and any attempt to assign, modify or cancel it without such consent shall be absolutely void (3) No delay or omission to exercise any right, power or remedy accruing to Seller upon breach or default by Buyer under this contract shall impair any such right, power or remedy of Seller, or shall be construed as a waiver of any such breach or default. All waivers must be in writing. (4) In the event any of the provisions hereof shall, for any reason, be held void or unenforceable, the remaining provisions shall remain in full force and effect and shall control. (5) Any provisions of this contract prohibited by the law of any state shall, as to said state, be ineffective to the extent of such prohibition without invalidating the remaining provisions of this contract. (6) It is agreed that in the event of a dispute between the parties, for any reason connected with the purchase of the items mentioned in this contract, or in any way related thereto, the parties agree to submit the controversy for decision to the American Arbitration Association to the office located in Los Angeles County, CA.

TERMS AND CONDITIONS LIMITED WARRANTY

Secura Key Limited Warranty (United States and Canada) Secura Key products are warranted against defects in materials and assembly for the period indicated below. In the event that any Secura Key manufactured product fails to perform as intended during the warranty period, Secura Key will replace the defective product with a new or refurbished product. This is subject to the equipment being installed in accordance with the instructions and used appropriately in suitable conditions. The warranty period begins on the date of shipment from our factory, or if sold through a Distributor, on the date of sale (original receipt or documentation is required). This warranty does not include your cost for taxes, duties, or installation expenses. E*TAG AND RADIO KEY ACCESS CONTROL READERS = LIFETIME (as long as the original user owns the product) E*TAG AND RADIO KEY CARDS AND KEY TAGS = LIFETIME (as long as the original user owns the product) SK-ACP Access Control Panels = 2 YEARS ALL OTHER PRODUCTS = 2 YEARS Warranty claims require a Return Material Authorization (RMA). Simply call our Technical Support Department at 877-850-3452 for help in evaluating your problem. If no resolution is achieved over the phone, request an RMA form, and then complete and submit the form to Secura Key to initiate the Warranty process. Refer to Secura Key's website for complete RMA policy (www.securakey.com). Return of Lifetime Warranty defective product shall be at the discretion of Secura Key. Customer must retain the defective product for a thirty (30) day period following the issuance of the RMA, during which time Secura Key reserves the right to request return of the defective product. Products must be returned if requested, freight prepaid. If requested defective products are not returned within 30 days, Secura Key may invoice the customer for the full price of the replacement unit. Return of 2-Year Warranty defective product is always required, and must be done within 30 days or customer account is subject to full cost of the replacement unit. Warranty Exclusions Products which have failed due to vandalism, willful damage, installation errors, inappropriate electrical loading, mis-use and Acts of God such as lightning, fire, flood, hurricane, etc. Cards that have been modified by third parties after sale in a manner that affects performance of the card. Reader Modules, Code Strips, Tags or Inserts that are embedded into other products - these are covered by a separate warranty check with factory. Products where the serial number has been defaced or removed. Products not manufactured by Secura Key are covered by their own original manufacturers warranty. Please contact SECURA KEY Customer Service for warranty/repair instructions. Lifetime warranty does not apply to products purchased prior to January 2005.

SECURA KEY SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The remedies provided herein are the buyers sole and exclusive remedies. In no event shall Secura Key be liable for damages in excess of the purchase price of the product, for direct, indirect, special, incidental or consequential damages (including loss of profits) arising out of the installation, use, or inability to use such product, or loss resulting from the operation or performance of any third party product or any systems in which a Secura Key product is incorporated, whether based on contract, tort or any other legal theory. Export Warranty (All countries except U.S and Canada) Secura Key products are warranted against defects in materials and workmanship for a period of 5 years from the date of purchase. Secura Key shall, at its option, either repair or replace products which prove to be defective and are sent to Secura Key freight prepaid and ordered return freight charged to customer within the warranty period. This warranty does not include freight, taxes, duties, or installation expenses. The foregoing warranty shall not apply to defects resulting from abuse, misuse, accident, alteration, neglect, or unauthorized repair or installation. Secura Key shall have the right of final determination as to the existence and cause of the defect.
