General Online Business Terms and Conditions

The following Terms and Conditions shall govern your use and access to the Hong Leong Online
for Business Banking Services at all times:

1. Definitions & Interpretation

1.1 The following expressions shall have the respective meanings assigned to them unless the
context otherwise requires: -

“Account” means the account or accounts which you have or may have with HLBB linked to
the Hong Leong Online Services at any time and from time to time and “Accounts” shall
refer to one or more accounts as the context shall require.

“Affiliates” means any entity, company, corporation or institution which may offer products,
services, content or information on this Hong Leong Online Services website from time to
time.

“Approved Communication Channel” means the communication channels for issuing


Instructions to HLBB as may be prescribed by HLBB from time to time which requires the
use of Security Codes for authentication.

“Authorised Person” mean the person or persons authorised by you (whether alone or jointly
with any other person or persons) to operate the Account and issue Instructions to HLBB
and to use the Certificate (or Certificates if more than one Authorised Person) on your
behalf through the Hong Leong Online Services or to execute any documents on your
behalf and shall include such persons which you may include or substitute from time to
time. The term “Authorised Persons” shall refer to more than one authorised persons as the
context shall require.

“Business Day” means a day on which HLBB is opened for business in West Malaysia and
East Malaysia, as the case may be, except for public and bank holidays.

“Certificate” means a message that at least states the name or identifies the Certification
Authority, you (as the subscriber of the Certificate(s)), the Certificate’s operational period,
the Certificate’s serial number and is digitally signed by the Certification Authority.

“Certification Authority” means any certification authority approved by HLBB and includes
any other certification authority appointed or substituted by HLBB from time to time.

”CPS" means the certification practice statement of the Certification Authority which issues
your Certificate and includes any amendments thereto.
“Customer” or “you” and its cognate expressions mean the party who is registered with
HLBB for the Hong Leong Online Services and includes the Authorised Persons and your
successors-in-title.

“ Hong Leong Online Services” mean the application services described as Hong Leong
Online for Business Banking Services provided by HLBB pursuant to these Terms and
Conditions which enable you to perform banking transactions through the Internet with the
Security Codes and / or digital signature. “Service” shall refer to the relevant Hong Leong
Online Service as the context may require.
“Digital Signature” shall have the same meaning as ascribed thereto under the DSA.

“DSA” means the Digital Signature Act 1997 and any amendments thereto.

“DSR” means the Digital Signature Regulations 1998 and any amendments thereto.
“HLBB” means Hong Leong Bank Berhad and includes all its successors-in-title and
assigns.

“Instructions” means any and all communications, instructions and authorisations given to
HLBB and transactions and documents entered into by you using the Security Codes
and/or digital signature in connection with Hong Leong Online Services or through any
Approved Communication Channel.

“Local Registration Authority” means HLBB as the entity authorised by the Certification
Authority to evaluate and approve or reject Certificate applications with respect to the Hong
Leong Online Services.

“Security Codes” means the security codes used for verification, identification and security
purposes including the any passwords or passcodes, User ID, personal identification
numbers (PIN), smart cards and any other forms of security codes which HLBB may issue
from time to time.

”Subscriber Agreement" means any agreement entered into between yourself and the
Certification Authority for the subscription of the relevant Certificate for the purposes of
transacting the Hong Leong Online Services.

“Terms & Conditions” means these terms and conditions for the Hong Leong Online
Services unless the context requires otherwise and includes any amendments, additions,
variations or deletions made from time to time and shall refer to the terms and conditions
prevailing at that time.

“User ID” means a unique name used in conjunction together with the Security Codes to
identify you.

“User Guide” means the guide or handbook (in whatever form) issued by HLBB to you
containing operating and user instructions to the use of Hong Leong Online Services and
shall include any amendments, variations and other user guides as may be issued by
HLBB from time to time. The User Guide is available on HLBB’s website at
www.hlb.com.my.

1.2 Interpretation

(a) Words importing the singular shall include the plural and vice versa and those importing
the masculine gender shall include the feminine and neuter gender and vice versa.
(b) Where there are two or more persons comprised in the term “you” or “the Customer”,
instructions, agreements, undertakings, obligations expressed to be issued or given by
or made by one person, shall be deemed to have been issued or given by or made by
and binding upon such persons jointly and severally.
(c) The English version shall prevail over any other translations of these Terms and
Conditions.
(d) Unless otherwise stated a reference to a date or time is a reference to that date or time
in West Malaysia.
(e) The headings are inserted for reference only and shall not be construed in the
interpretation of these Terms and Conditions.

2. Equipment, Network Services and Website Access

2.1 You are solely responsible: -

(a) for the purchase and / or licences to your equipment and software to access Hong
Leong Online Services which meets the minimum requirements as specified by HLBB
from time to time; and
(b) to subscribe for and maintain the requisite Certificate(s) from a Certification Authority
and any other necessary network service to access the Hong Leong Online Services.

3. The Hong Leong Online Services

3.1 The Hong Leong Online Services are provided on these Terms & Conditions, the terms and
conditions of access to the Hong Leong Online Services website and the applicable terms
and conditions for the Account(s). If there is any inconsistency between such terms and
conditions and these Terms & Conditions, these Terms and Conditions shall prevail with
respect to the Hong Leong Online Services.

3.2 HLBB reserves the right to amend, add to or delete any or all of these Terms & Conditions
and/or vary or terminate all or any part of or the scope of the banking services provided
through Hong Leong Online Services at any time at its absolute discretion with prior notice
to you. The continued use of the Hong Leong Online Services shall be deemed as
acceptance and receipt by you of the changes in these Terms & Conditions.

3.3 Where HLBB offers new or additional banking services through Hong Leong Online Services,
your acceptance in the manner prescribed by HLBB and use of such new or additional
banking services shall be on these Terms & Conditions and such additional terms and
conditions for such banking services as may be prescribed by HLBB.

3.4 The User Guide forms part of these Terms and Conditions and you are to read, understand
and agree to the User Guide before attempting to use the Hong Leong Online Services.

3.5 HLBB will endeavour (but shall not be obligated) to make available the Hong Leong Online
Services at the times stated in the User Guide and reserves the right to vary the availability of
the Hong Leong Online Services, any banking services and transaction processing times at
its sole discretion at any time without prior notice to you and without any liability whatsoever
to you or any person. You are expressly notified that you may also carry out your
transactions at any of HLBB’s branches or use other alternative banking services which are
available to you.

4. Limits on Transactions

4.1 HLBB shall be entitled to require you to maintain a minimum balance at any one time in any
Accounts failing which HLBB may at its absolute discretion impose a penalty, suspend or
terminate your utilisation of the Hong Leong Online Services.

5. Service Fees, Commissions & Charges

5.1 HLBB shall be entitled to impose service fees or charges, commissions and other charges,
taxes and duties for:
(a) the provision of the Hong Leong Online Services and the application, issuance, renewal
and/or revocation of your Certificate or Certificates;
(b) the transactions conducted through Hong Leong Online Services by you; and
(c) the issuance, replacement or loss/damage of any of the Security Codes and/or the
smart card reader.
HLBB reserves the absolute right to vary such service fees, commissions and charges at any time
and from time to time with prior notice to you.

5.2 For the purposes of collecting such fees, commissions and charges, you hereby authorize
HLBB to debit the Account(s) from which the transactions are carried out with such fees,
commissions, charges and any Government charges and taxes and you understand that any
suspension and termination by HLBB of the Hong Leong Online Services at any time does
not entitle you to any refund of any such fees, commissions and charges.

6. Compliance with Other Laws

The use of the Hong Leong Online Services is subject to the laws of Malaysia including without
limitation the Exchange Control Regulations of Bank Negara Malaysia or any fiscal or exchange
control requirements in force for the time being; the Computer Crimes Act 1997, Copyright Act
1987 and Trade Marks Act 1976 and any subsidiary legislation passed thereunder.

7. Liabilities of the Parties

7.1 By using the Hong Leong Online Services, you acknowledge and agree: -

(a) to accept all the inherent risks associated with carrying out transactions through the
Internet and that communications by electronic means may not reach the intended
recipient or may so do much later than intended and be solely responsible and liable
for any and all losses or damages suffered from such risks and from all unauthorized
transactions carried out through the use of the Security Codes and digital signature;
(b) that HLBB and its Affiliates do not make any representations or warranties, whether
expressed or implied with respect to the Hong Leong Online Services and/or the use
of digital signatures, including but not limited to accuracy of information,
merchantability and fitness for a particular purpose. No oral or written information or
advice given by HLBB, its Affiliates and their respective personnel, employees or
agents shall create or enhance the scope of this warranty;
(c) that the instructions to revoke the access of any Authorised Persons by you must be
made through an Approved Communication Channel or in writing delivered by
hand/despatch to HLBB. HLBB shall not be liable to you or any other person for any
loss or damage which you or any other person may incur prior to the confirmation of
such revocation by HLBB; and
(d) that all information made available via Hong Leong Online Services including but not
limited to interest rates, exchange rates and product information quotes are for
indicative purposes only and may not be relied on for any purpose. All such
information shall only be confirmed when the relevant transaction is entered into and
expressly confirmed by HLBB in writing.

7.2 (a) HLBB shall not be liable to you or any third party whether in contract, tort or otherwise
for any loss or damage whatsoever, whether direct, indirect or consequential, (even if
HLBB has been advised of the possibility of such loss or damage or claim) and
howsoever arising including for loss of profits, loss of anticipated savings, loss of
business and loss of goodwill arising out of, in connection to or relating to the provision
by HLBB of the Hong Leong Online Services, the banking services and the use by you
of the digital signatures. Without limiting the generality of the foregoing, HLBB
expressly disclaims any responsibility for any loss, damage or expense incurred by
you or any third party arising from any delay, failure, equipment incompatibility and
obsolescence, service disruption, malfunction, data loss or corruption or intrusion to
any of your equipment or which arise from any upgrade or modification to the Hong
Leong Online Services, the Hong Leong Online Services website and/or HLBB’s
system.

(b) In any event, HLBB’s sole and entire liability to you in contract, tort, (including
negligence or breach of statutory duty) or otherwise arising by reason of or in

connection with these Terms and Conditions or the provision of the Hong Leong
Online Services shall not exceed the amount of the transaction involved which gave
rise to the claim or the direct damages sustained, whichever is the lower.

7.3 Without limiting the generality of Clause 7.2 and the other provisions herein, HLBB
shall not be responsible or liable for any inconvenience, loss, expense, costs, damage
or embarrassment incurred or suffered by you or any third party by reason of or arising
from any one or more of the following: -

(a) for your failure to provide accurate, complete and timely Instructions issued to
HLBB; or
(b) for your inability to perform any of the transactions due to any limits set by HLBB at any
time and from time to time; or
(c) any error, alteration, destruction of the Instructions, data or information to or from
HLBB through the Hong Leong Online Services and the Internet (except where
such error or alteration or destruction is due to the gross negligence or wilful
default of HLBB, its officers or employees); or
(d) any intrusion or attack by any person or party on any hardware, software or system used in
relation to the Hong Leong Online Services or on the Internet, including but not limited to
viruses, Trojan Horses, worms and/or macros or other harmful components or disabling
devices that may suspend, disrupt or disable the Hong Leong Online Services or any part
thereof; or
(e) any restriction or prohibition on the use of the Hong Leong Online Services by
any laws or regulations directions or court orders of any country from where you
access the Hong Leong Online Services; or
(f) Subject to sub-clause (c) above, any non-performance of Instructions which are
not given in accordance with the provisions of this Agreement by HLBB or in the
event HLBB is unable to perform any operations or provide any service(s) for any
reason whatsoever including without limitation for any reason beyond HLBB’s
control such as fire, earthquake, landslide, flood, riot, civil disturbance, war,
industrial dispute, sabotage, any act of God and any failure, delay or disruption to
any electricity, fuel supply, telecommunications or network services; or
(g) any inaccuracy of information in the Hong Leong Online Services website.

7.4 Each provision of this Clause 7 is to be construed as a separate limitation applying


and surviving even if for any reason one or the other provisions is inapplicable or held
unreasonable in any circumstances and shall remain in force notwithstanding the
terminationof the Accounts or the Hong Leong Online Services.

8. Indemnity

8.1 You shall indemnify HLBB fully and completely and against all claims, demands, actions,
proceedings, loss and expenses (including legal costs as between solicitor and own client)
and all other liabilities of whatsoever nature or description which may be made taken
incurred or suffered by HLBB in connection with the acceptance of any Instructions given
by you or breach by you of any of these Terms & Conditions including the General Online
Business Terms & Conditions (where applicable). Your liabilities shall be a continuing
liability and will remain in full force notwithstanding the termination of the Hong Leong
Online Services.

8.2 You also agree to indemnify and hold HLBB harmless from any acts or omissions resulting
in liability, any loss or damage and any suits and expenses of any kind, including attorney
fees, that HLBB may incur, that are caused by the use or publication of your Certificate,
and/or arises from any falsehood, misrepresentation of fact or omission of fact by you or
your agent; and/or failure by you to protect your private key, to use a system whose
security features include but are not limited to firewalls, anti-virus and anti-spyware features

and is appropriate to the nature and level of your business transactions and to prevent the
compromise, loss, disclosure, modification or unauthorized use of your private key and
Security Codes; and/or to comply with the CPS. Where the Certificate is issued at the
request of your representative/agent, this indemnity shall apply jointly and severally to you
and your representative/agent.

9. Suspensions or Termination of Hong Leong Online Services

9.1 HLBB may, in its absolute discretion at any time and without prior notice, suspend or
terminate your access to the Hong Leong Online Services or any part thereof or invalidate
any or all of the Security Codes and to refuse the replacement of the Security Codes
without being obliged to provide any reason for the same. Without limiting the generality of
the foregoing, HLBB will automatically terminate your right of access to the Hong Leong
Online Services should you cease to maintain any Account with HLBB which can be
accessed through Hong Leong Online Services or for reasons of non use or if the relevant
Account(s) is suspended, restricted or prohibited by HLBB or any third party for any reason.

9.2 You may terminate your use of the Hong Leong Online Services by giving HLBB fourteen
(14) days’ prior written notice of the same.

9.3 Clauses 6, 10, 11, 15,17 and clauses 3, 4 in Additional Terms and Conditions shall survive
the termination of these Terms and Conditions or any Hong Leong Online Services.

10. Severability and Waiver

10.1 If any provision which is determined to be illegal, invalid, prohibited or unenforceable in any
respect under law, the same shall be ineffective to the extent of such illegality, invalidity,
prohibition or unenforceability without invalidating in any manner whatsoever the remaining
provisions in these Terms & Conditions.

10.2 HLBB’s acceptance of any of the Instructions or processing of any of the Instructions
issued or any waiver by HLBB of any of its rights or any indulgence granted to you shall not
operate as consent to the modification of any part of these Terms and Conditions or
operate to prevent HLBB from enforcing any of its rights under these Terms and Conditions
or the rules and regulations or terms and conditions for the relevant banking services and
access to the Hong Leong Online Services website.

11. Notices

11.1 Any notices required to be given in respect of the Hong Leong Online Services by HLBB to
you may be given in any of the following manner as determined by HLBB in its absolute
discretion: -

(a) by electronic mail to your last known e-mail address in HLBB’s records and such notices
shall be deemed to be received after 24 hours from transmission; or
(b) by facsimile or telex to your last known facsimile number in HLBB’s records and such
notices shall be deemed to have been received upon confirmation of the transmission
from the transmitting machine; or
(c) by ordinary post or registered post or courier sent to or left at your last address
registered with HLBB and shall be deemed received by you within five (5) Business
Days from posting if sent by ordinary or registered post and within two (2) Business
Days from sending if sent by courier; or
(d) by displaying the notices at HLBB’s branch premises or HLBB’s website and such
notices shall be deemed effective upon such display; or

(e) by way of advertisement or general notice in one major national newspaper and the
notice shall be deemed to be effective from the date of such notice or the date specified
in the notice, as the case may be.

11.2 Any notices required to be sent hereunder by you to HLBB may be given in any of the
following manner: -

(a) through the Hong Leong Online Services to HLBB and such notices shall only be
deemed to have been received by HLBB when a confirmation of such notices is given
by HLBB via electronic mail or in writing ; or
(b) via any Approved Communication Channel to the E-Commerce Unit and such notices
shall only be deemed to have been received by HLBB upon a written confirmation from
HLBB acknowledging receipt of the notice; or
(c) by ordinary post or registered post or courier sent to or left at the branch where the
Account is maintained and such notices shall be deemed to have been received by
HLBB upon written acknowledgment of receipt by HLBB of the notice.

12. Disclosure

HLBB’s rights to your information and disclosure will be in accordance with HLBB’s Privacy
Policy and you hereby expressly and irrevocably consent to all disclosures to any member of
the Hong Leong Group of companies and to the extent permitted by law and directives of
regulatory bodies.

13. Reconstruction of HLBB

Your obligations and liabilities shall continue to be valid and binding for all purposes
whatsoever notwithstanding any change by amalgamation, reconstruction or otherwise
which may be made in the constitution of HLBB or by any company by which the business of
HLBB may for the time being be carried on and shall be available to the company carrying
on the business for the time being and you agree that no such changes shall affect the
obligations and liabilities created hereunder in relation to any transaction whatsoever,
whether past, present or future.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the
laws of Malaysia and you hereby agree to submit to the non-exclusive jurisdiction of the
courts of Malaysia in Kuala Lumpur or the courts of such other competent jurisdiction as
HLBB may at its sole discretion elect to submit and the service of any legal process may be
effected by any manner permitted by law.

Additional Terms and Conditions for E-Transactions & E-Trade (Full) Package

The following Terms and Conditions shall apply in addition to the General Online Business Terms &
Conditions if you subscribe to E-Transaction and E-Trade (Full) Package of Hong Leong Online
Business Banking Services:

1. Equipment, Network Services and Website Access

1.1 Unless agreed otherwise between the parties, where HLBB provides any equipment and/or
software in connection with the Hong Leong Online Services: -

(a) you will be responsible for the maintenance of and loss or damage to such equipment
and/or software and if HLBB or its agent(s) provides any maintenance or has to replace
the equipment and/or software, you will be liable for the fees/charges incurred for the
same; and
(b) the equipment and/or software will remain the property of HLBB and on termination of
the Hong Leong Online Services for whatever reason, you shall immediately return to
HLBB such equipment and/or software in working condition, fair wear and tear
accepted.

HLBB shall be entitled to forfeit or deduct any deposit paid by you for the equipment and/or
software in the event of any damage, destruction or loss of the equipment or software.

2. Role as Local Registration Authority

2.1 You are required to exercise independent judgment as to the suitability of the Certification
Authority for your purpose and you are advised to seek independent advice so as to
understand the DSA, DSR and the CPS. Under no circumstances shall it be or deemed to
be the responsibility of HLBB to advise you of the same whether in its capacity as your
bank or otherwise.

2.2 Where HLBB acts as the Local Registration Authority, you hereby acknowledge and agree
to all of the following:

(a) to comply with the Subscriber Agreement, the CPS, DSA and DSR at all times;
(b) to furnish the necessary information as requested by HLBB for the purposes of
validating your application to the Certification Authority for each Certificate and to notify
HLBB immediately where any of the information becomes untrue or have changed and
HLBB is authorised to submit your application or applications to the Certification
Authority on your behalf;
(c) that under no circumstances shall HLBB be deemed to be a certification authority as
defined under the DSA;
(d) the rights and powers of HLBB as a Local Registration Authority provided herein shall be
in addition to that under any law and the Subscriber Agreement; and

(e) all representations and warranties made or to be made to HLBB herein and in the
application(s) for the Hong Leong Online Services and the Certificate(s) are also
deemed made to the Certification Authority.

Your Certificate(s), Security Codes and Its Use

3.1 You hereby represent and warrant to HLBB each of the following at all times:

that all information provided to HLBB for the purposes of validating your application to the
Certification Authority for each Certificate is true and accurate with no material omissions;
(a) at any time the Certificate is used for the purposes of Hong Leong Online Services, it is
valid and operational (ie. not expired, suspended or revoked);
(b) no unauthorised person has ever had access to your private key;
(c) your Certificate is used consistently with the CPS and the Subscriber Agreement;
(d) to take all reasonable precautions to keep your private key safe from loss, disclosure,
modification or unauthorised use and to exercise full control of your private key.

3.2 You hereby irrevocably agree that notwithstanding the reliance limit and the recommended use
of your type of Certificate under the CPS or otherwise specified by the Certification
Authority, HLBB is entitled to rely on the use of your digital signature for Hong Leong
Online Services transactions and the use of your digital signature shall be conclusive
evidence of your identity and HLBB is under no duty to further verify your identity for the
purposes of acting on your Instructions.

3.3 In addition to any presumptions provided under law, you also hereby agree that any and all
Instructions given to HLBB with the use of your digital signature or Security Codes shall be
deemed to be valid and legally binding and you agree not to dispute the validity of the
same. The expiry of your Certificate shall not in any way affect the legality of any
Instructions issued with the use of your digital signature prior to the expiry of your
Certificate.

3.4 Notwithstanding any knowledge of any request for revocation or reports of compromise of the
integrity of your digital signature to HLBB, you irrevocably agree and acknowledge that
HLBB shall be entitled to rely on your digital signature for all Instructions given to HLBB with
the use of your digital signature until and unless your Certificate is revoked by the
Certification Authority or has expired at the relevant time. Section 63(1) of the DSA is
expressly disclaimed under these Terms and Conditions.

4. Instructions

4.1 All transactions carried out through the Security Codes or your digital signature shall be
deemed Instructions given by you to HLBB. HLBB shall be in no way responsible for any
unauthorized or misuse of Instructions given to HLBB. Notwithstanding that a transaction
may be disputed by you for any reason whatsoever including the reason that the person
who gave the Instructions was not you or authorised by you, HLBB shall be entitled to treat
such Instructions as binding upon you and HLBB shall be entitled to take such steps in
connection with or in reliance upon such Instructions. HLBB will not be held liable for any
loss, damages and expenses suffered by you or anyone else for complying with such
Instructions. Once issued and transmitted, such Instructions shall be irreversible and shall
be conclusive evidence that the Instructions came from you. The confirmation of receipt of
any Instructions shall not impose any obligation on HLBB to execute such Instructions
within a particular time.

4.2 Notwithstanding the foregoing, HLBB shall not be obligated or deemed to have acted on
any such Instructions until and unless so confirmed by HLBB by way of Hong Leong Online
screen or statements of accounts and such statements shall be binding and conclusive
evidence of such transactions carried out by you.

5. Limits on Transactions

5.1 HLBB shall be entitled to determine and impose any limit whether in amount, frequency and
use of or otherwise of any of the Accounts or any part of the Hong Leong Online Services without
informing you for its purposes of control. You may apply to vary the limits of the transactions
carried out by giving prior notice in writing to HLBB. HLBB is not bound or responsible to ensure
that you do not exceed such limits.
