1. DEFINITION
This is a type of agreement used by international consultants, by means of which one of the parties (Consultant) establishes the conditions of its services proposal to the other party (Client). Usually these agreements are used for an specic project within a wide range of sectors (corporate strategy, management, market research, human resources, engineering, information technology, etc.).

Usually both the Service Provider and the Client are companies. For each party, the following has to be included: Name of company, full address and nationality. Company type: public limited company, limited liability company, etc. Name and position of company representative who signs the agreement. Tax ID number of both parties.

3. MAIN CLAUSES AND SAMPLE Some of the most important clauses in the International Consulting Agreement are as follows: Consulting Services Obligations of the Consultant Status of the Consultant Fees Subagreementing
The scope of the Services to be provided to the Client by the Consultant is set out in the Annex of this Agreement. If the Client requires any additional services or any change to the agreed Services, the Consultant will be entitled to an adjustment of the fees and an estimate of the additional fees which may be due will be provided to the Client upon request.
The Consultant is not an employee of the Client, but an independent contractor and termination of this Agreement will not constitute unfair dismissal nor the Consultant be entitled to the payment of any compensation payment.
3.4 FEES
The total amount of fees which the Client shall pay the Consultant for the Services provided will be .................. [insert amount and currency]. The total fees shall be established according to the fees set out in Annex of the present Agreement. In case of amendment or extension of the Services, the Consultant and the Client undertake to negotiate new fees for the Services provided. The daily and hourly consulting rates set out in Annex are subject to review annually on . [1st of January or other date] of each year.
3.5 SUBCONTRACTING
Alternative A. The Consultant shall not subcontract to any person or company the provision of Services as set out in Annex of the present Agreement without the express consent of the Client. Alternative B. The Consultant may subcontract some of the Services set out in Annex of the present Agreement on condition that the Client is informed to that end. The Consultant shall be responsible for the actions of such subcontracted agents under the same terms as those undertaken by itself.
4. Applicable LaW
International Law standards are not applied to this type of Agreement. The parties are free to submit any conicts regarding the agreement to International Arbitration or to the Laws of the country of one of the parties. They will normally be subject to the Laws of the Clients country.
