ARTICLE VIII- MEETINGS AND ELECTION Sec.

1- The Union shall hold regular membership meeting every first Saturday of the month. Notices of the meeting shall be sent out by the Secretary at least three (3) days prior to such meeting by posting in the bulletin board of the union office. The time shall be determined by the Executive Board. Sec. 2- In all meetings of the union, the Roberts rule of order shall be followed Sec. 3- Regular meetings of the Executive Board shall take place on the first Sunday of every month with appropriate notice to be sent out by the Secretary to each member of the Board at least three (3) working days prior to such meeting. The meeting shall preferably be held in the UNION office. Sec. 4-Special or Emergency meetings of the Executive Board or of the general membership may be called at any time, either at the call of the President, upon request of majority of the members of the Executive Board or upon petition addressed to the Secretary of at least fifty (50%) percent of all members in good standing of the UNION. Sec. 5-The notice for any meeting whether it be of the general membership or of the Executive Board, regular or special or emergency, shall contain the item or items to be discussed and shall included constitute the agenda of the meeting. Any item or items included in the agenda may be taken up through the recommendation of majority of the members of the Executive Board present and constituting a quorum if it be an Executive Board meeting or majority of the members present and constituting a quorum if it be a general membership meeting. Sec. 6- Majority of the members present in any regular or special meetings of the membership shall constitute a quorum to approve any act or resolutions passed in any regular or special meeting by the board. Sec. 7-Any member who absents himself from any regular or special meeting of the general membership shall within one (1) week from the date of the said meeting SHALL submit a written explanation as to the reason or reasons for his failure to attend the meeting. The Secretary shall evaluate the explanation and render a report thereof to the Executive Board. Sec. 8. -In the event reason or reasons are unacceptable to the Executive Board for being unjustified, the erring member or members shall pay at the discretion of the Executive Board a fine of not less than five hundred (500) PESOS but not more than two thousand (2,000 )PESOS to the UNION, through the Treasurer, which may be collected by salary deduction. Sec. 9-Members on official leave of absence are excused from attending meetings whether regular or special. Sec. 10- Any member who absents himself for three consecutive meetings from any regular or special meeting of the general membership without justifiable grounds therefore may be suspended or expelled from the UNION by a vote of the majority of the Executive Board. Sec. 11 -There shall be a Committee on Election (COMELEC) to be created by the Executive Board at least sixty (60) days before any regular or special election. The functions of the COMELEC include the following:

a) Adopt and promulgate rules and regulations that will ensure a free, clean, honest and orderly election, whether regular or special; b) Pass upon qualification of candidates; c) Rule on any question or protest regarding the conduct of the election subject to the procedure that may be promulgated by the Executive Board; and d) Proclaim duly elected officers. Sec. 12- The COMELEC shall be composed of a chairman and four (4) members all of whom shall be appointed by the Executive board and are disqualified from running on any elective position. Sec. 13- The COMELEC shall be automatically dissolved ten days (10) after the duly elected officers are proclaimed. Sec. 14- Regular election of officers of the UNION shall be held on the first Monday of June and every two (2) years thereafter. Sec. 15- All members of the UNION in good standing shall be eligible to vote in UNION election. Candidates for elective positions must be members of the union in good standing for a period of at least two (2) years on the date of election. Sec. 16- Members who are interested to run for any position shall fill-out a certificate of candidacy which will be available at the UNIONs office and should be submitted thereto at least two (2) weeks from the actual date of election. Late submission of the certificate of candidacy shall not anymore be recognized by COMELEC. Sec. 17- Voting shall be done by secret balloting and the election shall be decided by plurality of votes. Sec. 18- All protests shall be submitted to the COMELEC for resolution and shall be appealed to the Executive Board if the offended protesting party is not contented with the COMELECs resolution. Sec. 19- The duly elected officers shall meet within one (1) week following their proclamation to which time the outgoing administration shall turnover all records and properties of the UNION to the new administration.

ARTICLE IX - UNION FUNDS

Sec 1. The source of the Union funds shall come from monthly dues, fines from members, contribution/donations duly specified in this Constitution and By-Laws and other future assessments to appropriate for special project. Sec 2. An admission fee of Two Hundred Pesos (P 200.00) shall be paid by an applicant before he becomes anofficial member of the UNION. Sec 3. Every member shall pay monthly dues to the UNION in the amount of One Hundred Twenty Pesos (P 120), which may be collected through check off deduction upon previous written authorization of the member concerned. Sec 4. All amounts collected pursuant to the two preceeding sections shall constitute the General Fund of the Union which shall be distributed for the purposes here under enumerated: a.) General Fund 65% b.) Legal Fund 20% c.)Educational Fund 15%

Sec 5. Special assessments or other extraordinary fees shall be made only upon resolution duly ratified by three-fourths (3/4) of the general membership through secret balloting. The Special Assessment, shall be used only for emergency purposes or other purpose it was so assessed. Sec 6. Legal Funds shall be appropriated only to pay specially hired counsels for special and extraordinary cases even outside Department of Labor and NLRC, Arbitration fees, transportation of personnel involved in the case and other matters consisting of legal activities of the union. Sec 7. The Educational fund shall be appropriated for the purposes of Educational materials and Seminars. Sec 8. No St. Marks Labor Union officer/s or Board of Directors is authorized to commit the Union Funds in Business ventures of any kind without the approval from majority of the Union members. Sec 9. Quarterly allowances of the Union Officers shall be apportion to the General fund atleast twenty (20%) percent thereof. Sec 10. In case of voluntary dissolution of the UNION or final cancellation of its registration certificate, the UNION members shall enjoy equity to the UNION properties to the extent that said properties shall first be sold to the UNION members before said properties are offered to non-union members and the proceeds therefrom, together with the balance of the union funds shall be distributed, pro-rata to its members, depending on the amount of membership dues contributed to the UNION. The general membership may be consulted to settle differences of opinion.

ARTICLE XVII AMENDMENTS AND EFFECTIVITY

Sec 1. The Constitution and Bylaws shall not be amended, altered or repealed under any of the circumstances except by the affirmative vote of at least two-thirds (2/3) of the membership in a meeting, referendum or plebiscite called for the purpose. Sec 2. Proposals of any of the members and officers to amend any part hereof shall be entertained only if presented to the Secretary of the Union after the plebiscite/referendum shows two-thirds of the membership agree to amend the same and 30 Days after a draft has been presented for ratification. Sec 3. Any Provision of the herein constitution and by laws that shall be contrary to the provisions National by laws, the letter of the latter shall prevail and the provision that appear to be contrary shall be stricken out from the contest hereof. Sec 4. The Constitution and by laws shall take effect immediately after approval.
