This Confidentiality Agreement ( Agreement ) made this 22nd day of January, 2014, bet een !orld"uant #esear$h (%ndia) &ri'ate (imited (the Company hi$h e)*ression shall, unless it be re*ugnant to the $onte)t or meaning thereof, be deemed to mean and in$lude its su$$essors and assigns), a $om*any in$or*orated under the Com*anies A$t, 1+,-, ith its registered offi$e at .ffi$e /o0 1221, (e'el 1, Trade Centre, 2andra 3urla Com*le), 2andra (4ast), 5umbai 6 4000,1 and 7t8arsh 9aras at (&ros*e$t) residing at %62:244, 9e$tor61-, #ohini, ;elhi611001+0 !<4#4A9, &ros*e$t ishes to ha'e a$$ess to $ertain &ro*rietary %nformation (as defined herein) of the Com*any and:or its affiliates, for the *ur*ose of e'aluating a *ossible em*loyment or $onsulting relationshi* bet een the Com*any and &ros*e$t= and !<4#4A9, the Com*any and &ros*e$t ish to e'iden$e by this Agreement the manner in hi$h su$h &ro*rietary %nformation shall be treated0 /.! T<4#4>.#4, and in $onsideration of the *remises, the Com*any and &ros*e$t (together 8no n as the *arties) agree as follo s? 10 Definition. &ro*rietary %nformation shall mean the fa$t of the *arties being in dis$ussions regarding a *otential em*loyment or $onsulting relationshi*, the terms of su$h relationshi* that are or ha'e been under dis$ussion bet een the *arties, any draft agreement or form of agreement $reated or furnished by the Com*any or any of its affiliates embodying *ro*osed terms of su$h relationshi* or similar relationshi*s entered into by the Com*any or its affiliates in the *ast, or any other $onfidential information, materials or do$uments *ro'ided by the Com*any to &ros*e$t, hether in oral, ritten, gra*hi$ or ele$troni$ form and hether or not the information is e)*ressly stated to be $onfidential or mar8ed as su$h0 20 Duty Not to Use or Disclose. &ros*e$t a$8no ledges and understands that the &ro*rietary %nformation is $onfidential and *ro*rietary0 &ros*e$t agrees to use its best efforts (the same being not less than that em*loyed to *rote$t its o n *ro*rietary information) to safeguard the &ro*rietary %nformation and to *re'ent the unauthori@ed, negligent or inad'ertent use or dis$losure thereof, and shall not, ithout the Com*anyAs *rior ritten a**ro'al, dire$tly or indire$tly, dis$lose the &ro*rietary %nformation to any *erson or business entity0 %n furtheran$e of su$h underta8ings, &ros*e$t ill not du*li$ate or distribute to anyone, any of the &ro*rietary %nformation for any *ur*ose, in$luding any $om*etiti'e *ur*ose0 &ros*e$t shall only use the &ro*rietary %nformation for the limited *ur*ose set forth abo'e in the *reamble of this Agreement and shall not use the &ro*rietary %nformation for any other *ur*ose0 &ros*e$t shall *rom*tly notify the Com*any in riting of any unauthori@ed, negligent or inad'ertent use or dis$losure of &ro*rietary %nformation0 B0 Duty to Return. &ros*e$t shall, u*on $om*letion or other termination of any dis$ussions gi'ing rise to the &ro*rietary %nformation, or u*on demand *rom*tly? (a) return any and all &ro*rietary %nformation together ith any $o*ies or re*rodu$tions thereof? and (b) destroy any notes, memoranda or other do$uments $on$erning the &ro*rietary %nformation0 4. Exclusions. &ros*e$t shall not ha'e any obligations under this agreement ith res*e$t to any information that is? (a) *ubli$ly 8no n at the time of the dis$losure or be$omes *ubli$ly 8no n through no rongful a$t or failure= (b) be$omes a'ailable to &ros*e$t from a third *arty, *ro'ided that su$h third *arty is not *rohibited from transmitting the information to

&ros*e$t, ($) as a'ailable to &ros*e$t on a non6$onfidential basis *rior to its dis$losure by the other *arty or its re*resentati'es, as established by ritten re$ords of the &ros*e$t *rior to re$ei*t of su$h information from the Com*any = or (e) legally $om*elled to be dis$losed *ursuant to a sub*oena, summons, order or other Cudi$ial or go'ernmental *ro$ess, *ro'ided that the &ros*e$t shall ha'e first gi'en ritten noti$e to the Com*any of the need for su$h dis$losure reasonably in ad'an$e so that the Com*any may (if it ele$ts) see8 a *rote$ti'e order or other $onfidential treatment of the &ro*rietary %nformation and shall assist the Com*any and:or its affiliates in obtaining an e)em*tion or *rote$ti'e order *re'enting su$h dis$losure0 /ot ithstanding the foregoing, any dis$losure of &ro*rietary %nformation in a$$ordan$e ith this 9e$tion 4 shall (a) be limited to that hi$h is reasonably ne$essary to $om*ly ith the terms of su$h la , regulation, $ourt order or go'ernmental body, and (b) in no ay alter the $onfidential nature of su$h &ro*rietary %nformation for all other *ur*oses0 ,0 Injunctive Relief. %n the e'ent of any brea$h or a**rehended brea$h by the &ros*e$t of the *ro'isions of this Agreement, the Com*any shall be entitled, in addition to all other remedies, to an inCun$tion, hether interlo$utory or *reliminary, restraining any su$h brea$h0 -0 Company May Assign. The Com*any, but not &ros*e$t, shall ha'e the right to assign this Agreement or the rights hereunder to any *erson or entity0 D0 Continuing O ligations. The $o'enants and obligations of &ros*e$t under this Agreement shall $ontinue and bind the &ros*e$t0 9u$h $o'enants and obligations shall not be e)tinguished or affe$ted in any manner hatsoe'er, in$luding ithout limitation the abandonment: termination of dis$ussions bet een the &ros*e$t and the Com*any or any attem*t to terminate this Agreement0 10 !evera ility. %f any *aragra*h, sub6*aragra*h, or *ro'ision of this Agreement, or the a**li$ation of su$h *aragra*h, sub6*aragra*h, or *ro'ision, is held in'alid or e)$essi'ely broad by a $ourt of $om*etent Curisdi$tion, the remainder of this Agreement, and the a**li$ation of su$h *aragra*h, sub6*aragra*h, or *ro'ision to *ersons, or $ir$umstan$es other than those ith res*e$t to hi$h it is held in'alid shall not be affe$ted0 +0 "eneral.
