Intel Make it Wearable Video Contest

Official Rules NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. WHO IS ELIGIBLE TO PARTICIPATE: The Intel Make it Wearable Video Contest (the Contest) is open only to legal residents of Argentina, Canada (excluding the Province of Quebec), Colombia, Chile, the Peoples Republic of China, Denmark, Egypt, Finland, France, Germany, India, Ireland, Israel, Japan, Mexico, Poland, Russia, Singapore, South Korea, Spain, Switzerland, Taiwan, Turkey, the United Kingdom and the fifty (50) United States (and D.C.),who are at least thirteen (13) years of age and have a valid passport and visa to visit the United States (where applicable). You may not participate, regardless of your residency, if you are a national of Cuba, Iran, North Korea, Sudan, and Syria or if you are listed in a denial order published by any U. S. government agency or the denial orders published by Germany, the United Kingdom, Japan, European Union, and the United Nations. For individuals who are less than the age of majority in their country of residence, their parent or legal guardian will be required to complete the registration form and upload the video to the promotional website on behalf of their child or ward. Employees of Intel Corporation, Vice Media, Inc., Frog Design, Inc., HelloWorld, Inc. ("Administrator"), and any of their parent and subsidiary companies or other promotional agencies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable national, federal, state, provincial, municipal, territorial and local laws, directives and regulations and is void in Quebec and where prohibited. All persons who participate may only do so as long as entry does not violate the policies of their employer. Federal, state or local public sector employees must verify the ethics code, laws and/or regulations that govern their ability to accept things of value from companies with whom they conduct business. Public Sector employees and employees of public and private education institutions can participate in the Contest only if they are doing so outside of their official status and not as part of their employment with those entities. 2. AGREEMENT TO OFFICIAL RULES: Participation in this Contest constitutes entrants full and unconditional agreement to these Official Rules and Promoters and Administrators decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein. 4. SUBMISSION TIMING: The Contest begins at 12:00 a.m. U.S. Eastern Time ("ET") on 24 February 2014, ends on 15 June 2014 at 11:59 p.m. ET (the "Contest Period"). Please see world clock for time zone conversion information. The Contest consists of five (5) Submission phases as set forth in the chart below. Promoter's computer is the official time-keeping device for the Contest. 5. HOW TO ENTER: No purchase or payment is required to enter. A standard Internet connection will be sufficient to access the website, and the entrant is responsible for the internet connection charges. Entrants may visit www.makeit.intel.com and you will be required to provide the following personal information: your country of residence and your age. If you are younger than the age of majority in your country of residence, you will not be permitted to register or provide any personal information. Rather you will be directed to have your parent or legal guardian register for you by providing his/her profile information (country, age, name and valid email address) as well as your name. All correspondence related to the promotion will be directed to the email address of the parent or legal guardian. Create a video (no longer than 1 minute) that describes your idea of a unique wearable computerized device and how others would use and benefit from it. Upload your video to YouTube, or if you are resident of China, to either Youku.com or Tudou.com. Include the URL link to your video and provide a description of your idea on the registration page of www.makeitwearable.com. You don't have to know how to execute your idea or even know whether it is technically feasible. Your video and description, herein referred to as your Submission must be in English and should only include images of others who have given permission to be included. The video should not include images of individuals that are under the age of 18 unless entrant is their parent or legal guardian. If requested, entrant must be able to provide such permissions in a form acceptable to Promoter. If your Submission is not selected by the end of a Submission Phase, the Submission will automatically be entered into each subsequent Submission Phase. By submitting and uploading your Submission, you agree and understand that it conforms to the Guidelines and Content Restrictions as defined below in Paragraph 7. Promoter may disqualify you from the Contest if it believes that your Submission fails to conform to the Guidelines and Restrictions provided below. Limit: Entrant may only submit ten (10) Submissions during the Contest Period. 6. CONTENT GUIDELINES & RESTRICTIONS FOR SUBMISSION: All content that is submitted in this Contest should be consistent with the Guidelines and Restrictions stated below. Content Guidelines: The Submission includes a video which must be in English and must be no longer than 1 minute in length and a description. All aspects of the Submission must be in English; You must comply with YouTube's Terms of Service and your Submission conform with YouTube's Community Guidelines, or for residents of China, your Submission must comply with Youkus and Tudous terms of service described on their site and your Submission must conform to any guidelines provided by Youku or Tudou; and The Submission cannot have been submitted previously in a promotion of any kind. Content Restrictions: You Submission is your own idea; 2

The Submission must not contain material that violates or infringes anothers rights, including without limitation, intellectual property rights infringement, privacy, or publicity; The Submissions must not disparage Promoter, Administrator or any other person or party affiliated with the Contest; The Submission must not contain any Promoter or third party logos or trademarks; Submission must not contain any viruses, worms, spy ware, or other components or instructions that are malicious, deceptive, or designed to limit or harm the functionality of a computer; The Submission must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous; The Submission must not contain any content that is deemed inappropriate by a government or an online service provider that oversees and/or monitors content; The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any country where content is created.

7. GRANT OF RIGHTS: By uploading a Submission you grant Promoter a non-exclusive, worldwide license to use, reproduce, modify, adapt, publish, publicly perform, transmit via the internet, and publicly display such Submissions in whole or in part solely for the purpose of administering this Promotion. The winning Submission along with the 4 Submissions that receive the next highest score for each Round ("Finalists") may be highlighted on the promotion website (www.makeit.intel.com) through end of March 2015. 8. ENTRANT'S PERSONAL INFORMATION: Information collected from entrants for the sole purpose of carrying out the Promotion is subject to Promoters Privacy Policy The personal data you submit upon registration will be stored on a server in the United States of America and is subject to the Intel Online Privacy Notice Summary available at http://www.intel.com/privacy. Promoter and Administrator have notified the U.S. Department of Commerce that they adhere by the rules of the Safe Harbor Framework available under http://export.gov/safeharbor/. YOUR INFORMATION WILL ONLY BE STORED ON SERVERS LOCATED IN THE UNITED STATES. By entering the Contest you hereby grant your consent for cross-border transfer of your personal data to a country outside of your country that does not provide the same level of protection to consumers personal data. Entrants have the right to access, withdraw, and correct their personal information, and under certain circumstances to oppose the collection or processing of the data and request the status of Promoter's use or sharing of entrant's personal information. Entrants may request such action by contacting Promoter at makeitwearable@intel.com. Promoter will only share entrant's personal information with Administrator for purposes of notifying and confirming winners. 9. WINNER DETERMINATION PROCESS: After each Round and during the Judging time frame listed above in Paragraph 4, all Submissions received from the start of the Contest through the end date of the applicable Round will be judged by a panel of qualified judges in accordance with the judging criteria set forth below. To the extent that a Submission exceeds the time requirement, only the first minute will be viewed and considered. The Submission that receives the highest score from among all eligible Submissions will be deemed the potential winner: 3

Creativity and Originality of the product idea (up to 35 points); Design has mass appeal (up to 35 points); Visionary (up to 20 points); and Solves real-world problems (up to 10 points). In the event of a tie, the entrant whose Submission received the highest score for "Creativity and Originality of the product idea," as determined by the qualified judges, will be deemed the applicable winner. Promoter reserves the right to not select a winner, if it does not receive a sufficient number of eligible and qualified Submissions. In addition, the next four (4) highest scoring Submissions will be highlighted on the promotion website (www.makeitwearable.com). Limit: Each entrant may only be highlighted one (1) time each Round. 10. WINNER NOTIFICATION & REQUIREMENTS: A. Each potential winner will be notified on or around the following dates: 31 March 2014, 21 April 2014, 12 May 2014, 2 June 2014, and 23 June 2014. Each potential winner will be required to agree, sign and submit documents confirming eligibility and acceptance of the prize, agreement to release the Promoter, Administrator, and other parties listed in the Release section below, where permitted agree to recorded interviews at the Final Presentations and Gala Dinner and a Publicity Release, and to keep confidential their status as a potential winner until announced by Promoter. Each winner must complete and sign the required documents and return them to Administrator within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize as well as provide the raw file of the video Submission to Promoter. If a potential winner fails to execute and return the Prize Acceptance Documentation within the required time period, does not comply with these Official Rules, the potential winner forfeits the prize. If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up, if any. B. Winners are required to agree to be interviewed by Promoter or its designees at the Make it Wearable Final Presentation and Gala Dinner Event. Winners agree that Promoter or its designees will photograph and videotape (Footage) interviews. Winners agree that Promoter shall own the Footage and that Promoter and its designees, may use winner's name, Footage, city, state, province, country, likeness, Submission (raw video file), prize information in connection with the Contest for promotional, advertising or other purposes worldwide, in any and all media now known or hereafter devised, including without limitation, the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Promoter and its designees shall have the right to edit, exploit, adapt, distribute, post, create derivative works of, and otherwise use the Footage, in whole or in part, and in combination with other materials, in any manner, for any advertising, promotional, trade, commercial or other purposes in any and all media, now or hereafter devised, worldwide, and without further payment or consideration, notification or permission. C. Execution of documents described in Paragraph 10 must be in accordance with the instructions from and satisfactory to Promoter or Administrator. 11. PRIZES: FIVE GRAND PRIZES (One (1) awarded for each Round): A trip for winner and a guest to attend the Final Presentations of the Make it Wearable Contest and Gala Dinner celebration following the Presentations in San Francisco, CA currently scheduled on 10 4

November 11 November 2014 (dates are subject to change). The trip package includes air transportation for two (2) from a major airport near winners home to San Francisco, CA (departure and arrive airport will be determined by Promoter in its sole discretion); four (4) nights' accommodations at a hotel determined by Promoter in its sole discretion (single room, double occupancy); ground transportation to and from airport and hotel; a $5,000 USD cash prize; and travel agent services. Winner must travel on the dates around the Final Presentation and Gala Event or prize will be forfeited. Trip must be booked at least twenty-one (21) days prior to departure. Travel and accommodations are subject to availability. Travel must be round trip. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by the Promoters airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be eighteen (18) years of age or older and must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her country of residence, travel companion must be winners parent/legal guardian. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Winner and travel companions are solely responsible for obtaining valid passports and any other documents necessary for international travel. Travel restrictions, conditions and limitations may apply. If in the judgment of Promoter air travel is not required due to winners proximity to prize location, ground transportation will be substituted for round trip air travel at Promoters sole discretion. Promoter will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Approximate Retail Value: $9,850. USD (or approximately !7,159; $10,462 CAD; 5,945; 128,425 MXN; 609,478 INR; 64,221 ARS; 53,385 DKK; 34,204 ILS; 1,036,411 JPY; 68,467 EGP; 59,606 CNY; 29,793 PLN; 323,620 RUB; 294,352 TWD; 8,793 CHF; 5,177,153 CLP; 21,166 TRY; 12,438 SGD; 19,015,076 COP). Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. Prize is non-transferable and no substitution will be made except as provided herein. Promoter reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Limit: One (1) prize per person. For all non-U.S. winners, 30% of the actual prize value accepted will be withheld and remitted to the U.S. Internal Revenue Service to comply with U.S. tax laws. Winners are responsible for all tax reporting and payment of taxes as required by their country of residence. Winners are also required to pay fees associated with prize receipt and/or use. 12. RELEASE: Nothing in these Official Rules shall be deemed to exclude or restrict any of the winners or the entrants statutory rights as a consumer. To the extent permitted by mandatory provision of the applicable law, by receipt of any prize, winners agree to release and hold harmless the Promoter, Vice Media, Inc., Frog Design, Inc., Judges, Administrator, participating Administrator vendors and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such companys officers, directors, employees and agents (collectively, the Released Parties) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize. This Release does not apply to claims against Promoter, its representatives and its vicarious agents for damages because of personal injury or death, 5

and to claims for damages in case of intent or gross negligence by Promoter, its representatives or vicarious agents. 14. GENERAL CONDITIONS: To the extent permitted under applicable law, Promoter reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Contest. If the Contest is terminated, Promoter may determine the winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Promoter reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Promoter reserves the right to seek damages and other remedies (including attorneys fees) from any such person to the fullest extent permitted by law. Promoters failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 15. LIMITATIONS OF LIABILITY: To the extent permitted by mandatory provision of the applicable law, Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including without limitation, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions or votes or the tabulating of votes, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or receipt or use or misuse of any prize (including any travel/activity related thereto); (7) any claims that the entrant's Submission violates or infringes the intellectual property rights of a third party; (8) any claims by an entrant that it's Submission is similar to or competitive with technologies or products independently developed by Promoter or received by Promoter from third parties, including from other entrants. Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission. 16. DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Delaware or the appropriate Delaware State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Promoter in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of 6

Delaware without giving effect to any choice of law or conflict of law rules (whether of the State of Delaware or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Delaware. For Residents of Germany and Spain only: This limitation to the amount of damages does not apply if not permitted by law. For Residents of Poland only: Complaints regarding the Contest proceedings may be submitted in writing to the Promoters address within 21 days of end of the Contest. A written complaint should include: name, address of the entrant, as well as detailed description of the complaint. A complaint will be resolved within 14 days receipt by the Promoter. The decision will be communicated to the entrant in writing by a registered letter sent to the address included in the complaint within 7 days of the resolution of the complaint. 17. SEVERABILITY: If the application of any provision of these Official Rules to any particular facts or circumstances shall for any reason be held to be invalid, illegal or unenforceable by a court, arbitration panel or other tribunal of competent jurisdiction, then (a) the validity, legality and enforceability of such provision as applied to any other particular facts or circumstances, and the other provisions of these Official Rules, shall not in any way be affected or impaired thereby; and (b) such provision shall be enforced to the maximum extent possible. In addition, if any provision contained in these Official Rules shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with applicable law. 18.
