Adrian T. Dillon Chairman, WNS (Holdings) Ltd. Mr. Adrian Dillon serves as Chairman of the Board of WNS (Holdings) Ltd. He is currently a Member of the Board of Directors and Chair of the Audit and Finance Committees of WilliamsSonoma, Inc, a specialty retailer of high-quality home products. He is also currently a Member of the Board of Directors and Chair of the Audit Committee of Wonga.com, an Internet banking company. He was a Member of the Board and Chair of the Audit Committee at NDS, a leading global provider of end-to-end software solutions to the pay-television industry when the company was acquired by Cisco in 2012. During his career, he held key finance roles, including Chief Financial and Administrative Officer at Skype Ltd. and EVP, Finance and Administration and CFO of Agilent Technologies. He was a past Chairman and Member of The Conference Board Council of Financial Executives. Mr. Dillon graduated in Economics from Amherst College.

Keshav Murugesh Chief Executive Officer Mr. Murugesh serves as Chief Executive Officer and Member of the Board of Directors. Based in Mumbai, Mr. Murugesh is responsible for executing the business strategy and directing the overall performance and growth of the organization. Prior to joining WNS, he held several leadership positions in global companies, including President and CEO, Syntel Inc. and ITC Ltd., an affiliate of BAT Plc. Mr. Murugesh is a Member on the Board of WNS Cares Foundation that focuses on community-related projects in WNS locations globally. He is also the Chairman of the NASSCOM* Business Process Management (BPM) Council. He is a frequent industry speaker, including at the World Economic Forum. Mr. Murugesh was the founder Chairman of SIFE (Students in Free Enterprise) India, now known as Enactus, a global organization involved in educational outreach projects in partnership with businesses. He is a Fellow of The Institute of Chartered Accountants of India and a Commerce Graduate.

Jeremy Young Director Mr. Young was appointed to the WNS Board in May 2004 as a nominee of Warburg Pincus. He became an independent Director with effect from January 2013, having retired from Warburg Pincus in December 2012, where for 20 years he held a variety of senior positions and board directorships across Western and Central Europe. Mr. Young is Vice Chairman of The Haemophilia Society, a UK-based healthcare charity. Before joining Warburg Pincus, he worked with Baxter Healthcare International; Booz, Allen & Hamilton International and Cellular Transplant / Cytotherapeutics. Mr. Young holds a Masters in English from Cambridge University and an MBA from Harvard Business School.

Eric B. Herr Director Mr. Eric Herr was appointed to the WNS Board with the completion of the companys initial public offering in 2006. Until recently, he served as the Chairman of the WNS Board. He is on the Board of Directors of Regulatory Data Corporation. Mr. Herr serves as Chair of the New Hampshire Charitable Foundation and as a member of the New Hampshire Judicial Council. In his earlier stints, he was Director of Taleo Corporation and President & CFO of Autodesk, Inc. He is a Masters in Economics from Indiana University. Sir Anthony Greener Director Sir Anthony Armitage Greener was appointed to the WNS Board in June 2007. Sir Anthony is based in London and is the Chairman of Minton Trust and St. Giles Trust. Prior to WNS, he served as Deputy Chairman of British Telecom and Chairman of Diageo plc. Earlier, he was the Chairman and Chief Executive of Guinness plc and CEO of Dunhill Holdings. Sir Anthony was also a Director on the Board of Robert Mondavi and Louis Vuitton Mot Hennessy. He is presently

an independent Director at Williams-Sonoma Inc. Sir Anthony was honored with a Knighthood in 1999 for his services to the beverage industry. Albert Aboody Director Mr. Albert Aboody was appointed to the WNS Board in June 2010 as an independent Director. He is also the Chairman of the Audit Committee of the Board. Mr. Aboody was an Audit Partner at KPMG LLP (U.S.) where he worked on significant client assignments and participated in the establishment of policies and overseeing of professional practice accounting and auditing matters as a Member of the firms National Office. In this capacity, he also reviewed filings by registrants with the U.S. Securities and Exchange Commission (SEC) and engaged in discussions with the SEC on accounting and auditing issues affecting KPMG clients. He has also been on the Advisory Board of KPMG India, served as its Deputy Chairman and Head of its audit department. He co-authored the chapter on SEC Reporting Requirements appearing in the 2001-2008 annual editions of the Corporate Controllers Manual. Mr. Aboody is a Member of the American Institute of Certified Public Accountants, and was a Research Scholar in philosophy at Cambridge University after graduating with a bachelors degree from Princeton Universitys Woodrow Wilson School of Public and International Affairs. Renu S Karnad Director Ms. Renu S Karnad was appointed to the WNS Board in September 2012 as an independent Director. Ms. Karnad is the Managing Director of the Housing Development Finance Corporation (HDFC) Ltd., an organization she has been with since 1978. She is also a Director on several other Boards, including BOSCH Ltd. and AKZO Nobel India Ltd. In her current role, Ms. Karnad is responsible for strategy, budget, product development and distribution for Indian lending operations. She is keenly involved in policy planning in the Indian housing industry. Over the years, Ms. Karnad has had to her credit, numerous awards and accolades, such as Outstanding Woman Business Leader at the CNBC-TV18 Indian Business Leader Awards (IBLA) 2012. She was also a part of Business Today Magazines Power List 2011 of 25 MOST INFLUENTIAL WOMEN PROFESSIONALS IN INDIA and was honored by IMC Ladies wing for outstanding contribution by a woman in the field of Banking and Financial Services in the year 2011. Ms. Karnad is a Law graduate from the University of Mumbai, and holds a Masters in Economics from the University of Delhi. She is a Parvin Fellow from Princeton Universitys Woodrow Wilson School of International Affairs. Gareth Williams Director Mr. Gareth Williams was appointed to the WNS Board in January 2014. Prior to his appointment, he was Director, Human Resources at Diageo plc, one of the worlds leading premium drink companies. Prior to taking over as Head of Human Resources at Diageo in January 1999, Mr. Williams held a series of key positions in HR at Grand Metropolitan, plc in North America and the UK from 1984 to 1998, leading up to the merger with Guinness that formed Diageo. Prior to joining Grand Metropolitan, he spent 10 years with Ford of Britain in a number of HR roles. Mr. Williams studied at the Warwick University. Michael Menezes Director Mr. Michael Menezes was appointed to the WNS Board in January 2014. Most recently, he was the CFO, Technology, Operations and Corporate Group at Bank of Montreal from 2000 to 2012. Mr. Menezes has over two decades of global exposure, both as CEO and CFO in the Financial Services, Consumer Goods and Agri-business sectors. In his previous stints, he has been the CFO for ONIC (Holding), CEO of ITC Agro Tech Ltd., India, apart from holding various senior finance roles at ITC Ltd. in India.
