Following up on the voicemail I left earlier today, we recently became aware that ASUS corporate existence was involuntarily terminated by the Secretary of State on September 20, 2013. We believe the Court needs to be made aware of this development in connection with the sale hearing on Wednesday, though we leave it to the court and the Debtor to determine how that affects the transaction (e.g., can the Court order the sale of the real estate despite this fact..... or........ whether reinstatement should be a condition of closing ? ). In case it would be of assistance to you in evaluating how to proceed, I can tell you that our office was advised by the Secretary of State (SOS) that ASUS/WAO could be reinstated under BOC 22.365 by filing the report and paying a fee. Specifically, the representative of the SOS suggested that the organization file the Periodic Report and pay the $25 fee to get reinstated The representative also said the Periodic Report will get rejected if it does not have 3 directors listed and suggested the filing entity could add 2 temporary acting board members for the purpose of filing the report.
