Squash Private Coaching & Consulting Contract

This Agreement is made effective as of June 0l, 2013, by xxx and yyy.
In this Agreement, the party who is contracting to receive services shall be referred to as Client", and the party
who will be providing the services shall be referred to as "Consultant"
Consultant has a background in coaching squash and is willing to provide services to Client based on this
background. Client desires to have services provided by Consultant.
INTRODUCTION
As a client, you understand and agree that you are fully responsible for your physical, mental, and emotional well-
being during your coaching sessions, including your choices and decisions.
You understand that coaching is a professional-client relationship you have with your coach that is designed to
facilitate the creation/development of squash training goals and to develop and carry out a strategy/plan for
achieving those goals
You understand that coaching is a comprehensive process that may involve all areas of your life, including work,
finances, health, relationships, education, and recreation. You acknowledge that deciding how to handle these
issues, incorporate coaching into these areas, and implement your choices is exclusively your responsibility.
You understand that coaching does not involve the diagnosis or treatment of mental health conditions as defined
by the American Psychiatric Association. You understand that coaching is not a substitute for counseling,
psychotherapy, psychoanalysis, mental health care, or substance abuse treatment and you will not use it in place
of any form of diagnosis, treatment, or therapy.
If you are currently in therapy or otherwise under the care of a mental health professional, you will consult with
the mental health provider regarding the advisability of working with a coach and that this person is aware of your
decision to proceed with the coaching relationship.
You understand that information will be held confidential unless you state otherwise, in writing. Except as
required by law or in the instance of serious physical threat or imminent danger to yourself or another person.
You understand that certain topics may be anonymously and hypothetically shared with other coaching
professionals for training, certification, OR consultation purposes.
In consideration for the furnishing of services by consultant, Client and Consultant hereby acknowledge,
understand and agree to the following Terms and Conditions:

1. WORK TO BE PERFORMED.
Customize squash training program; with a monthly review to amend the program as required
Average of forty hours of training per month; the training will be a combination of on court and off court
time, as required by training goals
Tournament coaching, including offsite travel, as required
Monthly review with client to discuss progress and goal development.
2. PERFORMANCE OF SERVICE
The manner in which the Services are to be performed and the specific hours to be worked by the Consultant shall
be determined by the Consultant. Client will rely on Consultant to work as many hours as possible to fulfill
Consultant's obligation under the agreement. The Consultant undertakes to perform the Services with the highest
standards of professional and ethical competence and integrity.
3. COMPENSATION
Client shall pay a fee to the Consultant for the Services base on $4,000 per month. This fee shall be payable
every fifteen days, on the 1
st
and 16
th
of the month.
4. EXPENSE REIMBURSEMENT
The consultant shall be entitled to reimbursement from Client for the following out of pocket expenses: travel
and hotel expenses. In addition the consultant shall be entitled to per diem payment of USD $100 per travel day.
All expenses shall be payable within seven days of submitting an expense report with proof of expenses.
5. COMPENSATED TIME OFF
The consultant shall be entitled to a vacation leave of three weeks during the agreement period. The consultant
will provide a suitable substitute during the period of leave.
6. ASSIGNMENT
If necessary within reason, the Consultant may assign training sessions to another coach, with approval of the
client.
7. INJURIES
Although Squash is a safe sport, injury during playing squash or training is possible. Although every precaution
will be taken, there is a risk of injury to either client or consultant. Both the Client and consultant understand and
acknowledge the risks associated with squash and sports training. Both the client and consultant waive any nights
to recovery from the other for any injuries they may sustain while performing services under this Agreement and
that are not of the result of gross negligence. '

8. INDEPENDENT CONTRACTOR RELATIONSHIP
Consultant's relationship with Client will be that of an independent contractor, and nothing in this
Agreement is intended to, or should be construed to, create a partnership, agency, joint venture, or
employment relationship.
No part of Consultants compensation will be subject to withholding by Client for the payment of any
social security, federal, state or any other employee payroll taxes.
Client will not provide fringe benefits including: health insurance, or other employee benefits
9. TERMINATION
Agreement shall be effective for a period of 10 months.
10. OWNERSHIP OF WORK PRODUCT
Client agrees that all work product developed in connection with the performance of services pursuant to this
Agreement is and shall be the sole property of Consultant, and Client shall retain no ownership, interest, or rights
therein.
11. CONFIDENTIALITY
Neither the Consultant nor Client shall disclose any proprietary or confidential information relating to the
Services or this Contract without the prior written consent.
12. LIMITATION OF LIABILITY
Under no circumstances shall the Consultant be liable to client or any third party for indirect, incidental,
consequential, special or exemplary damages (even if advised of the possibility of such damages), arising from
this agreement, such as, but not limited to, loss of revenue or anticipated profits or lost business, costs of delay,
personal or property damage, or liabilities to third parties arising from any source.
13. AMENDMENT
This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.
14. ENTIRE AGREEMENT
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any
other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between
the parties.
15. GOVERNING LAW
This Agreement shall be governed in all respects by the laws of the United States of America and by the laws of
the State of New York.

16. WAIVER OF CONTRACTUAL RIGHT
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or
limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this
Agreement.
17. SEVERABILITY
If any provision of this Agreement is held by a court of law to be illegal, invalid, or unenforceable, (a) that
provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original
provision, and (b) the legality, validity, and enforceability of the remaining provisions of this Agreement shall not
be affected or impaired thereby.
18. DISPUTE RESOLUTION
Any dispute arising out of this Contract, which cannot be amicably settled between the parties, shall be referred to
adjudication/arbitration in accordance with the laws of the state of New York.
19. NOTICES
All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when
delivered in person or deposited in the United States mail, postage prepaid, addressed as follow:
