ARTICLE 2 : PACKING AND MARKING

Packing : Packing must be suitable for ocean shipment and sufficiently strong to
withstand rough handling. Bales must be press-packed and hooped, with adequate
inside water-proof protection and the outer wrapping must be comprise good quality
canvas. Cases or other outside containers must be externally of the smallest cubic
dimension consistent with adequate protection of the goods.
Packing must bear full marks and shipping numbers stenciled in good quality stencil ink
in large plain characters on two sides and one end of each package. All bales must be
marked “use no hooks”
Marking: The buyer company LOGO will print on the Tank carton/collector/tank outsell.

ARTICLE 3 : Term and place of delivery

1. Term of delivery : CIF Hai Phong Viet Nam
2. Time of delivery: within 20 days since the seller receive the advance payment.
3. Transshipment : Not allowed
4 Partial Shipment: Not allowed
5.Loading Port & Destination: From Shanghai- China to Haiphong sea port,Vietnam
6. Shipping and shipping advise:
1. The seller have to inform to the Buyer at least 5 working days before loading,
the vessel details: name of vessel, age of vessel, the estimated time of dispatch and
arrival the vessel’s voyage, port of discharge.
2. Within 3 working days after shipment, the seller shall advise by fax: B/L
number. b/L date, exact quantity loaded, invoice value to be provides to insurance
company.
3. The vessel chartered by the Seller shall be seaworthy. The age of Vessel
should not be over 20 years old, if the age of vessel exceed 15 years old, the overage
premium as per Insurance stipulated will be charged at the Seller
4. The vessel should be equipped with suitable crane(s) allowing unloading the
goods at the discharging port. Otherwise, the crane(s) charges should be paid by the
Seller to discharging port

ARTICLE 4 : PAYMENT
1. Condition of payment:
20% of contract value shall be paid by Telegraphic Transfer( T/T) as an advance
payment., and the rest 80% contract value paid by irrevocable L/C at sight.
2 Documents request
At delivery to the ordered port, the seller must submit to the buyer documents below :
+ Seller’s Signed Commercial Invoices in three ( 03) originals

+ Seller’s packing List in three(03) origins showing quantity, size, and total net and
gross weight.
+ Certificate of qualification
+ Certificate of Origin of goods issued by the Chamber of Commerce of China
+ Full set of clean on board ocean Bill of Lading
+ Insurance Policy
The responsible party shall Cable/ Telex/ Fax advising shipment particulars within 24
hours after completion of loading

Pay by T/T at sight to the beneficiary

- All export duties, taxes, levied in the country of origin to be at Seller’s account
- All import duties, taxes, levied in the country of destination shall be for Buyer’s
account

Special Conditions
-All Bank charges outside Vietnam are at Seller’s account
-All Bank charges inside Vietnam are at Buyer account
-L/C amendment charges shall be born by the proposed party
-In case the Buyer does not receive the original B/L upon vessel’s arrival, the Buyer
shall arrange bank Guarantee( according to L/C issuing bank’s form) for cargo
discharge and release. Bank Guarantee charge to be at Seller’s account. However if
the Shipping Agent does not accept this Bank Guarantee, any/all fees or charges
arising from this matter shall be borne by the Seller.

ARTICLE 5: INSPECTION AND CLAIMS

In case of short weight or quality claim, the Buyer notifies the Seller by Fax or
email within 45 days after completion of discharging date, accompanying with detailed
inspection certificate by an independent inspection Company at discharging port.

Guarantee and after-sales service

The Seller is responsible to warrant the goods free of charge for errors of the
manufacturer (Standard Provisions of Maintenance ). Overcoming damages shall be
completed with 30days from receiving the notice of the buyer.

ARTICLE 6 : Force majeure

The Force Majeure( exemptions) clause of the International Chamber of
Commerce( ICC publication No 421) is hereby incorporated on this contract.

ARTICLE 7 : Arbitration
All disputes, if any a rising out of this contract shall be resolved through mutual
consultation and amicable settlement .if , however ,the two parties fail to reach an

agreement ,the disputes shall be referred to the International Arbitration center at
Chamber of Commerce and industry of Vietnam in compliance with its arbitration
process and procedure .Award of arbitration to be final and binding on both parties. The
cost for Arbitration and other expenses relating to the Arbitration shall be borne the
losing party.

Article 8: General Condition

- Both sides undertake to execute strictly all articles of this contract. Any amendment or
addition to this contract shall be valid only when it is made in written form and signed
by both parties.
- This contract was made 02 originals ,of which retained by each party.
