1.0 SCOPE
The Work shall consist of any and all obligations assumed by the Performing Agent in
compliance with the stipulations of Contract Documents signed by the Performing Agent
and Company, and for which, Company will compensate the Performing Agent in
accordance with agreed terms.
Immediately upon contract award, the Performing Agent shall submit a Manpower Plan
detailing all individuals to be assigned to the project team and their respective job titles.
These job titles will include, but not be limited to, engineers, draftsmen, designers,
checkers, computer operators, programmers, secretaries, procurement/logistics
specialists, tradesmen, QA/QC specialists, safety personnel, and project management
personnel who are anticipated to be assigned either full or part-time to the project.
Performing Agent shall provide a contact list with applicable contact numbers, fax
numbers, and e-mail addresses for senior team personnel to facilitate contact between
them, the Company Representative and the Company Inspector.
Immediately upon contract award, Performing Agent shall assemble his project team and
finalize a Project Execution Plan (PEP). The PEP will, as a minimum, consist of:
• Project Overview
• Statement of Performing Agent’s Objective
• Resources Available to Accomplish the Objective
• Work Premise and list of Assumptions
• Summary of the Scope of Work citing applicable drawings and specifications
• Execution Plan detailing for each project phase the tasks to be accomplished, the
means to accomplish tasks, and definition of the project milestones in each phase
• Health, Safety, and Environmental Concerns
• Interdepartmental Relationships
• Handover of As-Built Documentation
It is recognized that time is of the essence, and Performing Agent shall prosecute the
work with due diligence, in adherence to the agreed schedule, until completion and written
acceptance by the Company.

It shall be the Performing Agent’s responsibility and first priority to provide a detailed
project schedule, in accordance with the Project Execution Plan, covering the contract’s
base scope of work. The schedule shall be in the form of a Gantt Chart and shall be
submitted to the Company representative no later than two weeks following award of
contract or purchase order. The schedule will reflect any/all project phases, defined
milestones, and any/all specified “Hold” points.
The project schedule shall be updated and submitted to Company at least every two
weeks (unless specified more frequently) throughout the duration of the project.
Additionally, the Performing Agent shall be responsible for providing and submitting
weekly Progress Reports, signed and approved by the Company Inspector.
Whenever project progress falls behind the agreed schedule, the Performing Agent shall
contact the Company Representative or his designate to discuss recovery schedules
and/or schedule revisions.
The Performing Agent shall submit invoices on a monthly basis, consistent with progress
reported and agreed by Company Representative in the weekly progress reports (unless
otherwise agreed upon in the Contract Documents).
5.0 SUBCONTRACTS
As soon as practicable and before awarding any subcontracts, the Performing Agent shall
notify Company, in writing, the names of all proposed subcontractors and the work they
will perform. Contractor shall not employ any subcontractor without the express written
consent of Company.
Approval Data
The submission of preliminary drawings for approval prior to shop fabrication is required
within the time specified by Company in the Contract Documents. Documents submitted
for approval shall include but not be limited to:
• Package and Equipment Layouts with respective weights
• Skid Drawings
• Process Flow Diagrams
• Piping and Instrument Diagrams
• Piping and Fabrication Drawings
• Vessel Drawings including details of internals
• Detailed Instrumentation Schematics
• Electrical One Line diagrams
• Detailed Electrical Schematics
• Performance Data
• Welding Procedures
• Welding Specifications
• Welder Qualification Reports

With any hydrocarbon producing facility, the ‘Management of Change’ system must be
predicated on the supply of accurate as-built drawings. The Performing Agent shall
(unless otherwise exempted in the Contract Documents) within sixty days after written
acceptance of the Work, furnish as-built drawings of the completed Work.
Company reserves the right to order extra work, or make changes by altering, adding to,
or deducting from the work. The Company Representative will notify such changes in
writing. Should the Performing Agent determine that a particular revision or order for extra
work would result in a delay to delivery date, the Performing Agent shall immediately notify
the Company Representative, in writing. The Performing Agent’s price may be adjusted
accordingly, but when there is price or delivery impact, work shall not begin on any
revision until the Performing Agent and the Company Representative mutually agree the
costs and schedule impacts. Once agreement is reached, a written Change Order will be
issued by Company to direct the Performing Agent to undertake the change.
Performing Agent shall provide sufficient information (including description of the cause-
and-effect relationship of the revision’s impact to the schedule, man-hour estimates,
revised schedules, etc.) as back up for proposed schedule extensions. In all cases, the
Performing Agent shall furnish Company Representative immediate verbal notification of
all major delays, and shall subsequently confirm these delays in writing in timely fashion.
Performing Agent shall give the Company Representative, and the Company Inspector by
separate copy, at least three (3) days notice prior to commencing the Work. While work is
in progress, the Company Inspector shall be given at least two (2) hours notice of any
major changes or revision. No work shall be done in the absence of the Company
Inspector without his prior consent or knowledge. If the Company Inspector is unable to
attend following reasonable notice, the Performing Agent is released to start work after
notifying the Company Inspector that he is recommencing the work, except where the
called-for inspection is specified as a “Hold” point.
Company reserves the right to specify “Hold” points at key milestones in the conduct of
the Work where Company deems that witnessed inspections of accomplished work must
occur prior to continuation of further work. No work may recommence from a designated
“Hold” without either written acceptance of inspection or a written waiver of inspection by
the Company Inspector.

When in the judgment of the Company Inspector, any work area or project component is
to be inspected, the Performing Agent shall clean the area and component of all excess
waste, clutter, sand, slag, weld spatter, used rods, and any impediments or obstacles, to
allow access by the Company Inspector. Sufficient time shall be allowed by the
performing Agent to allow the Company Inspector to thoroughly inspect the work to his
satisfaction. Any and all necessary scaffold, ladders, walkways, lighting, etc. shall be
furnished, installed, and maintained to enable the Company Inspector safe access for a
thorough inspection.
9.0 INSPECTION
Company shall have the right at all times to inspect all aspects of the Work. If such
inspection discloses that any materials and/or equipment furnished by the Performing
Agent is not in compliance with contract documents, the Performing Agent shall promptly
repair or replace such materials at no cost to Company. If such inspection discloses that
any of Performing Agent’s workmanship is not in compliance with the contract documents,
Contractor shall promptly repair or replace such Work at no cost to Company. If
Performing Agent fails to repair or replace any materials, equipment, or Work (which it
obligated to repair pursuant to this paragraph), Company may make such repair or
replacement and deduct the cost from the compensation to be paid under the contract.
The respective Performing Agent shall be responsible for the conduct of safety, health and
loss control reviews for engineered equipment supplied under cover of these General
Specifications. Appropriate safety, fire, hygiene, and environmental protection specialists
shall conduct these reviews. The results of such reviews shall be documented and
submitted to Company as part of the documentation for any engineered equipment
supplied.
All hazards identified during the safety, health and loss control review process shall be
addressed and satisfactorily resolved during the design, unless the responsibility for
mitigation of said hazards is assumed by Company. Performing Agent shall submit a
comprehensive report of problems outstanding for Company’s review.
Company has a strong interest to standardize spare parts inventories and to efficiently
train maintenance and operations personnel by minimizing variations to common
equipment. Therefore, a list of Approved Vendors may be provided. Some specifications
may also stipulate specific manufacturers' products. Such stipulations do not necessarily
imply rejection of Vendor's standard designs or purchased equipment. However,

substitution of products in lieu of those specified, shall not occur without Company 's prior
written approval.
12.0 WARRANTIES
The Vendor shall have final and total responsibility for the design, fabrication and
performance of all equipment supplied. Vendor shall warrant the materials, construction
and performance of the equipment to be free from defects in design, material and
workmanship. All equipment must satisfy the requirements of the intended use and be
suitable for the application. Vendor shall repair or replace under warranty, any equipment
which proves to be defective within 12 months of being put into operation, provided such
equipment is put into operation within 24 months of the date of shipment from the
Vendor's facilities.
All Performing Agents shall obtain and shall assign and convey to Company any and all
warranties, expressed or implied, made by Performing Agent’s subcontractors, suppliers
and manufacturers. Any deficiencies with respect to compliance to contract documents
shall be corrected at Performing Agent’s expense. Company’s failure to discover
defective workmanship, material, or equipment shall not relieve the Performing Agent from
any responsibility to comply with the Contract. Payment of funds by Company shall not
constitute a waiver of Company’s rights nor acceptance of defects.
All materials supplied under these specifications shall be adequate for the proposed
service. Proper consideration shall be given to their function with regard to corrosion,
chemical attack, electrical, and process hazards. Precautions to avoid these hazards
shall be taken. Such precautions shall include, but not be limited to:
13.1 Selection
Materials shall be appropriately selected to meet design requirements, together with any
foreseeable contingency.
Suitable treatment of materials shall be performed to minimize corrosion and optimize the
strength of materials, per applicable codes.
Coatings shall be required to preserve the utility, efficiency, and appearance of the
equipment under offshore, marine operating conditions.

Corrosion and erosion allowances shall be in accordance with good engineering practices
and shall satisfy the minimum values as stated in the General Specifications. Particular
attention shall be given to the metallurgy and the arrangement of equipment likely to be
exposed internally and externally to corrosive media.
