1. PROPOSAL :
This proposal is prepared for M/s Chintamani Agrotech (I) Pvt. Ltd (CAIPL),
Village Bijora, Tahsil Mahagaon, Dist. Yavatmal, Maharashtra State by M/s
MITCON Consultancy & Engineering Services Ltd., Pune for undertaking the
preparation of Detailed Project Report (DPR) along with Cane survey & Biomass
Assessment report of their proposed integrated sugar, cogen power & distillery
project.

2. ABOUT MITCON:

3. ABOUT DIVISION :
Power Division provides a wide range of services for sugar, power & ethanol
projects viz.

3.1 Preinvestment
Feasibility study, fuel / biomass / cane survey, bankable DPR, loan
syndication, lender engineering, approval services, MNRE capital grant &
excise duty exemption certificates, project developer interface services, etc.)

3.2 Precontract Engineering
Basic / detailed design engineering, plant layouts, specifications and
drawings, EPC/packaged bid documents, bidding / bid evaluation /
recommendations, precontract discussions, assistance in signing EPC /
package contracts & manpower planning)

3.3 Postcontract Engineering / Project Management
(Kick start meetings with vendors / EPC contractors, PERT / CPM networks,
inspection / expediting, vendor drawling services and approvals, site
supervision, monitoring of erection / commissioning, plant stabilization &
plant MIS development)

3.4 Postcommissioning
(Witnessing PG tests, trouble shooting, plant MIS, contract to compliance
reports, etc.)




3.5 Macro Assignments & Training

Macro and Policy Studies for biomass, bagasse, natural gas, fossil fuel based
industrial captive /cogen power for sugar, distillery & ethanol sectors

4. OBJECTIVE / INTRODUCTION :
M/s Chintamani Agrotech (I) Pvt. Ltd (CAIPL), Village Bijora, Tahsil Mahagaon,
Dist. Yavatmal, Maharashtra State, wants to prepare Detailed Project Report
along with Cane survey & Biomass Assessment reports for the proposed
integrated sugar, cogen power & distillery. Therefore, CAIPL has approached
MITCON for preparation of the same.

5.3 Biomass Assessment Study Report
To study the cropping pattern for last 5 years in terms of:

Area under cultivation of major crops
Yield (MT of crop/acre)
Biomass generation ratio for each major crop
Actual biomass generation, including sugarcane trash
Proximate and ultimate analysis of each major type of biomass material
Present usage and surplus availability
Average transportation charges per MT/km for each biomass material


To provide future projections of 5 years for crop cultivation in the command
area, biomass generation, usage and surplus availability based on past
trends and extension of irrigation facilities.
To study availability / sale of biomass materials from any other agro
processing industries like rice mills, saw mills, oil mills, sugar mills, if any,
along with average selling price for these materials, including average
transportation charges / MT/km.
To estimate biomass power projects likely to come within the command
area of the proposed plant locations and their likely consumption of biomass
in next 5 years.
To identify availability of surplus biomass materials from forest wastes and
other sources within the command area.
To estimate availability of surplus biomass materials within the command
area.
To identify locations of concentrated availability of surplus biomass within
the radii as above, for housing of optimum number of biomass depots.
To identify biomass traders / dealers within the command area of each
location and their annual collection / sale of biomass materials for last 2/3
years.
To evaluate the location in terms of quantity and quality of biomass
materials, availability of water and nearby grid access and recommend a
specific location for implementation of the proposed power plant.
To recommend strategies and action plans for surplus biomass collection,
processing, transportation and management for successful fuel linkage for
operation of the proposed power plant at select location.
To prepare and submit biomass assessment study report to the client and
finalize in consultation with client.
To provide required technical assistance to the client for answering queries
raised by regulatory intuitions & FIs related to biomass assessment study, as
required.

6. EXCLUSION TO THE SCOPE :
The scope of work set out above does not envisage any assistance/services
related to

1. Legal services
2. Taxation or technical services.
3. Audit and accounting services.
4. Assistance in debt syndication/ equity issuance / formulation
5. Liaison with Statutory /Local Authorities, Govt. Depts. for approvals.

7. METHODOLOGY :
7.1 Visit/s of team of experts to the proposed plant
7.2 Discussions with the technical and commercial officials / Consultants of
company as well as their management personnel
7.3 Scrutiny of relevant documents submitted by the company and any other
persons appointed for this purpose

7.4 Discussions with the various officials of Govt. agencies / finance
institutions concerned with the company, if required.
7.5 The DPR of the company will be carried out by the concerned team of
Technical, Financial, Cane & Biomass Survey Experts of MITCON.
7.6 The MITCON team will work in close coordination with company
nominated persons for completion of this assignment.

8. TIMELINES FOR DELIVERY :

**In case no comments are received within 7 working days, the Draft Report shall be
deemed as Final Report and will be invoiced accordingly.

9. CLIENTS OBLIGATIONS:
i ) Designate a counterpart team/ person with whom MITCON team can closely
interact to seek related inputs about client, scheduling meetings, inputs on
key issues.

ii) Sharing of relevant information available with the client with MITCON team.

iii) Facilitating interactions with senior management and decision makers,
existing customers, vendors and channel partners


10. MITCONs OBLIGATIONS:
The assignment will be executed by MITCON within 28 days from the date of
acknowledging this proposal by the client and release of payment against
the milestone for commencement of assignment.

MITCON shall complete its deliverables as per work plan provided client
provides all information to MITCON as sought from him from time to time.

MITCONs deliverables will be based on an independent analysis of
information made available by client. MITCON shall receive all information
from the client on a best effort basis.

If any limitations arise during the execution of the assignment, MITCON shall
inform the Client of its nature, possible impact on quality, time of its
deliverables and suggest the Client ways and means to overcome the same.


MITCON hereby confirms that any confidential information received,
collected pertaining to captioned assignment shall be kept strictly
confidential, and shall be used/ allowed to be used, solely in connection
with the captioned assignment.

MITCON shall appoint a team of experienced and responsible experts to lead
captioned assignment.

11. CHARGES:

i) All payments shall always be made to and in the name of MITCON
CONSULTANCY & ENGG. SERVICES LTD.
ii) The lump sum professional fees payable to MITCON CONSULTANCY &
ENGG. SERVICES LTD. for the scope of work outlined above shall be Rs.
6,00,000/ (Rupees Six lakh only).
The Item wise Breakup is as below:
Cane Survey Report Rs. 1,25,000/
Biomass Assessment Study Report Rs. 1,25,000/
Detailed Project Report Rs. 3,50,000/

iii) The fees quoted above are exclusive of service tax, which shall be payable
at 12.36 % for each milestone payment separately for the amount of that
payment milestone.
iv) Our Professional fees are exclusive of travel, conveyance, lodging, boarding ,
out of pocket and statutory expenses.
v) Tax Deductible at Source: If tax is deductible at source on the payments
to be made to "MITCON CONSULTANCY & ENGG. SERVICES LTD., Client
may deduct such tax at source at the applicable rate but clearly
mentioning in his Payment Advice the rate of tax and the total amount of
tax deducted at source along with the Certificate of TDS.
vi) Any statutory levies / taxes, which may be levied as per the governing
laws, on MITCON CONSULTANCY & ENGG. SERVICES LTD., shall be
payable extra by the Client.
vii) Unless otherwise stipulated payment shall be received only in Indian Rupees

1. Payments for the invoices raised towards professional services shall be
made immediately upon submission of the invoice.
2. For any professional assistance required by Client apart from the
scope of work envisaged above, additional professional fees would be
charged by for such effort as mutually agreed upon.
3. The above fees shall exclude statutory, technical and legal costs, if
any, that shall be payable extra at actual.
4. The fees in any case shall be paid by the client to MITCONs officer before
delivery of the draft or final report. No report shall be delivered to the client
unless due fees are paid.
13. GENERAL / COMMERCIAL TERMS & CONDITIONS:
Our Company has been registered under The Micro, Small and Medium
Enterprises Act 2006.
We reserve the right to demand interest, if payment is delayed beyond 30
days.
Our Service Tax Registration No. : AABCM2681HST001.
Our PAN No. : AABCM 2681 H.
Termination of this contract requires 30 days notice.
Force Majeure: This Contract is governed by standard Force Majeure clause.
Prohibitions: This Contract is strictly governed by total secrecy on either
side. It prohibits any leakage of information.
For ISO discipline, we may request you for Satisfaction Certificate in
prescribed format, after completion of assignment. If we do not receive an
acknowledgement within 15 days from the date of submission of prescribed
format, it will be deemed to be received by us and you are satisfied with our
service.
No liquidated damages shall be entertained against this contract.
JURISDICTION: In any event of any dispute arising out of these terms and
conditions of this proposal would be subject to Pune Jurisdiction.






14 TERMS OF AGREEMENT:
In agreement to the above terms and conditions the client confirms the
assignment by signing a copy of this proposal and returning it to us.
