Re.: Consulting Agreement
Dear Mr Reghu Pillai,
Based on our recent discussions including your visit to our Office, we are
pleased to engage your services as Consultant(Projects)as per following
terms and conditions.
1] Period of Contract:
This Agreement is made effective from . 2014 for a period of one
year, which will be automatically renewed unless either of the Party
wishes otherwise. However, the agreement remain valid as long as any
project with the involvement of Mr Reghu Pillai remains ongoing.
2) Non-exclusivity
This agreement is non-exclusive.
3] Description of Services/Scope of assistance
Reghu Pillai will assist Tesync Technology Limited in following business
opportunities.

1. NSDC
2. NRLM
3. Other Govt initiatives
4. Defence
5. CSR Opportunity
6. Business from World Bodies
7. Any other mutually interested ideas/sectors
4) Terms of Contract: Remuneration: For the above services, you will be
paid a monthly retainer of Rs. 1,75,000/-(Rupees one lac seventy five
thousand only) plus service tax @12.36% to be paid in advance along
with signing of this agreement and thereafter by 1

of every month. In
addition following will also be paid:

(i) All trave expenses incurred by you for our Company work will be
reimbursed byTesync Technology Limited (economy air ticket and
actuals of hotel expenses, entertainment expenses) subject to prior
approval by the undersiTesync Technology Limited will give you a
Company visit card as President/Director (Projects). This designation is
purely for weightage during business dealings.
(iii) For NRLM project, 3.5% of the total project cost to be paid to Mr
Reghu Pillai after receipt of each phased payment.
(iv) For NSDC proposal preparation Rs.3 lac to be given for project
proposal preparation.
(v) For NSDC project, 1% of the total project funding to be given to Mr
Reghu Pillai after each phased payment is received.
(vi) For CSR projects 3.5% of the total project funding based on receipt of
payment.
(vii) For Defence 5% of the total funding
(viii) For all other projects, this will be decided from case to cast as per
mutually agreed terms.
7) Termination of contract: The contract could be terminated mutually
by either party giving thirty days notice in writing. However, it is binding
for Tesync Technology Limited to pay remaining phased payment of the
total Project value for all projects with the involvement of Mr Reghu
Pillai and remaining monthly fee for the contract duration in caseTesync
Technology Limited terminate the contract any time.

preparation of project proposals to throughout the life-cycle of the
projects. The entire scope of work and its success as above is a total
team effort and as such the responsibility rest with the entire team.

8) Acceptance: You are requested to confirm acceptance of the terms
and condition set forth in this agreement by signing on the duplicate
copy of this and returning same to the undersigned.
