Dear Sir,
I/We understand that Godrej Landmark Redevelopers Private Ltd (GLRPL) a
subsidiary of Godrej Projects Development Private Limited, is proposing to develop a
residential project at Sahakar Nagar -1 layout (popularly known as Shell Colony) at
Chembur, Mumbai 400 071 to be known as Godrej Central (Project). I/We have
inspected the Approved plans sanctioned by the Municipal Corporation of Greater
Mumbai. I/We also understand that you are in the process of applying for further
approvals and sanctions including Commencement Certificate (Approvals) for the
construction of the Project.
I/We understand that eventhough we have inspected the approved plans, GLRPL
reserves the right to change the design, elevation, specifications, amenities and
facilities, plans, etc. due to aesthetic reasons or to meet the planning / regulatory
requirement and/or for any other reasons. Changes, if any will be acceptable and
binding on me/us. GLRPL will construct as per the final approved plan received from
the concerned authorities. Further, I/We understand that the marketing
plan/brochure is a mere indication of the proposed project
Being fully aware of the aforesaid facts, I/We wish to register my/our expression of
interest for reservation of a _____________ BHK flat being Flat no. ____________
admeasuring about ______________sq metres __________ sq ft (carpet area)

approximately on ________________ floor, ________Wing in the Project (Said Flat)
for a sale consideration of Rs. _______________________/- (Rupees

understand that the area of the Said Flat may be subject to certain changes for reasons
beyond the control of GLRPL. I/We are aware that the manner in which the Sale
Consideration will be paid by me/us shall be detailed in the Application form, Letter
of allotment and the Agreement for Sale.
I /We further understand that the Sale Consideration amount of the Said Flat as
mentioned above does not include the club house development charges, share money
charges, legal charges, advance Lease Rent, taxes and maintenance charges, electricity
& water deposits, contribution towards corpus fund and other facilities or any other
charges (Estimated Total Other Charges) and I agree and undertake to pay the same
over and above the Sale Consideration.
In addition to the Sale Consideration and aforesaid Estimated Total Other Charges,
I/We also agree and undertake to pay the following amounts as and when demanded
by you and I/We shall not raise any dispute against you pertaining to the same;
(a) all taxes, levies, duties, cesses (whether applicable/payable now or
become applicable/payable in future) including but not limited to
Service Tax and / or Value Added Tax (VAT) and / or Goods and Services
Tax (GST) and / or payment of Tax deducted at Source (TDS) and/or all
other direct / indirect taxes/duties, impositions applicable levied by the
Central and/or State Government and/or any local, public or statutory
authorities/ bodies in respect of the Said Flat and/or in respect of the
Sale Price and/or the other amounts payable by me/us. The quantum
of such taxes, levies, duties, cesses as decided/ quantified by you shall
be binding on me/us;

(b) all costs, charges and expenses including but not limited to stamp duty,
registration charges and / or incidental charges in connection with the
documents to be executed for the sale of the Said Flat including on this
Letter and/or the agreement for sale (Agreement) under the
provisions of Maharashtra Ownership of Flats (Regulation of the
Promotion of Construction, Sale, Management and Transfer) Act, 1963
(MOF Act).

Private Ltd as an amount towards the initial reservation for purchase of the Said Flat.
This payment may be adjusted as part payment money towards the Sale Consideration
once the approvals are in place.
I/We hereby agree to be liable under the prevailing Income Act 1961 and any
amendments thereto, to deduct an amount of 1% in respect of the Sale Consideration
and/or the other amounts payable by me/us from the date of signing of this letter, on
all the actual payments made by me/us for reservation/purchase of the said Flat, on
account of Tax Deducted at Source (TDS) and pay to the Income Tax Authorities within
the timelines specified under the said Act. I/We further agree to submit the original
TDS Certificate to you within (15) fifteen days from date of such payment to the
concerned Income Tax Authorities. I/We agree to abide by all the terms and conditions
of this Letter and the Agreement on my/our liability on such deduction of TDS and
consequences of non-payment and non-submission of original TDS Certificate from
time to time.
I/We agree that you at your absolute discretion shall be entitled to accept or reject
the offer after receipt of the necessary approvals without assigning any reason,
whatsoever or howsoever.
I/We understand that if you reject my/our offer after receipt of the Approvals then,
you shall refund the amounts paid herein without any liability towards
interest/costs/damages and I/We shall not be entitled to claim any right/interest in
respect of the Said Flat.
I / We understand that further Approvals including Commencement Certificate are
expected from the concerned authority on or before
30 December 2014. Upon receipt of the necessary Approvals, I/We agree and
undertake to sign the Application Form and acknowledge the Allotment letter for
allotment of the Said Flat as and when called upon by you within a period of fifteen
(15) days. However if I/we do not respond or adhere to the aforesaid time period as
stipulated to complete the documentation as above, you shall refund us the amount
paid towards the initial reservation till date for purchase of the said flat after
deducting therefrom 2% of the sale consideration and the same shall be
acknowledged by me/us as full and final settlement of my/our claim. In such event

GLRPL shall be entitled to sell the Said Flat to any third party of its choice without any
recourse to the applicant/s.
Notwithstanding the fact that GLRPL may have issued an acknowledgement by way of
a receipt for the money tendered with this letter, I/we clearly understand and agree
that this is only our request to GLRPL for reservation of the Said Flat and acceptance
of the monies tendered herein shall not constitute any kind of acceptance / allotment
/ contract / agreement / etc. for the Said Flat between me/ourselves and GLRPL.
I/We understand that if Approvals including Commencement Certificate are not
received on or before 30 December 2014 in that eventuality I/We shall have the
option to seek refund of aforesaid amount paid towards the initial reservation of the
Said flat without seeking any costs/damages/interest etc. from you under any ground
whatsoever.
I/We agree and undertake that on refund of such amount by you to me/ us, I/we shall
have no claim, against you or the Said Flat or the Project in any manner whatsoever.
I/We further undertake that the receipt of the said amounts refunded to me/us shall
constitute full and final settlement of all my/our claims whatsoever against you.
I/We am/are fully aware that this letter or the reservation of Said Flat made in
pursuance of this letter will not create any right, title and interest over the Said Flat in
my/our favour in any manner whatsoever.
