PLEASE READ THIS END USER LICENSE AGREEMENT (THE “AGREEMENT”)
CAREFULLY BEFORE USING THIS SOFTWARE.

NOTICE TO USER – BY RECEIVING AND/OR USING THIS ACD SYSTEMS INTERNATIONAL INC.
(“ACD”) SOFTWARE YOU ACCEPT AND AGREE TO BE BOUND BY THE FOLLOWING USER
AGREEMENT. THIS AGREEMENT IS A BINDING LEGAL AGREEMENT BETWEEN ACD AND THE
PURCHASERS, USERS OR EVALUATORS (“YOU”) OF THIS SOFTWARE. IF YOU DO NOT AGREE TO
BE BOUND BY THIS AGREEMENT, REMOVE THIS SOFTWARE FROM YOUR COMPUTER NOW AND,
IF APPLICABLE, PROMPTLY RETURN TO ACD BY MAIL ANY COPIES OF THIS SOFTWARE AND
RELATED DOCUMENTATION AND PACKAGING IN YOUR POSSESSION.

1. Definitions – “Software” means the computer software program that accompanies this Agreement and
includes any available software user manuals, reference manuals and installation guides, or portions
thereof, either in electronic or printed form, in any media whatsoever. “Use” of this Software means that You
have loaded, installed, or run this Software on a computer or similar device. “Backup Copy” means one
non-transferable copy of this Software created for archival purposes only that is not installed or Used on
any computer or workstation (or number of users covered in a multi-user or site license) except for back-up
use during emergency situations. “Evaluation Version” means that You may evaluate the Evaluation
Version of this Software without purchasing a license for a maximum of thirty (30) calendar days (the
"Evaluation Period").

2. User Agreement
2.1 Grant – Subject to the terms of this
Agreement, ACD grants to You a limited, non-
exclusive, non-transferable, worldwide license,
without right to sub-license: to Use or evaluate
the object code version of this Software in
accordance with this Agreement and any other
written agreement with ACD. ACD does not
transfer title to this Software to You; the
license granted to You is not a sale.

2.2 Evaluation Version Use -You may

evaluate this Software without purchasing a
license (the “Evaluation Version”) for a
maximum of 30 days (the “Evaluation Period”).
On or before the expiration of the Evaluation
Period, You must purchase a license from
ACD (or an authorized reseller or distributor)
in order to continue to use this Software, or
You are required to remove this Software and
any Back-Up Copy from Your computer
immediately following the expiration of the
Evaluation Period. For more information about
purchasing a license to use this Software,
please contact ACD Customer Service.

2.3 Activation of Software – Once You have

purchased a license from ACD in order to
continue to use the Software, You may be
required to activate the Software through the
Internet. There are technological measures
within the Software that are designed to
prevent unlicensed use of the Software. ACD
will use those measures to confirm You have a
valid licensed copy of the Software. ACD will
not collect any personally identifiable
information from Your computer location or
workstation during this process.

2.4 Evaluation Version Distribution – The

Evaluation Version of this Software may be
freely distributed, provided that: (a) such
distribution includes only the original archive
supplied by ACD. You may not alter, delete or
add any files in the distribution archive or
modify this Software in any way; (b) the limited
evaluation nature of this Evaluation Version
Software is not misrepresented; (c) no money
is charged to the person receiving this
Evaluation Version Software, beyond
reasonable cost of packaging and other
overhead; (d) You provide prior email or
written notice to ACD that You are distributing
this Evaluation Version and, if this Software is
being distributed with other media or software,
ACD’s prior written approval is required. To
obtain prior written approval, please contact
ACD. You may be required to report to ACD
the number of units of this Evaluation Version
Software distributed from time to time.

2.5 Installation and Use – You are

responsible for installation of this Software.
Your license to use this Software is limited to
the number of licenses purchased by You. For
more information about purchasing additional
licenses of this Software please contact an
authorized reseller or ACD directly through our
online form:

You shall not allow others to Use, copy or
evaluate copies of this Software. Others may
obtain a copy of this Software from:
http://www.acdsee.com/

2.6 Portable Computer Use – If You have

purchased a license to use this Software and
installed it on Your desktop computer, You
may install a second copy of this Software on
Your portable computer for Your exclusive use
only.

2.7 Use Restrictions - You shall Use this

Software in compliance with all applicable
laws and not for any unlawful purpose.
Without limiting the foregoing, Use, display or
distribution of this Software together with
material that is pornographic, racist, vulgar,
obscene, defamatory, libelous, abusive,
promoting hatred, discriminating or displaying
prejudice based on religion, ethnic heritage,
race, sexual orientation or age is strictly
prohibited. Each licensed copy of this
Software may be used on one single computer
location or workstation. If You install this
Software onto a multi-user platform, server or
network, each and every individual user of this
Software must be licensed separately or
included by a multi-user or site license. Others
may not Use or install Your copy of this
Software. The assignment, sublicense,
networking, sale, or distribution of copies of
this Software is strictly forbidden without the
prior written consent of ACD. It is a violation
of this Agreement to assign, sell, share, loan,
rent, lease, borrow, network or transfer the
Use of this Software. Upon request by ACD,
You agree to give ACD access to Your site
during regular business hours solely for the
purpose of ensuring compliance with this
Agreement.

2.8 Transfer – Unless otherwise authorized

herein, this Software and the license herein
granted shall not be copied, shared,
distributed, re-sold, offered for re-sale,
transferred or sub-licensed in whole or in part
except that You may make one Backup Copy
for back-up use during emergency situations.

2.9 Intellectual Property Restrictions –

ACD’s name, trademarks, logo and graphics
file that represents this Software shall not be
used in any way to promote products
developed with this Software. This Software
contains copyrighted material, trade secrets
and other proprietary material. You will not
deliver, disclose, or convey to any third party,
either directly or indirectly, the contents of this
Software. You shall not, and shall not attempt
to, modify, reverse engineer, disassemble or
decompile this Software or alter or remove any
proprietary rights or copyrights notice or
identification which indicates ACD’s ownership
of this Software. You shall not create any
derivative works or other works that are based
upon or derived from this Software in whole or
in part. ACD retains sole and exclusive
ownership of all right, title and interest in and
to this Software and all intellectual property
rights relating thereto. This Software is
protected without limitation by Canadian
copyright law and international copyright treaty
provisions. All rights not expressly granted
hereunder are reserved by ACD.

2.10 Limited Warranty and Disclaimer - You

hereby acknowledge that You are solely
responsible for selecting and installing the
Software and that the Software may not satisfy
all your requirements or be free from defects.
ACD specifically does not warrant that the
Software will operate uninterrupted or error
free. THE SOFTWARE IS PROVIDED ‘AS IS’
WITHOUT ANY REPRESENTATION,
WARRANTY OR CONDITION BY ACD OF
ANY KIND, EXPRESS OR IMPLIED,
INCLUDING, WITHOUT LIMITATION, ANY
WARRANTY OR CONDITION OF
MERCHANTABILITY, MERCHANTABLE
QUALITY, DURABILITY OR FITNESS FOR A
PARTICULAR PURPOSE OR TITLE OR
NON-INFRINGEMENT AND THOSE ARISING
BY STATUTE OR OTHERWISE IN LAW OR
FROM A COURSE OF DEALING OR USAGE
OF TRADE. NO ORAL OR WRITTEN
INFORMATION OR ADVICE GIVEN BY ACD
OR THEIR RESPECTIVE EMPLOYEES,
AGENTS, SUPPLIERS OR DISTRIBUTORS
WILL CREATE A WARRANTY. ACD DOES
NOT WARRANT, GUARANTEE OR MAKE
REPRESENTATIONS REGARDING THE
USE, OR THE RESULTS OF USE OF THE
SOFTWARE IN TERMS OF CORRECTNESS,
ACCURACY, RELIABILITY, CURRENTNESS
OR OTHERWISE. IF SUCH DISCLAIMER
OF REPRESENTATIONS, WARRANTIES
AND CONDITIONS IS NOT PERMITTED BY
LAW, THE DURATION OF ANY SUCH
IMPLIED WARRANTIES OR CONDITIONS IS
LIMITED TO NINETY (90) DAYS FROM THE
DATE OF DELIVERY. SOME
JURISDICTIONS DO NOT ALLOW THE
EXCLUSION OF IMPLIED WARRANTIES OR
CONDITIONS OR LIMITATIONS ON HOW
LONG AN IMPLIED WARRANTY OR
CONDITION MAY LAST, SO SUCH
LIMITATIONS OR EXCLUSIONS MAY NOT
APPLY TO YOU.

2.11 Limitation of Responsibility - You will

indemnify, hold harmless, and defend ACD, its
employees, agents and distributors against
any and all claims, proceedings, demands and
costs resulting from or in any way connected
with Your use of this Software. IN NO EVENT
WILL ACD BE LIABLE ON ANY THEORY OF
LIABILITY, WHETHER BASED ON
CONTRACT, STRICT LIABILITY,
INDEMNITY, TORT (INCLUDING
NEGLIGENCE), OR OTHERWISE, FOR
DAMAGES WHICH, IN THE AGGREGATE,
EXCEED THE PURCHASE PRICE OF THE
SOFTWARE (MAXIMUM BEING THE
LESSER OF THE AMOUNT PAID BY YOU
AND THE SUGGESTED RETAIL PRICE AS
LISTED BY ACD) IN EXCHANGE FOR THE
RETURN OF THE PRODUCT, ALL COPIES,
REGISTRATION PAPERS AND MANUALS,
AND ALL MATERIALS THAT CONSTITUTE A
TRANSFER OF LICENSE FROM YOU BACK
TO ACD. SUCH REIMBURSEMENT WILL
ONLY OCCUR IF THE SOFTWARE WAS
PURCHASED DIRECTLY FROM ACD. IF
YOU PURCHASED THE SOFTWARE
THROUGH A RESELLER, DISTRIBUTOR,
RETAILER, OR THIRD PARTY, YOU NEED
TO REQUEST A REFUND DIRECTLY FROM
SUCH PARTIES. IN NO EVENT WILL ACD
ITS EMPLOYEES, AGENTS, SUPPLIERS OR
DISTRIBUTORS BE LIABLE FOR ANY
SPECIAL, INCIDENTAL, INDIRECT,
EXEMPLARY, PUNITIVE, AGGRAVATED OR
CONSEQUENTIAL DAMAGES IN
CONNECTION WITH OR ARISING OUT OF
OR RELATED TO THIS AGREEMENT, THIS
SOFTWARE OR THE USE OR INABILITY TO
USE THIS SOFTWARE OR THE
FURNISHING, PERFORMANCE OR USE OF
ANY OTHER MATTERS HEREUNDER
HOWEVER CAUSED, INCLUDING BUT NOT
LIMITED TO BUSINESS INTERRUPTION,
LOSS OF DATA OR INFORMATION, LOSS
 OF PROFITS, BUSINESS OPPORTUNITIES,
OR GOOD WILL EVEN IF NOTIFIED OF THE
POSSIBILITY OF SUCH DAMAGES, AND
NOTWITHSTANDING THE FAILURE OF
ESSENTIAL PURPOSE OF ANY REMEDY.

2.12 Export Compliance – You agree not to

export or re-export the Software except in
compliance with international trade laws, the
export laws of any country where this Software
is used and the United States Department of
Commerce Bureau of Industry and Security
Export Administration Regulations (EAR),
including but not limited to compliance with
EAR restrictions on export or re-export of the
Software:
i) to an embargoed country;
ii) to individuals and organizations prohibited from receiving US exports; and
iii) in support of a prohibited end use

The license granted to You under this Agreement is on the condition that You comply with applicable trade
and export laws and You acknowledge that this license will be revoked if You do not comply with this
section.

2.13 Governing Law - This Agreement shall

be governed exclusively by the laws of the
Province of British Columbia and the laws of
Canada applicable therein excluding
application of any conflict of laws principles
and excluding the United Nations Convention
on Contracts for the International Sale of
Goods and excluding the International Sale of
Goods Act (B.C.). You hereby irrevocably
attorn and submit to the non-exclusive
jurisdiction of the courts of Victoria, British
Columbia, and any competent courts of appeal
therefrom.

2.14 Termination - Any failure by You to

comply with the terms and conditions of this
Agreement will result in automatic and
immediate termination of this Agreement
including the license hereunder. Upon
termination of this Agreement for any reason,
You agree to immediately cease Use of this
Software and destroy all copies of this
Software. The rights and obligations in
Sections 2.7, 2.9, 2.10, 2.11, 2.13 and 4 shall
survive the termination of this Agreement.

3. Registration
3.1 Registration - To register this Software
You can do one of the following: 1) complete
 and mail the printed registration card (if
applicable) to ACD; 2) submit the registration
information online through the registration
screen found within this Software (if
applicable); or 3) submit the registration
information online through ACD’s Support
pages at http://www.acdsee.com/support/. As
a registered user, You will have the option to
receive helpful information and special email
offers for ACD customers, as well as ACD’s
monthly newsletters featuring tips, tricks,
updates and savings.

3.2 Consent to Use of Data - You agree that

ACD may collect and use information gathered
in any manner as part of the product support
services provided to You, if any, related to this
Software. ACD may also use this information
to provide notices to You which may be of use
or interest to You. You can elect to not receive
any further notices from ACD, either by 1)
unsubscribing directly to any e-mail You
receive or 2) by visiting our preference center
at: http://www.acdsee.com/community/ which
lists the publications You are subscribed to
and allows You to unsubscribe or change Your
preferences (You can log-in to the preference
center once You have submitted Your e-mail
address to ACD and it has been processed).
The Software contains components that
enable and facilitate the use of certain
Internet-based services. You acknowledge
and agree that ACD may automatically check
the version of this Software that You are
utilizing and may provide upgrades or fixes to
this Software. In order to receive such
upgrades or fixes, You must agree to the
download when prompted. You are not
obligated to download any upgrades or fixes to
this Software that are provided by ACD. To

4. General Provisions –
No failure or delay in enforcing any right or exercising will be deemed a waiver of any right or remedy.

If any provision of this Agreement is unenforceable or invalid for any reason whatever, such unenforceability
or invalidity shall not affect the enforceability or validity of the remaining provisions of this Agreement and
such provision shall be severable from the remainder of this Agreement.

This Agreement constitutes the entire agreement between You and ACD with respect to the subject matter
hereof and supersedes all prior and contemporaneous proposals, agreements, understandings,
representations and communications, whether oral or written.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective
successors and permitted assigns.

The English version of this Agreement shall be used for interpreting and construing the meanings of any
provisions herein.

5. Third Party Software Licenses This Software also contains software of ACD’s suppliers which is used
in accordance with the notices reproduced below, which notices You acknowledge and agree to together
with the remainder of this Agreement.

Xalan and Xerces libraries are licensed under the Apache License, Version 2.0 (the "License")You may not
use this file except in compliance with the License. You may obtain a copy of the License at

5. Benutzervereinbarung

Recht auf die Vergabe von Unterlizenzen, die
Benutzung oder Auswertung der
maschinenlesbaren Version („Object Code
Version“) dieser Software in Übereinstimmung
mit dieser Vereinbarung und allen anderen
schriftlichen Vereinbarungen mit ACD. ACD
überträgt Ihnen nicht den Rechtstitel an der
Software; die Ihnen gewährte Lizenz gilt nicht
als Kauf.

5.2 Benutzung der Demoversion – Sie

können diese Software maximal dreißig (30)
Tage lang (der „Testzeitraum“) testen, ohne
eine Lizenz zu erwerben (die „Demoversion“).
Am oder vor dem Datum des Ablaufs des
Testzeitraums müssen Sie eine Lizenz von
ACD (oder einem autorisierten
Wiederverkäufer oder Vertriebshändler)
erwerben, um diese Software weiter nutzen zu
können. Andernfalls müssen Sie diese
Software und jegliche Sicherungskopie
unverzüglich nach Ablauf des Testzeitraums
von Ihrem Computer entfernen. Weitere
Informationen über den Erwerb einer Lizenz
zur Nutzung dieser Software erhalten Sie vom
ACD Kundenservice.

5.3 Aktivierung der Software – Nachdem Sie

von ACD eine Lizenz zur weiteren Benutzung
der Software erworben haben, kann es sein,
dass Sie die Software über das Internet
aktivieren müssen. Die Software ist mit
technologischen Merkmalen zur Verhinderung
der nicht lizenzierten Benutzung der Software
ausgestattet. ACD vergewissert sich anhand
dieser Merkmale, dass Sie eine gültige
lizenzierte Version der Software besitzen.
ACD erfasst während dieses Vorgangs keine
persönlich identifizierbaren Informationen von
Ihrem Computer oder Ihrer Workstation.

5.4 Weitergabe der Demoversion – Die

Demoversion der Software kann kostenlos
weitergegeben werden, vorausgesetzt: (a)
eine solche Weitergabe beinhaltet nur das von
ACD bereitgestellte Originalarchiv. Sie dürfen
keine Dateien aus dem Weitergabearchiv
löschen oder zum Archiv hinzufügen oder
diese Software in irgendeiner Art und Weise

Werbung für Produkte verwendet werden, die
mit dieser Software entwickelt wurden. Diese
Software enthält urheberrechtlich geschütztes
Material, Geschäftsgeheimnisse und weiteres
proprietäres Material. Sie dürfen die Inhalte
dieser Software weder direkt noch indirekt
einem Dritten übergeben, einem Dritten
gegenüber offenlegen oder einem Dritten
überlassen. Sie dürfen diese Software nicht

5.12 Einhaltung von Exportbestimmungen

– Sie stimmen zu, dass Sie die Software nur
unter Einhaltung internationaler
Handelsgesetze, der Exportgesetze aller
Länder, in denen diese Software benutzt wird,
und der United States Department of
Commerce Bureau of Industry and Security
Export Administration Regulations (EAR)
exportieren oder re-exportieren, einschließlich
ohne Einschränkungen der Einhaltung der
EAR-Beschränkungen zum Export oder Re-
Export der Software:
i.in ein Land, gegen das ein Embargo verhängt wurde,
ii.an Personen und Organisationen, die keine US-Exporte erhalten dürfen, und
iii.zur Unterstützung eines untersagten Endgebrauchs.

Bestimmungen dieses Abschnitts nicht erfüllen.

5.13 Anwendbares Recht - Diese

Vereinbarung unterliegt dem Gesetz der
Provinz von British-Kolumbien und dem
anwendbaren Recht des Staates Kanada
unter Ausschluss der Kollisionsnormen und
unter Ausschluss des Übereinkommens der
Vereinten Nationen über internationale
Warenkaufverträge und unter Ausschluss des
International Sale of Goods Act (B.C.). Sie
erkennen hiermit unwiderruflich die nicht-
exklusive Zuständigkeit der Gerichte von
Victoria, British Columbia, und aller
 zuständigen Berufungsgerichte an und
unterwerfen sich dieser.

5.14 Kündigung – Bei Nichterfüllung der

Bedingungen und Konditionen dieser
Vereinbarung wird diese Vereinbarung
einschließlich der gewährten Lizenz
automatisch und unverzüglich gekündigt. Sie
stimmen zu, dass Sie bei Kündigung dieser
Vereinbarung aus welchem Grund auch immer
unverzüglich die Benutzung dieser Software
einstellen und alle Kopien dieser Software
zerstören. Die in den Abschnitten 2.7, 2.9,
2.10, 2.11, 2.13 und 4 genannten Rechte und
Pflichten überdauern die Kündigung dieser
Vereinbarung.

6. Registrierung
6.1 Registrierung – Um die Software zu
registrieren, gehen Sie bitte folgendermaßen
vor: 1) füllen Sie die vorgedruckte
Registrierkarte aus und senden Sie diese (falls
zutreffend) an ACD; 2) geben Sie die
Registrierungsinformationen online im
Registrierungsfenster ein, das Sie mit der
Software (falls zutreffend) aufrufen können
oder 3) geben Sie die
Registrierungsinformation online über ACD’s
Supportseiten unter
http://de.acdsee.com/support/ ein. Als
registrierter Benutzer können Sie wählen, ob
Sie hilfreiche Informationen und spezielle E-
Mail-Angebote für ACD-Kunden sowie die
monatlich erscheinenden Newsletter von ACD
mit Tipps, Ratschlägen, Updates und
Sonderangeboten erhalten möchten.

6.2 Einverständnis zur Datenverwendung –

Hiermit erklären Sie sich einverstanden, dass
ACD Informationen, die gegebenenfalls im
Rahmen des Ihnen gebotenen
Produktsupport-Services erfasst wurden,
sammeln und verwenden darf. ACD ist
weiterhin berechtigt, diese Informationen zu
verwenden, um Ihnen Informationen
zukommen zu lassen, die für Sie von Nutzen
oder Interesse sein könnten. Wenn Sie keine

7. Allgemeine Bestimmungen –
Wird ein Recht nicht oder mit Verspätung durchgesetzt oder ausgeübt, so gilt das nicht als Verzicht auf ein
Recht oder Rechtsmittel.
Falls eine Bestimmung dieser Vereinbarung aus irgendeinem Grund nicht durchsetzbar oder ungültig ist, so
berührt diese Nichtdurchsetzbarkeit oder Ungültigkeit nicht die Durchsetzbarkeit oder Gültigkeit der übrigen
Bestimmungen dieser Vereinbarung, und eine solche Bestimmung lässt sich von den übrigen
Bestimmungen dieser Vereinbarung trennen.
Diese Vereinbarung stellt die gesamte Vereinbarung zwischen Ihnen und ACD bezüglich des Gegenstands
dieser Vereinbarung dar und ersetzt alle früheren und aktuellen Angebote, Vereinbarungen, Abreden,
Zusicherungen und Mitteilungen, ob mündlicher oder schriftlicher Art.
Diese Vereinbarung ist für die Parteien dieser Vereinbarung und ihre jeweiligen Rechtsnachfolger und
zugelassenen Zessionare bindend und kommt ihnen zugute.
Für die Auslegung und Interpretation der Bedeutung einer Bestimmung dieser Vereinbarung wird die
englische Fassung dieser Vereinbarung herangezogen.

5. Software-Lizenzen Dritter
Diese Software enthält auch Software der Zulieferer von ACD, die in Übereinstimmung mit den nachfolgend
dargelegten Hinweisen verwendet wird. Sie erkennen diese Hinweise zusammen mit dem Rest dieser
Vereinbarung an und stimmen ihnen zu.

(LE "CONTRAT") AVANT D'UTILISER CE LOGICIEL.
AVIS À L'UTILISATEUR – EN RECEVANT ET/OU EN UTILISANT CE LOGICIEL ACD SYSTEMS
INTERNATIONAL INC. (“ACD”), VOUS ACCEPTEZ DE VOUS CONFORMER AUX TERMES DU
CONTRAT UTILISATEUR SUIVANT. CE CONTRAT EST UN ENGAGEMENT JURIDIQUE CONCLU
ENTRE ACD ET LES ACHETEURS, LES UTILISATEURS OU LES ÉVALUATEURS ("VOUS") DE CE
LOGICIEL. SI VOUS N'ACCEPTEZ PAS D’ÊTRE LIÉ PAR CE CONTRAT, SUPPRIMEZ
IMMÉDIATEMENT CE LOGICIEL DE VOTRE ORDINATEUR ET, LE CAS ÉCHÉANT, RENVOYEZ PAR
VOIE POSTALE À ACD TOUTE COPIE DE CE LOGICIEL ET LES DOCUMENTS ET EMBALLAGES
AFFÉRENTS EN VOTRE POSSESSION.
1. Définitions – "Logiciel" désigne le logiciel qui accompagne ce Contrat et inclut tous les manuels de
l'utilisateur, de référence et d'installation disponibles, ou tout extrait de ceux-ci, sous forme électronique ou
imprimée, quel qu'en soit le support. "L'Utilisation" du logiciel signifie que Vous avez chargé, installé ou
exécuté ce Logiciel sur un ordinateur ou un appareil similaire. "Copie de sauvegarde" signifie une copie non
transférable de ce Logiciel créée pour des raisons d'archivage uniquement et qui n'est pas installée ou
Utilisée sur un ordinateur ou une station de travail (ou par le nombre d'utilisateurs couvert par une licence
multi-utilisateurs ou d'utilisation sur site) sauf pour une sauvegarde en cas de situation d'urgence. "Version
d'évaluation" signifie que Vous pouvez évaluer la Version d'évaluation de ce Logiciel sans acheter de
licence pendant un maximum de trente (30) jours civils (la "Période d'évaluation").

8. Contrat utilisateur
8.1 Concession – Sous réserve des
conditions de ce Contrat, ACD Vous accorde
une licence mondiale limitée, non exclusive et
non transférable, sans droit de concéder de
sous-licence : pour Utiliser ou évaluer la
version du code objet de ce Logiciel
conformément à ce Contrat et à tout autre
contrat écrit conclu avec ACD. ACD ne Vous
cède pas la propriété de ce Logiciel ; la
licence qui Vous est accordée n'équivaut pas
à une vente.

8.2 Utilisation de la version d'évaluation -

Vous pouvez évaluer ce Logiciel sans acheter
de licence (la "Version d'évaluation") pendant
un maximum de 30 jours (la "Période
d'évaluation"). À l'échéance ou avant
l'expiration de la Période d'évaluation, Vous
devez acheter une licence auprès d'ACD (ou
auprès d'un revendeur ou distributeur agréé)
afin de continuer à utiliser ce Logiciel, faute de
quoi Vous devrez supprimer de votre
ordinateur ce Logiciel ainsi que toute Copie de
sauvegarde aussitôt la Période d'évaluation
expirée. Pour plus d'informations concernant
l'achat d'une licence pour utiliser ce Logiciel,
veuillez contacter le service clientèle d'ACD.
8.3 Activation du Logiciel – Une fois que
Vous aurez acheté auprès d'ACD une licence
afin de continuer à utiliser le Logiciel, il se peut
que Vous deviez activer le Logiciel par le biais
d'Internet. Il existe à l'intérieur du Logiciel des
mesures technologiques conçues pour
empêcher toute utilisation frauduleuse du
Logiciel. ACD utilisera ces mesures pour
confirmer que Vous possédez bien une copie
sous licence valide du Logiciel. Durant ce
processus, ACD ne collectera aucune
information personnelle à partir de Votre
ordinateur.

8.4 Distribution de la version d'évaluation –

La Version d'évaluation de ce Logiciel peut
être librement distribuée, à condition que : (a)
cette distribution ne concerne que l'archive
d'origine fournie par ACD. Vous ne pouvez
pas altérer, supprimer ni ajouter aucun fichier
dans l'archive distribuée ou modifier ce
Logiciel d'une quelconque façon ; (b) la nature
limitée de la Version d'évaluation de ce
Logiciel ne soit pas présentée de manière
inexacte ; (c) la personne recevant la Version
d'évaluation de ce Logiciel ne débourse pas
d'argent, en dehors des frais d'emballage et
autres frais généraux normaux ; (d) Vous
envoyiez préalablement à ACD un email ou
une notification écrite stipulant que Vous
distribuez cette Version d'évaluation et, si ce
Logiciel est distribué avec d'autres contenus
multimédias ou logiciels, que vous obteniez au
préalable l'accord écrit d'ACD. Afin d'obtenir
cet accord écrit préalable, veuillez contacter
ACD. ACD peut exiger que Vous lui signaliez,
de temps à autre, le nombre d'unités de la
Version d'évaluation du Logiciel distribuées.

8.5 Installation et utilisation – Vous êtes

responsable de l'installation de ce Logiciel.
Votre licence d'utilisation de ce Logiciel se
limite au nombre de licences que Vous avez
achetées. Pour plus d'informations concernant
l'achat de licences supplémentaires de ce
Logiciel, veuillez contacter un revendeur agréé
ou directement ACD par le biais de notre

Vous ne pouvez pas autoriser des tierces
personnes à Utiliser, copier ou évaluer des
copies de ce Logiciel. Ces tierces personnes
peuvent se procurer une copie de ce Logiciel

8.6 Utilisation sur un ordinateur portable –
Si Vous avez acheté une licence pour utiliser
ce Logiciel et que vous l'avez installé sur Votre
ordinateur de bureau, Vous pouvez installer
une seconde copie de ce Logiciel sur Votre
ordinateur portable, pour votre usage
personnel uniquement.

8.7 Restrictions d'utilisation – Vous devez

Utiliser ce Logiciel conformément à toutes les
lois en vigueur et non dans un quelconque
dessein illicite. Sans limiter ce qui précède,
l'Utilisation, la présentation ou la distribution
de ce Logiciel en association avec des
contenus pornographiques, racistes, vulgaires,
obscènes, diffamatoires, injurieux,
encourageant à la haine, discriminatoires ou
affichant des préjugés basés sur la religion,
l'origine ethnique, la race, l'orientation sexuelle
ou l'âge est strictement interdite. Chaque
copie sous licence de ce Logiciel ne peut être
utilisée que sur un seul ordinateur ou une
seule station de travail. Si Vous installez ce
Logiciel sur une plate-forme, un serveur ou un
réseau multi-utilisateurs, chaque utilisateur de
ce Logiciel devra obtenir une licence à part ou
être inclus dans une licence multi-utilisateurs
ou d'utilisation sur site. Aucune tierce
personne ne pourra Utiliser ou installer Votre
copie de ce Logiciel. Toute attribution,
concession de sous-licence, mise en réseau,
vente ou distribution de copies de ce Logiciel
est strictement interdite sans l'accord écrit
préalable d'ACD. L'attribution, la vente, le
partage, le prêt, la location, l'emprunt, la mise
en réseau et le transfert d'Utilisation de ce
Logiciel seront considérés comme des
violations de ce Contrat. À la demande d'ACD,
Vous acceptez de donner à ACD la possibilité
d'accéder à Votre site durant les heures de
bureau uniquement dans le but de s'assurer
que vous respectez ce Contrat.

8.8 Transfert – Sauf indication contraire aux

présentes, ce Logiciel et la licence accordée
par les présentes ne doivent pas être copiés,
partagés, distribués, revendus, proposés à la
revente, transférés ou concédés par sous-
licence en tout ou partie. Vous pouvez
néanmoins effectuer une Copie de
sauvegarde en cas d'urgence. Pour plus
d'informations concernant la redistribution de
ce Logiciel, veuillez vous rendre sur
http://fr.acdsee.com.
8.9 Restrictions liées à la propriété
intellectuelle - Le nom, les marques de
commerce, le logo et le fichier image d'ACD
représentant ce Logiciel ne devront en aucune
façon être utilisés pour promouvoir des
produits développés avec ce Logiciel. Ce
Logiciel contient des documents soumis au
droit d'auteur, des secrets industriels et autres
documents propriétaires. Vous vous engagez
à ne pas livrer, révéler ni transmettre à une
tierce personne, directement ou indirectement,
le contenu de ce Logiciel. Vous ne devez en
aucun cas tenter de modifier, rétroconcevoir,
désassembler ou décompiler ce Logiciel ni
altérer ou supprimer tout avis de droit
propriétaire ou tout droit d'auteur indiquant la
propriété d'ACD sur ce Logiciel. Vous ne
devez pas créer d'œuvres dérivées ou
d'autres travaux inspirés du Logiciel en tout ou
partie. ACD conserve la propriété exclusive de
tout droit, titre et intérêt concernant ce Logiciel
et tout droit de propriété intellectuelle afférent.
Ce Logiciel est protégé sans restriction par la
loi canadienne sur le droit d'auteur et par les
dispositions du traité international sur le droit
d'auteur. Tous les droits non expressément
accordés par les présentes sont réservés à
ACD.

8.10 Garantie limitée et avis de non-

responsabilité - Vous reconnaissez par les
présentes que Vous êtes seul responsable de
la sélection et de l'installation du Logiciel et
qu'il est possible que le Logiciel ne réponde
pas pleinement à vos attentes ou ne soit pas
exempt de défauts. ACD ne garantit pas que
le Logiciel fonctionnera de manière
ininterrompue ou sans erreur. LE LOGICIEL
EST FOURNI 'TEL QUEL' PAR ACD, SANS
REPRÉSENTATION, GARANTIE OU
CONDITION QUELLES QU'ELLES SOIENT,
EXPRESSES OU TACITES, Y COMPRIS,
SANS S'Y LIMITER, TOUTE GARANTIE OU
CONDITION DE QUALITÉ MARCHANDE, DE
DURABILITÉ OU D'ADÉQUATION À UNE

L'UTILISATION OU LE RÉSULTAT DE
L'UTILISATION DU LOGICIEL EN TERMES
D'EXACTITUDE, DE FIDÉLITÉ, DE
FIABILITÉ, D'ACTUALITÉ OU AUTRE. SI
CET AVIS DE NON-RESPONSABILITÉ DE
REPRÉSENTATION, DE GARANTIE ET DE
CONDITION N'EST PAS AUTORISÉ PAR LA
LOI, LA DURÉE DE CES GARANTIES OU
CONDITIONS TACITES EST LIMITÉE À
QUATRE-VINGT-DIX (90) JOURS À
COMPTER DE LA DATE DE LIVRAISON.
CERTAINES JURIDICTIONS N'AUTORISENT
PAS L'EXCLUSION DE CONDITIONS, DE

8.11 Limitation de responsabilité – Vous

devrez indemniser, dégager de toute
responsabilité et défendre ACD, ses
employés, agents et distributeurs contre toute
réclamation, procédure et contre tout coût
résultant ou lié à Votre utilisation de ce
Logiciel. EN AUCUN CAS, PAR SUITE D'UNE
THÉORIE DE RESPONSABILITÉ, QU'ELLE
SOIT BASÉE SUR LE CONTRAT, UNE
RESPONSABILITÉ OBJECTIVE, UNE
INDEMNITÉ, UN DÉLIT (Y COMPRIS UNE
NÉGLIGENCE) OU AUTRE, ACD NE
POURRA ÊTRE PASSIBLE DE DOMMAGES
QUI, DANS L'ENSEMBLE, EXCÈDENT LE
PRIX D'ACHAT DU LOGICIEL (AU MAXIMUM
LE MONTANT QUE VOUS AVEZ PAYÉ OU
LE PRIX DE VENTE AU DÉTAIL CONSEILLÉ
TEL QUE RÉPERTORIÉ PAR ACD, LE
MONTANT LE PLUS PETIT ÉTANT
RETENU) EN ÉCHANGE DU RETOUR DU
PRODUIT, DE TOUTES LES COPIES, DES
DOCUMENTS D'ENREGISTREMENT ET
DES MANUELS, AINSI QUE DE TOUS LES
DOCUMENTS QUI CONSTITUENT UN
TRANSFERT DE LICENCE DE VOUS À ACD.
CE REMBOURSEMENT NE PRENDRA
EFFET QUE SI LE LOGICIEL A ÉTÉ
ACHETÉ DIRECTEMENT AUPRÈS D'ACD.
SI VOUS AVEZ ACHETÉ LE LOGICIEL
AUPRÈS D'UN REVENDEUR, D'UN
DISTRIBUTEUR OU D'UNE TIERCE PARTIE,
VOUS DEVREZ DEMANDER UN
REMBOURSEMENT DIRECTEMENT À CES
 PERSONNES. EN AUCUN CAS ACD, SES
EMPLOYÉS, AGENTS, FOURNISSEURS OU
DISTRIBUTEURS NE POURRONT ÊTRE
TENUS RESPONSABLES DE DOMMAGES
CONSÉCUTIFS, INDIRECTS,
PARTICULIERS OU EXEMPLAIRES
D'AUCUNE SORTE LIÉS À OU RÉSULTANT
DE CE CONTRAT, DE CE LOGICIEL OU DE
L'UTILISATION OU DE L'INCAPACITÉ À
UTILISER CE LOGICIEL OU LES
ACCESSOIRES, DU FONCTIONNEMENT
OU DE L'UTILISATION DE TOUT AUTRE
ÉLÉMENT AUX TERMES DES PRÉSENTES,
ET CE QUELLES QU'EN SOIENT LES
CONSÉQUENCES, Y COMPRIS, MAIS SANS
S'Y LIMITER, L'INTERRUPTION
D'EXPLOITATION, LA PERTE DE DONNÉES
OU D'INFORMATIONS, LA PERTE DE
BÉNÉFICES OU DE FONDS
COMMERCIAUX, MÊME S'ILS ONT ÉTÉ
AVERTIS DE LA POSSIBILITÉ DE TELS
DOMMAGES ET NONOBSTANT L'ÉCHEC
DES FINS ESSENTIELLES DE TOUTE
ACTION EN JUSTICE.

8.12 Respect des conditions d'exportation

– Vous acceptez de ne pas exporter ou
réexporter le Logiciel sauf conformément aux
lois du commerce international, aux lois
d'exportation de tout pays dans lequel est
utilisé ce Logiciel et aux lois sur le contrôle
des exportations (EAR) du ministère du
commerce, de l'industrie et de la sécurité des
États-Unis, y compris, mais sans s'y limiter, le
respect des restrictions EAR sur l'exportation
ou la réexportation du Logiciel :
iv) vers un pays soumis à l'embargo ;
v) vers des personnes ou des organisations à qui il est interdit de recevoir des exportations des
États-Unis ; et
vi) en vue d'une utilisation finale interdite
La licence Vous est accordée en vertu de ce Contrat à la condition que Vous vous conformiez aux lois sur
le commerce et les exportations en vigueur et que Vous reconnaissiez que cette licence sera révoquée en
cas de non respect de cet article.

8.13 Loi applicable – Ce Contrat sera régi

exclusivement par les lois de la province de
Colombie Britannique et les lois du Canada
applicables aux présentes sauf application de
principes relatifs à des conflits de loi, sauf la
convention des Nations Unies concernant les
contrats de vente internationale de
marchandises et sauf la loi sur la vente
internationale de marchandises (B.C.). Par les
présentes, Vous reconnaissez et Vous vous
soumettez à la juridiction non exclusive des
 cours de Victoria, en Colombie Britannique, et
de toute cour d'appel locale compétente.

8.14 Résiliation – Tout manquement aux

conditions générales de ce Contrat de Votre
part entraînera la résiliation automatique et
immédiate de ce Contrat ainsi que de la
licence. En cas de résiliation de ce Contrat
pour quelque raison que ce soit, Vous
acceptez de cesser immédiatement d'Utiliser
ce Logiciel et de détruire toutes les copies de
ce Logiciel. Les droits et obligations des
articles 2.7, 2.9, 2.10, 2.11, 2.13 et 4
survivront à la résiliation de ce Contrat.

9. Enregistrement
9.1 Enregistrement – Vous pouvez
enregistrer le Logiciel de l'une des façons
suivantes : 1) remplissez et envoyez à ACD la
carte d'enregistrement imprimée (le cas
échéant) ; 2) envoyez vos informations
d'enregistrement en ligne par le biais de
l'écran d'enregistrement inclus dans le logiciel
(le cas échéant) ; 3) ou envoyez vos
informations d'enregistrement en ligne par le
biais des pages de l'assistance d'ACD à
l'adresse http://fr.acdsee.com/support/. En tant
qu'utilisateur enregistré, Vous aurez la
possibilité de recevoir par email des
informations utiles et des offres spéciales
destinées aux clients ACD, ainsi que les
lettres d'informations mensuelles d'ACD
comprenant des astuces, des mises à jour et
des offres.

9.2 Consentement à l'utilisation des

données – Vous acceptez qu'ACD collecte et
utilise les informations recueillies de quelque
façon que ce soit dans le cadre de ses
services d'assistance, le cas échéant, relatifs
au Logiciel. ACD peut aussi utiliser ces
informations pour Vous envoyer des
notifications pouvant Vous intéresser. Vous
pouvez choisir de ne pas recevoir d'autres
notifications de la part d'ACD, soit 1) en
résiliant directement votre abonnement aux
emails que Vous recevez ou 2) en vous
rendant sur notre centre des préférences à
l'adresse suivante :
http://fr.acdsee.com/community/ qui répertorie
les publications auxquelles Vous êtes abonné
et Vous permet de vous désabonner ou de
changer Vos préférences (Vous pourrez vous
connecter au centre des préférences une fois
 que Vous aurez envoyé Votre adresse
électronique à ACD et qu'ACD l'aura traitée).
Le Logiciel contient des éléments qui
permettent et facilitent l'utilisation de certains
services sur Internet. Vous reconnaissez et
acceptez qu'ACD vérifie automatiquement la
version du Logiciel que Vous utilisez et
qu'ACD puisse vous fournir des mises à
niveau ou des corrections pour ce Logiciel.
Afin de recevoir ces mises à niveau ou ces
corrections, Vous devez en accepter le
téléchargement lorsque vous y êtes invité.
Vous n'êtes pas obligé de télécharger les
mises à niveau ou les corrections au Logiciel
fournies par ACD. Pour consulter la politique
de confidentialité d'ACD, veuillez vous rendre
sur le site : http://fr.acdsee.com/privacy

10. Dispositions générales –

Aucune défaillance ni aucun retard lors de la mise en vigueur ou de l'exécution d'un droit ne sera considéré
comme une renonciation à ce droit ou à une action en justice.
Si une disposition de ce Contrat, quelle qu'elle soit, est inapplicable ou nulle pour une raison ou une autre,
l'inapplicabilité ou la nullité n'affectera pas la force exécutoire ou la validité des dispositions restantes du
Contrat et cette disposition sera séparable du reste du Contrat.
Ce Contrat constitue la totalité du contrat entre Vous et ACD dans le cadre de l'objet des présentes et
remplace toutes les propositions, représentations et communications, ainsi que tous les accords et
arrangements oraux ou écrits préalables ou contemporains.
Ce Contrat sera obligatoire pour et s'appliquera au profit des parties aux présentes ainsi qu'à leurs héritiers
et ayants droit agréés respectifs.
C'est la version anglaise de ce Contrat qui sera utilisée pour interpréter la signification de toute disposition
des présentes.
5. Licences logicielle tierces
Ce Logiciel contient également des logiciels de fournisseurs d'ACD utilisés conformément aux avis
reproduits ci-dessous, avis que vous reconnaissez et que vous acceptez de respecter ainsi que le reste de
ce Contrat.
Ce produit inclut la technologie DNG sous licence d'Adobe Systems Incorporated. Vous trouverez plus
d'informations à l'adresse suivante : http://www.adobe.com/products/dng/main.html. Tous droits réservés.
Les bibliothèques Xalan et Xerces sont sous licence d'Apache License, Version 2.0 (la "Licence"). Vous ne
pouvez pas utiliser ce fichier sauf conformément à la Licence. Vous pouvez obtenir une copie de la licence
à l'adresse http://www.apache.org/licenses/LICENSE-2.0. Sauf disposition de la loi en vigueur ou accord
écrit, le logiciel distribué sous la Licence est distribué "TEL QUEL", SANS GARANTIE NI CONDITION DE
