4.1. Assignment:
The Contractor shall not assign the scope of this contract or its
obligations under the contract. A charge in favour of the Contractor's
bankers of any monies due under the contract shall not be
considered an assignment.
4.2.
Subcontracting:
4.2.1. The Contractor shall not subcontract any part or all scope of this
contract without the prior written approval from Vale.
4.2.2. The Contractor shall however, not require such approval for
purchases of materials or to place contracts for minor details or for
any part of the works of which the manufacturer or supplier is
named in the contract.
4.2.3. The contractor shall be responsible for the acts, defaults and
neglects of any
subcontractor, its agents or employees as fully as
if they were the acts, defaults or neglects of the contractor, its
agents or employees
5. Clearance of Site:
2.1
The Contractor shall at all times keep the Site neat, clean and free
from accumulation of waste materials and rubbish which arise out of
the performance of the Works regardless of the source and without
limitation, the contractor shall keep the Site, the Works and the work of
other contractors free from dropping, dripping and spattering of
materials used in the Works.
2.2
On completion of the Works/service the contractor shall remove
from the site all of its waste materials and rubbish, temporary buildings
and facilities, tools, temporary works, contractor's Equipment and

surplus materials and shall leave the Site clean and reinstated to the
condition prior to the Contractor' initial access unless approved
otherwise by the Vale.
2.3
IF the Contractor fails to perform any of its obligations under
this Sub Clause, the Vale may arrange to have whatever may be
necessary to correct such default performed by others, and the Vale will
be entitled to deduct the cost thereof as determined by the Vale, from
the amount due to the Contractor.
6. Authority for Access:
6.1.
No persons other than the employees of the contractor and its
subcontractors shall be allowed on the Site except with the consent of
Vale.
6.2.
Facilities to inspect the works shall at all times be afforded by the
contractor to Vale and its representatives, authorities and officials.
6.3.
The contractor shall comply with Vale's requirements as stated in
the contract with regard to:

the screening of employees and visitors and the issue of permits
and the wearing of identity cards,
6.5.
The exclusion of unauthorized persons from the Site.
7.1.
The working house shall be agreed in advance between the
contractor and vale ,however in general contractor shall perform the
services/works in two daily timings:
Working from 8:00am to 5:00am

8.2.
The Contractor shall ensure that all staff receives one (1) month
paid leave for every 1 year of employment with return air ticket to the
country of origin or in accordance with Oman Labor Law.
8.3.
Vale reserves the right to check that salaries to personnel
working on this Contract are paid in full and on time. Failure to provide
information and or failure to adhere to timely payment may result in
termination of this Contract.
9. Leave / Absenteeism / Termination / Replacement:
9.1.
The contractor shall be responsible for the effective management
of vacation leave; absences, sick- leave, special leave etc, and must
ensure that sufficient systems and structures are in place to maintain
the level of Service performance requirements under this contract.
9.2.
All leave to be taken by contractor personnel must first be
submitted to Vale for approval and only upon approval may a
Contractors personnel be allowed to proceed on leave. A replacement
must be available to take the place of the personnel on leave and
maintain the required duties and schedule of those proceeding on
leave immediately.
9.3.
The Contractor from time to time shall provide vacation leave
schedule of all his personnel in a given year for Vales reference.
9.4.
Contractor shall not transfer, remove, or replace any of his
personnel who are providing the Services without the prior written
approval of Vale
9.5.
Should Vale identify any contractors personnel deemed
unacceptable due to misconduct, lack of cooperation, unacceptable
hygiene standards, and incompetence or otherwise, then the
Contractor shall replace these personnel at no cost to vale
9.6.
Contractor shall ensure without fail that Vale is provided with the
agreed number of workers each working day. Any absenteeism shall

9.7.
Planned leave should be advised giving at least one months
notice. Contractor shall provide suitable Vale approved replacement
personnel for any absentee due to planned leave or sick leave.

9.8.
The Contractor shall ensure sufficient personnel are available to
provide coverage for bi-annual leave, sick leave, special leave, etc. in
order to maintain the level of Service performance.
10.
Security Passes:
10.1.
All Contractor staff shall have valid residence permits and carry
their original ID Cards with them at all times.
10.2.
At the start of this Contract, the Contractor shall obtain
permanent gate passes for all staff required to enter Vale office and
plant from vale Security Dept. This requires Contractor to submit
copies of valid Passports, ID cards along with a No objections
certificate, etc. from Vale. Passes must be carried at all times by
Contractor personnel along with original ID card. Each person shall be
responsible for the safe keeping of his/her pass. Passes shall remain
the property of Vale Security Dept. Any lost or stolen cards must be
reported to Vale immediately, and all costs related to replacement of
such cards shall be borne by the Contractor.
10.3.
All contractor staffs should be under contractor's legal permit
name and they have to hold the ID provided by the authority.
11.
Uniform
11.1.
Contractor shall provide and maintain a high standard of
cleanliness to all uniforms (including footwear), plus provide name tag
to be worn by Contractor personnel in performance of their respective
duties under this Contract
11.2.
Vale reserves the right to approve the design style, fabrics and
colors for uniforms and quality of shoes to be provided by Contractor
to his personnel providing services under this Contract.

11.3.
At least six (6) sets of uniform and two (2) pairs of safety shoes
to be provided to each employee annually. Contactor shall provide
more sets and pairs incase the perform tasks need so.
11.4.
Uniforms to be replaced at a minimum on an annual basis and
earlier if deemed necessary by the Vale representatives.
11.5.
All uniforms shall be subject to regular inspection by Vale
representatives. Contractors personnel shall ensure that the uniform
is clean and his appearance is neat and tidy at all time while providing
the services.
11.6.
All Contractors personnel shall ware a name tag that will be
styled and colored as approved by Vale. The name tag shall reflect
workers true identity.
11.7.
All cost related to uniforms and safety shoes shall be borne by
Contractor.
12.
12.1.
Contractors personnel shall maintain adequate stores of
necessary equipment and materials. Contractor shall organize the
storing of all consumables, materials and chemicals as directed by
Vale Representative.
12.2.
Any Vale property found to be damaged or rendered useless due
to misuse or negligence by Contractor staff will be repaired or
replaced by Vale and the cost shall be deducted from Contractor next
invoice.
12.3.
Contractor shall be responsible for supply, delivery of all
necessary materials and equipment contractor shall ensure that
enough quantities of necessary materials and equipment are available
at all times. In addition to the Vale proposed materials/equipment.

13.3.1. Vale reserves the right to review and audit all activities
performed by Contractor in carrying out the Services, using either
Vales own or other personnel. The audit may include, but not

14.
CONTRACTOR TO PROVIDE:
14.1.
Notwithstanding the responsibility of Contractor to fulfill all the
Contract obligations, the Contractor without being limited to the
following, shall provide:
14.2.
Provision of valid work visas, residence permits, driving license
(including lessons if required), and other mandatory authorizations of
Governments or local bodies that may from time to time be required to
provide the services.
14.3.
Air tickets, accommodation and the general safety and welfare of
his own personnel in accordance with Oman Labor Law.
14.4.
Provision of accommodation, all meals, water, and messing &
ablution facility, washrooms. Vale may provide some meals such as
Launch for the permanent crew only after the preapproval form vale.
14.5.
Provision of both normal and emergency medical treatment for
Contractor staff providing services under this Contract.
14.6.
All necessary materials, supervision, labor, equipment necessary
for the performance of the Services.
14.7.
Provision of temporary Services signs and barriers as necessary
during performance of the Services in compliance with prevailing Vale
Safety procedure.
14.8.
All support services including logistical planning from the office
of the Contractor.

14.9.
All daily, weekly and monthly reports as requested by Vale.
14.10. Provision of a minimum six (6) sets of uniforms and two (2) pairs
of safety shoes per year for the Contractor personnel providing
services under this Contract to the Vale.
14.11. Provision of trained personnel, skilled and fully experienced in
their respective trades and / or professions, capable of understanding
spoken English, and certified as medically fit to perform the Work
14.12. Vale approved identification cards bearing the personnel
photograph.
14.13. Provision of transportation to his employees to and from the
Work site. Contractor shall also provide transportation within the
Services work area, as and when required. All vehicles entering the
plant site shall meet Vales minimum requirement. Vehicles not
meeting the Plant requirement shall not be allowed to enter the plant
site.
14.14. Provision of mobile phone with SIM cards and vehicles to the
Supervisors at Contractors own cost.
14.15.
All necessary equipment to perform task should be certified by a
Third Party Inspection authority. The Contractor shall at his own cost
carry out all inspection maintenance and repair of his own or hired
equipment to ensure that it is safe, fully certified and operational at all
times. Vale retains the right to carry out equipment audits on a regular
basis to ensure all Certification if required is current.
14.16. The details job description of site supervisor and any other senior
staff.
14.17. Supplies (consumables, fuel, gas, etc.), Job site surveillance,
general Tools and Special Tools.
14.18. Stationary, Computers, printers, fax. Furniture, files, copy
machines, water coolers, Software Licenses, Internet etc.
14.19. Material for use Examples, not limited to: rags, sandpaper,
insulating tape, masking tape, Teflon tape, Anti-seize Lubricant, drill bit
in general, saws in general
14.20. Internal Obligatory Trainings/ Third Party Training
14.21. Any additional requirements as required by Oman law for the
successful completion of the Services as per the Contract.
14.22. Perform all services with care, cleanliness, efficiency, punctuality
and promote awareness campaigns and improvements in line with Vale
Technical Standards and procedures.
14.23. Keep all equipment, devices and materials allocated for the
execution of the services in a perfect state of preservation,

15.

15.1.
Without limiting the responsibility of the Contractor in any way to
complete the provision of the Services, the Vale will provide/assist the
following:

Recruitment
16.1.1.
Vale shall select Contractor personnel through interviews,
and reserve the right to perform these either in Oman or at the
proposed Contractor location. If Personnel are not available in
Oman, Contractor to provide the details about the country of origin
and mobilization plan.
16.1.2.
Vale reserves the right to select the personnel to be
recruited for the Contract.

16.1.3.
Selected Contractor personnel shall be provided with tow
(2) years-valid Residence Permit under Contractors sponsorship &
cost and another one (1) year if the Contract is extended.
16.1.4.
Contractor shall ensure that he or his recruitment partner
or agents do not charge for any recruitment fees including airfares from the potential candidates being recruited or selected by
Vale Representative. All such cost for recruitment including
mobilization and demobilization shall be borne by the Contractor.
16.1.5.
It should be very clear for the contractor that incase of
termination of the contract of any reason Vale will not be liable for
the recruited personnel under this contract.

18.
Transportation
18.1. Contractor should provide air-conditioned transportation for its
personnel engaged in this Contract from living quarters to duty
location and back
18.2. Contractor shall ensure the vehicles are in roadworthy condition
and that the number of passengers in the vehicles does not exceed
the number of seats available in the vehicle. Drivers will be
responsible for obeying all Oman traffic road regulations.
18.3. Contractor shall also provide transportation for Call-Off workers
as requested by Vale on a Call-Off basis.
18.4. Contractor should provide a vehicle & mobile phone for the
Supervisor at Contractors cost. The vehicle should be sufficient to
transport personnel to and from various locations. The mobile phone
should allow both incoming and outgoing calls.
18.5. Contractor shall be fully responsible for all transport to be
provided to Janitors to and from different work locations.
19.
Site Visit:
19.1. The contractor must visit and examine the site and its
surroundings to obtain for themselves, at their own expense, all
information that may be necessary for preparing their proposal, such
as site conditions, facilities, sources of supply and sufficient means of
obtaining and delivering all materials, and other resources required for
the services.
19.2. Persons or companies granted permission by Vale to enter the
site shall bear the full responsibilities against any personal injury, loss
of or damage to property and any other loss, damage, costs and
expenses whatsoever.
19.3. Any one nominated to be part of the site visit shall wear full PPE
and should understand Vale HSE standards.

20.1.
The contactor shall issue the bulletin of measurement (BMS) of
the contracted services every month according to VALEs approved
Spreadsheet of Quantities. The BMS shall be issued on or before the
25th day of every month and shall be agreed upon between the two
parties before the end of the month. The BMS shall cover the period
between the 21st day of the previous month and the 20 th day of the
current month, with the exception of the first measurement that will
consider the activities performed since the date of the Contract
signing until the 20th day of the same month.
20.2.
After the analysis and approval of the Measurement Bulletin by
Vale, the contactor will submit the billing documents.
20.3.
All invoices shall be issued in Omani Rial (OMR) or the agreed
currency and only one measurement shall be issued every month.

Mobilization:
The contractor shall be starting mobilize all his manpower and equipment
within one (30) Week from the date of signing the contract.

Demobilization:
The contractor should start demobilizing all his manpower and equipment
immediately after the end of the contract period and if both parties didnt
agree to extend the contract period The Contractor no later than 30 days
prior to the end of the term specifying the additional Service and a further
Period time.
