Chapter 1 - Software Functional Scope


The software functional scope is given below. The application developed will allow your branches and
agents to access the application and perform their operations. This application will allow you to
streamline your purchase, sales, agent order booking, inventory management, employee performance
and incentives, front office automation, Accounts and Tally integration for finance transactions.

Chapter 2 - Technology and Environment

The development environment and platform will be PHP and My SQL Apache Server
The application will work in client server architecture. The server will be placed in the
corporate office in DUBAI and the branch offices will be connected to the corporate office
through Virtual Private Network (VPN).

Chapter 3 - Computer and Software Requirements


EZKEZis providing only the application software. Power conditioning equipment, computer, systems
software, Networking and Internet broadband connection has to be provided by you.

Listed above is the minimum computer requirement for running your Business Automation Application
software. For better performance, higher configuration computer can be used.

Chapter 4 - Commercial Terms


4.1 Prices

4.2 Payment terms

The payment should be made in the name of EASYKEYS..


Purchase order with advance payment is treated as project start date.

The subsequent payment has to be made within 7 days from the date of
delivery milestone. Delay in payment beyond 7 days will subsequently affect
the planned milestone deliveries.
Delay in payment beyond 30 days will enable us to terminate the project, and
receive payment for work done till that date.
Amount paid for the project development will not be reimbursed by EASY KEYS
at any point of time.

4.3 Team and Delivery


Team of 5 people will be working on this project for various stages of delivery. We will deploy a 5
member team and deliver the software in 5 days. Delivery plan may change after detail system study.
4.4 Functional Inputs
EASYKEYSexpects functional inputs on the software during the course of the scoping and specifications
stage. We need one point contact from COMPANY NAMEduring the specifications stage.
4.5 Changes in specifications
Major changes in specifications and feedback are likely to impact estimates, schedules and cost and
hence every effort must be made to freeze specifications during the scoping and requirement
specifications stage. If any major changes are inevitable then EASYKEYSwill be reimbursed with the
cost of such effort or delays on agreeable commercial terms.

4.6 Project Management


EASY KEYS will provide bi-monthly report on the status of the project.
4.7 Software Usage
Business Automation application is meant to be used in Client - Server architecture with 1 location. If
more locations are coming up, then EASY KEYS andCompany Name will draw up suitable license
agreements to allow more locations for using this software. Business Automation Application is meant
exclusively for COMPANY NAMEonly. This cannot be sold to other parties without approval from
EASYKEYS
4.8 Software Support
EASY KEYS will provide support for 180 days after the version of the software is installed in your
environment. After that period separate support agreement will be drawn up.
4.9 Travel to customer locations
Travel to COMPANY NAME is included in the price given above. We will provide phone, remote support
during this period. For locations other than DUBAI if direct implementation and support is required,
travel, accommodation charges at the actual and our support engineer charges per day have to be
borne by COMPANY NAMEHowever, we will provide remote implementation and support if direct
implementation is not required.
4.10 Annual Maintenance Contract
EASY KEYS offers standard Annual Maintenance Contract for the software at 20% of the undiscounted
development component of the software. Annual Maintenance contract covers uninterrupted usage of

the Business Automation Application Software only. This does not include any new development in the
software. For any new requirement, it will be developed as per our standard development rates and
has to be borne by Company Name
4.11 Intellectual property rights
The rights for usage of the software application built will lie with COMPANY NAMEThe intellectual
property ownership rights for the software and the underlying code will remain with EASY KEYS. If
source code is required, it will be provided to Company Nameat extra cost on agreeable commercial
terms. We are not liable for any subsequent problems once the source code is handed over to
Company Name
4.12 Limited Liability
EASY KEYS is not liable for any profit, loss or subsequent damages that may occur based on usage of
this software by Experts IN Solutions. Defects if any should be identified during the acceptance stage
of the software.
4.13 Dispute Resolution
Any dispute arising out of the sale will be resolved within the arbitration laws applicable to the DUBAI
jurisdiction.
