1. This Invitation for Bids follows the Procurement Plan for this project that appeared in
the ADB Business Opportunities in July 2014.
2. India has applied forfinancing from the Asian Development Bank (ADB) towards the
cost of the Karnataka Integrated and Sustainable Water Resources Management
Investment Program - Project 1, and intends to apply part of the financing to payments
under the contract for Flow Measurement and Telemetry System Supply and
Installation on Item Rate Basis.
3. The Karnataka Neeravari Nigam Limited (KNNL, the Purchaser) now invites sealed
Bids from eligible Bidders for supply and installation on Item Rate Basis of flow
measurement and telemetry system.
4. International Competitive Bidding (ICB) will be conducted in accordance with ADBs
Single-Stage: Two-Envelope bidding procedure and is open to all Bidders from eligible
source countries.
5. Interested eligible Bidders may obtain further information from KNNL and inspect the
Bidding Document at the address given below, from 11:00 to 17:00 hours on all
working days.
6. The Bidding Document, in the English language, may be purchased by interested
Bidderson the submission of a written application to the address below and upon
payment of a nonrefundable fee of Indian Rupees 10000/- (Rs. ten thousand only) or in
equivalent USdollar currency starting from 26 Feb 2015 to 27 April 2015. Those bidders
, who desireto receive the document by courier shall have to pay Rs. 1000/- (rupees
one thousand only) extra for delivery within India, or Rs.3000/- (rupees three Thousand
only) extra for deliveryoutside India. The method of payment will be through demand
draft in favor of theExecutive Engineer, Karnataka Neeravari Nigam Limited (KNNL), No.
4 Division BRLBCBhadravathi. No liability will be accepted for loss in transit or late
delivery of BiddingDocument.
7. Bidding documents are also available on project website http://www.knnlindia.com/.

submit cost of bidding document, which is Indian Rupees 5000/- (Rs. five thousand
hundred only) or in equivalent US dollar currency along with technical proposal through
demand draft in favour of the Executive Engineer, Karnataka Neeravari Nigam Limited
(KNNL), No. 4 Division BRLBC Bhadravathi, payable at Bhadravathi. No bids will be
entertained without cost of bidding document.
8. Bids must be delivered at Office of the The Managing Director, KNNLRegistered office,
Coffee Board Building, 4th floor, Dr. B.R. Ambedkarveedhi, Bangalore-1,Karnataka, India
before 27 April 2015, 16:00 hours. All Bids must be accompanied by a Bid Security as
stated in the Bidding Document. Late bids shall be rejected. Bids will be opened in the
presence of the Bidders representatives who choose to attend at office of The
Managing Director, KNNLRegistered office, Coffee Board Building, 4th floor, Dr. B.R.
Ambedkarveedhi, Bangalore-1,Karnataka, India at 17:00 hours on 27 April 2015.
9. Pre-bid meeting with the bidders will be held at office of The Managing Director, KNNL
Registered office, Coffee Board Building, 4th floor, Dr. B.R. Ambedkarveedhi, Bangalore1, Karnataka, India on 20 March 2015 at 12:30 hours. For Bidders who are Interested in
participating in the bid process, the site visit will be arranged on 18 March 2015, 10:00
hours with prior intimation to the Executive Engineer. Any other information required
can be obtained from the undersigned in the working hours between 10:00 and 17:00
hours.
10. The KNNL will not be responsible for any costs or expenses incurred by Bidders in
connection with the preparation or delivery of Bids.

1.1
InsupportoftheInvitationforBidsindicatedintheBidData
Sheet(BDS),thePurchaser,asindicatedintheBDS,issues
thisBiddingDocumentforthesupplyofGoodsandRelated
ServicesincidentaltheretoasspecifiedinSectionVI,Schedule
ofSupply(SS).Thename,identification,andnumberoflots
oftheInternationalCompetitiveBidding(ICB)areprovidedin
theBDS.

ThroughoutthisBiddingDocument:
(a)theterminwritingmeanscommunicatedinwritten
formwithproofofreceipt;

2.1
TheBorrowerorRecipient(hereinaftercalledBorrower)
indicatedintheBDShasappliedfororreceivedfinancing
(hereinaftercalledfunds)fromtheAsianDevelopmentBank
(hereinaftercalledtheADB)towardthecostoftheproject
namedintheBDS.TheBorrowerintendstoapplyaportionof
thefundstoeligiblepaymentsunderthecontractforwhichthis
BiddingDocumentisissued.
2.2
PaymentsbytheADBwillbemadeonlyattherequestofthe
BorroweranduponapprovalbytheADBinaccordancewith
thetermsandconditionsofthefinancingagreementbetween
theBorrowerandtheADB(hereinaftercalledtheLoan
Agreement),andwillbesubjectinallrespectstothetermsand
conditionsofthatLoanAgreement.Nopartyotherthanthe
BorrowershallderiveanyrightsfromtheLoanAgreementor
haveanyclaimtothefunds.
2.3
TheLoanAgreementprohibitsawithdrawalfromtheloan
accountforthepurposeofanypaymenttopersonsorentities,
orforanyimportofequipment,plant,ormaterials,ifsuch
paymentorimportisprohibitedbyadecisionoftheUnited
NationsSecurityCounciltakenunderChapterVIIofthe
CharteroftheUnitedNations.
3.1
ADBsAnticorruptionPolicyrequiresborrowers(including
beneficiariesofADBfinancedactivity),aswellasbidders,
suppliers,andcontractorsunderADBfinancedcontracts,
observethehigheststandardofethicsduringtheprocurementand
executionofsuchcontracts.Inpursuanceofthispolicy,

theADB:
(1) defines,forthepurposesofthisprovision,thetermssetforth
belowasfollows:
(1) corruptpracticemeanstheoffering,giving,receiving,or
soliciting,directlyorindirectly,anythingofvalueto
influenceimproperlytheactionsofanotherparty;
(2) fraudulentpracticemeansanyactoromission,including
amisrepresentation,thatknowinglyorrecklesslymisleads,
orattemptstomislead,apartytoobtainafinancialorother
benefitortoavoidanobligation;
(3) coercive practice means impairing or harming, or
threateningtoimpairorharm,directlyorindirectly,any
partyorthepropertyofthepartytoinfluenceimproperly
theactionsofaparty;
(4) collusivepracticemeansanarrangementbetweentwoor
morepartiesdesignedtoachieveanimproperpurpose,
includinginfluencingimproperlytheactionsofanother
party;
2) willrejectaproposalforawardifitdeterminesthatthebidder
recommended for award has, directly or through an agent,
engagedincorrupt,fraudulent,collusive,orcoercivepractices
incompetingfortheContract;
3) willcanceltheportionofthefinancingallocatedtoacontractif
itdeterminesatanytimethatrepresentativesoftheborroweror
of a beneficiary of ADBfinancing engaged in corrupt,
fraudulent, collusive, or coercive practices during the
procurement or the execution of that contract, without the
borrower having taken timely and appropriate action
satisfactorytoADBtoremedythesituation;
4) willsanctionafirmoranindividual,atanytime,inaccordance
withADBsAnticorruptionPolicyandIntegrityPrinciplesand
Guidelines (both as amended from time to time), including
declaringineligible,eitherindefinitelyorforastatedperiodof
time, to participate in ADBfinanced or ADBadministered
activities or to benefit from an ADBfinanced or ADB
administeredcontract,financiallyorotherwise,ifitatanytime
determinesthatthefirmorindividualhas,directlyorthrough
anagent,engagedincorrupt,fraudulent,collusive,orcoercive
or
ADBKNNLICBProcurementofGoodsandServices

otherprohibitedpractices;and
(e)willhavetherighttorequirethataprovisionbeincludedin
biddingdocumentsandincontractsfinancedbyADB,

andotherdocumentsrelatingtothebidsubmissionand
contractperformanceandtohavethemauditedbyauditors
appointedbyADB.
4.Eligible

Furthermore,Biddersshallbeawareoftheprovisionstatedin
SubClause3.2andSubClause35.1(c)oftheGeneral
ConditionsofContract.
4.1
ABiddermaybeanaturalperson,privateentity,government
ownedentity(subjecttoITBSubClause4.5)orany
combinationofthemwithaformalintenttoenterintoan
agreementorunderanexistingagreementintheformofa
JointVenture(JV).InthecaseofaJV:
(a)allpartiestotheJVshallbejointlyandseverallyliable;
and
(b)aJVshallnominateaRepresentativewhoshallhavethe
authoritytoconductallbusinessesforandonbehalfof
anyandallthepartiesoftheJVduringthebidding
processand,intheeventtheJVisawardedtheContract,
duringcontractexecution.
4.2
ABidder,andallpartiesconstitutingtheBidder,shallhavethe
nationalityofaneligiblecountry,inaccordancewithSection
V,EligibleCountries.ABiddershallbedeemedtohavethe
nationalityofacountryiftheBidderisacitizenoris
constituted,orincorporated,andoperatesinconformitywith
theprovisionsofthelawsofthatcountry.Thiscriterionshall
alsoapplytothedeterminationofthenationalityofproposed
subcontractorsorsuppliersforanypartoftheContract
includingrelatedservices.
4.3
ADBconsidersaconflictofinteresttobeasituationinwhich
apartyhasintereststhatcouldimproperlyinfluencethat
partysperformanceofofficialdutiesorresponsibilities,
contractualobligations,orcompliancewithapplicablelaws
andregulations,andthatsuchconflictofinterestmaycontributeto
or constitute a prohibited practice under ADB's Anticorruption
Policy.InpursuanceofADB'sAnticorruptionPolicysrequirement
thatBorrowers(includingbeneficiariesofADBfinancedactivity),
aswellasbidders,suppliers,andcontractorsunderADBfinanced
contracts,observethehighest

standard of ethics. ADB will take appropriate actions, which
includenotfinancingofthecontract,ifitdeterminesthataconflict
of interest has flawed the integrity of any procurement process.
ConsequentlyallBiddersfoundtohaveaconflictofinterestshall
bedisqualified.ABiddermaybeconsideredtobeinaconflictof
interest with one or more parties in this bidding process if,
includingbutnotlimitedto:
1) havecontrollingshareholdersincommon;or
2) receiveorhavereceivedanydirectorindirectsubsidyfrom
anyofthem;or
3) havethesamelegalrepresentativeforpurposesofthisBid;or
4) have a relationship with each other, directly or through
commonthird parties,thatputsthem ina position tohave
accesstoinformationaboutorinfluenceontheBidofanother
Bidder,orinfluencethedecisionsofthePurchaserregarding
thisbiddingprocess;or
5) a Bidder participates in more than one bid in this bidding
process.ParticipationbyaBidderinmorethanoneBidwill
result in the disqualification of all Bids in which it is
involved.However, thisdoesnotlimitthe inclusionofthe
samesubcontractor,nototherwiseparticipatingasaBidder,in
morethanonebid;or
anyofitsaffiliatesparticipatedasa
consultantin
thepreparationofthedesignortechnical
specificationsofthegoodsandservicesthatarethesubjectof
thebid.

47 Firmsshallbeexcludedifbyanactofcompliancewithadecision

anyimportofgoodsorcontractingofworksorservicesfromthat
countryoranypaymentstopersonsorentitiesinthatcountry.

Allgoodsandrelatedservicestobesuppliedunderthe
ContractandfinancedbytheADB,shallhaveastheircountry
oforiginaneligiblecountryoftheADB(seeSectionV,
EligibleCountries).
52 For purposes of this Clause, the term goods inclu des
commodities, rawmaterial, machinery,equipment, andindustrial
plants;andrelatedservicesincludesservicessuchasinsurance,
installation,training,andinitialmaintenance.
53 Thetermcountryoforiginmeansthecountrywherethegoods
have been mined, grown, cultivated, produced, manufactured, or
processed; or through manufacture, processing, or assembly,
another commercially recognized article results that differs
substantially in its basic characteristics from its imported
components.
54 Thenationalityofthefirmthatproduces,assembles,distributes,or
sellsthegoodsshallnotdeterminetheirorigin.
55 IfsorequiredintheBDS,aBidderthatdoesnotmanufactureor
produce the Goods it offers to supply shall submit the
ManufacturersAuthorizationusingtheformincludedinSectionV,
BiddingFormstodemonstratethatithasbeendulyauthorizedby
themanufacturerorproduceroftheGoodstosupplytheseGoodsin
thePurchaserscountry.

thatsuchrequestisreceivednolaterthantwentyone(21)days
priortothedeadlineforsubmissionofBids.ThePurchaser
shallforwardcopiesofitsresponsetoallBidderswhohave
acquiredtheBiddingDocumentdirectlyfromit,includinga
descriptionoftheinquirybutwithoutidentifyingitssource.
ShouldthePurchaserdeemitnecessarytoamendtheBidding

TheBid,aswellasallcorrespondenceanddocumentsrelating
totheBidexchangedbytheBidderandthePurchaser,shallbe
writteninthelanguagespecifiedintheBDS.Supporting

inanotherlanguageprovidedtheyareaccompaniedbyan
accuratetranslationoftherelevantpassagesinthelanguage
specifiedintheBDS,inwhichcase,forpurposesof
interpretationoftheBid,suchtranslationshallgovern.

TheBidshallcomprisetwoenvelopessubmitted
simultaneously,onecontainingtheTechnicalProposalandthe
otherthePriceProposal,enclosedtogetherinanoutersingle
envelope.
11.2
Initially,onlytheTechnicalProposalsareopenedatthe
address,dateandtimespecifiedinITBSubClause27.1.The
PriceProposalsremainsealedandareheldincustodybythe
Purchaser.TheTechnicalProposalsareevaluatedbythe
Purchaser.NoamendmentsorchangestotheTechnical
Proposalsarepermitted.BidswithTechnicalProposalswhich
donotconformtothespecifiedrequirementswillberejected
asdeficientBids.
11.3
PriceProposalsoftechnicallycompliantBidsareopenedin
publicatadateandtimeadvisedbythePurchaser.ThePrice
ProposalsareevaluatedandtheContractisawardedtothe
BidderwhoseBidhasbeendeterminedtobethelowest
evaluatedsubstantiallyresponsiveBid.

manufacturing flow measurement sensors and transmitter software with
telemetryequipmentandDataAcquisitionsoftwareoftheexactsametype
asrequiredunderthisbidding.
2. Thebiddershouldhavesuccessfullyimplementedanopenirrigationcanal
simulationandhydraulicbehaviorcalculationsoftware,forcanaloperation
andwatermanagementplanningandaccounting.
3. Themanufacturerintheprevious2yearsshouldhavemanufacturedand
suppliedtwo(2)timesthequantityormoreasinthisScheduleofSupplies
VI,andshouldbetheexactsametypeofflowmeasurementsensorsand

transmittersandtheirinbuiltsoftwaresareallfromasinglemanufacturer

7. ThemanufacturershouldhaveBISorISOcertificationoranyinternational
certification,whichishigherorequivalenttotheBISspecificationorfrom

0The system should be open ended and non proprietary, future ready and
easily scalable to accommodate additional features at field level like
gate position sensors, RTUs, Motor start/stop/safety controls, power
controls, relays controls, threshold settings, two way control and
communication, SCADA Software and Human-Machine Interface (HMI) so
as to be upgraded into a SCADA system for automated gate operation in
the future.
3.1.3
SITE VISIT
The scope requires bidders to understand the existing system, the canal
design details, site conditions, canal operational methods and then adapt
the technology and software to suit the existing operational needs. To fully
understand the scope, the local conditions, the operating conditions of the
system to be installed, it is advised that the bidder visit the site and be fully
acquainted with physical canal system and local situations pertaining to the
work. It is the responsibility of the bidder to visit the water delivery network
site at their own cost and risk before quoting and shall study the existing
arrangement of all the operations and the adaptation of system that need
to be deployed, its suitability and feasibility considering the ground reality.
Bidder are also advised study the existing network, the number of sites that
need to be considered for the system to enable efficient water delivery and
operations and also study the need to consider additional requirement for
deploying secure and failure free operations before quoting.
3.1.4
1. Survey & study of the identified sites in the list of all the canal network
where the flow meters, and remote monitoring station has to be
established.
2. Submission of design drawings / specifications for all the components &
civil work for each location.
3. Civil construction suitable for installing flow meters at main canal,
branch canals and the distributaries.
04. Supply, Transportation to site & installation / testing / commissioning of
the telemetric volumetric flow meters, and completing the cabling work,
security system including power supply to the system.
05. Discharge in the Canal must be monitored in real time and correlated to
act as SMS inputs for controlling the discharge at the head regulator.
Discharges into Canal should target complementing the planned water
allocation schedule based on crop-water requirements.

commissioned programs in the Server. The software that requires
licensing from the manufacturer shall be licensed and license certificates
shall be submitted to KNNL.
9. Data backup, data storage and restoration when required, database
administration and software maintenance to ensure continuous data
acquisition, data processing and data dissemination to the users.

Power supply: The entire system will run on suitably planned, with an over
capacity planned considering the heavy seasonal rainfall and cloud cover in
this area. The supply shall include solar panel, intelligent charge controller,
battery, power conditioning, isolaters and protection systems.
Power supply shall be designed with thorough consideration for stable
operation of the system 24x7 for the entire season. Especially, the power
supply to remote telemetry stations shall be carefully designed because
external power supply will not be available.

Reliability
The volumetric discharge monitoring and water accounting system is
required to be designed for continuous day and night operation and shall
be online throughout, particularly in the Kharif and Rabi season. Designers
shall consider the reliability of data acquisition and data receipt
confirmation with necessary checks and identifiers for non receipt of data
to help re attempt closing of data gaps, if any, by automated resending of
data or identifying the missed data and pulling data from the field
instruments. Consideration shall be made during design and installation for
the field instruments to perform continuously for the entire year with
reliable and long lasting power supply(and battery back up) and choosing
the strongest signal strength for good communication from the GSM/GPRS

3.4 Calibration
After the initial tests and during the commissioning stage itself, all flow meters
should be field calibrated with reference to a float mounted ADCP which uses
Acoustic Doppler current profiler velocity profiling and area determination method,
in the main canal with a minimum of 10 transects(bank to bank) and a handheld 2
beam ADCP in the branches and distributories with clear 10 different readings at
each site covering the normal flow range. All such calibration reference instrument
readings and the installed volumetric discharge system readings are to be formally
recorded and submitted for verification by the KNNL officer in charge at site. The
KNNL officer in charge will witness the calibration activity and will record the same
in the measurement book for certifying the commissioning of the flow meters.
3.6 Maintenance
For stable data acquisition over years, the system should have a preventive
maintenance schedule. A year-on-year comparison of data will lead to
improvements eventually.
Preventive maintenance consists of daily inspection, periodical inspection
and exchange of parts. Daily inspection is to check whether the entire

CONTRACTORS SERVICE
The contractor is to provide only a factory trained,
licensed and experienced service technician for
start-up testing, commissioning in accordance with
the general requirements specified in the other
sections.
Provide training service to the officers as detailed in
other section of this document.
The suppliers on site service shall include training
course for the user, installation supervision,
configuration and setup program, parameter
determination, and setting into operation and
commissioning.

Execution of works
CONTRACTORS SERVICE
The contractor is to provide only a factory trained,
licensed and experienced service technician for
start-up testing, commissioning in accordance with
the general requirements specified in the other
sections.
Provide training service to the officers as detailed in
other section of this document.
The suppliers on site service shall include training
course for the user, installation supervision,
configuration and setup program, parameter
determination, and setting into operation and
commissioning.

permit removal of sensor mounting plate from the
channel for inspection without disconnecting

Mounting hardware shall be 316 stainless steel and
supplied by the flow meter manufacturer.

TRAINING
The Vendor shall submit training instructions in
accordance with
Sections of the tender documents.
The Vendor shall conduct training sessions for the
system operating personnel to instruct the staff on
the proper operation, care, and maintenance of the
equipment and systems supplied under this contract.
The manufacturer shall provide a qualified service
engineer to inspect the completed installations for
lubrication, alignment, free operation and proper
control, and to instruct operations personnel in the
proper operation and maintenance of the units. At
least Five (5) days of field service shall be provided.
Training shall include both classroom and field
training.
OPERATION AND MAINTENANCE MANUALS
Submit Operation and Maintenance Manuals, and
data covering each item of equipment, in accordance
with Sections of the tender documents.

The supplier shall arrange necessary expertise, materials, and manpower in all locations of
the installation.
The supplier shall arrange Secure the sensors with fabricated frame. Frame will be
embedded in canal bed and finished; Care should be taken not to obstruct water flow and
turbulence. Mount the sensors on the canal bed or wall with proper mountings and security
provisions during dry periods.
Make only narrow cuts in canal bed and wall, to run the conduits carrying the cables from
the sensors to the foundation of the panel/enclosure which houses all the electronics. Finish
the cut flush with the bed and offers no resistant to water flow.
Securing the electronics panel/enclosure to protect against vandalism, theft or break in
during the flow seasons and also the dry seasons.
There should be sufficient design, fabrication work, and if necessary civil work ( foundation,
secure room, etc) to be carried out to prevent and alert if any attempt is made to break /
sever / disconnect / damage the equipments which results in no-power or no-signal or nodata situation.
All connections should be via cable trays, cables ends should have proper lugs, connectors,
terminal blocks, earthing, cable ties, no loose wires and loose taping to be found.
There should be a Pouch attached to the inside of the enclosure with small spares, screws,
bolts, nuts, connectors, wires, fuses, drawings, instruction manuals, etc.
Desiccant containers should be used to prevent moisture damaging the sensitive
electronics.
All screws, bolts, nuts should be of stainless steel.
Cable glands and sealing should be used where the cables enter and exit.
Ensure, rats, snakes, bees, insects, water dust, and rain does not enter the enclosure.
The team deployed for the works should consist of the following engineering experience.

The team should be well connected and available always for the KNNL Engineers to reach

Regular Checks: The sensors and the electronics shall send signals of
vegetation or weed growth or disturbance caused due to debris settling near the
site. This requires maintenance personnel to go to the site and physically clear
the debris in order to let the sensors work in proper manner. In some cases, the
sensors and electronics may stop sending signals, this happens if there is
damage to the antenna that sends and receives signals, or battery is not
charging due to cloudy sky, or vandals have broken open and stolen the battery
or the sensor itself has been damaged by vandals or stolen.

Internet connection at the server end: The data from the field stations arrive
to the server via the server internet connection. Further the server also allows
users to access the application, the data and the reports via the internet. This
internet connection has to be of high bandwidth and reliable too, running under
observation 24x7. Any stoppage will create further cascading issues which again
has to be brought back to normal condition by the system administrators.
SMS: The SMS sent to AEs, AEEs, EEs and the higher officers is through a SMS
service provider, this is an independent agency which has to be paid on monthly
basis.
6 Warranty
1. Unless otherwise stated to the contrary, all equipment supplied
shall have warranty against Manufacturing Defects for a period
of 12 (Twelve) Months, after having been delivered to and
accepted at the final destination as indicated in the GCC 28.3
and SCC. Any part of the equipment that may become defective
or does not perform according to the Specifications as offered
within the warranty period shall be repaired or replaced free of
charge.
2. The warranty shall not cover repair and/or replacement of the
Instruments/Systems due to vandalism, theft or other damages
due to natural disaster or Act Of God.
3. The software/Hardware product should be under warranty for
five year from the date of supply and installation.
4. The Supplier shall provide necessary Software updates free of
cost during the warranty/guarantee period.
7 Spares to be supplied
Supply of 5% quantity of spares. The bidder should submit spares of all the
supplied equipments, with minimum stock of spares for Transit time, Non contact

mounting accessories, etc shall also be available to make a quick replacement in
case of any of those are found to be not functioning or underperforming. The
bidder should hand over same number of spares in working condition to KNNL at
the end of O&M Period. Since the components are bidder specific, the same shall
be elaborated by the bidder in its bid.
8 Insurance to be submitted
As per Insurance coverage rules of Machineries and Equipments and as per normal
tender Condition for irrigation projects in Karnataka - The Contractor shall provide
necessary insurance in terms approved by the Employer to cover the installations in
the joint names of the Employer and the Contractor and a copy/copies of the
policy/policies shall be furnished to the Employer within one month from the award
of the Contract.

power supply equipment, telemetry, sensors, cables, and other items, which forms
part of the commissioned installation housed in the security shed equipped with
locking-unlocking facility, as well as the sensors and cables exposed outside.
The insurance shall cover the risks of vandalism, theft, damages due to canal breach,
canal bank collapse, natural disaster, etc.
All thefts and vandalism shall be detected immediately with the safety measure
taken and communicated to the concerned officers. The watch and ward shall protect
the installations against vandalism and thefts.
9 Drawings/data
The Contractor shall submit the following drawings/Data :
1. Foundation drawings indicating the cable entries, cable trenches,
foundation bolts etc.
2. Schematic diagram of the complete measurement, data logging,
transmission, and updates in the software database system.
3. Detailed schematic diagrams of all protection and security features.
4. Cabling and wiring diagram cubicles and interconnections between the
electronic components or device. Ferrule numbers, device numbers,
grouping for cable take offs etc., shall be distinctly shown.
5. Dimensional outline diagram and special mounting arrangement if any,
of each type of device or electronic component.
6. Individual internal wiring diagram of all devices and elementary wiring
diagram for internal wiring.

of a beneficiary of ADBfinancing engaged in corrupt,
fraudulent, collusive, or coercive practices during the
procurement or the execution of that contract, without the
borrower having taken timely and appropriate action
satisfactorytoADBtoremedythesituation;and
(4) willsanctionafirmoranindividual,atanytime,inaccordance
withADBsAnticorruptionPolicyandIntegrityPrinciplesand
Guidelines (both as amended from time to time), including

Amendment
NoamendmentorothervariationoftheContractshallbevalid

Nonwaiver
(a)
SubjecttoGCCSubClause4.5(b)below,norelaxation,

the Contract may be in another language provided they are
accompaniedbyanaccuratetranslationoftherelevantpassagesin

UnlessotherwisespecifiedintheSCC,iftheSupplierisajoint
venture,consortium,orassociation,allofthepartiesshallbe
jointlyandseverallyliabletothePurchaserforthefulfillment
oftheprovisionsoftheContractandshalldesignateoneparty
toactasaleaderwithauthoritytobindthejointventure,
consortium,orassociation.Thecompositionortheconstitution
ofthejointventure,consortium,orassociationshallnotbe
alteredwithoutthepriorconsentofthePurchaser.
7.
Eligibility
7.1
TheSupplieranditsSubcontractorsshallhavethenationality
ofaneligiblecountry.ASupplierorSubcontractorshallbe
deemedtohavethenationalityofacountryifitisacitizenor
constitutedorincorporated,andoperatesinconformitywith
theprovisionsofthelawsofthatcountry.
7.2
AllGoodsandRelatedServicestobesuppliedunderthe
ContractandfinancedbytheADBshallhavetheiroriginin
EligibleCountries.ForthepurposeofthisClause,origin
meansthecountrywherethegoodshavebeengrown,mined,
cultivated,produced,manufactured,orprocessed;orthrough
manufacture,processing,orassembly,anothercommercially
recognizedarticleresultsthatdifferssubstantiallyinitsbasic
characteristicsfromitsimportedcomponents.

AnyNoticegivenbyonepartytotheotherpursuanttothe
ContractshallbeinwritingtotheaddressspecifiedintheSCC.

11. Scopeof11.1SubjecttotheSCC,theGoodsandRelatedServicestobe

suppliedshallbeasspecifiedinSectionVI,Scheduleof
Supply.
11.2UnlessotherwisestipulatedintheContract,theScopeofSupply
shall include all such items not specifically mentioned in the
ContractbutthatcanbereasonablyinferredfromtheContractas
beingrequiredforattainingDeliveryandCompletionoftheGoods
andRelatedServicesasifsuchitemswereexpresslymentionedin
theContract.
12. Delivery12.1SubjecttoGCCSubClause33.1,theDeliveryoftheGoods
andCompletionoftheRelatedServicesshallbeinaccordancewith
theDeliveryandCompletionSchedulespecifiedintheSectionVI,
ScheduleofSupply.Thedetailsofshippingandotherdocumentsto
befurnishedbytheSupplierarespecifiedintheSCC.
13.Suppliers13.1TheSuppliershallsupplyalltheGoodsandRelatedServices
ResponsibilitiesincludedintheScopeofSupplyinaccordancewithGCCClause11,
andtheDeliveryandCompletionSchedule,asper
GCCClause12.
14.Purchasers14.1WheneverthesupplyofGoodsandRelatedServicesrequires
ResponsibilitiesthattheSupplierobtainpermits,approvals,andimportandotherlicenses
fromlocalpublicauthorities,thePurchasershall,ifsorequiredbytheSupplier,makeitsbest
efforttoassisttheSupplierincomplyingwithsuchrequirementsinatimelyand
expeditiousmanner.

16. Termsof
Payment
16.1 TheContractPriceshallbepaidasspecifiedintheSCC.
16.2 TheSuppliersrequestforpaymentshallbemadetothe
Purchaserinwriting,accompaniedbyinvoicesdescribing,as
appropriate,theGoodsdeliveredandRelatedServices
performed,andbythedocumentssubmittedpursuanttoGCC
Clause12anduponfulfillmentofalltheobligationsstipulated
intheContract.
16.3 PaymentsshallbemadepromptlybythePurchaser,nolater
thansixty(60)daysaftersubmissionofaninvoiceorrequest
forpaymentbytheSupplier,andthePurchaserhasacceptedit.
16.4 Thecurrencyorcurrenciesinwhichpaymentsshallbemadeto
theSupplierunderthisContractshallbespecifiedintheSCC.
17. Taxesand
Duties
17.1 ForgoodssuppliedfromoutsidethePurchaserscountry,the
Suppliershallbeentirelyresponsibleforalltaxes,stamp
duties,licensefees,andothersuchleviesimposedoutsidethe
Purchaserscountry.
17.2For goods supplied from within the Purchasers country, the
Suppliershallbeentirelyresponsibleforalltaxes,duties,license
fees, etc.,incurred untildelivery of the contracted Goods to the
Purchaser.
17.3Ifanytaxexemptions,reductions,allowancesorprivilegesmaybe
availabletotheSupplierinthePurchasersCountry,thePurchaser
shalluseitsbesteffortstoenabletheSuppliertobenefitfromany
suchtaxsavingstothemaximumallowableextent.
18. Performance18.1TheSuppliershall,withintwentyeight(28)daysofthe
Security
notificationofContractaward,provideaPerformanceSecurity
forthedueperformanceoftheContractintheamountsand
currenciesspecifiedintheSCC.
182TheproceedsofthePerformanceSecurityshallbepayabletothe

Supplierbyanythirdparty,includingsuppliersofmaterials,

20.1 ThePurchaserandtheSuppliershallkeepconfidentialand
shallnot,withoutthewrittenconsentoftheotherpartyhereto,
divulgetoanythirdpartyanydocuments,data,orother
informationfurnisheddirectlyorindirectlybytheotherparty
heretoinconnectionwiththeContract,whethersuch
informationhasbeenfurnishedpriorto,duringorfollowing
completionorterminationoftheContract.Notwithstanding
theabove,theSuppliermayfurnishtoitsSubcontractorsuch
documents,data,andotherinformationitreceivesfromthe
PurchasertotheextentrequiredfortheSubcontractorto
performitsworkundertheContract,inwhicheventthe
SuppliershallobtainfromsuchSubcontractoranundertaking
ofconfidentialitysimilartothatimposedontheSupplierunder
GCCClause20.
20.2ThePurchasershallnotusesuchdocuments,data,andother
informationreceivedfromtheSupplierforanypurposes
unrelatedtotheContract.Similarly,theSuppliershallnotuse
suchdocuments,data,andotherinformationreceivedfromthe
Purchaserforanypurposeotherthanthedesign,procurement,
orotherworkandservicesrequiredfortheperformanceofthe
Contract.
20.3 TheobligationofapartyunderGCCSubClauses20.1and
20.2above,however,shallnotapplytoinformationthat:
(a)
thePurchaserorSupplierneedtosharewiththeADBor
otherinstitutionsparticipatinginthefinancingofthe
Contract;

(4) otherwise lawfully becomes available to that party from a
thirdpartythathasnoobligationofconfidentiality.
20.4The above provisions of GCC Clause 20 shall not in any way
modifyanyundertakingofconfidentialitygivenbyeitherofthe
partiesheretoprior to the dateof theContract in respect of the
Supplyoranypartthereof.
20.5The provisions of GCC Clause 20 shall survive completion or
termination,forwhateverreason,oftheContract.
21. Subcontracting21.1TheSuppliershallnotifythePurchaserinwritingofall
subcontractsawardedundertheContractifnotalreadyspecifiedin
theBid.SubcontractingshallinnoeventrelievetheSupplierfrom
anyofitsobligations,duties,responsibilities,orliabilityunderthe
Contract.

22.Specifications22.1TechnicalSpecificationsandDrawings
andStandards
1) The Supplier shall ensure that the Goods and Related
Servicescomplywiththetechnicalspecificationsandother
provisionsoftheContract.
2) TheSuppliershallbeentitledtodisclaimresponsibilityfor
anydesign,data,drawing,specificationorotherdocument,
oranymodificationthereofprovidedordesignedbyoron
behalfofthePurchaser,bygivinganoticeofsuchdisclaimer
tothePurchaser.
3) TheGoodsandRelatedServicessuppliedunderthisContract
shall conform to the standards mentioned in Section VI,
Schedule of Supply and, when no applicable standard is
mentioned,thestandardshallbeequivalentorsuperiortothe

22.2 WhereverreferencesaremadeintheContracttocodesand
standardsinaccordancewithwhichitshallbeexecuted,the

bethosespecifiedintheSectionVI,ScheduleofSupply.
DuringContractexecution,anychangesinanysuchcodesand
standardsshallbeappliedonlyafterapprovalbythePurchaser
andshallbetreatedinaccordancewithGCCClause33.
23.Packingand
Documents
23.1 TheSuppliershallprovidesuchpackingoftheGoodsasis
requiredtopreventtheirdamageordeteriorationduringtransit
totheirfinaldestination,asindicatedintheContract.During
transit,thepackingshallbesufficienttowithstand,without
limitation,roughhandlingandexposuretoextreme
temperatures,saltandprecipitation,andopenstorage.Packingcase
sizeandweightsshalltakeintoconsideration,whereappropriate,
the remoteness of the final destination of the Goods and the
absenceofheavyhandlingfacilitiesatallpointsintransit.
23.2Thepacking,marking,anddocumentationwithinandoutsidethe
packagesshallcomplystrictlywithsuchspecialrequirementsas
shallbeexpresslyprovidedforintheContract,includingadditional
requirements, if any, specified in the SCC, and in any other
instructionsorderedbythePurchaser.
24. Insurance24.1UnlessotherwisespecifiedintheSCC,theGoodssupplied
undertheContractshallbefullyinsured,inafreelyconvertible
currency from an eligible country, against loss or damage
incidental to manufacture or acquisition, transportation, storage,
anddelivery,inaccordancewiththeapplicableIncotermsorinthe
mannerspecifiedintheSCC.
25.Transportation25.1UnlessotherwisespecifiedintheSCC,obligationsfortransportationof
theGoodsshallbeinaccordancewiththeIncotermsspecifiedin
SectionsVI,ScheduleofSupply.
26.Inspections26.1TheSuppliershallatitsownexpenseandatnocosttotheandTests
Purchasercarryoutallsuchtestsand/orinspectionsoftheGoodsandRelatedServicesasare
specifiedinSectionsVI,
ScheduleofSupply.
262Theinspectionsandtestsmaybeconductedonthepremisesofthe
Supplier or its Subcontractor, at point of delivery, and/or at the
final destination of the Goods, or in another place in the

SubClause26.3,ifconductedonthepremisesoftheSupplierorits
Subcontractor, all reasonable facilities and assistance, including

263ThePurchaseroritsdesignatedrepresentativeshallbeentitledto
attendthetestsand/orinspectionsreferredtoinGCCSubClause
26.2, provided that the Purchaser bear all of its own costs and
expenses incurred in connection with such attendance including,
butnotlimitedto,alltravelingandboardandlodgingexpenses.
264Whenever the Supplier is ready to carry out any such test and
inspection,itshallgiveareasonableadvancenotice,includingthe
placeandtime,tothePurchaser.TheSuppliershallobtainfromany
relevantthirdpartyormanufactureranynecessarypermissionor
consenttoenablethePurchaseroritsdesignatedrepresentativeto
attendthetestand/orinspection.
265ThePurchasermayrequiretheSuppliertocarryoutanytestand/or
inspectionnotrequiredbytheContractbutdeemednecessaryto
verifythatthecharacteristicsandperformanceoftheGoodscomply
with the technical specifications, codes and standards under the
Contract, provided that the Suppliers reasonable costs and
expensesincurredinthecarryingoutofsuchtestand/orinspection
shallbeaddedtotheContractPrice.Further,ifsuchtestand/or
inspection impedes the progress of manufacturing and/or the
SuppliersperformanceofitsotherobligationsundertheContract,
dueallowancewillbemadeinrespectoftheDeliveryDatesand
CompletionDatesandtheotherobligationssoaffected.
266TheSuppliershallprovidethePurchaserwithareportoftheresults
ofanysuchtestand/orinspection.
267ThePurchasermayrejectanyGoodsoranypartthereofthatfailto
pass any test and/or inspection or do not conform to the
specifications. The Supplier shall either rectify or replace such
rejected Goods or parts thereof ormake alterationsnecessaryto
meetthespecificationsatnocosttothePurchaser,andshallrepeat
thetestand/orinspection,atnocosttothePurchaser,upongivinga
noticepursuanttoGCCSubClause26.4.
268The Supplier agrees that neither the execution of a test and/or
inspectionoftheGoodsoranypartthereof,northeattendanceby
the Purchaser or its representative, nor the issue of any report
pursuanttoGCCSubClause26.6,shallreleasetheSupplierfrom
anywarrantiesorotherobligationsunderthe

27.1
ExceptasprovidedunderGCCClause32,iftheSupplierfails
todeliveranyoralloftheGoodsorperformtheRelated
ServiceswithintheperiodspecifiedintheContract,the
Purchasermaywithoutprejudicetoallitsotherremediesunder
theContract,deductfromtheContractPrice,asliquidated
damages,asumequivalenttothepercentagespecifiedinthe
SCCoftheContractPriceforeachweekorpartthereofof
delayuntilactualdeliveryorperformance,uptoamaximum
deductionofthepercentagespecifiedintheSCC.Oncethe
maximumisreached,thePurchasermayterminatethe
ContractpursuanttoGCCClause35.
28.1 TheSupplierwarrantsthatalltheGoodsarenew,unused,and
ofthemostrecentorcurrentmodels,andthattheyincorporate
allrecentimprovementsindesignandmaterials,unless
providedotherwiseintheContract.
28.2SubjecttoGCCSubClause22.1,theSupplierfurtherwarrants
thattheGoodsshallbefreefromdefectsarisingfromanyact
oromissionoftheSupplierorarisingfromdesign,materials,
andworkmanship,undernormaluseintheconditions
prevailinginthecountryoffinaldestination.
28.3 UnlessotherwisespecifiedintheSCC,thewarrantyshall
remainvalidfortwelve(12)monthsaftertheGoods,orany
portionthereofasthecasemaybe,havebeendeliveredtoand
acceptedatthefinaldestinationindicatedintheSCC,orfor
eighteen(18)monthsafterthedateofshipmentorloadingin
thecountryoforigin,whicheverperiodconcludesearlier.
28.4 ThePurchasershallgiveNoticetotheSupplierstatingthe
natureofanysuchdefectstogetherwithallavailableevidence
thereof,promptlyfollowingthediscoverythereof.The
Purchasershallaffordallreasonableopportunityforthe
Suppliertoinspectsuchdefects.
28.5 UponreceiptofsuchNotice,theSuppliershall,withinthe
periodspecifiedintheSCC,expeditiouslyrepairorreplacethe
defectiveGoodsorpartsthereof,atnocosttothePurchaser.
28.6 If having been notified, the Supplier fails to remedy the defect
withintheperiodspecifiedintheSCC,thePurchasermayproceed
totakewithinareasonableperiodsuchremedialactionasmaybe
necessary,attheSuppliersriskandexpenseandwithoutprejudice
toanyotherrightswhichthePurchaser

29.Patent29.1TheSuppliershall,subjecttothePurchaserscompliancewith
IndemnityGCCSubClause29.2,indemnifyandholdharmlessthePurchaserand
itsemployeesandofficersfromandagainstanyandallsuits,actionsoradministrative
proceedings,claims,demands,losses,damages,costs,andexpensesofanynature,including
attorneysfeesandexpenses,whichthePurchasermaysufferasaresultofanyinfringementor
allegedinfringementofanypatent,utilitymodel,registereddesign,trademark,copyright,or
otherintellectualpropertyrightregisteredorotherwiseexisting
atthedateoftheContractbyreasonof:
1) theinstallationoftheGoodsbytheSupplierortheuseofthe
GoodsinthecountrywheretheSiteislocated;and
2) the sale in any country of the products produced by the
Goods.
SuchindemnityshallnotcoveranyuseoftheGoodsoranypart
thereofotherthanforthepurposeindicatedbyortobereasonably
inferredfromtheContract,neitheranyinfringementresultingfrom
theuseoftheGoodsoranypartthereof,oranyproductsproduced
therebyinassociationorcombinationwithanyotherequipment,
plant, or materials not supplied by the Supplier, pursuant to the
Contract.
292Ifanyproceedingsarebroughtoranyclaimismadeagainstthe
PurchaserarisingoutofthemattersreferredtoinGCCSubClause
29.1, the Purchaser shall promptly give the Supplier a notice
thereof, and the Supplier may at its own expense and in the
Purchasers name conduct such proceedings or claim and any
negotiationsforthesettlementofanysuchproceedingsorclaim.
293IftheSupplierfailstonotifythePurchaserwithintwentyeight(28)
daysafterreceiptofsuchnoticethatitintendstoconductanysuch
proceedingsorclaim,thenthePurchasershallbefreetoconduct
thesameonitsownbehalf.
294ThePurchasershall,attheSuppliersrequest,affordallavailable
assistancetotheSupplierinconductingsuchproceedingsorclaim,
andshallbereimbursedbytheSupplierforallreasonableexpenses
incurredinsodoing.

29.5ThePurchasershallindemnifyandholdharmlesstheSupplierand
itsemployees,officers,andSubcontractorsfromandagainstany
and all suits, actions or administrative proceedings, claims,
demands, losses, damages, costs, and expenses of any nature,
including attorneys fees and expenses, which the Supplier may
sufferasaresultofanyinfringementorallegedinfringementofany
patent, utility model, registered design, trademark, copyright, or
otherintellectualpropertyrightregisteredorotherwiseexistingat
thedateoftheContractarisingoutoforinconnectionwithany
design, data, drawing, specification, or other documents or
materialsprovidedordesignedbyoronbehalfofthePurchaser.
30. Limitationof30.1Exceptincasesofgrossnegligenceorwillfulmisconduct:

(1) neitherpartyshallbeliabletotheotherpartyforanyindirect
or consequential loss or damage, loss of use, loss of
production,orlossofprofitsorinterestcosts,providedthat
this exclusion shall not apply to any obligation of the
SuppliertopayliquidateddamagestothePurchaser;and
(2) the aggregate liability of the Supplier to the Purchaser,
whetherundertheContract,intort,orotherwise,shallnot
exceedtheamountspecifiedintheSCC,providedthatthis
limitationshallnotapplytothecostofrepairingorreplacing
defectiveequipment,ortoanyobligationoftheSupplierto
indemnifythePurchaserwithrespecttopatentinfringement.

32. Force
31.1UnlessotherwisespecifiedintheContract,ifafterthedateof
theInvitationforBids,anylaw,regulation,ordinance,orderor
bylawhavingtheforceoflawisenacted,promulgated,
abrogated,orchangedintheplaceofthePurchaserscountry
wheretheSiteislocated(whichshallbedeemedtoinclude
anychangeininterpretationorapplicationbythecompetent
authorities)thatsubsequentlyaffectstheDeliveryDateand/or
theContractPrice,thensuchDeliveryDateand/orContract
Priceshallbecorrespondinglyincreasedordecreased,tothe
extentthattheSupplierhastherebybeenaffectedinthe
performanceofanyofitsobligationsundertheContract.
Notwithstandingtheforegoing,suchadditionalorreducedcost
shallnotbeseparatelypaidorcreditedifthesamehasalready
beenaccountedforinthepriceadjustmentprovisionswhere
applicable,inaccordancewithGCCClause15.

Majeure
PerformanceSecurity,liquidateddamages,orterminationfor
defaultifandtotheextentthatitsdelayinperformanceor
otherfailuretoperformitsobligationsundertheContractisthe
resultofaneventofForceMajeure.
32.2ForpurposesofthisClause,ForceMajeuremeansaneventor
situationbeyondthecontroloftheSupplierthatisnotforeseeable,
isunavoidable,anditsoriginisnotduetonegligenceorlackof
careonthepartoftheSupplier.Sucheventsmayinclude,butnot
belimitedto,actsofthePurchaserinitssovereigncapacity,warsor
revolutions, fires, floods, epidemics, quarantine restrictions, and
freightembargoes.
32.3If a Force Majeure situation arises, the Supplier shall promptly
notify the Purchaser in writing of such condition and the cause
thereof.UnlessotherwisedirectedbythePurchaserinwriting,the
Supplier shall continue to perform its obligations under the
Contract as far as is reasonably practical, and shall seek all
reasonablealternativemeansforperformancenotpreventedbythe
ForceMajeureevent.
33. Change33.1ThePurchasermayatanytimeordertheSupplierthrough
Ordersand
NoticeinaccordanceGCCClause8,tomakechangeswithin
Contract
thegeneralscopeoftheContractinanyoneormoreofthe
Amendments
following:
(a)
drawings,designs,orspecifications,whereGoodstobe
furnishedundertheContractaretobespecifically
manufacturedforthePurchaser;
(b)
themethodofshipmentorpacking;
(c)
theplaceofdelivery;and
(d)
theRelatedServicestobeprovidedbytheSupplier.
33.2 Ifanysuchchangecausesanincreaseordecreaseinthecost
of,orthetimerequiredfor,theSuppliersperformanceofany
provisionsundertheContract,anequitableadjustmentshallbe
madeintheContractPriceorintheDeliveryandCompletion
Schedule,orboth,andtheContractshallaccordinglybe
amended. AnyclaimsbytheSupplierforadjustmentunder
thisClausemustbeassertedwithintwentyeight(28)days
fromthedateoftheSuppliersreceiptofthePurchasers
changeorder.
33.3 PricestobechargedbytheSupplierforanyRelatedServices
thatmightbeneededbutwhichwerenotincludedinthe
Contractshallbeagreeduponinadvancebythepartiesand

34. Extensionsof
Time
34.1 IfatanytimeduringperformanceoftheContract,theSupplier
oritsSubcontractorsshouldencounterconditionsimpeding
timelydeliveryoftheGoodsorcompletionofRelatedServices
pursuanttoGCCClause12,theSuppliershallpromptlynotify
thePurchaserinwritingofthedelay,itslikelyduration,andits
cause.AssoonaspracticableafterreceiptoftheSuppliers
notice,thePurchasershallevaluatethesituationandmayatits
discretionextendtheSupplierstimeforperformance,in
whichcasetheextensionshallberatifiedbythepartiesby
amendmentoftheContract.
34.2 ExceptincaseofForceMajeure,asprovidedunderGCC
Clause32,adelaybytheSupplierintheperformanceofits
DeliveryandCompletionobligationsshallrendertheSupplier
liabletotheimpositionofliquidateddamagespursuanttoGCC
Clause27,unlessanextensionoftimeisagreedupon,pursuant
toGCCSubClause34.1.
35. Termination
35.1 TerminationforDefault
(a)
ThePurchaser,withoutprejudicetoanyotherremedy
forbreachofContract,byNoticeofdefaultsenttothe
Supplier,mayterminatetheContractinwholeorinpart:
(i)
iftheSupplierfailstodeliveranyorallofthe
GoodswithintheperiodspecifiedintheContract,
orwithinanyextensionthereofgrantedbythe
PurchaserpursuanttoGCCClause34;or
(ii)iftheSupplierfailstoperform
obligationundertheContract.

IntheeventthePurchaserterminatestheContractin
wholeorinpart,pursuanttoGCCClause35.1(a),the
Purchasermayprocure,uponsuchtermsandinsuch
mannerasitdeemsappropriate,GoodsorRelated

andtheSuppliershallbeliabletothePurchaserforany
additionalcostsforsuchsimilarGoodsorRelated
Services.However,theSuppliershall
continue
performanceoftheContracttotheextentnotterminated.

iftheSupplier,inthejudgmentofthePurchaserhas
engagedincorrupt,fraudulent,collusive,orcoercive
practices,asdefinedinGCCClause3,incompetingfor

35.2 TerminationforInsolvency
ThePurchasermayatanytimeterminatetheContractby
givingNoticetotheSupplieriftheSupplierbecomesbankrupt

withoutcompensationtotheSupplier,providedthatsuch
terminationwillnotprejudiceoraffectanyrightofactionor
remedythathasaccruedorwillaccruethereaftertothe
Purchaser.
35.3 TerminationforConvenience
(a)
ThePurchaser,byNoticesenttotheSupplier,may
terminatetheContract,inwholeorinpart,atanytime
foritsconvenience.TheNoticeofterminationshall
specifythatterminationisforthePurchasers
convenience,theextenttowhichperformanceofthe
SupplierundertheContractisterminated,andthedate
uponwhichsuchterminationbecomeseffective.
(b)
TheGoodsthatarecompleteandreadyforshipment
withintwentyeight(28)daysaftertheSuppliersreceipt
oftheNoticeofterminationshallbeacceptedbythe
PurchaserattheContracttermsandprices.Forthe
remainingGoods,thePurchasermayelect:
(i)
Tohaveanyportioncompletedanddeliveredat
theContracttermsandprices;and/or
(ii)tocanceltheremainderandpaytotheSupplieran
agreedamountforpartiallycompletedGoodsand
RelatedServicesandformaterialsandparts
previouslyprocuredbytheSupplier.
36.Assignment
36.1 NeitherthePurchasernortheSuppliershallassign,inwholeor
inpart,theirobligationsunderthisContract,exceptwithprior
writtenconsentoftheotherparty.

TraininganddataincentralServerwithanaverageoverallflowthrough

has over 95% accuracy and continuously functions for a period of 1
month.
(b)OnCompletionoftheabove:Twenty(20)percentoftheContractPriceof
ServicesCompletedshallbepaidwithintwentyeighty(28)daysofreceiptof
thetotalServicesuponsubmissionofaclaimsupportedbytheacceptance
certificateissuedbyThePurchaser.
ForAnnualMaintenanceContract
Attheendofthesuccessfulmaintenanceofeveryquarterofayear.25%of
thatyearsContractPriceofAnnualmaintenancecompletedshallbethepaid
within twentyeighty (28) days of receipt of the total AMC Services upon

(1) thePurchasersNotificationtotheSupplierofAwardofContract;
(2) the Bid Submission Sheet and the Price Schedules submitted by the
Supplier;
(3) theSpecialConditionsofContract;
(4) theGeneralConditionsofContract;
(5) theScheduleofSupply;and
(6) bidaddendumsandprebidminutes
ThisContractshallprevailoverallotherContractdocuments.Intheeventofanydiscrepancyor
inconsistencywithintheContractdocuments,thenthedocumentsshallprevailintheorderlisted
above.
3. InconsiderationofthepaymentstobemadebythePurchasertotheSupplierasindicated
inthisAgreement,theSupplierherebycovenantswiththePurchasertoprovidetheGoods
andRelatedServicesandtoremedydefectsthereininconformityinallrespectswiththe
provisionsoftheContract.
4. ThePurchaserherebycovenantstopaytheSupplierinconsiderationoftheprovisionof
theGoodsandRelatedServicesandtheremedyingofdefectstherein,theContractPriceor
suchothersumasmaybecomepayableundertheprovisionsoftheContractatthetimes
andinthemannerprescribedbytheContract.
