details by Fax/Telex/Cable to the Additional General
Manager, Generation of the Ceylon Electricity Board.

CEB SPECIAL CONDITION TO ORGALIME S 2000


1. GENERAL

1.1. Whenever Ceylon Electricity Board (CEB) has


referred to Orgalime S 2000 in its invitation for
quotation or in award letter, Orgalime S 2000 and this
addendum shall apply to the Supplier. If the Supplier
refers to other terms and conditions, such other terms
and conditions shall apply only to the extend CEB
expressly agrees thereto in writing.
1.2. The Supplier represents that it has access to
Orgalime S 2000 terms and conditions.

1.3. In the event of any contradictions or discrepancies


between this Addendum and Orgalime S 2000,
Addendum shall prevail.
2. DEFINITIONS
In Orgalime S 2000 and this Addendum
(a) Orgalime S 2000shall mean Orgalimes General
Conditions for the supply of Mechanical, Electrical and
Electronic Products-August 2000
(b)Products shall include services to be provided by
the Supplier.
(c)Purchaser shall mean CEB and
(d)Supplier shall mean the other party to the contract.
3. AMENDMENTS
3.1. Payment Terms
Payments will be made by Letter of Credit established in
a Commercial bank in Sri Lanka with alternative
corresponding bank in the Suppliers country in his
favour. Alternative payment terms may be requested if
above is not acceptable in which case bank details shall
be indicated. Payments will be made in two installments.
The first installment of 80% of FOB/C&F price on
presentation of shipping documents and related
invoices/bills and the balance installment 20% will be
paid on issue of a payment certificate by the Additional
General Manager (Generation), Ceylon Electricity Board
to correspondent of Commercial bank in Sri Lanka after
receipt of the spares/refurbished components to the total
satisfaction of the client.

v. Name of the ship/Probable arrival date calling at the


Port of Colombo.
vi. Name and Address of the shipping Agent in Sri
Lanka.
(b) Within Two (2) days after issue of bill of lading the
following documents shall be sent in advance by air
mail or preferably by courier service, which will be
directly addressed, to the Additional General
Manager (Generation) Ceylon Electricity Board.
i. Two copies of invoice
ii. Two copies of Freight Prepaid/ Freight to pay
Bill of landing.
iii. Two copies of packing particulars including
the list of items, wait and measurement of
each package.
iv. One certificate of country of origin of Goods.
v. Certificate of quantity and quality.
(c) All packages should be marked and addressed legibly
and fairly in large characters in indelible ink as
follows;

New Kelani Bridge Road, Wellampitiya, Sri Lanka.

3.3. Delay in shipping documents, Discrepancies in


marketing and short packing:

3.2. Shipment

In case of delay in receipt of the copies of shipping


documents namely invoice, packing list, bill of lading
etc. or if these Shipping Documents as well as markings
etc. on packages are not strictly in accordance with
contract consequently causing undue daily in clearing
from Port, the Supplier shall bear the extra charges and
Rent payable to the Port Authority. In case of short
packing or short shipment, less than the quantities in the
invoice, the Supplier shall make good all items short
packed or shipped and also bear all duplicate payment of
customs duty and other charges resulting thereof.

(a) The following details shall be supplied.

3.4. Insurance

i. No of Packages.
ii. Weight and dimensions of packages.
iii. Description of packing.
iv. The Port /Ports from which the goods will be shipped.

If considered necessary the Supplier will be called upon


to insure the material from the manufacturers works to
the Port of Colombo. Such insurance shall be in the
name of the General Manager Ceylon Electricity Board.
The cost of such insurance will be remembersed by the
CEB.

The CEB reserves the right to accept the quotation either


on FOB basis or C&F basis. In the event that the offer is
accepted on C&F basis and when goods are ready for

3.5. Warranty
(a) The Supplier shall warrant to the CEB that spares
supplied under the contract are new unused, tested,
most recent or current models and incorporate all
recent improvements in design and material unless
provided otherwise in the contract. The Supplier
further warrants to the CEB that all spares supplied
and / or components refurbished under this contract
shall have no defect arising from design, materials or
workmanship.
(b) The warranty period shall be clearly stated in the
quotation and shall be minimum of one year from the
date of shipment.
i. The CEB will promptly notify the Supplier in writing
of any claims arising under this warranty.
ii. Upon receipt of such notice the Supplier shall repair /
replace the defective parts thereof without cost to the
CEB.
3.6. Arbitration
If during the continuance of this contract or at any time
after the termination thereof , any difference or dispute
shall arise between the parties hereto in regard to the
interpretation of any of the provisions herein contained
or any other matter or thing relating to this contract
(other than any difference or dispute in respect of which
a decision of the General Manager Ceylon Electricity
Board is declared to be final and binding on the parties
hereto) , such difference or dispute shall be forthwith
referred to and arbitrational tribunal in Sri Lanka
.Composition of the arbitrational tribunal, jurisdiction of
the arbitrational tribunal conduct of arbitrational
proceeding , awards and any other matters relating to the
arbitration shall be abide by arbitration Act No.11 of
1995 of the Parliament of the Democratic Socialist
Republic of Sri Lanka.
3.7. Law of the democratic republic of Sri Lanka.
The quotation and any contract resulting there from shall
be governed and abide by and construed according to the
law of the democratic socialist Republic of Sri Lanka.
