DEFINITIONS：定义
1.  In this Agreement unless the context otherwise requires:
    在此协议中除非有其它要求：

2.  "adb" means air dried basis.

　 ''adb”是指空干基；

3.  "arb" means as received basis.     

 “arb”是指收到基；

4.  "Coal" means steaming coal produced for the Seller from South Kalimantan.
“Coal”是指卖方产的南加里曼丹动力煤；

5.  "Contract Quantity" means  25,000MT +/-10% as per seller’s option.

6.  “FOB” has meaning ascribed to such term in INCOTERMS 2000 (as amended from
time to  time
“FOB”含义等同于（随时修正的）INCOTERMS2000 确定的相同术语的含义；

7.  "Loading Port" means the vessel anchorage at, South Kalimantan, Indonesia, or such
other  port as the parties may agree to in writing.
“装货港”是指船只停泊锚地，即印尼南加里曼丹或由双方书面同意的其他港；

8. “Discharge Port” means SHAN TOU PORT in the People’s Republic of China, as
may be designated by Buyer. 
“卸货港口'' 是指由买方指定的中国汕头港；

9.  "Kcal/Kg" means kilocalories of energy per kilogram of coal.

“Kcal/Kg”是指每公斤煤炭的发热量；

10.   When calculating any price or adjusted price, or component thereof, the results of such calculation
shall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any
tonnage, the results of such calculation shall be rounded to the nearest tonne and one half of a tonnage shall
be rounded up.
当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五
入，并且 0.5 美分应当四舍五入到 1 美分。当计算任何吨数时，这类计算的结果应当按照最接近的
吨数四舍五入，并且 0.5 吨应当四舍五入到 1 吨。

11. "US$" means (unless otherwise specified) the currency of the United States of

 America.
 “US$”是指美元（除非有其他规定）； 

12.  "Party" or "Parties" means Seller or Buyer or Both.

“Party”或者“Parties”是指卖方或买方或双方；

13. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms

“公吨” 或 “MT” 或 “吨” 是指 1000 公斤；

14. “Base Price” means the base price for Coal fixed from time to time in accordance
with Clause 3.1, 3.2 and 3.3
 “基准价格”是指按照本合同第 3.1、3.2 和 3.3 款随时确定的煤炭底价；

15.  “Contract Year” means a period of twelve months

     “合同年度”是指为期 12 个月的一个期限；

16. Unless the context otherwise requires, the singular shall including the plural and vice
versa.
 除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。

17. Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in
accordance  with the terms and conditions set out below. The Seller and Buyer
mutually agree as follows:
      买卖双方均同意根据如下条款和条件购销煤炭：

1.  QUANTITY　数量：
 
Seller agrees to sell and Buyer agrees to purchase total Contract Quantity of approximately
25,000 MT　+/-10% a month as per seller’s option. Each month effect one shipment. For the first
month is 25,000MT MV(±10%) on February 2010. 
卖方同意卖、买方同意买，每月一船. 第一个月是 25,000 吨。日期为 2010 年 02 月
份。     
2.  DELIVERY 　出货 

2.1  Each delivery at the Loading Port shall be made within 20 days upon Buyer’s Letter of Credit
have been received by the Seller.
每船为卖方收到买方开出的信用证 20 天内付运
 
2.2 The first shipment will be 25,000MT+10% as per seller’s option.  The first shipment will use
mother vessel.
     第一 mother 船为 25,000 吨+/-10%由卖方决定，

3.  PRICE　　价格 

3.1a.The unit price shall be USD 31.00/MT (United State Dollars thirty one only) per metric ton
FOB mother vessel basis at Indonesia port。 
第一 mother 船价格为每吨 31-00 美金 FOB 印尼港口.

3.1b. The Base price of the Goods shall be revised & re-negotiated in the interval of every 3
months.
每 3 个月的价格由双方协商确定, 双方应该尽双方的最大努力重新谈判该价格。

3.2  The Base Price shall be adjusted in accordance with Clause 4.2.
  基准价格按照本合同第 4.2 款予以调整。

 3.3  The Base Price for Coal delivered shall be based on Gross Calorific Value (ADB) of 5400
kcal/kg. 
所交付煤炭的基准价格的计价标准为热值空干基高位 5400 大卡/公斤。 

4.  QUALITY：　品质:　

4.1  The quality of Coal delivered hereunder shall conform to the following typical specification  
determined in accordance with ASTM Standards by CCIC at the loading port:
在本合同项目下交付的煤炭质量应符合按照装港中国商品检验检疫集团驻东南亚分公司

4.2 price adjustment:

4.2.1 If Gross Calorific Value (ADB) of shipment is above or below 5400 kcal/kg, the price of that
shipment shall be adjusted as follows:
如果所装运货物的热值（空干基）高于或低于 5400 大卡/公斤，价格按如下调整；

     New Price= Unit Price   x   Certified GCV

 4.2.2 Total Moisture :when TM>31% but 28 < %, the invoice weight shall be calculated as per the
following formula.
全水分－若全水分超过 31%但不到 28％，发票的重量必须根据如下公式进行

Invoice Quantity = Certificate of weight (as per draft survey) x ((100- Actual TM)/ (100-28)
发票重量＝重量证书（根据水尺测量）×（100－实际全水份）/（100－28）

4.2.3  If the volatile matter(adb)>43%, then penalty occurs. The penalty is 0.4usd for one
Percent. 

5.   WEIGHT AND QUALITY DETERMINATION     重量和质量定值

The weight and quality of each shipment of coal hereunder shall be determined by CCIC at the
Loading Port at Seller’s expense. The sampling and analysis methodology by CCIC at the Loading
Port shall comply with ASTM standards. CCIC shall prepare and hold an Arbitration Sample for

 three months which will be used in the event that there is a substantial difference between the
Quality as determined at the Loading Port and at the Discharge Port.
所装载的每一船煤的重量和质量应由中国商品检验检疫集团驻东南亚分公司 CCIC 在装载
港口加以确定，且由卖方承担相关费用。CCIC 应按照 ASTM 标准进行取样和分析。CCIC
将保留一份仲裁样本，该样本将保留三个月，将用于一旦发生装载港和卸货港质量检验出
现巨大差异时。

 A certificate of weight, sampling and analysis issued pursuant to Clause 5.1 shall be the basis of
Seller’s invoices and shall be the final binding analysis.
按照本合同第 5.1 款出具的重量、取样和分析证明，应作为双方开具发票的基础且应具有
最终效力。 

5.4   Buyer shall have the right to attend or be represented, at their own expense, at the weighing
and analysis pursuant to Clauses 5.1  
买方和卖方应有权参加或派代表参加本合同第 5.1 条及 条规定的测重和分析，但自行承担
相关费用. 

5.5 In the event that either party wishes to challenge the quality of coal which inspected at the
loading port as stated in Article 5.1, the Umpire Sample shall be sent to mutually acceptable
internationally recognized independent commercial laboratory (the “Umpire Laboratory”). The
Umpire Laboratory shall perform analysis of the specifications for the parameters requested by the
party called for umpire analysis, and shall issue a certificate (the “Umpire certificate”) certifying
the results of such analysis.

5.6   In the event that the results of the analysis of the Umpire Sample are deviating from the
analysis reports produced by mutually agreed internationally recognized laboratory or should one
party prove any inaccuracy in taking the samples or the analyzing, both parties will discuss in
good faith to clarify the situation and agree on a new analysis result for invoicing purposes. If
agreement cannot be reached on a new analysis, the umpire analysis shall be final and binding on
both parties.

5.7 Cost of additional analysis of the umpire sample shall be borne by the requesting party.

5.8 At the seller’s stockpile or loading port, accompanied by the seller, the representative of the
buyer have the right to take the Coal and delivery such samples to a qualified independent testing
laboratory for analysis (PSI) within 2 weeks before time arrival of vessel. after the results can
meet the stipulation of the contract, the goods can be load to vessel.
在装船之前，在卖方的陪同之下，买方代表有权随机抽取样品送检，只有当化验  的结果能
够达到合同中对煤炭品质规定的要求时，煤炭才能被容许装船。

6.  BASIC CONDITIONS CONCERNING DELIVERY AND TRANSPORTATION

 
6.1 OBLIGATION OF BUYER

BUYER shall be fully responsible for the arrangement and cost incurred of discharging of Coal
from the mother vessel/ at discharging port. The discharging rate is 5000 MT/day. 

6.2 OBLIGATION OF SELLER

SELLER shall complete the necessary preparation for loading of Coal before arrival of mother
vessel/. SELLER at its own expense shall be fully responsible for loading Coal in bulk, onto
mother vessel. SELLER shall be fully responsible for the arrangement of transportation of coal
from loading point and shall arrange for mother vessel suitable to enter and leave loading point

7. PAYMENT　付款
7.0 PERFORMANCE BOND

The amount of performance bond is 2% on the total value of the Goods..

The performance bond shall be valid from the date of its establishment until 30days after the date
of the Bill of Lading of each shipment as specified in contract.  
履约银行保函总额为 2% on Total Value of Goods. 有效期为提单日期后 30 天

7.1  Within 7 international banking days upon contract signed, the buyer should issue a 100%
irrevocable ,non-transferable letter of credit in favour of the seller from the prime bank. After  
received the buyer's LC. The seller shall issue the 2% performance Bond of the LC value in favour
of the buyer to active the LC in 5 banking days.
 卖方在签完合同的 7 工作日内通过卖方一流银行开出以买方为受益人的,不可撤销,暂不生
效的履约 保函给买方银行.买方收到履约保函后的 7 个工作日内通过买方一流银行开出以
卖方为受益人的, 不可撤销,不可转让的,货值为 100%的跟单信用证到卖方银行,卖方银行收
到买方银行开出的信用证 后,履约保函自动激活.
 
7.2　The said Letter of Credit shall be payable by the issuing bank for the amount of 97% of the
value of this shipment accompanied by the following documents: 
   　 开证银行将凭据以下文件凭信用证议付给卖方 97%的货款总值: 

(a) 3/3 sets original clean on board ocean Bills of Lading made out to order and blank  endorsed
marked “freight payable as per CHARTER PARTY” notifying applicant
 3/3 套正本清洁已装船海运提单，空白抬头,空白背书,注明”运费支付按照租船合同” 通知
开证人
(b)  Seller’s signed commercial invoice in three original and 3 copies showing L/C No. and
Contract No.;
卖方签署的商业发票正本三份副本三份，注明信用证号和合同号；

(c) Certificate of Origin in 1 original and 2 copies  issued by the relevant Indonesian   
governmental authority.;
相关印尼政府机构签发的原产地证明正本一份副本二份；

(d) Certificate of weight in 1 original and 2 copies issued by CCIC in the loading port;
  装载港口的 CCIC 签发的重量证明正本一份副本二份；     

(e) Certificate of Quality in 1 original and 2 copies issued by CCIC in the loading port;
 装载港口的 CCIC 签发的质量证明正本一份副本二份；

(f) Certificate of Draft survey in 1 original and 2 copies issued by CCIC in the loading port;    装
载港口 CCIC 签发的水尺证明正本一份副本二份 

After received the goods at Discharging Port , Seller shall draw against 3% payment such Letter of
Credit upon presentation of the following documents with respect to shipment. 
在卸货港收到货物后,卖方凭提交以下所列与装运货物相关的文件后提取 3%信用证金额： 
(a) Seller’s signed commercial invoice showing L/C No. and Contract No.;
    卖方签署的商业发票注明信用证号和合同号； 

(b) Certificate of Weight copy/photocopy issued by CIQ/CCIC China at Discharge Port.

CIQ/CCIC 在卸货港口签发的重量证明 

(c)  Certificate of Quality copy/photocopy issued by CIQ/CCIC China at Discharge Port;

CIQ/CCIC 在卸货港口签发的质量证明

 After CIQ/CCIC inspection be finished in the discharge port, within 24 hours, the buyer must send
the certificate of weight and quality by email or by fax to the seller. The seller can draw against
3% balance payment of this LC by these copies or photocopies. 

7.3  The 97% payment pursuant to Clause 7.2 shall be calculated based on the Weight and quality
of Coal as certified by the Certificate of Weight and the Certificate of Quality issued by CCIC    
in the Loading Port. 
本合同第 7.2 款所述的 97%货款支付以 CCIC 在装载港签发的重量证明及质量证明所述的重
量和质量計算。

7.5  Seller’s certified copy of fax / telex dispatched to the Buyer  within 48 hours after shipment  
the following items: 
卖方应该在装船后 48 小时内通过传真/电传通知买方证明下列事项：

8.   OCEAN TRANSPORTATION OF COAL
煤炭的海上运输 
 8.1 Buyer shall immediately notify the seller by fax or email of name、nationality and details
of   vessel after confirm by seller
卖方在确认承租船只后，须立即以传真或者电子邮件方式通知买方包括船名、国籍及所任
命船只的详细情况。 

8.2  The Seller shall undertake to load the contracted goods on board the vessel nominated by the
buyer  within the time of shipment as stipulated in this Contract.
卖方应负责将所订货物按照本合同所规定的装船期内装上买方所指定的船只。
    
    
8.3 Discharge rate shall be:5000MT PWWD SHINC , 12 hours turn time, unless sooner
commenced, actual time used to count. 
  卸率：5,000 MT，每晴天工作日，星期天节假日包括在内，12 小时等待泊位时间，除非
更 早开始，计算实际时间 

8.4  Shifting time from anchorage to the discharging berth shall not count towards lay time ,or, if
vessel is already on demurrage ,always on demurrage. 
从锚地至卸货泊位的时间不能算为装卸时间，或者，若船只已经滞期便永远滞期。　　 
 8.5. Demurrage and Dispatch Money  滞期费和速遣费 
 8.5.1 Buyer shall pay to Seller Demurrage incurred (if any) at the Discharging Port in accordance
with the terms and conditions of the Charter Party. Seller shall ensure that Dispatch money (if any)
earned at the Discharging Port shall be paid to Buyer. 
买方应按照租船契约的条款和条件向卖方支付在卸货港产生的滞期费（如果有的话。卖方
应保证向买方支付在卸货港产生的任何速遣费（如果有的话）

8.5.2 Accounts for Demurrage and Dispatch shall be kept separate from all other accounts and
shall be settled within 30 (thirty) business days of the date on which the parties reach agreement
on the working log/statement of facts of the vessel. 
滞期费和速遣费计算应独立于其他所有费用的计算，并且应在双方就工作日志或是船只实
际状况陈述达成一致之日起 30 个营业日内完成。 

9. TITLE AND RISK OF LOSS TITLE AND RISK OF LOSS 所有权和损失风险

 Risk in the Coal shall pass from the Seller to the Buyer in accordance with the FOB provisions of 
INCOTERMS 2000 (as amended from time to time).  
煤炭的所有权和风险应按照 INCOTERMS 2000（随时修正）的 FOB 条款由卖方转移至买
方。 

10. INSURANCE 保险
 Buyer shall be responsible cover from delivery point to destination point. After loading， the
Seller must notice all the details for this cargo to the buyer。
买方负责从交付点至目的地的保险。  

11. FORCE MAJEURE FORCE MAJEURE 不可抗力

If at any time during the existence of this Contract either party is unable to perform whole or in
part any obligation under this Contract due to war, hostility, military operation of any character,
civil commotion, sabotage, quarantine restrictions, acts of government, fire, floods, explosions,
epidemics, strikes or other labor trouble, embargoes, then the date of fulfillment of any obligation
shall be postponed during the time when such circumstances are operative. 
在任何合同履行期间内，如果任何一方因战争、对抗、军事行动、全民暴动或暴乱、检 疫
限制、政府干涉、火灾、洪水、煤气爆炸、传染病、罢工或其他劳动冲突、禁运等原 因而
不能履行相应的部分或全部的义务，那么履行义务的时限将顺延直至情况改变。 

Any waiver/extension of time in respect of the delivery of any installment or part of the goods
shall not be deemed to be waiver/extension of time in respect of the remaining deliveries. If
operation of such circumstances exceeds 3 (three) months, either party will have the rights to
refuse further performance of the Contract in which case neither party shall have the right to claim
eventual damages. The party which is unable to fulfill its obligations under the present Contract
must within 15 days of occurrence of any of the causes mentioned in the Contract informs the
other party of the existence of circumstance preventing the performance of this Contract.
Certificate issued by a Chamber of Commerce or any other competent authority connected with
the cause in the country of the Seller or the Buyer shall be sufficient proof of the existence of the
above circumstances and their duration. Non-availability of material will not be an excuse to the
Seller for not performing their obligations under this Contract.
 任何交付或货物的部分放弃/时间顺延都将不能被视为其余部分的同样放弃/时间顺延。如
果影响情况持续超过 3 个月，任何一方有权利拒绝履行合同义务，那么任何一方都不能要
求相关的损失赔偿。因合同中所提及的原因而不能履行合同义务的一方必须在情况发生后
15 天内将情况告之另一方。由买方或卖方国家的任何主管当局或商会根据实际情况做出的
证明将被作为不可抗力存在和时间顺延的依据。未交付的矿物将不能视为卖方未履行合同
中的义务。 

12. ASSIGNMENT　 转让

This Agreement is binding on and for the benefit of the Parties and their successors, transferees
and assigns, but this agreement shall not be assigned or transferred by Seller or Buyer, in whole or
in part, either voluntarily or by operation of law, without the written consent of the other Party
being first obtained but such consent to assignment shall not be unreasonably withheld. 
此协议对买卖双方及其继承人,转让人都是有约束力的,并基于双方的利益,但此协议不能由
买方或者卖方部门或者全部,自愿或者由于法律关系单方面转让.必须有另一方同意转让的书
面文件,才可以转让,此书面文件不能无理由被扣押. 

13.  NOTICES 通知

Any notice given by one Party to the other shall be in the Chinese language or English language
and sent by facsimile or email. Any notice sent by facsimile or email shall be deemed received on
the day of transmission.

 任何一方给另一方的通知语言必须用中文或者英语,通过传真或者电子邮件，任何通过传真
或者电子邮件的通知必须被视为在传输当日就收到。

14.  WAIVER  弃权

Except as herein otherwise specifically provided, the failure of either Party to insist on strict
performance of any provisions of this agreement or to take advantage of any right hereunder, shall not
be construed as a waiver of such provisions or right or a waiver of any subsequent performance
thereof.  
 除本合同另有规定,任何一方不能严格执行其合同或者利用任何权利将不被视为弃权。 

15.   GOVERNING LAW AND DISPUTE RESOLUTION 政府法律及争议的解决 

All disputes in connection with this contract or the execution thereof shall be settled by friendly
negotiation. And should be take place in Singapore, If no settlement can be reached,  the case in
dispute shall then be submitted for arbitration to the Hong Kong International Arbitration Center
(HKIAC) under the Hong Kong laws. The decision made by the Commission shall be accepted as
final and binding upon both parties. The fee for arbitration shall be borne by the losing party
unless otherwise awarded by the commission.
 凡与本合同有关发生的所有争议,买卖双方应以友好的协商方式解决.如果无法达成协议,应
就争论 情况将呈报香港国际仲裁中心(HKIAC).由 HKIAC 所做的裁决结果,对双方都有约
束力.除仲裁委员会有另行决定外,仲裁费用由败之一方负担.
 
16.  MUTUAL COLLABORATION     相互协作 

Seller and Buyer recognize that circumstances may arise which could not have been foreseen at
the time this Contract was entered into and agree that they will use their best efforts solve any
problems due to such unforeseeable circumstances in a spirit of mutual understanding and
collaboration.
卖方和买方承认可能会出现在本合同签定之时所无法预见的情形，并同意他们将本着相互
谅解和协作的精神尽其最大努力解决因任何此类无法预见情形而产生的任何问题   
 
17.  ENTIRE AGREEMENT AND AMENDMENT   完整协议和修正 

17.1 This agreement contains the entire agreement between Seller and Buyer in relation to the sale
and purchase of Coal hereby agreed to be sold and purchased and supersedes all prior negotiations
, understandings and agreements, whether written or oral. 
 本合同包含卖方和买方之间就煤炭出售和购买达成的所有协议，并取代之前所有协商、
谅解和协议，无论是书面的还是口头的。 

17.2 This Contract shall not be modified, amended or supplemented except by and instrument in
writing duly executed by Seller and Buyer. 
本合同不应进行任何修正、修改或是补充，除非经由买方和卖方的书面适当授权。 
17.3 Terms and conditions, which have not been mentioned in the present Contract, are to be
regulated by INCOTERMS 2000 with Latest amendments for FOB deliveries.  
本合同未提及的条款将根据《国际商会国际贸易术语解释通则 2000》及以 FOB 方式交付最
新的修订条款执行。 

17.4 The text of this Contract is in English and Chinese and is signed in 4 originals, two for the
Buyers and two for the Sellers. Should there be conflict between the English text and the Chinese
text, the English text shall take precedent.  
本合同正文以英文和中文书写，一式四份，买卖双方各持两份。如英文本和中文本出現矛
盾，則以英文本為準。
