SOFTWARE LICENSE AGREEMENT

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

CT, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL
OF THE TERMS OF THIS AGREEMENT, CLICK THE "NO" BUTTON AND THE INSTALLATION PROC
ESS WILL BE TERMINATED.
GRANT OF LICENSE:
a. Cyberscape Multimedia Limited (CML) grants the "end-user" a license to use on
e (1) copy of the software program ("the software") on a single terminal connect
ed to a single computer (i.e. with a single CPU).
b. If the end user has multiple licenses for the Software, then at any time the
end user may use as many copies of the Software as the end user has licenses. I
f the number of persons who can access and use the Software exceeds the number o
f licenses that the end user has, then the end user must have a reasonable mecha
nism or process in place to assure that the number of persons using the Software
at the same time does not exceed the number of licenses.
c. The license is not a sale of any of the rights of ownership of the original S
oftware or any copy. In particular CML retains title and full rights of ownersh
ip in the original or any copy of the Software installed or copied or in use on
all such physical media or on any other media such as, but not restricted to, fl
oppy or hard disks, CD-ROM or similar storage devices, or operating memory.
d. As the end user is simply acquiring a license to use this product, it may the
refore not be sold, leased, or transferred to anyone without the prior consent o
f CML. After written notification to CML, the end user may transfer all copies
of the Software (including the original) and the documentation on a permanent ba
sis to another person or entity, provided that the end user retains no copies of
the Software or documentation and that any authorized transferee of the Softwar
e shall be bound by the terms and conditions of this agreement. If the Software
is an update, any transfer must include the update and all the prior versions.
e. CML reserves the right to change the contents, specifications of the Software
package kit of found necessary without any prior information.
f. CML is under no obligation for installation or to give field support on any o
f the Software that is being sold. However, telephonic support/email support wo
uld be available free of cost for 90 days from the date of sale of that particul
ar license.
DISKETTE/CD/ELECTRONIC LOCK REPLACEMENT:
Since the magnetic diskette(s) CD(s) on which CML software is supplied is not ma
nufactured by CML, CML does not offer any Warranty that the diskette(s) Cd(s) ar
e free from defects. In the event that any of diskette(s)CD(s) supplied by CML b
ecomes unusable, due to media defect, CML shall deliver a new copy of the softwa
re, strictly in exchange of the original defective media within a period of 30 d
ays from the date of supply. All costs towards packing, posting and forwarding w
ill have to be borne by the end-user. The CD(s) supplied by CML and /or any thir
d party accompanying the CML software may or may not be readable on any particul
ar type of CD drive/drives with the LICENCEE due to non-compatibility, with the
CD drive/drives, CML neither gurantees nor assumes any responsibility in such ca
ses. In case any CD(s) are out of stock, CML reserves the right to supply a part
/whole of the software/fonts on diskettes(s), and deliver the CD(s) at a later d
ate when the CD(s) become available. Such interim software/fonts supplied on the
diskette(s) may or may not be the full software configuration, which the LICENC
EE has ordered. This Licence agreement fully covers the interim software/fonts s
upplied to the LICENCEE and the LICENCEE agrees to accept such delayed supply of
CD(s).
If CML has supplied any Electronic Lock (internal/external/dongle) with the soft
ware, the period of warranty for the Lock is SIX months from the date of supply

by CML. If the Lock develops any defect during this period it will be repaired/r
eplaced free of cost by CML. For this, the defective Lock needs to be sent to CM
L freight pre-paid. Only on receipt of such defective Lock, a new Lock/repaired
Lock at the sole discretion of CML will be sent to the LICENCEE. In any and all
cases of Lock becoming defective, CML or their dealers will not be responsible f
or any damages caused to other parts of the computer if any. The warranty for th
e Lock will be NULL and VOID if it is found by CML that the Lock has become defe
ctive due to negligence of the LICENCEE, or if the Lock has been tampered with,
or by any calamity, flood, fire, any natural or manmade disaster, theft or reaso
ns beyond control of CML.
COPYRIGHT
Customer agrees that aspects of the licensed materials, including the specific d
esign and structure of individual programs, constitute trade secrets and/or copy
righted material of CML. Customer agrees not to disclose, provide, or otherwise
make available such trade secrets or copyrighted material in any form to any thi
rd party without the prior written consent of CML. Customer agrees to implement
reasonable security measures to protect such trade secrets and copyrighted mater
ial. Title to Software and documentation shall remain solely with CML.
LIMITED WARRANTY.
CML warrants that for a period of ninety (90) days from the date of shipment fro
m CML:
(i) the media on which the Software is furnished will be free of defects in mate
rials and workmanship under normal use; and (ii) the Software substantially conf
orms to its published specifications. Except for the foregoing, the Software is
provided AS IS. This limited warranty extends only to Customer as the original l
icensee. Customer's exclusive remedy and the entire liability of CML and its sup
pliers under this limited warranty will be, at CML or its service center's optio
n, repair, replacement, or refund of the Software if reported (or, upon request,
returned) to the party supplying the Software to Customer. In no event does CML
warrant that the Software is error free or that Customer will be able to operat
e the Software without problems or interruptions.
This warranty does not apply if the software (a) has been altered, except by CML
, (b) has not been installed, operated, repaired, or maintained in accordance wi
th instructions supplied by CML, (c) has been subjected to abnormal physical or
electrical stress, misuse, negligence, or accident, or (d) is used in ultrahazar
dous activities.
DISCLAIMER
Except as specified in this warranty, all express or implied conditions, represe
ntations and warranties including without limitation, any implied warranty of me
rchantability, fitness for a particular purpose, non-infringement or arising fro
m a course of dealing, usage, or trade practice are hereby excluded to the exten
t allowed by applicable law. In no event will CML or its suppliers be liable fo
r any lost revenue, profit, or data, or for special, indirect, consequential, in
cidental, or punitive damages however caused and regardless of the theory of lia
bility arising out of the use of or inability to use the software even if CML or
its suppliers have been advised of the possibility of such damages. In no even
t shall CML or its suppliers' liability to Customer, whether in contract, tort (
including negligence), or otherwise, exceed the price paid by Customer. The fore
going limitations shall apply even if the above-stated warranty fails of its ess
ential purpose.
The above warranty DOES NOT apply to any beta software, any software made availa
ble for testing or demonstration purposes, any temporary software modules or any
software for which CML does not receive a license fee. All such software produc
ts are provided AS IS without any warranty whatsoever. This License is effective
until terminated. Customer may terminate this License at any time by destroying

all copies of Software including any documentation. This License will terminate
immediately without notice from CML if Customer fails to comply with any provis
ion of this License. Upon termination, Customer must destroy all copies of Softw
are.
