regulatingourrelationshipwithregardtotheuseofRediffShoppingbyyou.Youare

ServicesifyouareagreeabletoallthetermsandconditionsofthisAgreementin

ApplicableLaw

ofIndiashallapplycourtsinMumbaishallhavejurisdictioninrespectofallthe
terms,conditionsanddisclaimers.Rediff.Comreservestherighttomakechangesto

Definitions:
"Agreement"meansthetermsandconditionsasdetailedhereinincludingall
schedules,appendices,annexures,PrivacyPolicy,andwillincludethereferencesto
thisAgreementasamended,novated,supplemented,variedorreplacedfromtimeto

"RediffShopping"/"Site"meanstheonlineshoppingplatformownedandoperatedby
Rediff.comIndiaLtd.("Rediff.com"),whichprovidesavenuetotheusersof
Rediff.comtobuytheproductslistedonRediffShopping.
"Vendor"/"Seller"shallmeanthepersonoranylegalentitywhooffersforsale,sells
theproductsonRediffShopping.
"Customer"/"Buyer"shallmeanthepersonoranylegalentitywhoacceptstheoffer
forsaleonRediffShoppingbyplacinganorderforandorpurchasesanyproducts
offeredforsaleonRediffShopping.
"User"/"You"meansandincludesyouand/oranypersonoranentityincluding
Vendor/SellerusingoraccessingtheservicesprovidedonthisSite.
Eligibility:
Yourepresentandwarrantthatyouarecompetentandeligibletoenterintolegally
bindingagreementandhavetherequisiteauthoritytobindtheotherpartytothis
Agreement.YoushallnotusethisSiteifyouarenotcompetenttocontractunderthe

ThisAgreementshallcontinuetobeinfullforceandeffectforsolongasyouare
usingtheRediffShoppingservices.Rediff.comprovidestheonlineshoppingplatform
whereintheUserscanpurchase/buytheproductslistedonRediffShopping(the
"Services")pursuanttothetermsandconditionssetforthbelow.Byclickingonthe
[Close]button,youareagreeingtousetheServicesinamannerconsistentwithand
abidebythetermsandconditionsofthisAgreement,ourPrivacyPolicy,andwithall
applicablelawsandregulations.EitheryouorRediff.commayterminatetheservice
atanytime,withorwithoutcause.However,Rediff.comreservestheright,initssole

discretion,toterminateyouraccesstotheRediffShoppingservicesandtherelated
servicesoranyportionthereofatanytime,withoutnotice.Theprovisionsof

Rediff.commayatanytimemodifythetermsandconditions("Terms")ofthe
Servicewithoutanypriornotificationtoyou.Youcanaccessthelatestversionofthe
Termsatanygiventime.YoushouldregularlyreviewtheTerms.Intheeventthe
modifiedTermsarenotacceptabletoyou,youshoulddiscontinueusingtheservice.
However,ifyoucontinuetousetheserviceyouagreetoacceptandabidebythe

RegistrationData:
ToavailofandusetheServicesyouwillhavetoregisterwithRediffShopping.Asa
partofregistrationprocessyouagreetoprovideRediffShoppingcurrent,complete,
andaccurateregistrationinformation(the"RegistrationData")aspromptedtodoby
theServiceandtomaintainandupdatethisinformationasrequiredtokeepitcurrent,
completeandaccurate.
Ifyouprovideanyinformationthatisuntrue,inaccuratenotcurrentorincompleteor
Rediff.comhasreasonablegroundstosuspectthatsuchinformationisuntrue,
inaccurate,notcurrentorincomplete,Rediff.comhastherighttoindefinitelysuspend
orterminateyourmembershipandrefusetoprovideyouwithaccesstoRediff
Shopping.
Youshallberesponsibleformaintainingtheconfidentialityofyourpassword,which
youwillnotbeunderanobligationtorevealtoanyrepresentativeoragentof
Rediff.com.
YouagreeandunderstandthatRediffShoppingserviceisadvertisingsupportedand
yougrantRediff.comtherighttodisclosetheaggregateRegistrationDatatothird
partiesinconnectionwithmarketingtheServices.Furthermore,youagreeandgrant
Rediff.comtherighttouseyourindividualRegistrationDatatoprovidetargetingof
advertisementsandotherServiceoffers.
Youshallnotifyshopsupport@rediff.co.inofanyknownorsuspectedunauthorized
use(s)ofyouraccount,oranyknownorsuspectedbreachofsecurity,includingloss,
theft,orunauthorizeddisclosureofyourpassword.
ElectronicCommunication:
UsersconsentstoreceivecommunicationsfromRediff.comelectronically.
Rediff.comwillcommunicatewithUsersbyemailorbypostingnoticesontheSite.
OnlineShoppingPlatform:
Youagree,understandandacknowledgethatRediffShoppingisanonlineshopping
platform,avenueenablingtheuserstobuyanyproductlistedonRediffShoppingat
thepriceindicatedonthetermsandconditionsindicatedthereinatanytimefromany
place.YoufurtheragreeandacknowledgethatRediffShoppingisnotinvolvedinany
saleandpurchaseofgoods/productslistedonthisSite.RediffShoppingisonlya
facilitator,anintermediaryandisnotandcannotbeapartytoorcontrolinany
manneranytransactionsbetweentheVendor/SellerandtheCustomer/Buyer.Rediff
Shoppingshallneitherberesponsiblenorliabletomediateorresolveanydisputesor
disagreementsbetweentheUsers.
RediffShoppingshallneitherbeliablenorresponsibleforanyactionsorinactionsof
Vendorsand/orSellersoranybreachofconditions,representationsorwarrantiesby
theVendorormanufactureroftheproducts.
RediffShoppingdoesnotsellorretailanyproductsanddoesnotensurethatthe
Usersshallperformtheirobligationsinrespectofthetransactionconcludedonthis
Siteandfurtherexpresslydisclaimsanywarrantiesorrepresentationsexpressor

impliedinrespectofquality,safety,merchantability,fitnessforaparticularpurpose,

Shoppingisnotresponsibleforunsatisfactoryordelayedperformanceofservicesor
damagesordelaysasaresultofitems,whichareoutofstock,backordered,
returnedundeliveredorotherwiseunavailable.Allitemsareofferedonlyfora
restrictedtimeandonlyfortheavailablesupply/tillstocklasts.
RediffShoppingacceptsnoliabilityforanyerrorsoromissions,whetheronbehalfof
itselforthirdparties.
RediffShoppingisnotresponsibleandshallnotberesponsibleforanynon
performanceorbreachofanycontractenteredintobetweenUsers.
Allordersshallbepreapprovedwithanacceptablemethodofpaymentas
establishedbyRediffShoppingwhichmaycallforandrequireadditionalverification
orinformation.
Theaddressatwhichdeliveryoftheproductorderedbyyouaretobemadeshould
becorrectandproperinallrespects.
AfterthereceiptofpaymentfromtheBuyer,theVendorshallarrangeforthedelivery
oftheproducttothebuyerattheshippingaddressprovidedbytheBuyer.
AnyandallordersplacedbyyouonthisSiteareafirmcommitmenttopurchaseand
youareobligatedtocompletethetransactionandnotcontestitinanyway.

FurtherthesaidinformationwillbenotbeutilizedandsharedbyRediffShoppingwith
anyofthethirdpartiesunlessrequiredbylaw,regulationorcourtorder.
Confirmation:
Youunderstand,declareandagreethat:
RediffShoppingshallnotandisnotrequiredtomediateorresolveanydispute
ordisagreementbetweenyouandtheSeller.
YoureleaseandindemnifyRediffShoppingand/oranyofitsofficersand
representativesfromanycost,damage,liabilityorotherconsequenceofany
oftheactionsoftheUsersoftheSiteandspecificallywaiveanyclaimsthat

youmayhaveinthisbehalfunderanyapplicablelaw.Notwithstandingits
reasonableeffortsinthatbehalf,RediffShoppingcannotcontrolthe

SellershallberesponsibletodelivertheitemstotheBuyerwithinthetime
periodspecifiedfordeliverybytheVendor.
Sellershallbesolelyresponsibleforanyundeliveredordamageditems.
Sellershallbesolelyresponsibletomakegoodthelossordamageorany
claimraisedbytheBuyerinrespectofdamagedornonreceiptofitems.
Sellershallberesponsibletodelivertheproducts/itemsofthesamequantity
andsamequalitiesasarelistedontheRediffShoppingandthatsuch
productsshallcorrespondwiththedescriptionoftheitemslistedonRediff
Shopping.YoufurtheragreeandacknowledgethatRediff.comshallnotbe
liableifthedescriptionofgoodssuppliedbytheSellerdonot
match/correspondwiththedescriptionprovidedatthetimeofplacingoforder
bytheBuyer.
Sellershallinvoice/billdirectlytotheBuyer.
CompleteproductresponsibilityandliabilitysolelyvestwithSellerandSeller
isresponsibletotheBuyerforthesaleoftheProducttoBuyerincludingbut
notlimitedtothedeliveryoftheitem/producttotheBuyer.NeitherCustomer
norSellershallraiseanyclaimonRediffShoppinginthisregard.

SuspensionduetononcompliancewithAgreement:
NotwithstandingotherlegalremediesthatmaybeavailabletoRediffShopping,Rediff
ShoppingmayinitssolediscretionlimitUseractivitybyimmediatelyremovingUser
listingeithertemporarilyorindefinitelyorsuspendorterminateUsermembership,
and/orrefusetoprovideUserwithaccesstotheSite:
IftheUserisinbreachanyofthetermsandconditionsofthisAgreement
and/ortheTermsandconditionsofusageofRediffShopping
IftheUserhasprovidedwrong,inaccurate,incompleteorincorrect
information
Ifyouractionsmaycauseanyharm,damageorlosstotheotherUsersor
RediffShopping.

Illegaland/orunauthorizeduseoftheService,includingunauthorizedframingofor
linkingtotheRediffSitewillbeinvestigated,andappropriatelegalactionwillbe
taken,includingwithoutlimitation,civil,criminalandinjunctiveredress.
Indemnity:
Useragreestodefend,indemnifyandholdharmlessRediffShopping,Rediff.com,its
employees,directors,officers,agentsandtheirsuccessorsandassignsfromand
againstanyandallclaims,liabilities,damages,losses,costsandexpenses,

includingattorney'sfees,causedbyorarisingoutofclaimsbasedupontheuseof
User'sactionsorinactions,includingbutnotlimitedtoanywarranties,

obligationsunderthisAgreementorarisingoutoftheUser'sinfringementofany
applicablelaws,regulationsincludingbutnotlimitedtoIntellectualPropertyRights,
paymentofstatutoryduesandtaxes,claimoflibel,defamation,violationofrightsof
privacyorpublicity,lossofservicebyothersubscribersandinfringementof
intellectualpropertyorotherrights.
ThisclauseshallsurvivetheexpiryorterminationofthisAgreement.
LimitationofLiability
REDIFF.COMHASMADETHISSERVICEAVAILABLETOUSEASAMATTEROF
CONVENIENCE.REDIFFEXPRESSLYDISCLAIMSANYCLAIMORLIABILITY
ARISINGOUTOFUPLOADINGOFANYOBSCENE,VULGAROR
PORNOGRAPHICIMAGES,PHOTOGRAPHORAPICTUREORALTERINGOR
DISTORTINGTHEIMAGESAVAILABLEUNDERTHISSERVICEINAN
OBSCENE,VULGARORPORNOGRAPHICMANNER.USERAGREESAND
ACKNOWLEDGESTHATUSERSHALLBESOLELYRESPONSIBLEFORUSER'S

SITES/SERVICESFORINTERRUPTEDCOMMUNICATIONS,DELAY,LOSTDATA

AGREEMENT,EVENIFREDIFF.COMHASBEENADVISEDOFTHE
POSSIBILITYOFDAMAGES,ORINABILITYTOUSETHEREDIFF
SITES/SERVICESORRELATEDSERVICES,THEPROVISIONOFORFAILURE
TOPROVIDESERVICES,ORFORANYINFORMATION,SOFTWARE,

REDIFFSITES/SERVICES,OROTHERWISEARISINGOUTOFTHEUSEOF
THEREDIFFSITES/SERVICES,WHETHERBASEDONCONTRACT,TORT,
NEGLIGENCE,STRICTLIABILITYOROTHERWISE,EVENIFREDIFF.COMOR
ANYOFITSSUPPLIERSHASBEENADVISEDOFTHEPOSSIBILITYOF
DAMAGES.REDIFF.COMDOESNOTENDORSEINANYWAYANY
ADVERTISERS/CONTENTSOFADVERTISERSONITSWEBPAGES.

ANDYOUSHOULDCONSULTANAPPROPRIATEPROFESSIONALFOR
SPECIFICADVICETAILOREDTOYOURSITUATION.
EntireAgreement
Ifanypartofthisagreementisdeterminedtobeinvalidorunenforceablepursuantto
applicablelawincluding,butnotlimitedto,thewarrantydisclaimersandliability
limitationssetforthabove,thentheinvalidorunenforceableprovisionwillbedeemed
tobesupersededbyavalid,enforceableprovisionthatmostcloselymatchesthe
intentoftheoriginalprovisionandtheremainderoftheagreementshallcontinuein
effect.Unlessotherwisespecifiedherein,thisagreementconstitutestheentire
agreementbetweentheuserandRediff.comwithrespecttotheRediffsites/services
anditsupersedesallpriororcontemporaneouscommunicationsandproposals,
whetherelectronic,oralorwritten,betweentheuserandRediffwithrespecttothe
Rediffsites/services.Rediff.com'sfailuretoactwithrespecttoabreachbyyouor
othersdoesnotwaiveitsrighttoactwithrespecttosubsequentorsimilarbreaches.
GoverningLawandJurisdiction
ThisagreementisgovernedandconstruedinaccordancewiththeLawsofUnionof
India.Youherebyirrevocablyconsenttotheexclusivejurisdictionandvenueof
courtsinMumbai,Maharashtra,India,inalldisputesarisingoutoforrelatingtothe
useoftheRediffsites/services.UseoftheRediffsites/servicesisunauthorizedin
anyjurisdictionthatdoesnotgiveeffecttoallprovisionsofthesetermsand
conditions,includingwithoutlimitationthisparagraph.Youagreetoindemnifyand
holdRediff.com,itssubsidiaries,affiliates,directors,officersandemployees,

process,andnothingcontainedinthisagreementisinderogationofRediff.com's
righttocomplywithgovernmental,courtandlawenforcementrequestsor
requirementsrelatingtoyouruseoftheRediffsites/servicesorinformationprovided
toorgatheredbyRediff.comwithrespecttosuchuse.
Trademarks
Rediff.com,RediffShopping,Rediffmail.com,Rediff.co.inandanyotherexpression
thatcontainstheword"Rediff"aretheworldwidetrademarksofRediff.comIndia
Limited.
Thesetrademarksmaynotbeusedinconnectionwithanyproductorservicethatis
notthatofRediff.comIndiaLimited.
Youagreeandundertakethatyoushallnottohost,post,upload,display,modify,
publish,transmit,updateorshareanyinformationcontent/materialthatis:
a. belongstoanotherpersonandtowhichyoudonthaveanyrightto
copyrightedcontentownedbyathirdpartyunlessyouhavetheexpress
consent,permission,license,authorityoftherightfulowner
b. violates/infringesanypatent,trademark,tradesecret,copyrightoranyother
proprietaryorprivacyrightsofanythirdparty.
c. isgrosslyharmful,blasphemous,paedophilic,false,misleading,unlawfulor
withtheintenttodefraud,harass,abuse,intimidate,accuse,impersonateor
