--------------------------------------------------------Your use of this software via installation, duplication or in other

forms shall be deemed as your acceptance of the clauses of this License Agreem
ent and your consent to enter into this LicenseAgreement with Huawei Technologi
es Co., Ltd. ( hereinafter "Huawei"). If you do not agree to the terms of this L
icense Agreement, You shall contac Huawei immediately and delete the SOFTWARE P
RODUCT and shouldn't intstall, copy or use the SOFTWARE PRODUCT by any means.

1. Software Product (hereinafter "Software")
Software in this Agreement includes computer software and all or any
parts of the pictures, photographs, icons, animations, records, videos,
music, words, and codes in the computer software as well as such printed mater
ials as instructions, guidelines,and manuals relevant to computer software.

2. Authorization
The Software under this License Agreement is protected by the Copyright
Law, International copyright Treaties and other laws and/or treaties regulating
the intellectual property rights. You are granted a non-exclusive, non-transferr
able, non-sublicensable license of the Software under this Agreement. If you law
fully procure any copy of Software of and from Huawei, you are entitled
to:

You may install Software in the PC, workstation or network ser
ver and use Software within the service scope in order to implement all th
e functions of Software.
----------------------------------------------------------------------------------------------------2.2 make backup for Software;
You may make one copy of Software as backup for documentation
purpose. But the backup shall not violate the provisions in Clause 1 and 2 in
Article 3.
----------------------------------------------------------------------------------------------------2.3 enjoy technical support;
You're entitled to all-round technical support provided b
y Huawei. You may ask Huawei for answers or solutions to any questions and
problems encountered during the installation or use of Software.
----------------------------------------------------------------------------------------------------2.4 and use the upgraded version.

You may use any and all upgraded versions of Software as

you may practically need.But you shall pay for the upgraded version if you are
so required by Huawei.

3. Restrictions
----------------------------------------------------------------------------------------------------3.1 General Restrictions
Your license of Software is limited to the purpose of realizing
the functions of Software. You shall not modify Software , nor conduct rev
erse engineering, decompiling, or disassembling on Software,nor perform devel
opment based on Software to generate new software . When you need to modify Soft
ware for the reason of adaptability or otherwise, you shall request Huawei in wr
iting to implement the modification. You shall not Install and use Software in m
ore than one cumputer system, or using the Software on many computers by sharing
all of or partial of the Software, or decompose the Software and use it in the
diffrernt computers or embody it into other software systems, or delete the co
pyright notices on any copy of the Software.

Unless for purpose of normal use or documentation, you shall
not copy all or any part of Software.
----------------------------------------------------------------------------------------------------3.3 Use
The Software License is confined to your corporation only.
You have no right to transfer, sublicense, rent, lease or otherwise provide S
oftware to any third party without written permission of and from Huawei,
whether such provision is for commercial purpose or not.

You shall take effective measures to make your staff members or
employees comply with the provisions in Clause 3.1 and 3.2.

4. Intellectual Properties and Confidentiality
The copyright of Software , trademark , patent , know-how and an
y other proprietary rights Software may involve are properties of Huawei.
You shall not delete, remove or modify any marks, logos, labels appearing
during the installation or use of Software.You have the right of use them
within the authorized scope only . And you have obligation to keep any So
ftware-relating know-how of Huawei in confidentiality.

5. Termination

Without prejudice to any other rights, Huawei or his licensor may termin
ate your right to use the Software under this Agreement if you fail to comply wi
th the terms and conditions of this Agreement. In such event, you must stop usi
ng the Software immediately and destroy all copies of the Software and all of th
e component parts.

6. Limited Warranty
Software is provide on an "AS IS" basis and without warranty of any kin
d, either express or implied, including, without limitation, the implied warrant
ies or merchantability, fitness for a particular purpose, or non infringement.

7. Limitation of Liability
HUAWEI'S TOTAL LIABILITY HEREUNDER FOR DAMAGES OF ANY NATURE SHALL NOT
EXCEED THE TOTAL PAYMENTS MADE BY YOU FOR THE SOFTWARE.
IN NO EVENT SHALL HUAWEI BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMA
GES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LISS OF BUSINESS PROF
ITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY
LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN
IF HUAWEI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Any notice concerning this Agreement shall be given to Huawei by first c
lass registered or certified mail to the Address: Administration Building Huawei
Technologies Co., Ltd. Bantian, Longgang District, Shenzhen, 518129, P. R. Chin

This Agreement is governed and construed by the relevant laws of Pe
ople's Republic of China. All disputes, controversies and differences arising ou
t of or relating to this Agreement shall be settled amicably through negotiation
in good faith. In the case that such dispute or controversies cannot be settled
amicably through negotiations within a thrity(30) day period, it shall be submi
tted to China International Economic and Trade Arbiration Commission with its th
en-current rules by three (3) arbitrators appointed in accordance with the said
rules. The award rendered by arbitrators shall be final and binding upon both Li
censee and Licensor hereto.
